ContractforSparePartsPurchase

ThisContractforSparePartsPurchase(the"Contract")ismadeandenteredintoasof[Date],byandbetween[CompanyName],acompanyorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[Address](hereinafterreferredtoasthe"Buyer"),and[SupplierName],acompanyorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[Address](hereinafterreferredtoasthe"Supplier").

Recitals

WHEREAS,theBuyerrequiressparepartsforitsoperationsandhasagreedtopurchasethesamefromtheSupplier;

WHEREAS,theSupplieriswillingtosupplythesparepartstotheBuyer,subjecttothetermsandconditionssetforthherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

Article1:DescriptionofSpareParts

1.1TheSupplieragreestosupplytheBuyerwith[DescriptionofSpareParts],inaccordancewiththespecificationsandquantitiessetforthintheattachedScheduleA(the"SpareParts").

1.2TheSuppliershallensurethattheSparePartsconformtothequalitystandardsandspecificationsassetforthintherelevantdocumentationprovidedbytheBuyer.

Article2:Delivery

2.1TheSuppliershalldelivertheSparePartstotheBuyer'sdesignateddeliverylocationat[Address](the"DeliveryLocation")onorbefore[DeliveryDate].

2.2TheSuppliershallberesponsibleforthetransportationandinsurancecostsassociatedwiththedeliveryoftheSparePartstotheDeliveryLocation.

2.3TheBuyershallhavetherighttorejectanySparePartsthatdonotconformtothequalitystandardsandspecificationssetforthinthisContract,andtheSuppliershall,atitsownexpense,promptlyreplaceorrefundtheBuyerforsuchnon-conformingSpareParts.

Article3:PriceandPaymentTerms

3.1ThepricefortheSparePartsshallbeassetforthintheattachedScheduleB(the"Price").

3.2TheBuyershallmakepaymentfortheSparePartswithin[Number]daysafterthedateoftheSupplier'sinvoice,whichshallbeissuedinaccordancewiththetermssetforthintheattachedScheduleC(the"PaymentTerms").

Article4:Warranty

4.1TheSupplierwarrantsthattheSparePartssuppliedhereundershallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod],assetforthintheattachedScheduleD(the"Warranty").

4.2IntheeventthatanySparePartsfailtoconformtotheWarranty,theSuppliershall,atitsownexpense,promptlyreplaceorrepairsuchnon-conformingSpareParts.

Article5:TermandTermination

5.1ThisContractshallcommenceontheEffectiveDateandshallcontinueforaperiodof[Term],assetforthintheattachedScheduleE(the"Term").

5.2EitherpartymayterminatethisContractuponwrittennoticetotheotherpartyintheeventofamaterialbreachofthisContractthatisnotcuredwithin[Number]daysafterreceiptofwrittennoticethereof.

Article6:GoverningLawandDisputeResolution

6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].

6.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindinguponthepartieshereto.

Article7:EntireAgreement

7.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

7.2ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
