Article1PurposeandScopeoftheContract

TheprimarypurposeofthisAgreementistoengagePartyBtoactasanagentonbehalfofPartyAtofacilitateinternationaltradetransactions,specificallytargetingtheprocurementof[typeofgoodsorservices]fromforeignsuppliers.ThescopeofthisAgreementincludes,butisnotlimitedto,theidentificationofpotentialsuppliers,negotiationofterms,facilitationoftransactions,andcoordinationoflogistics,allinaccordancewiththetermsandconditionssetforthherein.PartyB'sservicesareintendedtoassistPartyAinexpandingitsmarketreachandincreasingitsinternationaltradevolume.

Article2Definitions

ForthepurposeofthisAgreement,thefollowingtermsshallhavethemeaningsascribedtothembelow:

-"Goods"or"Services"shallrefertothespecificproductsorservicesthatPartyAwishestoprocurethroughPartyB'sassistance.

-"Commission"shallmeanthefeepayablebyPartyAtoPartyBforsuccessfulcompletionofatransaction,asoutlinedinthePricingandPaymentTerms.

-"Transaction"shallencompassanysaleorprocurementofGoodsorServicesfacilitatedbyPartyBonbehalfofPartyA.

Article3RightsandObligationsofBothParties

1.RightsandObligationsofPartyA:

a.PartyAshallprovidePartyBwiththenecessaryinformationandspecificationsregardingtheGoodsorServicesitwishestoprocure.

b.PartyAshallgrantPartyBtheauthoritytonegotiateandenterintoagreementswithpotentialsuppliersonitsbehalf,withinthescopeofthisAgreement.

c.PartyAshalltimelyprovideanyrequireddocumentation,approvals,orpaymentstoenablePartyBtoperformitsobligationsunderthisAgreement.

d.PartyAshallpayPartyBtheagreedCommissionuponthesuccessfulcompletionofeachTransaction,inaccordancewiththePricingandPaymentTerms.

e.PartyAshallnotenterintoanyagreementswiththirdpartiesthatwouldconflictwithPartyB'sobligationsunderthisAgreement.

2.RightsandObligationsofPartyB:

a.PartyBshalluseitsbesteffortstoidentifyandsecuresuppliersfortheGoodsorServices,ensuringthatthetermsarefavorableandinlinewithPartyA'srequirements.

b.PartyBshallkeepPartyAinformedoftheprogressandstatusofnegotiationsandTransactions,providingregularupdatesasnecessary.

c.PartyBshallcomplywithallapplicablelaws,regulations,andtradepracticesintheperformanceofitsdutiesunderthisAgreement.

d.PartyBshallnotdiscloseanyconfidentialinformationofPartyAtothirdpartieswithoutpriorwrittenconsent,exceptasrequiredbylawortofulfillitsobligationsunderthisAgreement.

e.PartyBshallbeentitledtoreceivetheCommissionasspecifiedinthePricingandPaymentTermsuponsuccessfulcompletionofeachTransaction.

f.PartyBshallnot,withoutPartyA'spriorwrittenconsent,engageinanybusinessactivitiesthatarecompetitivewithPartyA'sbusinessduringthetermofthisAgreement.

BothPartiesacknowledgethattherightsandobligationssetforthaboveareessentialtotheperformanceofthisAgreementandthatanybreachoftheseprovisionsmayresultinirreparableharmtothenon-breachingParty.

Article4PricingandPaymentTerms

ThepriceforPartyB'sservicesshallbeacommissioncalculatedasapercentageofthetotaltransactionvalueforeachsuccessfuldealfacilitated,asfollows:[specifythecommissionpercentage].ThePartiesagreethattheCommissionshallbedueandpayablebyPartyAtoPartyBuponthecompletionofthefollowingconditions:

PaymentshallbemadebyPartyAtoPartyBwithin[numberofdays]afterthesatisfactionoftheaboveconditions,viawiretransfertothebankaccountdetlsprovidedbyPartyB.

Article5DurationofPerformance

ThisAgreementshallenterintoforceonthedateofitssigningandshallremnineffectforaperiodof[durationofthecontract],unlessterminatedearlierinaccordancewiththetermsofthisAgreement.ThePartiesagreetothefollowingkeymilestonesandtimeframes:

Article6LiabilityforBreach

IntheeventofabreachofthisAgreementbyeitherParty,thenon-breachingPartyshallbeentitledtoseekremediesavlableatlaworinequity.Thefollowingprovisionsoutlinespecificconsequencesofbreach:

1.FlurebyPartyAtopaytheCommissionwithinthespecifiedtimeframeshallentitlePartyBtointerestontheunpdamountatarateof[interestrate]perannumfromtheduedateuntilpaymentisreceived.

2.IfPartyAbreachesitsobligationsunderthisAgreementandsuchbreachresultsinthelossofapotentialTransaction,PartyAshallbeliabletoPartyBforthelostCommission,inadditiontoanyactualdamagessufferedbyPartyB.

3.IntheeventofPartyB'sbreach,includingbutnotlimitedto,fluretoperformitsdutiesdiligentlyordisclosureofconfidentialinformation,PartyBshallbeliabletoPartyAforanydirectdamagesincurredasaresultofsuchbreach.

4.ThePartiesagreethatintheeventofamaterialbreachbyeitherParty,thenon-breachingPartyshallhavetherighttoterminatethisAgreementimmediatelyandseekanyappropriatelegalremedies,includingbutnotlimitedto,therecoveryofattorney'sfeesandcosts.

5.ThePartiesacknowledgethatcertnbreachesmayresultintheimpossibilityoftheperformanceofthisAgreement,andinsuchcases,thenon-breachingPartyshallhavetherighttoseekspecificperformanceorinjunctivereliefinadditiontootherremediesavlable.

ThePartiesagreethattheforegoingremediesarenotexclusiveandareinadditiontoanyotherremediesavlableatlaworequity.

Article7ForceMajeure

ForthepurposesofthisAgreement,"ForceMajeure"shallmeananyeventorcircumstancethatisbeyondthereasonablecontrolofaParty,includingbutnotlimitedto,actsofGod,naturaldisasters,war,terroristactivities,strikes,riots,governmentactions,oranyothersimilareventsthatcouldnothavebeenpreventedbytheaffectedPartywithreasonablecareanddiligence.

IfaPartyisunabletoperformanyofitsobligationsunderthisAgreementduetoForceMajeure,suchPartyshallbeexcusedfromperformanceofitsobligationsforthedurationoftheForceMajeureevent,providedthattheaffectedPartypromptlynotifiestheotherPartyoftheexistenceandnatureoftheForceMajeureeventandusesreasonableeffortstomitigatetheeffectsofsuchevent.

ThePartyaffectedbytheForceMajeureeventshallresumeperformanceofitsobligationsassoonasreasonablypracticalaftertheForceMajeureeventceases.IftheForceMajeureeventpersistsforacontinuousperiodof[specifyperiod]ormore,eitherPartymayterminatethisAgreementuponwrittennoticetotheotherParty.

NeitherPartyshallbeliabletotheotherforanyflureordelayintheperformanceofitsobligationsunderthisAgreementduetoForceMajeure.However,thisArticleshallnotapplytoanyobligationstomakepaymentsofmoneythataredueandpayableunderthisAgreement.

Article8DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisAgreement,includinganyquestionregardingitsexistence,validity,ortermination,shallberesolvedinthefollowingmanner:

1.Negotiation:ThePartiesshallfirstattempttoresolveanydisputesthroughgoodfthnegotiations.Toinitiatethenegotiationprocess,eitherPartymustgivewrittennoticetotheotherPartyspecifyingthenatureofthedispute.

2.Mediation:Ifthedisputeisnotresolvedwithin[specifyperiod]aftertheinitiationofnegotiations,thePartiesmayagreetosubmitthedisputetomediation.ThemediatorshallbemutuallyagreeduponbytheParties.ThevenueandprocedureformediationshallbeasagreedbetweentheParties.

3.Arbitration:Ifthedisputeisnotresolvedthroughmediation,orifeitherPartyflstoparticipateinthemediationprocess,thedisputeshallbefinallyresolvedbyarbitrationinaccordancewiththerulesof[specifyarbitrationinstitution].Thenumberofarbitrators,theirappointment,andtheplaceofarbitrationshallbeasagreedbetweentheParties.

4.Litigation:IfthePartiesdonotagreetoarbitration,orintheeventthatarbitrationisnotavlable,thePartiesmaysubmitthedisputetothecourtsof[specifyjurisdiction],andthePartiesagreetosubmittothejurisdictionofsuchcourts.

ThePartiesagreethat,duringanydisputeresolutionprocess,theyshallcontinuetoperformtheirrespectiveobligationsunderthisAgreementthatarenotsubjecttothedispute.
