甲方（以下簡稱“甲方”）：

乙方（以下簡稱“乙方”）：

根據(jù)《中華人民共和國合同法》及相關法律法規(guī)的規(guī)定，甲乙雙方在平等、自愿、公平、誠實信用的原則基礎上，就甲方向乙方提供車庫設備回收服務事宜，達成如下協(xié)議：

第一條車庫設備回收范圍

1.1甲方同意將位于________（地址）的車庫設備（具體設備清單詳見附件1）全部回收給乙方。

1.2乙方同意按照本合同約定的價格和方式購買甲方所提供的車庫設備。

第二條車庫設備回收價格

2.1乙方根據(jù)甲方提供的設備清單和市場評估價，同意以人民幣（大寫）：________元整（小寫）：￥_________元的價格購買甲方所提供的車庫設備。

2.2雙方確認，上述價格包括但不限于設備的拆除、搬運、回收等費用。

第三條回收時間及方式

3.2乙方應在收到甲方所提供的車庫設備后，____個工作日內(nèi)完成設備的驗收工作。

第四條雙方義務

4.1甲方應保證所提供的車庫設備符合國家法律法規(guī)及行業(yè)標準，且具有完全的使用權和處置權。

4.2乙方應按照本合同約定的價格和時間向甲方支付回收款項。

4.3雙方應按照誠實信用的原則，履行本合同的約定，共同維護雙方的合法權益。

第五條違約責任

5.1如甲方未能按照本合同約定的時間、地點提供設備，或所提供的設備不符合合同約定的質(zhì)量標準，甲方應向乙方支付違約金，違約金為本合同回收價格的____%。

5.2如乙方未能按照本合同約定的時間支付回收款項，乙方應向甲方支付滯納金，滯納金為本合同回收價格的____%。

第六條爭議解決

6.1雙方在履行本合同過程中發(fā)生的爭議，應首先通過友好協(xié)商解決；如協(xié)商不成，任何一方均有權向合同簽訂地人民法院提起訴訟。

第七條其他約定

7.1本合同一式兩份，甲乙雙方各執(zhí)一份。

2.2Theabovepriceincludes,butisnotlimitedto,thecostsofequipmentdismantling,transportation,andrecyclingasagreeduponbytheparties.

Article3:RecyclingTimeandMethod

3.1PartyAshalltransportthegarageequipmenttothedesignatedlocationofPartyBwithin__workingdaysafterthesigningofthiscontract.

3.2PartyBshallcompletetheacceptanceoftheequipmentwithin__workingdaysafterreceivingitfromPartyA.

Article4:ObligationsoftheParties

4.1PartyAshallguaranteethatthegarageequipmentprovidedmeetsnationallaws,regulations,andindustrystandards,andthatPartyAhasthecompleteownershipanddisposalrightsovertheequipment.

4.2PartyBshallpaytherecyclingpricetoPartyAinaccordancewiththetermsofthiscontract.

4.3PartyCshallactindependentlyandimpartiallytoinspectandverifytheequipmentandshallprovideawritteninspectionreporttoPartyAandPartyB.

Article5:BreachofContractLiabilities

5.1IfPartyAfailstoprovidetheequipmentattheagreedtimeandplaceortheequipmentprovideddoesnotmeettheagreedqualitystandards,PartyAshallpayaliquidateddamagesamountingto__%ofthecontractpriceasapenaltyforbreachofcontract.

5.2IfPartyBfailstomakethepaymentoftherecyclingpriceattheagreedtime,PartyBshallpaylatefeesamountingto__%ofthecontractpriceasapenaltyfordelay.

Article6:DisputeResolution

Conclusion:TheinvolvementofPartyCasanindependentinspectorissignificantforPartyAasitensuresthecomplianceoftheequipmentwiththeagreed-uponspecificationsandstandards,therebyprotectingPartyA'sinterests.TheadditionalrightsandinterestsgrantedtoPartyA,suchasliquidateddamagesforbreachofcontractandpriorityindisputeresolution,furthersafeguardPartyA'sposition.ThestrictbreachandrestrictionclausesforPartyBemphasizetheimportanceofPartyA'sinterests.ThepurposeofPartyC'sinvolvementistoensurethequalityandcomplianceoftheequipment,whilePartyA's主導purposeistomaximizeitsrightsandinterestsintherecyclingprocessofthegarageequipment.

4.3PartyCshallactindependentlyandimpartiallytoinspectandverifytheequipmentandshallprovideawritteninspectionreporttoPartyAandPartyB.

Article5:BreachofContractLiabilities

5.1IfPartyAfailstoprovidetheequipmentattheagreedtimeandplaceortheequipmentprovideddoesnotmeettheagreedqualitystandards,PartyAshallpayaliquidateddamagesamountingto__%ofthecontractpriceasapenaltyforbreachofcontract.
