TheShipowner'sliabilityforlossordamagetothecargoshallbelimitedtotheextentpermittedbyapplicablelaw,subjecttotheprovisionsoftheHague-VisbyRulesandtheprovisionsofthisContract.

7.ForceMajeure

IntheeventofanycausebeyondthereasonablecontroloftheShipownerortheCharterer,includingbutnotlimitedtowar,strikes,naturaldisasters,oranyothersimilarevents,theperformanceofthisContractshallbesuspended,andthepartiesshallnotbeliableforanyfailureordelayintheperformanceoftheirobligationsunderthisContract.

8.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[ApplicableJurisdiction].

9.EntireAgreement

7.Shipowner'sRightsandInterests

TheShipownershallhavethefollowingrightsandinterests:

a.Therighttoinspectthecargobeforeloadingandensurethatitissuitablefortransportation.

b.Therighttoreceivefullpaymentforthecarriageofthecargoaspertheagreedterms.

c.TherighttoclaimdamagesfromtheChartererforanylossordamagecausedbytheCharterer'sfailuretocomplywiththetermsofthisContract.

d.TherighttoterminatethisContractincaseofmaterialbreachbytheCharterer.

8.Charterer'sRightsandInterests

TheCharterershallhavethefollowingrightsandinterests:

b.Therighttoobtainallnecessarypermitsanddocumentsforthecarriageofthecargo.

9.ThirdParty'sRightsandInterests

a.Therighttoreceiveacommissionforitsservicesasanintermediaryandfacilitator.

b.TherighttoclaimdamagesfromeithertheShipownerortheChartererincaseofabreachofthisContractbyeitherparty.

10.Charterer'sObligationsandLimitations

TheCharterershallcomplywiththefollowingobligationsandlimitations:

a.TheCharterershallensurethatthecargoisproperlypacked,labeled,andpreparedfortransportation.

b.TheCharterershallprovideaccurateandcompleteinformationregardingthecargototheShipowner.

c.TheCharterershallnotbeliableforanylossordamagetothecargocausedbytheShipowner'sfailuretocomplywiththetermsofthisContract.

11.GoverningLawandJurisdiction
