圖書館地暖安裝工程協(xié)議合同編號：__________LibraryFloorHeatingInstallationContractThisContractismadeandenteredintoasof__________(the"EffectiveDate"),andbetween:[LibraryName](the"Library"),alegalentityorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[LibraryAddress];and[ContractorName](the"Contractor"),alegalentityorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[ContractorAddress].(Eacha"Party"andcollectivelythe"Parties")RECITALS:WHEREAS,theContractorisexperiencedandqualifiedintheinstallationoffloorheatingsystemsandhasagreedtoundertaketheinstallationworkuponthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thePartiesagreeasfollows:1.SCOPEOFWORK1.1TheContractoragreestodesign,supply,andinstallafloorheatingsystemintheLibrary'spremises,asspecifiedintheattachedProjectDescriptionandTechnicalSpecifications.2.TERM3.PAYMENT3.2PaymentshallbemadetheLibrarytotheContractorinaccordancewiththepaymenttermsandschedulesetforthintheattachedPaymentTerms.4.CONFIDENTIALITY4.1TheContractoragreestomaintaininconfidenceallconfidentialinformationdisclosedtoittheLibrary,including,butnotlimitedto,technicaldata,specifications,pricing,andotherproprietaryinformation(the"ConfidentialInformation").4.2TheContractorshallnotusetheConfidentialInformationforanypurposeotherthantheperformanceofitsobligationsunderthisContract,andshallnotdisclosetheConfidentialInformationtoanythirdpartywithouttheLibrary'spriorwrittenconsent.5.WARRANTIES5.1TheContractorwarrantsthatthefloorheatingsysteminstalledunderthisContractshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod],fromthedateoffinalacceptancetheLibrary.6.DEFAULTANDTERMINATION6.1TheContractorshallbeindefaultifitfailstoperformanymaterialobligationunderthisContractandsuchfailurecontinuesforaperiodof[DefaultPeriod]afterwrittennoticethereofhasbeengiventheLibrary.6.2TheLibrarymayterminatethisContractforthwithuponwrittennoticetotheContractoriftheContractorbreachesanymaterialprovisionofthisContractandfailstocuresuchbreachwithin[CurePeriod]afterwrittennoticethereofhasbeengiventheLibrary.7.INDEMNIFICATION7.1TheContractoragreestoindemnifyandholdharmlesstheLibraryagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingattorney'sfees)arisingoutoforinconnectionwiththeperformanceoftheinstallationworkunderthisContract,excepttotheextentcausedtheLibrary'ssolenegligenceorwillfulmisconduct.8.GOVERNINGLAWANDDISPUTERESOLUTION8.1ThisContractshallbegovernedandconstruedinaccordancewiththelawsof[GoverningJurisdiction].8.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.9.ENTIREAGREEMENT9.1ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.INWITNESSWHEREOF,thePartieshaveexecutedthis一、附件列表：1.ProjectDescriptionandTechnicalSpecifications2.PriceSchedule3.PaymentTerms4.WarrantyPeriod5.DefaultPeriod6.CurePeriod7.ArbitrationInstitutionRules二、違約行為及認(rèn)定：1.違約行為：Contractor未能按照合同規(guī)定的設(shè)計、供應(yīng)和安裝floorheating系統(tǒng)。認(rèn)定：如果Contractor未能在規(guī)定的時間內(nèi)完成工作，或者安裝的系統(tǒng)不符合技術(shù)規(guī)格，將被視為違約。2.違約行為：Contractor未能維護(hù)Library的機(jī)密信息。認(rèn)定：如果Contractor未能按照規(guī)定保密信息，或者將機(jī)密信息披露給第三方，將被視為違約。3.違約行為：Contractor未能在規(guī)定的時間內(nèi)糾正違約行為。認(rèn)定：如果Contractor在收到Library的書面通知后，未能在規(guī)定的時間內(nèi)糾正違約行為，將被視為違約。三、法律名詞及解釋：1.Contractor：指與Library簽訂合同的floorheating系統(tǒng)安裝公司。2.Library：指需要安裝floorheating系統(tǒng)的圖書館。3.EffectiveDate：指合同生效日期。4.FinalAcceptanceCertificate：指Library對floorheating系統(tǒng)安裝完成后發(fā)出的最終驗收證書。5.ConfidentialInformation：指合同中提到的圖書館的機(jī)密信息，包括技術(shù)數(shù)據(jù)、規(guī)格、定價等。四、執(zhí)行中遇到的問題及解決辦法：1.問題：安裝過程中遇到技術(shù)難題。解決辦法：Contractor應(yīng)立即與Library溝通，共同尋求技術(shù)支持，以確保安裝工作的順利進(jìn)
