1.2TheSellerguaranteesthattheproductsshallcomplywiththerelevantlawsandregulationsofthecountryoforiginandthecountryofdestination,andthattheproductsshallnotinfringeuponanythird-partyintellectualpropertyrights.
ARTICLE2:PRICEANDPAYMENT
2.1Thepriceoftheproductsshallbe[Price]USDperunit,andthetotalamountshallbe[TotalAmount]USD.
2.2Thepaymentmethodshallbe[PaymentMethod],andtheBuyershallmakethepaymenttotheSeller'sdesignatedaccountwithin[PaymentPeriod]daysaftertheSellerprovidestherelevantdocumentsasstipulatedinArticle5ofthisContract.
ARTICLE3:DELIVERYANDACCEPTANCE
3.1TheSellershalldelivertheproductstotheBuyer'sdesignatedportwithin[DeliveryTime]daysaftertheBuyermakesthepayment.
3.2TheBuyershallaccepttheproductswithin[AcceptanceTime]daysafterreceivingthenoticeofdeliveryfromtheSeller.IftheBuyerfailstoaccepttheproductswithinthesaidperiod,theSellershallhavetherighttostoretheproductsattheBuyer'sriskandexpense.
ARTICLE4:INSPECTIONANDCOMPLAINT
4.1TheBuyershallinspecttheproductswithin[InspectionTime]daysafterreceivingthem,andifanyqualityproblemsarefound,theBuyershallnotifytheSellerinwritingwithin[ComplaintTime]daysafterreceivingtheproducts.
4.2TheSellershallinvestigateandrespondtotheBuyer'scomplaintwithin[ResponseTime]daysafterreceivingthenoticeofcomplaint.IftheSelleracknowledgesthequalityproblem,theSellershalltakeappropriatemeasurestorectifytheissueandcompensatetheBuyeraccordingly.
ARTICLE5:OTHERPROVISIONS
5.1BothpartiesagreetostrictlyobservetheconfidentialityoftheinformationobtainedthroughthisContract.
5.2ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableLawCountry].
5.3AnydisputesarisingfromtheexecutionofthisContractshallberesolvedthroughfriendlynegotiation.Ifthenegotiationfails,thecaseshallbesubmittedtothe[DesignatedCourt]foradjudication.

2.2Thepaymentmethodshallbe[PaymentMethod],andtheBuyershallmakethepaymenttotheSeller'sdesignatedaccountwithin[PaymentPeriod]daysaftertheSellerprovidestherelevantdocumentsasstipulatedinArticle5ofthisContract.
2.3TheBuyershallpayacommissiontotheThirdPartyforitsservices,whichshallbe[CommissionRate]percentofthetotalamount.
ARTICLE3:DELIVERYANDACCEPTANCE
3.1TheSellershalldelivertheproductstotheBuyer'sdesignatedportwithin[DeliveryTime]daysaftertheBuyermakesthepayment.
3.2TheBuyershallaccepttheproductswithin[AcceptanceTime]daysafterreceivingthenoticeofdeliveryfromtheSeller.IftheBuyerfailstoaccepttheproductswithinthesaidperiod,theSellershallhavetherighttostoretheproductsattheBuyer'sriskandexpense.
3.3TheThirdPartyshallensuretheproperhandlingandtransportationoftheproductsfromtheSellertotheBuyer,andshallberesponsibleforanylossordamagethatmayoccurduringtheprocess.
ARTICLE4:INSPECTIONANDCOMPLAINT
4.1TheBuyershallinspecttheproductswithin[InspectionTime]daysafterreceivingthem,andifanyqualityproblemsarefound,theBuyershallnotifytheSellerinwritingwithin[ComplaintTime]daysafterreceivingtheproducts.
4.2TheSellershallinvestigateandrespondtotheBuyer'scomplaintwithin[ResponseTime]daysafterreceivingthenoticeofcomplaint.IftheSelleracknowledgesthequalityproblem,theSellershalltakeappropriatemeasurestorectifytheissueandcompensatetheBuyeraccordingly.
4.3TheThirdPartyshallassistintheinspectionandresolutionofanydisputesrelatedtothequalityoftheproducts.
ARTICLE5:RIGHTSANDOBLIGATIONSOFTHEPARTIES
5.1TheBuyer'sRights:
5.1.1TheBuyerhastherighttorequesttheSellertoprovidecompleteandaccurateinformationregardingtheproducts,includingtechnicalspecifications,qualitystandards,anddeliveryschedules.
5.1.2TheBuyerhastherighttoterminatethisContractiftheSellerfailstodelivertheproductswithintheagreedtimeframeorifthequalityoftheproductsdoesnotmeetthespecifiedstandards.
5.1.3TheBuyerhastherighttoclaimdamagesfromtheSellerortheThirdPartyincaseofanybreachoftheContract.
5.2TheBuyer'sObligations:
5.2.1TheBuyershallprovidetheSellerwithaccurateinformationregardingthedeliveryaddressandcontactdetails.
5.2.2TheBuyershallmakethepaymentasstipulatedinthisContract.

ARTICLE6:LIMITATIONSOFLIABILITYANDLIABILITY
6.1TheSellershallbeliableforanybreachoftheContract,includingbutnotlimitedtolatedelivery,non-compliancewithqualitystandards,orfailuretoprovidenecessarydocumentation.
6.2TheThirdPartyshallbeliableforanybreachofitsobligationsasanintermediary,includingbutnotlimitedtofailuretoensuretheproperhandlingandtransportationoftheproducts.
6.3TheBuyershallnotholdtheSellerortheThirdPartyliableforanyindirectorconsequentiallossesincurredasaresultoftheperformanceornon-performanceofthisContract.
ARTICLE7:TERMINATIONOFTHECONTRACT
7.1ThisContractmaybeterminatedbyeitherpartyupontheoccurrenceofanyofthefollowingevents:
7.1.1TheSellerfailstodelivertheproductswithintheagreedtimeframeorifthequalityoftheproductsdoesnotmeetthespecifiedstandards.
7.1.2TheBuyerfailstomakethepaymentwithintheagreedtimeframe.
7.1.3AnyotherbreachoftheContractbyeitherparty.
ARTICLE8:DISPUTERESOLUTION
8.1AnydisputesarisingfromtheexecutionofthisContractshallberesolvedthroughfriendlynegotiation.Ifthenegotiationfails,thecaseshallbesubmittedtothe[DesignatedCourt]foradjudication.
