c.Theexecution,delivery,andperformanceofthisAgreementdonotandwillnotviolateanylaws,regulations,orotherobligationsbindingontheInvestee.

INVESTMENTDETAILS:

1.TheInvestoragreestoinvest[Amount]intheInvestee,whichshallbepaidin[Currency](the“InvestmentAmount”).

2.TheInvestmentAmountshallbeusedbytheInvesteeforthepurposeof[InvestmentPurpose],asmutuallyagreeduponbytheParties.

3.TheInvesteeagreestousetheInvestmentAmountinaccordancewiththeagreedInvestmentPurpose.

RIGHTSANDOBLIGATIONS:

1.TheInvestorshallhavetherighttoreceivedividendsorprofitsfromtheInvestmentAmount,asdeterminedbytheInvestee'sboardofdirectors.

2.TheInvestorshallhavetherighttoparticipateinthemanagementanddecision-makingoftheInvestee,asprovidedforinthisAgreement.

3.TheInvesteeagreestoprovidetheInvestorwithregularfinancialreportsandupdatesontheprogressoftheInvestmentPurpose.

CONFIDENTIALITY:

1.ThePartiesagreetomaintaintheconfidentialityofallinformationdisclosedbyeitherPartyduringthenegotiationandexecutionofthisAgreement.

2.TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.

TERMINATION:

1.ThisAgreementmaybeterminatedbyeitherPartyupon[NoticePeriod]priorwrittennoticetotheotherParty.

2.UponterminationofthisAgreement,theInvestorshallreceiveaproratashareoftheInvestee'sprofitsordividends,ifany,fortheperiodpriortothetermination.

DISPUTERESOLUTION:

1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheParties.

2.IfthePartiesfailtoreachanamicableresolutionwithin[NegotiationPeriod],thedisputesshallbesubmittedtoarbitrationin[ArbitrationVenue],inaccordancewiththerulesof[ArbitrationInstitution].

DISPUTERESOLUTION:

1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheParties.

2.IfthePartiesfailtoreachanamicableresolutionwithin[NegotiationPeriod],thedisputesshallbesubmittedtoarbitrationin[ArbitrationVenue],inaccordancewiththerulesof[ArbitrationInstitution].
