蔬菜批發(fā)采購合同指南合同編號：__________vegetablewholesalepurchasecontractguidePartyA:_________________________Address:_________________________ContactPerson:____________________PhoneNumber:_____________________PartyB:_________________________Address:_________________________ContactPerson:____________________PhoneNumber:_____________________InordertoensurethesmoothimplementationofthepurchaseandsaleofvegetablesbetweenPartyAandPartyB,andtoclarifytherightsandobligationsofbothparties,bothpartieshavereachedthefollowingagreementthroughfriendlynegotiations:Article1:Subjectmatterofthecontract1.1PartyAagreestopurchasefromPartyBatotaloftonsoffreshvegetables,includingtonsofcarrots,tonsofpotatoes,andtonsofcucumbers,withthespecificvarieties,specifications,andquantitiesasoutlinedintheattachedschedule.1.2Thevegetablesshallmeetthequalitystandardssetforthintheattachedqualityspecifications,andPartyBshallensurethatthevegetablesarefreefrompests,diseases,andcontaminants.Article2:Delivery2.1PartyBshalldeliverthevegetablestoPartyA'sdesignateddeliverylocationatorbeforetheagreedupondeliverydate.Thedeliverylocationislocatedat__________________________.2.2PartyBshallberesponsibleforalltransportationcostsandshallprovidePartyAwiththenecessarytransportationdocuments,suchaswaybillsandinvoices.Article3:Payment3.1PartyAagreestopayPartyBatotalpurchasepriceofmillionRMB(RMB),includingmillionRMBforcarrots,millionRMBforpotatoes,andmillionRMBforcucumbers,asoutlinedintheattachedschedule.3.2PaymentshallbemadePartyAwithin30daysafterthedateofthedeliveryofthevegetables,wiretransfertoPartyB'sdesignatedbankaccount.Article4:Qualityandquantityguarantee4.1PartyBshallguaranteethequalityandquantityofthevegetablesasagreeduponinArticle1ofthiscontract.Ifthereareanydiscrepanciesorqualityissueswiththedeliveredvegetables,PartyAshallhavetherighttorequestareplacementorrefundfromPartyB.4.2PartyBshallberesponsibleforanylossesincurredPartyAduetothefailureofthevegetablestomeettheagreeduponqualityandquantitystandards.Article5:Forcemajeure5.1Ifeitherpartyisunabletoperformitsobligationsunderthiscontractduetocausesbeyonditscontrol,suchasnaturaldisasters,war,strikes,orgovernmentactions,theaffectedpartyshallberelievedofliabilityforthebreachofcontract.5.2Theaffectedpartyshallnotifytheotherpartyassoonaspossibleaftertheoccurrenceoftheforcemajeureevent,andbothpartiesshallnegotiateingoodfaithtofindasolutiontotheproblem.Article6:Disputeresolution6.1Anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthroughfriendlynegotiationbetweentheparties.6.2Ifthenegotiationfailstoresolvethedispute,eitherpartymaysubmitthedisputetotherelevantpeople'scourtwithjurisdictionoverthedefendant'sregisteredaddress.Article7:Miscellaneous7.2Thiscontractmaybeamendedorsupplementedwrittenagreementbetweentheparties.7.3Theinvalidityorunenforceabilityofanyprovisionofthiscontractshallnotaffectthevalidityorenforceabilityofanyotherprovision.7.4ThiscontractiswritteninChineseandmaybetranslatedintootherlanguagesfortheconvenienceoftheparties.IntheeventofanydiscrepanciesbetweentheChineseandtranslatedversions,theChineseversionshallprevail.Inwitnesswhereof,thepartieshavesignedthiscontractasofthedatefirstabovewritten.PartyA:_________________________Representative:____________________Date:_____________________________PartyB:_________________________Representative:____________________Date:_____________________________一、附件列表：蔬菜品種、規(guī)格和數(shù)量詳細(xì)清單蔬菜質(zhì)量標(biāo)準(zhǔn)說明運(yùn)輸文檔（包括運(yùn)單和發(fā)票）交付地點(diǎn)和方式的詳細(xì)說明二、違約行為及認(rèn)定：遲延交付或未交付約定數(shù)量的蔬菜交付的蔬菜不符合約定的質(zhì)量標(biāo)準(zhǔn)或規(guī)格未按約定時間支付貨款未按約定提供運(yùn)輸文檔因不可抗力導(dǎo)致無法履行合同義務(wù)三、法律名詞及解釋：蔬菜：指在合同中約定的各類新鮮蔬菜。批發(fā)采購：指PartyA從PartyB購買蔬菜的行為。交付：指PartyB將蔬菜運(yùn)送到PartyA指定的交付地點(diǎn)的行為。質(zhì)量規(guī)格：指合同中約定的蔬菜應(yīng)滿足的質(zhì)量要求。不可抗力：指合同履行過程中出現(xiàn)的無法預(yù)見、無法避免并無法克服的客觀情況。四、執(zhí)行中遇到的問題及解決辦法：問題：蔬菜交付遲延或數(shù)量不足解決辦法：立即通知對方，并協(xié)商補(bǔ)貨或退款。問題：蔬菜質(zhì)量不符合標(biāo)準(zhǔn)解決辦法：立即通知對方，并協(xié)商替換或退款。問題：PartyA未能按時支付貨款解決辦法：立即通知對方，并協(xié)商延期支付或分期付款。問題：運(yùn)輸過程中蔬菜受損解決辦法：立即通知運(yùn)輸公司和對方，并
