國際商標許可合同格式

本協(xié)議由公司（以下稱為許可方）和（以下稱為被許可方）于

一年一月一日簽訂，

鑒于許可方擁有具有一定價值并經(jīng)注冊的商標和服務標志，且擁有并可出售其他如附文第一

節(jié)所述的許可方財產(chǎn)，其中包括“商標”。這一商標在廣播或電視中經(jīng)常使用，并出現(xiàn)在各種

促銷和廣告業(yè)務中，得到公眾的廣泛認可，在公眾印象中與許可方有密切關系：

鑒于被許可方意于在制造、出售、分銷產(chǎn)品時使用這一商標；

因此考慮到雙方的保證，達成如下協(xié)議：

【章名】一、授與許可

1.產(chǎn)品

根據(jù)以下規(guī)定的條款，許可方授與被許可方，被許可方接受單獨使用這一商標的許可權力，

且只在制造和出售、分銷以下產(chǎn)品時使用。

2.地域

許可協(xié)議只在__________地區(qū)有效。被許可方同意不在其他地區(qū)直接或間接使用或授權使用

這一商標，且不在知情的情況下向有意或有可能在其他地區(qū)出售協(xié)議下產(chǎn)品的第三者銷售該

產(chǎn)品。

3.期限

許可協(xié)議自__________日生效，如未提前終止，至___________日期滿。若滿足協(xié)議條件，本

協(xié)議期限每年自動續(xù)展，直至最后一次續(xù)展終止于年12月31日。始于

—年12月31日，本許可協(xié)議在每一期末自動續(xù)展一年，到下一年的12月31日止，

除非一方在協(xié)議到期前30天以前書面通知另一方終止協(xié)議的執(zhí)行。

【章名】二、付款方式

1.比例

被許可方同意向許可方支付其或其附屬公司、子公司等出伐協(xié)議產(chǎn)品的凈銷售額的

_%作為使用費?！皟翡N售額”指總銷售額減去數(shù)量折扣和利潤，但不包括現(xiàn)金折扣和不可收

帳目折扣。在制造、出售或利用產(chǎn)品時的贄用均不可從被許可方應支付的使用費中折扣。被

許可方同意如向其他許可方支付更高的使用費或更高比例的許可使用費，將自動馬上適用于

本協(xié)議。

2.最低限度使用費

被許可方同意向許可方支付最低限度使用費美元,作為對合同第一期應支付使用

費的最低保證，上述最低限度使用費將在第一期的最后一天或此前支付。在協(xié)議簽字時支付

的預付款將不包括在內(nèi)。此最低限度使用費在任何情況下都不會再歸還給被許可方。

3.定期報告

第一批協(xié)議產(chǎn)品裝運后，被許可方應立即向許可方提供完整、精確的報告，說明被許可方在

前一期售出的產(chǎn)品數(shù)量、概況、總銷售額、詳細列明的總銷售額折扣、凈銷售額及前一期中

的利潤。被許可方將使用后附的，由許可方提供給其的報告樣本。無論被許可方在前一期中

是否銷售了產(chǎn)品，均應向許可方提供報告。

4.使用費支付

除上述最低使用費以外的使用費需在銷售期后日交付，同時提交的還有上述要求

的報告。許可方接受被許可方按協(xié)議要求提供的報告和使用費（或兌現(xiàn)支付使用的支票）后,

如發(fā)現(xiàn)報告或支付中有不?致或錯誤，可以在任何時間提出質(zhì)疑，被許可方需及時改正、支

付。支付應用美元。在許可地內(nèi)的應繳國內(nèi)稅由被許可方支付。

【章名】三、專有權

1.除非許可方認可在協(xié)議有效期內(nèi)不在協(xié)議有效區(qū)域內(nèi)再授與別人銷售第一節(jié)所述產(chǎn)品時

使用這一商標，本協(xié)議不窕制許可方授與其他人使用這一商標的權力。

2.協(xié)議規(guī)定如果許可方向被許可方提出購買第一節(jié)所述產(chǎn)品，用于獎勵、贈給或其他促俏

安排，被許可方有10天時間決定是否同意。如果被許可方在10天內(nèi)未接受這一要求，許

可方有權通過其他生產(chǎn)者進行獎勵、贈給或其他促銷安排。在這種情況下，當其他生產(chǎn)者的

價格比許可方向被許可方支付的高時，被許可方有3天時間去滿足生產(chǎn)者生產(chǎn)此種產(chǎn)品的要

求。被許可方保證在未得到許可方書面同意前，不把協(xié)議產(chǎn)品與其他產(chǎn)品或服務一起作為獎

勵，不與其他作為獎勵的產(chǎn)品或服務?起出售協(xié)議產(chǎn)品。

【章名】四、信譽

被許可方承認與該商標相關聯(lián)的信譽的價值，確認這一商標、相關權力及與該商標相關聯(lián)的

信譽只屬于許可方，這一商標在公眾印象中有從屬的含義。

地方法律，并不得影響許可方、其計劃及商標本身的名聲。為了達到這一目標，被許可方應

在出售協(xié)議產(chǎn)品之前，免費寄給許可方一定量的產(chǎn)品樣品，其包裝紙箱、集裝箱和包裝材料,

以取得許可方的書面同意，協(xié)議產(chǎn)品及其紙箱、集裝箱和包裝材料的質(zhì)量和式樣需得到許可

方的同意。向許可方提交的每份產(chǎn)品在得到其書面同意前不能視作通過。樣品按本節(jié)所述得

到同意后，被許可方在未得到許可方的書面同意前不能做實質(zhì)變動。而許可方除非提前60

天書面通知被許可方，不能撤俏其對樣品的同意。在被許可方開始出售協(xié)議產(chǎn)品后，應許可

方的要求，將免費向許可方提供不超過一件的隨機抽樣樣品及相關的紙箱、包裝箱和包裝

材料。

【章名】八、標簽

1.被許可方同意在出售許可合同項下產(chǎn)品或在產(chǎn)品廣存、促銷和展示材料中將根據(jù)第一節(jié)

附文中商標權第五、六條的規(guī)定標明“注冊商標公司年”，或其他許可

方要求的標志。如果產(chǎn)品、或其廣告、促銷、展示材料含有商標或服務標志，應標明注冊的

法律通知及申請。如果產(chǎn)品在市場出售時其包裝紙箱、集裝箱或包裝材料上帶有商標，在上

述物品上也應標明相應標志。被許可方在使用小牌、標簽、標記或其他標志時，在廣告、促

銷和展示材料中標明商標，需事先得到許可方的同意。許可方的同意不構成此協(xié)議下許可方

權力和被許可方責任的放棄。

2.被許可方同意與許可方真誠合作，確保和維護許可方（或許可方的授與人）對商標擁有

的權力。如果商標、產(chǎn)品、相關材料事先未注冊，被許可方應許可方的要求，由許可方承擔

費用，以許可方的名義對版權、商標、服務標志進行恰當注冊，或應許可方的要求，以被許

可方自己的名義注冊。但是，雙方確認本協(xié)議不能視作向被許可方轉(zhuǎn)讓了任何與商標有關的

權利、所有權和利益。雙方確認除根據(jù)本許可協(xié)議，被許可方享有嚴格按協(xié)議使用商標的權

利外，其他相關權利都由許可方保留。被許可方同意協(xié)議終止或期滿時，將其已獲得的或在

執(zhí)行協(xié)議項下行為而獲得的有關商標的一切權利、權益、信譽、所有權等交回給許可方。被

許可方將采取一切許可方要求的方式來完成上述行為。此種交回的權利范圍只能基「本協(xié)議

或雙方的契約而產(chǎn)生。

3.被許可方同意其對商標的使用不損害許可方的利益，而且不因為其使用該商標而取得關

于商標的任何權利。

【章名】九、促銷資料

1.在任何情況下，被許可方如果期望得到本協(xié)議產(chǎn)品的宣傳材料，那么生產(chǎn)該宣傳材料的

成本和時間由被許可方承擔。所有涉及本協(xié)議商標或其復制品的宣傳材料的產(chǎn)權應歸被許可

方所有，盡管該宣傳材料可能由被許可方發(fā)明或使用，而許可方應有權使用或?qū)⑵湓S可給其

他方。

2.許可方有權，但沒有義務使用本協(xié)議商標或被許可方的商標，以使本協(xié)議商標、許可方

或被許可方或其項目能夠完滿或卓越。許可方?jīng)]有義務繼續(xù)在電臺或電視臺節(jié)目中宣傳本協(xié)

議商標或其數(shù)字、符號或設計等。

3.被許可方同意，在沒有得到許可方的事先書面批準的情況下，不在電臺或電視臺作使用

本協(xié)議商標的產(chǎn)品的宣傳或廣告。許可方可以自由決定同意批準或不批準。

【章名】十、分銷

1.被許可方同意將克盡勒勉，并且持續(xù)制造、分銷或銷售本協(xié)議產(chǎn)品，而且還將為此做出

必要和適當?shù)陌才拧?/p>

2.被許可方在沒有得到許可方的書面同意前，不得將本協(xié)議產(chǎn)品銷售給那些以獲取傭金為

目的的、有可能將本協(xié)議產(chǎn)品當作促銷贈品的、以促進其搭售活動目的的及銷售方式有問題

的批發(fā)商、零售商、零售店及貿(mào)易商等。

【章名】十一、會計記錄

被許可方同意建立和保留所有有關本協(xié)議項下交易活動的會計帳本和記錄。許可方或其全權

代表有權在任何合理的時間內(nèi)查詢該會計帳本或記錄及其它所有與交易有關的、在被許可方

控制之下的文件和資料。許可方或其全權代表為上述目的可摘錄其中的內(nèi)容。應許可方的要

求，被許可方應自行承擔費用，將其至許可方提出要求之日止的所有銷售活動情況，包括數(shù)

量、規(guī)格、毛價格和凈價格等以獨立的、公開帳本方式，向被許可方提供一份詳細的會計報

告申明。所有的會計帳本和記錄應保留至本協(xié)議終止兩年之后。

【章名】十二、破產(chǎn)、違約等

1.如果被許可方在達成協(xié)議后3個月內(nèi)未開始生產(chǎn)和銷售一定量的第一節(jié)所述的產(chǎn)品，或

者3個月后的某個月未銷售產(chǎn)品（或類產(chǎn)品），許可方在采取其他補償措施以外，可書面通

知被許可方因其該月未生產(chǎn)銷售協(xié)議產(chǎn)品（或類產(chǎn)品）而終止合同。通知自許可方寄出之日

起生效。

2.如果被許可方提出破產(chǎn)陳訴，或被判破產(chǎn)，或?qū)Ρ辉S可方提起破產(chǎn)訴狀，或被許可方無

償還能力，或被許可方為其債權人的利益而轉(zhuǎn)讓，或依照破產(chǎn)法做出安排，或被許可方停止

經(jīng)營，或有人接收其經(jīng)營，則此許可合同自動終止。除非得到許可方書面表示的同意意見，

被許可方、其接收者、代表、受托人、代理人、管理人、繼承人或被轉(zhuǎn)讓人無權出售、利用

或以任何方式經(jīng)營協(xié)議產(chǎn)品，或相關的紙箱、集裝箱、包裝材料、廣告、促銷和陳列材料。

這是必須遵守的。

3.如果被許可方違反了本協(xié)議條款下的義務，許可方在提前10天書面通知后有權終止合

同，除非被許可方在10天內(nèi)對其違約行為做出全部補償，令許可方滿意。

4.根據(jù)第十二條所述條款，終止許可合同將不影響許可方對被許可方擁有的其他權利。當

協(xié)議終止時，基于銷售額的使用費即刻到期需馬上支付，不能缺交最低限度使用費，且最低

限度使用費將不返還。

【章名】十三、競爭產(chǎn)品

如果協(xié)議第一節(jié)所述的產(chǎn)品與目前、今后生產(chǎn)的使用該商標的產(chǎn)品，或其下屬、附屬機構生

產(chǎn)的使用該商標的產(chǎn)品相矛盾，許可方有權終止協(xié)議。許可方書面通知被許可方后3。天此

通知生效。根據(jù)第十五條的條款，被許可方在協(xié)議終止后有60天時間來處理手中的協(xié)議產(chǎn)

品和在接到終止協(xié)議通知前正在生產(chǎn)的產(chǎn)品。然而，如果在60天期間，對協(xié)議產(chǎn)品的終止

有效，被許可方應繳納的實際使用費少于當年的預付保證金，許可方將把簽約當年已付的預

付保證金與實際使用費之訶的差額退還給被許可方。上句所述的退還條款僅適用于第十三條

規(guī)定的協(xié)議終止情況，而不影響除表述相矛盾的條款外其它所有條款的適用性。

【章名】十四、最后報告

在協(xié)議期滿前60天內(nèi)，或收到終止通知的10天以內(nèi)，或是在無需通知的協(xié)議終止情況下

10天以內(nèi)，被許可方應向許可方出具一份報告以說明手中的和正在加工中的協(xié)議產(chǎn)品的數(shù)

量和種類。許可方有權進行實地盤存以確認存貨情況和報告的準確。若被許可方拒絕許可方

的核查，將失去處理存貨的權利。許可方保留其擁有的其他法律權利。

【章名】十五、存貨處理

協(xié)議根據(jù)第I二條的條款終止后，在被許可方已支付預付款和使用費，并口按第二條要求提

供報告的情況下，如協(xié)議中無另外規(guī)定，被許可方可以在收到終止協(xié)議通知后60天內(nèi)處理

其手中的和正在加工中的協(xié)議產(chǎn)品。合同到期后，或因被許可方未在產(chǎn)品，或其包裝紙箱、

集裝箱、包裝材料和廣告、促銷、展示材料上加貼版權、商標和服務標志注冊標簽，或因被

許可方生產(chǎn)的產(chǎn)品的質(zhì)量、式樣不符合第七條所述許可方的要求，而導致協(xié)議終止，被許可

方不得再生產(chǎn)、出售、處理任何協(xié)議產(chǎn)品。

【章名】卜六、協(xié)議終止或期滿的效果

協(xié)議終止或期滿后，授與被許可方的一切權利即刻返還許可方。許可方可自由地向他人轉(zhuǎn)讓

在生產(chǎn)、出售、分銷協(xié)議產(chǎn)品過程中使用該商標的權利。被許可方不得再使用該商標，或直

接、間接地涉及該商標。除第十五條所述的情況外，被許可方不得在制造、出售、分銷其自

己的產(chǎn)品時使用類似的商標。

【章名】十七、對許可方的補償

1.被許可方認識到（除另有規(guī)定外），如果其在協(xié)議生效后3個月內(nèi)未開始生產(chǎn)、分銷一

定量的協(xié)議產(chǎn)品，或在協(xié)議期內(nèi)未能持續(xù)地生產(chǎn)、分銷、出售協(xié)議產(chǎn)品，將立即導致許可方

的損失。

2.被許可方認識到（除另有規(guī)定外），如果在協(xié)議終止或期滿后，未能停止生產(chǎn)、出售、

分銷協(xié)議產(chǎn)品，將導致許可方不可彌補的損失，并損害后繼被許可方的權利。被許可方認識

到，對此沒有恰當?shù)姆裳a償。被許可方同意在此情況下，許可方有權獲得衡平法上的救濟,

對被許可方實施暫時或永久禁令，或?qū)嵤┢渌ㄍフJ為公正、恰當?shù)牟脹Q。

3.實施這些補償措施，不影響許可方在協(xié)議中規(guī)定享有的其他權利和補償。

【章名】十八、無法執(zhí)行協(xié)議的原因

若由于政府法規(guī)的變化，或因國家緊急狀態(tài)、戰(zhàn)爭狀態(tài)和其他無法控制的原因，?方無法執(zhí)

行協(xié)議，書面通知對方原因和希望解除協(xié)議的意愿，則被許可方將被免除協(xié)議下的義務，本

協(xié)議將終止，而基于銷售額的使用費將立即到期應付，最低限度使用費將不會返還。

【章名】十九、通知

除非有更改地址的書面通知，所有的通知、報告、聲明及款項均應寄至協(xié)議記載的雙方正式

地址。郵寄口視作通知、報告等發(fā)出之口。

【章名】二十、不允許合資企業(yè)

根據(jù)本協(xié)議，雙方不應組成合伙人關系或合資企'Ik被許可方無權要求或限制許可方的行為。

【章名】二十一、被許可方不得再行轉(zhuǎn)讓、許可

本協(xié)議和協(xié)議下被許可方的權利、義務，未經(jīng)許可方書面同意，不得轉(zhuǎn)讓、抵押、再許可，

不因法律的實施或被許可方的原因而受到阻礙。

許可方可以進行轉(zhuǎn)讓，但需向被許可方提供書面通知。

【章名】二十二、無免責

除非有雙方簽字的書面契約，本協(xié)議的任何條款不得被放棄或修改。本協(xié)儀以外的陳還、允

諾、保證、契約或許諾都不能代表雙方全部的共識。任一方不行使或延誤行使其協(xié)議下的權

利，將不被視作對協(xié)議權利的放棄或修改。任一方可在適用法律允許的時間內(nèi)采取恰當?shù)姆?/p>

律程序強制行使權利。除了如第六條和第十二條的規(guī)定，被許可方和許可方以外的任何人、

公司、集團（無論是否涉及該商標），都不因本協(xié)議而獲得任何權利。

(b)MinimumRoyalties

LicenseeagreestopaytoLicensoraminimumroyaltyof

(a)NothinginthisagreementshallbeconstruedtopreventLicensor

asprovidedhereinitwillgrantnootherlicensesfortheterritoryto

whichthislicenseextendseffectiveduringthetermofthisagreement,

fortheuseoftheNameinconnectionwiththesaleofthearticles

describedinparagraph1.

(b)ItisagreedthatifLicensorshouldconveyanoffertoLicensee

topurchaseanyofthearticleslistedinparagraph1,inconnectionwith

apremium,giveawayorotherpromotionalarrangement,Licenseeshallhave

_______dayswithinwhichtoacceptorrejectsuchanoffer.Intheevent

thatLicenseefailstoacceptsuchofferwithinthespecified_______

days,Licensorshallhavetherighttoenterintotheproposedpremium,

Licenseeagreesthatitshallnot,withoutthepriorwrittenconsentof

Licensor,(i)offerthearticlesasapremiuminconnectionwithanyother

productorservice,or(ii)sellordistributethearticlesinconnection

withanotherproductorservicewhichproductorserviceisapremium.

theName,andacknowledgesthattheNameandallrightsthereinandgood

(a)Licenseeagreesthatitwillnotduringthetermofthis

agreement,orthereafter,attackthetitleoranyrightsofLicensorin

andtotheNameorattackthevalidityofthislicense.Licensorhereby

indemnifiesLicenseeandundertakestoholditharmlessagainstanyclaims

orsuitsarisingsolelyoutoftheusebyLicenseeoftheNameas

authorizedinthisagreement,providedthatpromptnoticeisgivento

Licensorofanysuchclaimorsuitandprovided,further,thatLicensor

shallhavetheoptiontoundertakeandconductthedefenseofanysuitso

broughtandnosettlementofanysuchclaimorsuitismadewithoutthe

priorwrittenconsentofLicensor.

(b)LicenseeagreestoassistLicensortotheextentnecessaryinthe

procurementofanyprotectionortoprotectanyofLicensor"srightsto

theName,andLicensor,ifitsodesiresmaycommenceorprosecuteany

claimsorsuitsinitsov/nnameorinthenameoflicenseeorjoin

Licenseeasapartythereto.LicenseeshallnotifyLicensorinwritingof

anyinfringementsorimitationsbyothersintheNameonarticlesthesame

asorsimilartothosecoveredbythisagreementwhichmaycometo

Licensee"sattention,andLicensorshallhavethesolerighttodetermine

whetherornotanyactionshallbetakenonaccountofanysuch

infringementsorimitations.Licenseeshallnotinstituteanysuitortake

anyactiononaccountofanysuchinfringementsorimitationswithout

firstobtainingthewrittenconsentoftheLicensorsotodo.

LicenseeherebyindemnifiesLicensorandundertakestodefendLicensee

and/orLicensoragainstandholdLicensorharmlessfromanyclaims,suits,

lossanddamagearisingoutofanyallegedlyunauthorizeduseofany

trademark,patent,process,idea,methodordevicebyLicenseein

connectionwiththearticlescoveredbythisagreementoranyother

allegedactionbyLicenseeandalsofromanyclaims,suits,lossand

damagearisingoutofallegeddefectsinthearticles.Licenseeagrees

thatitwillobtain,atitsownexpense,productliabilityinsurancefrom

arecognizedinsurancecompanywhichhasqualifiedtodobusinessin

____________,providingadequateprotection(atleastintheamountof

_______)forLicensor(aswellforLicensee)againstanyclaims,suits,

lossordamagearisingoutofanyallegeddefectsinthearticles.As

proofofsuchinsurance,afullypaidcertificateofinsurancenaming

LicensorasaninsuredpartywillbesubmittedtoLicensorbyLicenseefor

Licensor"spriorapprovalbeforeanyarticleisdistributedorsold,and

atthelatestwithin______daysafterthedatefirstwrittenabove;any

proposedchangeincertificatesofinsuranceshallbesubmittedto

Licensorforitspriorapproval.Licensorshallbeentitledtoacopyof

thethenprevailingcertificateofinsurance,whichshallbefurnished

LicensorbyLicensee.AsUsedinthefirst2sentencesofthisparagraph

6,"Licensor"shallalsoincludetheofficers,directors,agents,and

employeesoftheLicensor,oranyofitssubsidiariesoraffiliates,any

person(s)theuseofwhosenamemaybelicensedhereunder,thepackage

producerandthecastoftheradioand/ortelevisionprogramwhosename

maybelicensedhereunder,thestationsoverwhichtheprogramsare

transmitted,anysponsorofsaidprogramsanditsadvertisingagency,and

theirrespectiveofficers,directors,agentsandemoloyees.

Licenseeagreesthatthearticlescoveredbythisagreementshallbe

ofhighstandardandofsuchstyle,appearanceandqualityastobe

adequateandsuitedtotheirexploitationtothebestadvantageandtothe

protectionandenhancementoftheNameandthegoodwillpertaining

thereto,thatsucharticleswillbemanufactured,soldanddistributedin

accordancewithallapplicableFederal,Stateandlocallaws,andthatthe

sameshallnotreflectadverselyuponthegoodnameofLicensororanyof

itsprogramsortheName.TothisendLicenseeshall,beforesellingor

distributinganyofthearticles,furnishtoLicensorfreeofcost,for

itswrittenapproval,areasonablenumberofsamplesofeacharticle,its

cartons,containersandpackingandwrappin

gmaterial.Thequalityand

styleofsucharticlesaswellasofanycarton,containerorpackingor

wrappingmaterialshallbesubjecttotheapprovalofLicensor.Anyitem

submittedtoLicensorshallnotbedeemedapprovedunlessanduntilthe

sameshallbeapprovedbyLicensorinwriting.A代ersampleshavebeen

approvedpursuanttothisparagraph,Licenseeshallnotdeparttherefrom

inanymaterialrespectwithoutLicensor"spriorwrittenconsent,and

Licenseehereunder,togetherwithanycartons,containersandpackingand

wrappingmaterialusedinconnectiontherewith.

articlesoldbyitunderthislicenseandonorwithinalladvertising,

promotionalordisplaymaterialbearingtheNamethenotice"Copyright(c)

____________(year)"inconnectionwithNameproperties(e)and(f)in

Rider,paragraph1,andanyothernoticedesiredbyLicensorand,where

sucharticleoradvertising,promotionalordisplaymaterialbearsa

trademarkorservicemark,appropriatestatutorynoticeofregistrationor

applicationforregistrationthereof.Intheeventthatanyarticleis

marketedinacarton,containerand/orpackingorwrappingmaterial

bearingtheName,suchnoticeshallalsoappearuponthesaidcarton,

containerand/orpackingorwrappingmaterial.Eachandeverytag,label,

imprintorotherdevicecontaininganysuchnoticeandalladvertising,

promotionalordisplaymaterialbearingtheNameshallbesubmittedby

LicensorforitswrittenapprovalpriortousebyLicensee.Approvalby

LicensorshallnotconstitutewaiverofLicensor"srightsorLicensee'"

dutiesunderanyprovisionofthisagreement.

(b)LicenseeagreestocooperatefullyandingoodfaithwithLicensor

forthepurposeofsecuringandpreservingLicensor"s(oranygrantorof

Licensor"s)rightsinandtotheName.Intheeventtherehasbeenno

previousregistrationoftheNameand/orarticlesand/oranymaterial

relatingthereto,Licenseeshall,atLicensor"srequestandexpense,

registersuchacopyright,trademarkand/orservicemarkinthe

appropriateclassinthenameofLicensoror,ifLicensorsorequests,in

Licensee"sownname.However,itisagreedthatnothingcontainedinthis

agreementshallbeconstruedasanassignmentorgranttotheLicenseeof

anyright,titleorinterestinortotheName,itbeingunderstoodthat

allrightsrelatingtheretoarereservedbyLicensor,exceptforthe

licensehereundertoLicenseeoftherighttouseandutilizetheName

onlyasspecificallyandexpresslyprovidedinthisagreement.Licensee

herebyagreesthatattheterminationorexpirationofthisagreement

Licenseewillbedeemedtohaveassigned,transferredandconveyedto

Licensoranyrights,equities,goodwill,titlesorotherrightsinandto

theNamewhichmayhavebeenobtainedbyLicenseeorwhichmayhavevested

inLicenseeinpursuanceofanyendeavorscoveredhereby,andthat

LicenseewillexecuteanyinstrumentsrequestedbyLicensortoaccomplish

orconfirmtheforegoing.Anysuchassignment,transferorconveyance

shallbewithoutotherconsiderationthanthemutualcovenantsand

considerationsofthisagreement.

(c)Licenseeherebyagreesthatitseveryuseofsuchnameshallinure

tothebenefitofLicensorandthatLicenseeshallnotatanytimeacquire

anyrightsinsuchnamebyvirtueofanyuseitmaymakeofsuchname.

(a)InallcaseswhereLicenseedesiresartworkinvolvingarticles

whicharethesubjectofthislicensetobeexecuted,thecostofsuch

artworkandthetimefortheproductionthereofshallbeborneby

Licensee.AllartworkanddesignsinvolvingtheName,oranyreproduction

thereof,shall,notwithstandingtheirinventionorusebyLicensee,beand

remainthepropertyofLicensorandLicensorshallbeentitledtousethe

sameandtolicensetheuseofthesamebyothers.

(b)Licensorshallhavetheright,butshallnotbeunderany

obligation,tousetheNameand/orthenameofLicenseesoastogivethe

Name,Licensee,Licensorand/orLicensor"sprogramsfullandfavorable

prominenceandpublicity.Licensorshallnotbeunderanyobligation

whatsoevertocontinuebroadcastinganyradioortelevisionprogramoruse

theNameoranyperson,character,symbol,designorlikenessorvisual

representationthereofinanyradioortelevisionprogram.

(c)Licenseeagreesnottoofferforsaleoradvertiseorpublicize

anyofthearticleslicensedhereunderonradioortelevisionwithoutthe

priorwrittenapprovalofLicensor,whichapprovalLicensormaygrantor

withholdinitsunfettereddiscretion.

(a)Licenseeagreesthatduringthetermofthislicenseitwill

diligentlyandcontinuouslymanufacture,distributeandsellthearticles

coveredbythisagreementandthatitwillmakeandmaintainadequate

arrangementforthedistributionofthearticles.

(b)Licenseeshallnot,withoutpriorwrittenconsentofLicensor,

sellordistributesucharticlestojobbers,wholesalers,distributors,

retailstoresormerchantswhosesalesordistributionareorwillbemade

forpublicityorpromotionaltie-inpurposes,combinationsales,premiums,

giveaways,orsimilarmethodsofmerchandising,orwhosebusinessmethods

arequestionable.

(c)LicenseeagreestoselltoLicensorsuchquantitiesofthe

articlesataslowarateandonasgoodtermsasLicenseesellssimilar

quantitiesofthearticlestothegeneraltrade.

Licenseeagreestokeepaccuratebooksofaccountandrecordscovering

alltransactionsrelatingtothelicenseherebygranted,andLicensorand

itsdulyauthorizedrepresentativesshallhavetherightatallreasonable

hoursofthedaytoanexaminationofsaidbooksofaccountandrecords

andofallotherdocumentsandmaterialsinthepossessionorunderthe

controlofLicenseewithrespecttothesubjectmatterandtermsofthis

agreement,andshallhavefreeandfullaccesstheretoforsaidpurposes

andforthepurposeofmakingextractstherefrom.UpondemandofLicensor,

LicenseeshallatitsownexpensefurnishtoLicensoradetailedstatement

byanindependentcertifiedpublicaccountantshowingthenumber,

description,grosssalesprice,itemizeddeductionsfromgrosssalesprice

andnetsalepriceofthearticlescoveredbythisagreementdistributed

and/orsoldbyLicenseetothedateofLicensor"sdemand.Allbooksof

accountandrecordsshallbekeptavailableforatleast__________years

aftertheterminationofthislicense.

(a)IfLicenseeshallnothavecommencedingoodfaithtomanufacture

anddistributeinsubstantialquantitiesallthearticleslistedin

paragraph1within________monthsafterthedateofthisagreementorif

atanytimethereafterinanycalendarmonthLicenseefailstosellanyof

thearticles(oranyclassorcategoryofthearticles),Licensorin

additiontoallotherremediesavailabletoithereundermayterminate

thislicensewithrespecttoanyarticlesorclassorcategorythereof

whichhavenotbeenmanufacturedanddistributedduringsuchmonth,by

givingwrittennoticeofterminationtoLicensee.Suchnoticeshallbe

effectivewhenmailedbyLicensor.

(b)IfLicenseefilesapetitioninbankruptcyorisadjudicateda

bankruptorifapetitioninbankruptcyisfiledagainstLicenseeorifit

becomesinsolvent,ormakesanassignmentforthebenefitofitscreditors

oranarrangementpursuanttoanybankruptcylaw,orifLicensee

discontinuesitsbusinessorifareceiverisappointedforitorits

business,thelicenseherebygrantedshallautomaticallyterminate

forthwithwithoutanynoticewhatsoeverbeing
