NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,theBuyerandtheSellerherebyagreeasfollows:

1.SubjectMatteroftheContract

TheBuyershallpurchase,andtheSellershallsupply,thefollowinggoods(hereinafterreferredtoas"theGoods")specifiedintheattachedListofGoods(hereinafterreferredtoas"theListofGoods")inaccordancewiththeprovisionsofthisContract.

2.QualityandSpecifications

TheGoodsshallbeinconformitywiththequalityandspecificationssetforthintheListofGoods.TheBuyerreservestherighttorequesttheSellertoproviderelevantqualityandsafetycertificatesfortheGoods.

3.Quantity

ThetotalquantityoftheGoodstobepurchasedandsuppliedunderthisContractshallbe[Quantity].Anyvariationinthequantityshallbeagreeduponbybothpartiesinwriting.

4.PriceandPaymentTerms

ThepriceoftheGoodsshallbe[Price]perunit,asspecifiedintheListofGoods.Thetotalcontractpriceshallbe[TotalContractPrice].Thepaymenttermsshallbeasfollows:

(a)UponthedeliveryoftheGoods,theBuyershallpay[Percentage]ofthetotalcontractpricetotheSellerasadownpayment.

(b)ThebalanceofthetotalcontractpriceshallbepaidtotheSellerupontheBuyer'sconfirmationofthereceiptandacceptanceoftheGoods.

(c)Thepaymentshallbemadein[Currency]by[PaymentMethod].

5.Delivery

TheSellershalldelivertheGoodstotheBuyeratthefollowingdeliveryaddress:[DeliveryAddress].Thedeliveryperiodshallbe[DeliveryPeriod],commencingfromthedateofthisContract.

6.InspectionandAcceptance

TheBuyershallinspecttheGoodsupondelivery.Ifanydefectordiscrepancyisfound,theBuyershallinformtheSellerinwritingwithin[InspectionPeriod]afterdelivery.TheSellershallrectifythedefectsordiscrepanciesatitsownexpense.

7.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,floods,fires,andgovernmentregulations.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlynegotiation.Ifthenegotiationfails,thedisputesshallbesubmittedtothecompetentcourtof[Country]forarbitration.

9.EntireAgreement

ThisContractconstitutestheentireagreementbetweentheBuyerandtheSellerandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.

INWITNESSWHEREOF,theBuyerandtheSellerhaveexecutedthisContractasofthedatefirstabovewritten.

2.ThirdParty'sResponsibilitiesandRights

2.1TheThirdPartyshallactastheBuyer'spurchasingagentandshallhavetherighttonegotiateandagreeonthetermsandconditionsofthepurchasewiththeSeller.

2.2TheThirdPartyshallhavetherighttoreceivetheGoodsonbehalfoftheBuyerandtoinspectandaccepttheGoods.

2.3TheThirdPartyshallhavetherighttooverseethedeliveryprocessandensurethattheGoodsaredeliveredinaccordancewiththeContract.

2.4TheThirdPartyshallhavetherighttoclaimdamagesorseekcompensationfromtheSellerintheeventofanybreachoftheContract.

3.Buyer'sResponsibilitiesandRights

3.1TheBuyershallhavetherighttoapproveorrejectthetermsandconditionsproposedbytheThirdPartyandtheSeller.

3.2TheBuyershallhavetherighttoinspectandaccepttheGoodsupondelivery,andtorequesttheSellertorectifyanydefectsordiscrepancies.

3.4TheBuyershallhavetherighttoreceivefullcompensationforanylossesincurredasaresultoftheSeller'sortheThirdParty'sbreachoftheContract.

4.Seller'sResponsibilitiesandRights

4.1TheSellershallhavetheobligationtosupplytheGoodsinaccordancewiththequality,specifications,andquantitiesspecifiedintheListofGoods.

4.2TheSellershallhavetherighttoreceivepaymentfortheGoodsinaccordancewiththeagreedpaymentterms.

4.3TheSellershallhavetherighttoclaimdamagesorseekcompensationfromtheBuyerintheeventofabreachbytheBuyer.

5.Seller's違約及限制條款

5.1IftheSellerfailstodelivertheGoodsontime,theBuyershallhavetherighttoclaimdamagesorseekarefundofthedownpayment.

8.SignificanceandPurposeofThirdParty'sInvolvement

TheinvolvementoftheThirdPartyinthisContractservestoenhancetheBuyer'spurchasingpowerandensuretheefficiencyoftheprocurementprocess.TheThirdParty'sexpertiseandresourcescontributetotheBuyer'sstrategicadvantageinthemarket.

9.PurposeandSignificanceofBuyer'sDominance

TheBuyer'sdominanceinthisContractistosafeguarditsinterestsandensurethetimely,quality,andcost-effectivesupplyofGoods.Bymaintainingcontrolovertheprocurementprocess,theBuyercanmitigaterisksandoptimizeitssupplychainmanagement.

INWITNESSWHEREOF,theBuyer,theSeller,andtheThirdPartyhaveexecutedthisContractasofthedatefirstabovewritten.

3.Seller'sResponsibilitiesandRights

4.Seller'sRightsandInterests

4.1TheSellershallhavetherighttoreceivefullpaymentfortheGoodsupondelivery,unlessotherwiseagreed.

4.2TheSellershallhavetherighttoreceiveinterestonanypaymentthatisdelayedbeyondtheagreedterms.

4.3TheSellershallhavetherighttoclaimdamagesfromtheBuyerforanylossesincurredduetotheBuyer'sbreachoftheContract.

5.Buyer's違約及限制條款
