2.1TheEmployeeshallperformtheDutieswithduecare,skill,anddiligenceandinaccordancewiththeEmployer'sestablishedstandardsandpolicies.

2.2TheEmployeeshallcomplywithallapplicablelaws,regulations,anddirectivesoftheEmployer,aswellastheprovisionsofthisAgreement.

3.TERMOFEMPLOYMENT

3.1ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueuntil[EndDate](the"EmploymentTerm").

3.2ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,providedthatsuchnoticeisgivenatleast[NoticePeriod]dayspriortotheterminationdate.

4.COMPENSATIONANDBENEFITS

5.CONFIDENTIALITY

5.2TheEmployeeshallnot,duringoraftertheEmploymentTerm,discloseoruseanyconfidentialinformationforanypurposeotherthantheperformanceoftheDutiesortheEmployer'sbenefit.

6.NON-COMPETITION

6.1DuringtheEmploymentTermandforaperiodof[Non-CompetePeriod]followingtheterminationoftheEmploymentTerm,theEmployeeagreesnottoengageinanybusinessoremploymentthatcompeteswiththeEmployer'sbusiness.

6.2TheEmployeeacknowledgesthattheEmployer'sbusinessishighlycompetitive,andtherestrictionscontainedinthisSection6arenecessarytoprotecttheEmployer'slegitimatebusinessinterests.

7.NON-SOLICITATION

7.1DuringtheEmploymentTermandforaperiodof[Non-SolicitationPeriod]followingtheterminationoftheEmploymentTerm,theEmployeeagreesnottosolicitorattempttosolicitanyoftheEmployer'scustomers,clients,orsuppliers.

7.2TheEmployeeacknowledgesthattheEmployerhasinvestedconsiderabletimeandresourcesindevelopingitscustomerbase,andtherestrictionscontainedinthisSection7arenecessarytoprotecttheEmployer'slegitimatebusinessinterests.

8.TERMINATIONOFEMPLOYMENT

8.1ThisAgreementmaybeterminatedbyeitherPartyupontheoccurrenceofanyofthefollowingevents:

a.BreachofanymaterialtermorconditionofthisAgreementbytheotherParty;

b.TheEmployee'sfailuretoperformtheDutieswithduecare,skill,anddiligence;

c.TheEmployee'sviolationofanyapplicablelaws,regulations,ordirectivesoftheEmployer;

d.TheEmployer'sdissolution,liquidation,orbankruptcy.

8.2UponterminationoftheEmploymentTerm,theEmployeeshallbeentitledtoreceiveanyaccruedbutunpaidcompensationandbenefitsdueandowingtotheEmployeeunderthisAgreement.

9.GENERALPROVISIONS

9.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,andrepresentations,whetheroralorwritten.

9.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbybothParties.

9.3IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

9.4ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[Jurisdiction].

11.GENERALPROVISIONS

11.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,andrepresentations,whetheroralorwritten.

11.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbyallParties.

11.3IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.
