1.SaleandPurchase.TheSellerherebyagreestosell,transfer,andconveytotheBuyer,andtheBuyerherebyagreestopurchase,take,andreceive,theProperty,subjecttothetermsandconditionssetforthinthisAgreement.
2.SalePrice.ThesalepriceoftheProperty(the"SalePrice")shallbe[AmountinCurrency].TheBuyershallpaytheSalePricetotheSelleronorbefore[Date].
3.Closing.TheclosingofthisAgreement(the"Closing")shalltakeplaceonorbefore[Date]at[Location],oratsuchotherplaceasmaybemutuallyagreeduponbytheparties.
4.ClosingCosts.AllcostsandexpensesassociatedwiththeClosing,includingbutnotlimitedtotitleinsurance,escrowfees,andattorney'sfees,shallbebornebythe[PartyResponsibleforCosts].
5.WarrantyofTitle.TheSellerwarrantsthatithasgoodandmarketabletitletotheProperty,freeandclearofallliens,encumbrances,andadverseclaims,andthattheSellershallatalltimesduringthetermofthisAgreementholdandmaintainsuchtitleingoodstanding.
6.Possession.UpontheClosing,theBuyershallhavetherighttopossessionoftheProperty,subjecttothetermsandconditionsofthisAgreement.
7.ConditionoftheProperty.ThePropertyissold"asis"and"whereis,"andtheSellermakesnorepresentationsorwarranties,expressorimplied,regardingthecondition,quality,orsuitabilityoftheProperty.
8.Indemnification.TheSellershallindemnifyandholdharmlesstheBuyer,itssuccessors,andassigns,fromandagainstanyandallclaims,actions,suits,demands,liabilities,obligations,andcosts,including,butnotlimitedto,attorney'sfeesandcourtcosts,arisingoutoforresultingfromtheSeller'sbreachofanyofthewarrantiesorrepresentationscontainedinthisAgreement.
9.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
10.EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,betweentheparties.

6.Buyer'sRightsandObligations:
