第二條質(zhì)量要求

Article2:QualityRequirements

2.1甲方保證所提供的產(chǎn)品符合國(guó)家質(zhì)量標(biāo)準(zhǔn)GB/T________-________，并滿(mǎn)足乙方提出的特定要求。

第三條包裝要求

Article3:PackagingRequirements

3.1甲方應(yīng)按照乙方的要求對(duì)產(chǎn)品進(jìn)行包裝，確保產(chǎn)品在運(yùn)輸過(guò)程中的安全。

PartyAshallpackagetheproductsaccordingtotherequirementsofPartyBtoensurethesafetyoftheproductsduringtransportation.

3.2包裝費(fèi)用由甲方承擔(dān)，除非雙方另有約定。

ThepackagingcostsshallbebornebyPartyAunlessotherwiseagreedbybothparties.

第四條運(yùn)輸與交付

Article4:TransportationandDelivery

4.1甲方負(fù)責(zé)將產(chǎn)品運(yùn)輸至雙方約定的交貨地點(diǎn)，并承擔(dān)運(yùn)輸過(guò)程中的風(fēng)險(xiǎn)。

PartyAisresponsiblefortransportingtheproductstotheagreeddeliverylocationandbearstherisksduringtransportation.

4.2交貨時(shí)，甲方應(yīng)提供貨物清單和相關(guān)質(zhì)量證明文件。

4.3乙方應(yīng)在收到貨物后________小時(shí)內(nèi)簽收確認(rèn)。

第五條付款方式

Article5:PaymentTerms

第六條違約責(zé)任

Article6:LiabilityforBreachofContract

6.1如甲方未能按時(shí)交付產(chǎn)品，應(yīng)按延遲交貨部分貨款的________%向乙方支付違約金。

IfPartyAfailstodelivertheproductsontime,itshallpayapenaltytoPartyBattherateof________%ofthedelayeddeliverypartofthegoods.

6.2如乙方未能按時(shí)支付貨款，應(yīng)按逾期支付部分貨款的________%向甲方支付違約金。

6.3違約方應(yīng)賠償守約方因此遭受的所有損失，包括但不限于直接損失、間接損失和合理的律師費(fèi)用。

Thebreachingpartyshallcompensatethenon-breachingpartyforalllossessuffered,includingbutnotlimitedtodirectlosses,indirectlosses,andreasonableattorney'sfees.

第七條不可抗力

Article7:ForceMajeure

7.1由于不可抗力導(dǎo)致任何一方無(wú)法履行合同義務(wù)時(shí)，該方應(yīng)立即通知對(duì)方，并在合理期限內(nèi)提供相關(guān)證明。

Ifanypartyisunabletoperformitscontractualobligationsduetoforcemajeure,itshallimmediatelynotifytheotherpartyandproviderelevantproofwithinareasonableperiod.

7.2雙方應(yīng)盡快協(xié)商解決因不可抗力導(dǎo)致的合同履行問(wèn)題。

Bothpartiesshallnegotiateassoonaspossibletoresolvetheissuesarisingfromtheperformanceofthecontractduetoforcemajeure.

第八條爭(zhēng)議解決

Article8:DisputeResolution

8.1雙方因履行本合同所發(fā)生的任何爭(zhēng)議，應(yīng)首先通過(guò)友好協(xié)商解決。

Anydisputesarisingfromtheperformanceofthiscontractbybothpartiesshouldfirstberesolvedthroughfriendlynegotiations.

8.2如果協(xié)商不成，任何一方均可向甲方所在地人民法院提起訴訟。

Ifthenegotiationfails,eitherpartymayfilealawsuitwiththePeople'sCourtatthelocationofPartyA.

第九條合同變更和解除

Article9:ContractModificationandTermination

9.1任何對(duì)本合同的修改和補(bǔ)充均需雙方書(shū)面同意。

Anymodificationandsupplementtothiscontractshallrequirethewrittenconsentofbothparties.

9.2如一方嚴(yán)重違約，另一方有權(quán)解除合同，并要求違約方承擔(dān)相應(yīng)的違約責(zé)任。

Ifonepartyseriouslybreachesthecontract,theotherpartyhastherighttoterminatethecontractanddemandthebreachingpartytobearthecorrespondingliabilityforbreachofcontract.

第十條其他

Article10:Miscellaneous

10.1本合同自雙方授權(quán)代表簽字蓋章之日起生效。

Thiscontractshallcomeintoeffectfromthedatewhenitissignedandsealedbytheauthorizedrepresentativesofbothparties.

10.2本合同一式兩份，甲乙雙方各執(zhí)一份，具有同等法律效力。

Thiscontractismadeintwocopies,oneforeachparty,andbothhavethesamelegaleffect.

10.3本合同的解釋、補(bǔ)充、修改均以書(shū)面形式進(jìn)行。

Theinterpretation,supplement,andmodificationofthiscontractshallbecarriedoutinwrittenform.
