PurchaseAgreement

ThisPurchaseAgreement(the"Agreement")isenteredintoasof[Date],byandbetween[Seller'sLegalName],a[Seller'sStateofIncorporation]corporationwithitsprincipalplaceofbusinessat[Seller'sAddress]("Seller"),and[Buyer'sLegalName],a[Buyer'sStateofIncorporation]corporationwithitsprincipalplaceofbusinessat[Buyer'sAddress]("Buyer").

WHEREAS,SellerdesirestosellandBuyerdesirestopurchasethegoodsdescribedinExhibitAattachedheretoandmadeaparthereof(the"Goods"),uponthetermsandconditionssetforthinthisAgreement.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedinthisAgreement,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.SaleofGoods

1.1SelleragreestosellandBuyeragreestopurchasetheGoodsinaccordancewiththetermsandconditionsofthisAgreement.

1.2Thequantity,description,andpriceoftheGoodsaresetforthinExhibitAattachedheretoandmadeaparthereof.

2.PaymentTerms

2.1BuyershallpaySellerthepurchasepricefortheGoodsasspecifiedinExhibitA(the"PurchasePrice")inaccordancewiththefollowingpaymentschedule:

-[Percentage]%ofthePurchasePriceshallbepaiduponexecutionofthisAgreementasadeposit.

-ThebalanceofthePurchasePriceshallbepaidupondeliveryoftheGoodstoBuyer.

2.2Allpaymentsshallbemadein[Currency]andshallbepaidby[MethodofPayment]tothebankaccountspecifiedbySeller.

2.3Ifanypaymentisnotmadewhendue,Buyershallpayinterestontheoverdueamountattherateof[InterestRate]%perannumorthemaximumratepermittedbylaw,whicheverisless,fromthedatedueuntilthedatepaid.

3.DeliveryofGoods

3.1SellershalldelivertheGoodstoBuyeratthelocationspecifiedinExhibitA(the"DeliveryLocation")within[Number]daysafterreceiptofthedeposit.

3.2DeliveryoftheGoodsshallbedeemedcompleteuponplacementoftheGoodsattheDeliveryLocation.

3.3IfSellerisunabletodelivertheGoodswithinthespecifiedtimeduetocircumstancesbeyonditscontrol,includingbutnotlimitedtoactsofGod,war,terrorism,labordisputes,orgovernmentalaction,SellershallnotifyBuyerinwritingassoonaspracticableandthedeliverydateshallbeextendedbyareasonableperiodoftime.

4.InspectionandAcceptance

4.1BuyershallinspecttheGoodswithin[Number]daysafterdeliveryandshallnotifySellerinwritingofanyclaimsfordefectsornon-conformities.

4.2IfBuyerfailstoprovidewrittennoticeofanyclaimswithinthespecifiedtime,theGoodsshallbedeemedacceptedbyBuyer.

5.Warranty

5.1SellerwarrantsthattheGoodsshallbefreefromdefectsinmaterialandworkmanshipforaperiodof[Number]yearsfromthedateofdelivery.

5.2Intheeventofabreachofwarranty,Seller'ssoleobligationandBuyer'sexclusiveremedyshallbe,atSeller'soption,torepairorreplacethedefectiveGoodsortorefundthePurchasePricepaidforthedefectiveGoods.

6.LimitationofLiability

6.1INNOEVENTSHALLSELLERBELIABLEFORANYINCIDENTAL,INDIRECT,SPECIAL,EXEMPLARY,ORCONSEQUENTIALDAMAGESARISINGOUTOFORRELATEDTOTHISAGREEMENT,WHETHERSUCHLIABILITYISBASEDONWARRANTY,CONTRACT,TORT,STRICTLIABILITY,OROTHERWISE.

6.2THETOTALLIABILITYOFSELLERFORALLCLAIMSARISINGOUTOFORRELATEDTOTHISAGREEMENTSHALLNOTEXCEEDTHEPURCHASEPRICE.

7.CompliancewithLaws

7.1Eachpartyshallcomplywithallapplicablelaws,regulations,andordinancesintheperformanceofitsobligationsunderthisAgreement.

7.2Buyershallberesponsibleforobtaininganynecessaryimportorexportlicenses,permits,orapprovalsrequiredforthepurchaseandimportationoftheGoods.

8.Confidentiality

8.1Eachpartyagreestotreatallnon-publicinformationobtainedfromtheotherpartyasconfidentialandtousesuchinformationonlyforthepurposeofperformingitsobligationsunderthisAgreement.

8.2Confidentialinformationshallnotincludeinformationthatis(a)alreadyknowntothereceivingparty,(b)publiclyavailable,(c)rightfullyobtainedfromathirdpartywithoutadutyofconfidentiality,or(d)independentlydevelopedbythereceivingparty.

9.Termination

9.1ThisAgreementmaybeterminatedbyeitherpartyintheeventofamaterialbreachbytheotherparty,providedthattheterminatingpartygiveswrittennoticeofthebreachandthebreachingpartyfailstocurethebreachwithin[Number]daysafterreceiptofsuchnotice.

9.2Upontermination,anypaymentsduetoSellershallbecomeimmediatelydueandpayable,andSellershallhavenofurtherobligationtodelivertheGoods.

10.GoverningLaw

10.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction],withoutregardtoitsconflictoflawsprinciples.

10.2Thepartiesirrevocablysubmittotheexclusivejurisdictionofthecourtslocatedin[Jurisdiction]foranydisputearisingoutoforrelatedtothisAgreement.

11.Assignment

11.1NeitherpartymayassignitsrightsordelegateitsobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.

11.2Anyattemptedassignmentordelegationwithoutsuchconsentshallbevoid.

12.ForceMajeure

12.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbycircumstancesbeyonditsreasonablecontrol.

12.2Thepartyaffectedbysuchcircumstancesshallpromptlynotifytheotherpartyinwritingandusecommerciallyreasonableeffortstoresumeperformanceassoonaspracticable.

13.EntireAgreement

13.1ThisAgreement,includingallexhibitsandattachmentshereto,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

13.2NomodificationoramendmentofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

14.Severability

14.1IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbestruckandtheremainingprovisionsshallbeenforced.

14.2Thepartiesagreetoreplaceanyinvalidorunenforceableprovisionwithavalidandenforceableprovisionthatcarriesouttheintentoftheinvalidorunenforceableprovisiontothegreatestextentpossible.

15.Notices

15.1Allnotices,requests,andothercommunicationshereundershallbeinwritingandshallbedeemedgivenwhenpersonallydelivered,whensentbyconfirmedfacsimile,orwhensentbycertifiedmail,r
