ThisAgreement(hereinafterreferredtoasthe“Agreement”)ismadeandenteredintoon[Date],between[NameofPrincipal],hereinafterreferredtoasthe“Principal”,and[NameofAgent],hereinafterreferredtoasthe“Agent”,bothofwhomarepartieshereto(collectivelyreferredtoasthe“Parties”).

1.Recitals

WHEREAS,thePrincipal,initscapacityasanexporterofgoods,desirestoengagetheAgenttoactonitsbehalfintheexportationofsuchgoods;

WHEREAS,theAgent,initscapacityasanexportagent,desirestoacceptsuchengagementandactonbehalfofthePrincipalintheexportationofthesaidgoods;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thePartiesagreeasfollows:

2.Engagement

2.1TheAgentagreestoactasthePrincipal’sexportagentandtoperformallnecessaryactsandservicesinconnectionwiththeexportationofthePrincipal’sgoods,includingbutnotlimitedto:

a.Identifyingpotentialbuyersandarrangingformeetingsornegotiationswiththem;

b.Facilitatingthepreparationandsubmissionofexportdocumentsandcertificates;

c.Assistinginthenegotiationandexecutionofcontractsandagreementswithbuyers;

d.Coordinatingwithshippingcompaniesandcustomsbrokerstoensuretimelyandefficientshipmentofthegoods;

e.Ensuringcompliancewithallapplicableexportregulations,laws,andregulations;

f.Assistinginresolvinganydisputesthatmayariseduringtheexportprocess.

2.2ThePrincipalagreestoprovidetheAgentwithallnecessaryinformation,documents,anddatarequiredfortheperformanceoftheAgent’sdutiesandresponsibilitiesunderthisAgreement.

3.FeesandCompensation

3.1TheAgentshallbeentitledtoreceiveacommissionof[percentage]%oneachexporttransactionconcludedunderthisAgreement,payableuponthesuccessfulcompletionoftheshipmentandreceiptofpaymentbythePrincipal.

3.2TheAgentshallalsobeentitledtoreceiveafixedfeeof[amount]foreachtransaction,payableuponthecompletionofthetransaction.

4.Confidentiality

4.1ThePartiesagreetomaintaintheconfidentialityofallinformation,includingbutnotlimitedtotechnical,commercial,financial,andotherproprietaryinformation,whichtheymayobtainduringthecourseofthisAgreement.

4.2ThePartiesshallnotdiscloseanysuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.

5.TermandTermination

5.1ThisAgreementshallbeeffectivefromthedateofitsexecutionandshallcontinueinfullforceandeffectforaperiodof[number]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

5.2EitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[number]daysafterreceiptofwrittennoticethereof.

5.3UponterminationofthisAgreement,theAgentshallreturnallconfidentialinformationanddocumentsreceivedfromthePrincipaltothePrincipal.

6.GoverningLawandDisputeResolution

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.2AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheParties.IfthePartiesfailtoreachanamicableresolutionwithin[number]daysofthedisputearising,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

7.Miscellaneous

7.1ThisAgreementconstitutestheentireunderstandingbetweenthePartiesandsupersedesallprioragreements,representations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

7.2Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessmadeinwritingandsignedbybothParties.
