ng.11.2AddressforNoticeTheaddressesforthepurposeofgivingnoticeunderthiscontractareasfollows:forthelessor,[Lessor'sAddress],andforthelessee,[Lessee'sAddress].12.1AttachmentstotheContractThefollowingdocumentsareattachedtoandformanintegralpartofthiscontract:[ListofAttachments].12.2ListofAttachments1.SitePlanoftheLeasedProperty2.FloorPlanoftheLeasedProperty3.EquipmentList4.RentSchedule5.MaintenanceandRepairSchedule6.InsuranceRequirements13.1EffectivenessoftheContract13.2AmendmentsandUpdatesAnyamendmentsorupdatestothiscontractshallbeinwritingandshallbedeemedtobeanintegralpartofthiscontractuponthedateofthelastsignaturebothparties.14.1MiscellaneousProvisionsa.Thiscontractmaynotbeassignedortransferredeitherpartywithoutthepriorwrittenconsentoftheotherparty.b.Thiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,oralorwritten,relatingtothesubjectmatterofthiscontract.c.Ifanyprovisionofthiscontractisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.d.Thefailureofeitherpartytoenforceanyprovisionofthiscontractshallnotbedeemedawaiverofsuchprovisionoroftherighttoenforcethesame.e.Thiscontractshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionwheretheleasedpropertyislocated.第二部分:第三方介入后的修正15.1IntroductionofThirdParties15.1.1DefinitionofThirdPartiesForthepurposesofthiscontract,"thirdparties"shallinclude,butnotbelimitedto,intermediaries,consultants,contractors,suppliers,andanyotherentitiesorindividualsthatarenotpartiestothisagreementbutareinvolvedintheperformanceoftheobligationsunderthiscontract.15.1.2RoleofThirdPartiesThirdpartiesmaybeengagedeitherpartytoassistinthefulfillmentoftheirrespectiveobligationsunderthiscontract.Theirinvolvementmayinclude,butisnotlimitedto,propertymanagement,maintenanceservices,legaladvice,andtechnicalsupport.15.2AdditionalTermsandConditionsforPartiesuponThirdPartyInvolvement15.2.1NotificationUponengagingathirdparty,thepartyshallpromptlynotifytheotherpartyinwriting,providingdetailsofthethirdparty'srole,responsibilities,andanyrelevanttermsofengagement.15.2.2ApprovalTheotherpartyshallhavetherighttoapproveordisapprovetheengagementofathirdpartywithinareasonabletimeframe,nottoexceed14daysfromthereceiptofthenotification.15.2.3LiabilityIntheeventofathirdparty'sbreachoftheirobligationsunderthiscontract,theengagingpartyshallbesolelyresponsibleforanydamagesorlossesincurredtheotherparty.15.3LimitationofLiabilityforThirdParties15.3.1LimitationofLiabilityTheliabilityofthirdpartiesfortheiractionsoromissionsunderthiscontractshallbelimitedtothescopeoftheirengagementandthetermsoftheiragreementwiththeengagingparty.15.3.2IndemnificationTheengagingpartyshallindemnifytheotherpartyagainstanyclaims,damages,orlossesarisingfromtheactsoromissionsofthethirdparty,providedthattheotherpartyhasnotifiedtheengagingpartyofsuchclaimsinatimelymanner.15.4ResponsibilitiesandRightsofThirdParties15.4.1ResponsibilitiesThirdpartiesshallperformtheirdutiesinaccordancewiththetermsoftheirengagementandshalladheretoallapplicablelaws,regulations,andstandards.15.4.2RightsThirdpartiesshallhavetherighttoreceivepaymentfortheirservicesasagreeduponintheirengagementcontracts.15.5DivisionofResponsibilitiesAmongPartiesandThirdParties15.5.1DivisionofResponsibilities15.5.2Communication15.6ThirdPartyAgreement15.6.1RequirementforSeparateAgreementInadditiontothiscontract,aseparateagreementshallbeexecutedbetweentheengagingpartyandthethirdparty,detailingthescopeofwork,paymentterms,andanyotherrelevanttermsandconditions.15.6.2IntegrationwiththisContractThethirdpartyagreementshallbedeemedtobeanintegralpartofthiscontract,andanyprovisionsinthethirdpartyagreementthatconflictwiththiscontractshallberesolvedmutualagreement.15.7TerminationofThirdPartyEngagement15.7.1TerminationEitherPartyEitherpartymayterminatetheengagementofathirdpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleast30dayspriortothedesiredterminationdate.15.7.2TerminationConditionsTheengagementofathirdpartymaybeterminatedeitherpartyifthethirdpartybreachestheirobligationsunderthethirdpartyagreementoriftheirperformanceisunsatisfactory.15.8InsuranceRequirementsforThirdParties15.8.1GeneralLiabilityInsuranceThirdpartiesshallmaintainandprovideproofofgeneralliabilityinsurancewithlimitsofnotlessthan[insertamount]intheeventofanybodilyinjuryorpropertydamageoccurringinconnectionwiththeirperformanceunderthiscontract.15.8.2ProfessionalLiabilityInsuranceIfapplicable,thirdpartiesshallmaintainandprovideproofofprofessionalliabilityinsurancetocoveranyprofessionalservicesprovidedunderthiscontract.15.9CompliancewithLawsandRegulations15.9.1Compliance15.9.2Reporting第三部分:其他補充性說明和解釋說明一:附件列表:1.SitePlanoftheLeasedPropertyDetaileddescriptionoftheleasedproperty'sboundaries,dimensions,andanynotablefeatures.Requiredforclarificationofpropertylinesandunderstandingthelayoutofthefacility.2.FloorPlanoftheLeasedPropertyDetailedlayoutoftheleasedproperty,includingroomdimensions,locationsofdoors,windows,andotherstructuralelements.Essentialf ssTower,[address].5.3ContractPerformanceMethodThelesseeshallpaytherentandotherfeesinaccordancewiththepaymentscheduleattachedtothisagreement.Thelessorshallprovidethelesseewithareceiptforeachpaymentmade.6.EffectivenessandTerminationoftheContract6.1EffectiveConditions6.2TerminationConditionsThecontractmaybeterminatedunderthefollowingcircumstances:Bymutualagreementofbothparties.Intheeventofabreachofcontracteitherparty.Duetoforcemajeureeventsbeyondthecontrolofbothparties.6.3TerminationProcedureIntheeventoftermination,thepartiesshallnegotiateandreachanagreementonthemanneroftermination,includingthereturnoftheindustrialbuildingandthesettlementofanyoutstandingdebts.6.4TerminationConsequencesUponterminationofthisagreement,thelesseeshallreturntheindustrialbuildingtothelessoringoodcondition,andthelessorshallrefundanyadvancerentpaidthelessee.7.FeesandPayment7.1CompositionofFeesBaseRent:[amount]permonth.AdditionalRent:[amount]forutilitiesandmaintenance,tobepaidquarterly.Deposit:[amount]tobepaiduponsigningthisagreement,refundableuponterminationoftheleaseandreturnoftheindustrialbuildingingoodcondition.7.2PaymentMethodPaymentshallbemadethroughthefollowingmethods:BankTransfer:Thelesseeshalltransfertherentandotherfeestothelessor'sdesignatedbankaccount.Cash:Paymentmaybemadeincashuponprioragreementbetweentheparties.7.3PaymentTimeTherentandotherfeesshallbepaidinadvanceonthefirstdayofeachmonth.Intheeventthatthefirstdayofthemonthfallsonaweekendorapublicholiday,paymentshallbemadeonthenearestworkingday.7.4PaymentConditionsThelesseeshallensurethatallpaymentsaremadeontimeandinfull.Failuretomaketimelypaymentsmayresultinalatefeeof[amount]perday,calculatedfromtheduedateuntilthepaymentisreceived.Anydisputesregardingtheamountdueshallberesolvedwithin[number]daysofthelesseereceivingtheinvoice.8.LiabilityforBreachofContract8.1BreachofContracttheLessee8.2BreachofContracttheLessor8.3CompensationAmountandMethod9.ConfidentialityClause9.1ConfidentialContentThepartiesagreetokeepconfidentialallinformationdisclosedtothemtheotherparty,includingbutnotlimitedtofinancialinformation,businessstrategies,andcustomerlists.9.2ConfidentialPeriodTheconfidentialityobligationsshallremainineffectforaperiodof[number]yearsfromthedateofterminationofthisagreement.9.3PerformanceofConfidentialityThepartiesshalltakeallreasonablemeasurestoensuretheconfidentialityoftheinformation,includingbutnotlimitedtorestrictingaccesstotheinformationtoauthorizedpersonnelonly.10.ForceMajeure10.1DefinitionofForceMajeureForcemajeurereferstounforeseeableandirresistibleeventsbeyondthecontroloftheparties,suchasnaturaldisasters,war,governmentactions,andlaborstrikes.10.2ForceMajeureEventsThefollowingeventsshallbedeemedforcemajeureevents:Naturaldisasterssuchasearthquakes,floods,andhurricanes.War,rebellion,andactsofterrorism.Governmentactionssuchasembargoes,sanctions,andtraderestrictions.Laborstrikesandlockouts.10.3LiabilityandObligationsintheEventofForceMajeureIntheeventofaforcemajeureevent,thepartiesshallbeexcusedfromtheirobligationsunderthisagreement.However,theyshallcontinuetonegotiateingoodfaithtofindasolutiontothedifficultiescausedtheforcemajeureevent.10.4ExamplesofForceMajeurePandemicoutbreakssuchastheCOVID19virus.Severeweatherconditionsthatpreventthetransportationofgoods.Governmentimposedtravelrestrictions.11.DisputeResolution11.1NegotiationIntheeventofanydisputearisingfromthisagreement,thepartiesshallfirstattempttoresolvethedisputethroughnegotiation.11.2MediationIfnegotiationfailstoresolvethedispute,thepartiesmayagreetosubmitthedisputetomediation.11.3ArbitrationorLitigationIfmediationfailstoresolvethedispute,thepartiesmayagreetosubmitthedisputetoarbitrationorlitigation,inaccordancewiththerelevantlawsandregulationsofthePeople'sRepublicofChina.12.AssignmentoftheContract12.1AssignmentProvisionsThisagreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.12.2ProhibitedAssignmentsThefollowingtypesofassignmentsareprohibited:Assignmentthatwouldresultinachangeinthenatureofthebusinessconductedthelesseeorlessor.13.ReservationofRights13.1ReservationofRightsThelessorreservestherighttoterminatethisagreementatanytimeintheeventofabreachofcontractthelessee,withoutnotice.13.2SpecialReservationofRightsThelessorreservestherighttoinspecttheindustrialbuildingatanyreasonabletimetoensurethatitisbeingusedinaccordancewiththetermsofthisagreement.14.ModificationandSupplementationoftheContract14.1ModificationandSupplementationProceduresAnymodificationorsupplementationofthisagreementshallbeinwritingandsignedbothparties.14.2EffectivenessofModificationandSupplementationModificationsandsupplementationstothisagreementshallbeeffectivefromthedateoftheirexecutionandshallbebindingonbothparties.15.AssistanceandCooperation15.1MattersofMutualCooperationThepartiesagreetocooperateandassisteachotherinfulfillingtheirobligationsunderthisagreement.15.2MethodsofCooperationandAssistance16.OtherProvisions16.1ApplicableLawThisagreementshallbegovernedandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.1
