2025年度生物科技研發(fā)貸款合同英文范本突破版本合同共三部分組成，僅供學習使用，第一部分如下：2025ANNUALBIOTECHNOLOGYRESEARCHANDDEVELOPMENTLOANCONTRACTPART1:GENERALPROVISIONS1.ContractingPartiesLender:________________Borrower:________________2.PurposeoftheLoanThepurposeoftheloanistoprovidefinancialsupportfortheresearchanddevelopmentofbiotechnologyprojectsinaccordancewiththetermsandconditionssetforthinthiscontract.3.LoanAmountThetotalamountoftheloanshallbe________________(hereinafterreferredtoas"theloanamount").4.LoanPeriod5.InterestRateTheinterestrateontheloanshallbe________________perannum,calculatedonadailybasisfromthedateofdisbursementtothematuritydateoftheloan.6.DisbursementScheduleThedisbursementoftheloanshallbemadeinaccordancewiththefollowingschedule:FirstDisbursement:________________(amount:________________)SubsequentDisbursements:________________(amountsanddatesasagreedupon)7.RepaymentScheduleTherepaymentoftheloanshallbemadeinaccordancewiththefollowingschedule:PrincipalandInterestRepayment:________________(amount:________________)FinalRepayment:________________(amount:________________)8.SecurityTheborroweragreestoprovidethelenderwithsuchsecurityasmayberequiredthelendertosecuretherepaymentoftheloan,includingbutnotlimitedto,personalguarantees,mortgage,orpledgeofassets.9.UseofFundsTheborrowerrepresentsandwarrantsthattheloanproceedsshallbeusedsolelyfortheresearchanddevelopmentofbiotechnologyprojectsasdescribedintheloanapplication.10.ReportingRequirementsTheborrowershallprovidethelenderwithperiodicreportsontheprogressandfinancialstatusofthebiotechnologyprojectsforwhichtheloanproceedsareused.PART2:LOANDISBURSEMENTANDADMINISTRATION11.DisbursementProceduresTheloanshallbedisbursedtotheborrower'sdesignatedbankaccountuponthefulfillmentofthefollowingconditions:Completionandsubmissionofallrequireddocumentationandforms.Approvalthelender.Verificationoftheborrower'sidentityandtheauthenticityoftheloanapplication.12.InterestCalculationInterestshallbecalculatedonadailybasisandshallbepayableinaccordancewiththeinterestpaymentscheduleprovidedinthiscontract.13.LatePaymentIntheeventofalatepayment,theborrowershallbesubjecttoalatepaymentpenaltyof________________perannumontheoutstandingbalanceoftheloan.14.DefaultTheborrowershallbedeemedtobeindefaultofthiscontractif:Theborrowerfailstomakeanypaymentwhendue.15.EarlyRepaymentTheborrowermayrepaytheloaninfullorinpartpriortothematuritydateuponwrittennoticetothelender.Insuchevent,theborrowershallbeliablefortheinterestdueuptothedateofrepayment.PART3:MISCELLANEOUSPROVISIONS16.AmendmentsandModificationsAnyamendmentormodificationtothiscontractshallbebindingonlyifmadeinwritingandsignedbothparties.17.ConfidentialityTheborroweragreestokeepallinformationrelatingtothiscontractandtheloanproceedsconfidentialandnottodisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofthelender.18.GoverningLawThiscontractshallbegovernedandconstruedinaccordancewiththelawsof________________(country).19.DisputeResolutionEndofPart1第二部分：第三方介入后的修正PART1:INTRODUCTIONTOTHIRDPARTYINTERVENTION1.DefinitionofThirdPartyForthepurposesofthiscontract,a"thirdparty"shallbedefinedasanyindividual,entity,ororganizationthatisnotapartytothisagreementbutisinvolvedintheloanprocessorthebiotechnologyresearchanddevelopmentproject.Thismayinclude,butisnotlimitedto,consultants,auditors,brokers,technicalexperts,oranyotherintermediary.2.ScopeofThirdPartyInvolvementTheinvolvementofthirdpartiesshallbelimitedtothespecificrolesandresponsibilitiesagreeduponinthiscontract.Anysuchinvolvementshallnotalterthefundamentalobligationsofthelenderandtheborrowerasoutlinedinthemainbodyofthisagreement.PART2:ADDITIONALTERMSANDCONDITIONSFORTHIRDPARTYINTERVENTION3.AppointmentofThirdPartiesTheborrowershallhavetherighttoappointthirdpartiestoassistintheresearchanddevelopmentproject.Thelendershallhavetherighttoapproveordisapproveanysuchappointment,providedthattheappointmentdoesnotprejudicethelender'sinterests.4.ResponsibilitiesofThirdPartiesEachthirdpartyinvolvedintheprojectshallhavethefollowingresponsibilities:Toperformtheirdutieswithduediligenceandinaccordancewithindustrystandards.Tomaintainconfidentialityandnotdiscloseanyconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheborrowerandthelender.5.LiabilityLimitationofThirdPartiesTheliabilityofthirdpartiesfortheiractsoromissionsinconnectionwiththeprojectshallbelimitedtotheextentthatsuchliabilityarisesoutoftheirnegligenceorwillfulmisconduct.Thelenderandtheborrowershallnotbeliableforanyactsoromissionsofthirdparties.PART3:RIGHTSANDOBLIGATIONSOFTHEPARTIESINTHEPRESENCEOFTHIRDPARTIES6.RighttoMonitor7.RighttoApproveReportsTheborrowerandthelendershallhavetherighttoapproveanyreportssubmittedthirdpartiesbeforetheyareacceptedaspartoftheproject'sdocumentation.8.ResponsibilityforThirdPartyCostsAllcostsassociatedwiththeinvolvementofthirdparties,includingfees,expenses,anddisbursements,shallbebornetheborrowerunlessotherwiseagreeduponinwritingtheborrowerandthelender.PART4:DISPUTERESOLUTIONANDTERMINATION9.DisputeResolutionwithThirdPartiesInthee
