entsenteredintobetweensuchThirdPartyandtheLenderortheBorrower.Ingeneral,theThirdParty'sresponsibilitiesmayinclude:a)Providingexpertadviceorservicesrelatedtotheproject;b)Facilitatingtheloantransaction;c)Assistingwiththeduediligenceprocess;d)Overseeingtheproject'sconstructionorimplementation;e)Providinginsurancecoverage;f)AnyotherroleasagreeduponbetweentheLender,theBorrower,andtheThirdParty..3ThirdParty'sLimitationofLiabilityTheliabilityofanyThirdPartyunderthisAgreementshallbelimitedtothescopeofitsresponsibilitiesassetforthinitsagreementwiththeLenderortheBorrowerandasdefinedinthefollowingterms:a)TheThirdPartyshallnotbeliableforanylossordamagearisingfromthenegligenceorwillfulmisconductoftheLenderortheBorrowerortheirrespectiveemployees,agents,orcontractors.c)TheLenderandtheBorrowershallindemnifyandholdtheThirdPartyharmlessfromandagainstanyclaims,liabilities,damages,losses,costs,orexpensesarisingoutoforinconnectionwiththeproject,excepttotheextentsuchclaims,liabilities,damages,losses,costs,orexpensesaredirectlycausedthenegligenceorwillfulmisconductoftheThirdParty..4ThirdParty'sAuthorityandObligationsEachThirdPartyshallhavetheauthoritytoactonbehalfoftheLenderortheBorroweronlytotheextentexplicitlygrantedinitsagreementwiththeLenderortheBorrower.TheThirdPartyshallbeboundthetermsofthisAgreementtotheextentthattheyrelatetoitsresponsibilitiesandobligationsundersuchagreement.TheLenderandtheBorrowershallensurethatanyThirdPartyitengagesisadequatelyauthorizedtoperformitsdutiesunderthisAgreement..5ThirdParty'sCompliancewithLaws.6TerminationofThirdParty'sInvolvementTheinvolvementofanyThirdPartyunderthisAgreementmaybeterminatedmutualagreementoftheLender,theBorrower,andtheThirdParty.Upontermination,theThirdPartyshallpromptlydelivertotheLenderandtheBorroweralldocuments,reports,andotherinformationrelatedtoitsinvolvementintheprojectandshallprovidesuchassistanceasmaybenecessarytofacilitateasmoothtransitionoftheprojecttoanysuccessorThirdParty..7DisputeResolutionIntheeventofanydisputearisingbetweentheLender,theBorrower,andanyThirdPartyinconnectionwiththeperformanceofthisAgreement,thepartiesshallendeavortoresolvethedisputethroughgoodfaithnegotiations.Ifthedisputecannotberesolvedthroughnegotiations,itshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ApplicableArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingonallparties..8ThirdParty'sIndemnificationTheLenderandtheBorrowershallindemnifyandholdtheThirdPartyharmlessfromandagainstanyclaims,liabilities,damages,losses,costs,orexpensesarisingoutoforinconnectionwiththeproject,excepttotheextentsuchclaims,liabilities,damages,losses,costs,orexpensesaredirectlycausedthenegligenceorwillfulmisconductoftheThirdParty..9ThirdParty'sInsurance.10ThirdParty'sConfidentialityTheThirdPartyshallkeepconfidentialallinformationdisclosedtoittheLenderortheBorrowerinconnectionwiththisAgreementandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheLenderortheBorrower..11AdditionalProvisionsa)TheLenderandtheBorrowershallprovidetheThirdPartywithallnecessaryinformationandaccesstotheprojectsiteasrequiredtoperformitsdutiesunderthisAgreement.b)TheLenderandtheBorrowershallensurethattheThirdPartyhasthenecessaryqualifications,experience,andresourcestoperformitsdutieseffectively.c)TheLenderandtheBorrowershallberesponsibleforthepaymentofallfeesandexpensesincurredtheThirdPartyintheperformanceofitsdutiesunderthisAgreement.d)TheLenderandtheBorrowershallnotberesponsiblefortheactsoromissionsoftheThirdParty,andtheThirdPartyshallnotbeconsideredanagentoremployeeoftheLenderortheBorrower.e)TheLenderandtheBorrowermay,attheirsolediscretion,replaceanyThirdPartywithanotherThirdPartyatanytime,providedthatsuchreplacementdoesnotresultinamaterialadversechangetotheproject.EndofPartII第三部分：其他補(bǔ)充性說明和解釋說明一：附件列表：ThefollowingisadetailedlistofpossibleattachmentsthatmaybeinvolvedinthisAgreement,alongwiththespecificrequirementsandexplanationsforeachattachment:2.FeasibilityStudy:Astudyconductedtoassessthetechnical,economic,andfinancialviabilityoftheproject.Thisshouldincludeananalysisofmarketdemand,technologyoptions,andriskfactors.3.TechnicalSpecifications:Detailedtechnicalspecificationsoftheequipment,materials,andsystemstobeusedintheproject.4.EnvironmentalImpactAssessment:Areportassessingthepotentialenvironmentalimpactoftheproject,includingemissions,wastemanagement,andlanduse.6.LoanAgreement:TheformalagreementbetweentheLenderandtheBorrowerdetailingthetermsandconditionsoftheloan.7.SecurityAgreement:Adocumentoutliningtheassetstobeusedascollateralfortheloanandthetermsunderwhichthecollateralmaybeseizedorsoldintheeventofdefault.9.ConsultingAgreements:AgreementsbetweentheLender,theBorrower,andanyconsultantsoradvisorsinvolvedintheproject.10.IntermediaryAgreements:AgreementsbetweentheLender,theBorrower,andanyintermediariesoragentsfacilitatingtheloantransaction.11.GovernmentalApprovals:Copiesofallnecessarypermits,licenses,andapprovalsfromgovernmentalauthorities.12.ArbitrationAgreement:Anagreementdetailingtheproceduresandrulesforresolvingdisputesarisingundertheloanagreement.說明二：違約行為及責(zé)任認(rèn)定：Thefollowingisalistofpotentialbreachofcontractscenariosandthestandardsfordeterminingliability,alongwithexamples:1.DefaultonLoanRepayment:Failuretomakescheduledpaymentsontheloanasagreedintheloanagreement.Liabilitymayincludelatefees,interestcharges,andaccelerationoftheloanbalance.Example:IftheBorrowerfailstomakeapaymentontheduedate,theLendermaychargealatefeeof1%oftheoutstandingprincipal.Example:IftheBorrowerinstallsequipmentthatdoesnotmeetthespecifiedtechnicalstandards,theLendermayrequiretheBorrowertoreplacetheequipmentatitsownexpense.4.FailuretoMaintainInsurance:Failuretomaintaintherequiredinsurance
