1.2TheAcquiredAssetsshallbeconveyedtoPartyAbymeansofabillofsaleorotherdocumentofconveyancesatisfactorytoPartyA.

**2.PurchasePrice**

4.2PartyBrepresentsandwarrantstoPartyAthat:

**5.Confidentiality**

**6.GoverningLaw**
