4.3TheThirdPartyshallbeliableforanyfalseormisleadinginformationprovidedinthequalitycontrolreport.
5.Buyer'sRightsandInterests
5.1TheBuyershallhavetherighttorejecttheGoodsiftheydonotconformtothespecificationssetforthinthisContractorExhibitA.
5.2TheBuyershallhavetherighttoterminatethisContractandseekdamagesiftheSellerfailstodelivertheGoodsontimeoriftheGoodsarefoundtobenon-compliant.
5.3TheBuyershallhavetherighttorequesttheSellertoreplaceorrepairanydefectiveGoodswithinthewarrantyperiod.
6.Seller'sObligationsandLimitations
6.1TheSellershallbeobligatedtoprovidetheBuyerwithallnecessarydocumentation,includingbutnotlimitedtocertificatesoforigin,inspectioncertificates,andpackinglists.
6.2TheSellershallbelimitedinitsliabilitytotheBuyerforanybreachofthisContracttotheamountofthetotalconsiderationpaidbytheBuyerfortheGoods.
7.TerminationandConsequences
7.1EitherPartymayterminatethisContractupontheoccurrenceofamaterialbreachbytheotherParty,providedthatthebreachingPartyhasbeengivenwrittennoticeofthebreachandhasfailedtocureitwithinareasonableperiod.
7.2Intheeventoftermination,theBuyershallbeentitledtoanyrefundofthepaymentmade,lessanyexpensesincurredbytheSellerinfulfillingitsobligationsunderthisContract.
8.GoverningLawandDisputeResolution

6.Seller'sObligationsandLimitations

6.2TheSellershallbelimitedinitsliabilitytotheBuyerforanybreachofthisContracttotheamountofthetotalconsiderationpaidbytheBuyerfortheGoods.
7.TerminationandConsequences
7.1EitherPartymayterminatethisContractupontheoccurrenceofamaterialbreachbytheotherParty,providedthatthebreachingPartyhasbeengivenwrittennoticeofthebreachandhasfailedtocureitwithinareasonableperiod.
