2.IntellectualPropertyRights
2.1Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,inandtotheProductshallremainthesoleandexclusivepropertyofPartyA.
2.2PartyBshallnotclaimanyownershiporinterestintheintellectualpropertyrightsoftheProduct.
3.QualityStandards
3.1PartyBshallensurethattheProductmeetsthequalitystandardssetforthbyPartyA.
3.2PartyAreservestherighttoinspectandtesttheProductatanytimetoensurecompliancewiththequalitystandards.
4.OrderandDelivery
4.1PartyBshallplaceordersfortheProductwithPartyAinaccordancewiththeagreedspecificationsandquantities.
4.2PartyAshalldelivertheProducttoPartyBwithintheagreeddeliverytime.
5.PricingandPayment
5.1ThepricingoftheProductshallbeasmutuallyagreeduponbytheparties.
5.2PartyBshallmakepaymentfortheProductinaccordancewiththeagreedpaymentterms.
6.WarrantiesandLiability
6.1PartyAwarrantsthattheProductshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.

8.GoverningLawandDisputeResolution
