上海市商品房預(yù)售合同Shanghai Commodity Housing Presale Contract上海市房屋土地資源管理局制定上海市工商行政管理局監(jiān)制二零零零年印制Prepared by Shanghai Housing and Land Resources Administration BureauSupervised by Shanghai Industrial and Commercial Administration BureauPrinted in Year 2000特別告知Special Notice一、本合同文本是根據(jù)上海市房地產(chǎn)轉(zhuǎn)讓辦法制定的示范文本,印制的和同條款為提示性條款,供雙方當(dāng)事人約定采用。This Contract is a model contract stipulated in accordance with Shanghai Method for Real Estate Transfer, terms and conditions printed hereof are suggestive ones for mutual adoption by both parties.二、購(gòu)房是一種民事法律行為,涉及的標(biāo)的額較大、專業(yè)性較強(qiáng)、法律規(guī)范較多,為更好地維護(hù)雙方當(dāng)事人的權(quán)益,雙方簽訂合同時(shí)應(yīng)當(dāng)慎重,力求簽訂得具體、全面、嚴(yán)密。House purchase is a civil legal act involves relatively bigger amount of subject matter, higher expertise and more laws and regulations. To better protect the rights and interests of both parties, a Contract shall be entered into with due discretion and as detailed, comprehensive and precise as possible.三、在簽訂預(yù)售合同前,房地產(chǎn)開發(fā)企業(yè)應(yīng)向購(gòu)房人出示商品房預(yù)售許可證。預(yù)售許可證真實(shí)性、合法性及該商品房屋是否存在重復(fù)預(yù)售和被司法機(jī)關(guān)查封等權(quán)利轉(zhuǎn)移受限制的情況,購(gòu)房人可向該商品房屋所在地的區(qū)縣房地產(chǎn)交易中心查閱。Before signing of the presale Contract, the real estate developer shall show the presale license of commodity housing to the purchaser. With regard to the authenticity and validity of the presale license and the possibilities of limited transfer of rights caused by the facts that the said commodity house has been presold repeatedly or sealed up by judicial authorities, the purchaser may make an enquiry to the district/county real estate trading center where the said commodity house is located.四、為保護(hù)合同雙方當(dāng)事人的合法權(quán)益,雙方可以將預(yù)售廣告、售樓書約定為商品房預(yù)售合同的附件。To protect their legal rights and interests, both parties herein may make the presale advertisement and brochure the annex of the commodity housing presale Contract upon agreement.五、預(yù)售的商品房是房地產(chǎn)開發(fā)企業(yè)正在建設(shè)中的房屋(或已建成但未經(jīng)初始登記的房屋),該房屋的面積、交房日期質(zhì)量等方面都存在著不確定因素。房屋買賣雙方在簽訂前,應(yīng)對(duì)下列問(wèn)題予以充分了解:The commodity house for presale is a house under construction(or a built house without initial land registration) by the real estate developer, there are uncertainties concerning the area, delivery date and quality of the house. Before signing the purchase Contract, both parties shall be fully acquainted with issues listed below:1、商品房預(yù)售時(shí)房屋的建筑面積是暫測(cè)的,房屋交付時(shí)則以上海市房屋土地資源管理局認(rèn)定的測(cè)繪機(jī)構(gòu)實(shí)測(cè)建筑面積為準(zhǔn)。預(yù)售合同中須明確載明房屋的建筑面積、套內(nèi)建筑面積、公用分?jǐn)偨ㄖ娣e。暫測(cè)面積與交付時(shí)實(shí)測(cè)面積不一致,按上海市房地產(chǎn)轉(zhuǎn)讓辦法第四十四條規(guī)定處理?!镜谒氖臈l(預(yù)售商品房交付時(shí)建筑面積增減的處理)預(yù)售商品房交付時(shí),其建筑面積與預(yù)售合同的約定出現(xiàn)增減的,應(yīng)當(dāng)按照下列規(guī)定處理:When the commodity house is presold, the building area of the house is a result of temporary measurement. Upon delivery, the actual building area determined by SHLRAB authorized mapping institution shall be final. The presale Contract shall explicitly provide the gross building area, interior building area and public share building area. If the temporarily measured area is in discrepancy with the actual area, actions shall be taken in line with Article 44 of Shanghai Method for Real Estate Transfer.Article 44 (Treatment of Building Area Disconformity upon Delivery of Presold Commodity House) . Upon the delivery of a presold commodity house, if its building area is different from that as agreed in the presale Contract, such conditions shall be dealt with as per the following provisions:(一)因按照本辦法第二十七條第二款規(guī)定分?jǐn)偡课莨貌课坏慕ㄖ娣e或者因具有相應(yīng)資質(zhì)的測(cè)量機(jī)構(gòu)實(shí)際勘測(cè)的誤差而造成建筑面積增減的,預(yù)售合同約定的轉(zhuǎn)讓總價(jià)格不變。(附第二十七條第二款:房屋轉(zhuǎn)讓時(shí),房屋的公用部位、公用設(shè)備與自用部位、自用設(shè)備同時(shí)轉(zhuǎn)讓;公用部位的建筑面積按照國(guó)家和本市有關(guān)規(guī)定由房地產(chǎn)權(quán)利人分?jǐn)?。?1) If the disconformity is caused by sharing public building area according to Clause 2 Article 27 of this Method or error of actual measurement by relevantly qualified mapping institution, the total price of transfer as agreed in the presale Contract shall remain unchanged.(Attach here Clause 2 Article 27 as stipulates: when a house is transferred, the public area, public facilities and private area, private facilities of the house are simultaneously transferred. The public building area shall be shared by obliges of the real estate as per relevant national and municipal regulations.)(二)因預(yù)售商品房的建筑設(shè)計(jì)變更而造成建筑面積增減的,按照本辦法第三十九條的規(guī)定處理。(2) If the disconformity is caused by design change of the presold commodity house, actions shall be taken according to Article 39 of this Method.(附第三十九條:已經(jīng)預(yù)售的商品房,房地產(chǎn)開發(fā)企業(yè)不得擅自變更其建筑設(shè)計(jì);確需變更的,應(yīng)當(dāng)在征得預(yù)購(gòu)人同意并報(bào)規(guī)劃管理部門審核批準(zhǔn)后,與預(yù)購(gòu)人訂立預(yù)售合同的變更協(xié)議。(Attach here Article 39 as stipulates: the real estate developer cannot change the building design of presold commodity house without permission. If its proved necessary, the developer shall sign a change agreement of the presale Contract with the purchaser after getting the consent of purchaser and submitting for the approval of planning administration authorities.未征得預(yù)購(gòu)人同意,房地產(chǎn)開發(fā)企業(yè)變更預(yù)售商品房的建筑設(shè)計(jì)的,預(yù)購(gòu)人有權(quán)解除預(yù)售合同,并由房地產(chǎn)開發(fā)企業(yè)承擔(dān)違約責(zé)任。)If the real estate developer changes the building design of presold commodity house without the purchasers permission, the purchaser is entitled to rescind the presale Contract and the developer shall bear the liabilities for breach of contract.)(三)除本條第(一)項(xiàng)、第(二)項(xiàng)所列的情形外,建筑面積超過(guò)預(yù)售合同約定的,受讓人可以不承擔(dān)增加建筑面積部分的價(jià)款;建筑面積不足預(yù)售合同約定的,房地產(chǎn)開發(fā)企業(yè)應(yīng)當(dāng)將減少建筑面積部分的價(jià)款退還受讓人。但預(yù)售合同另有約定的,從其約定。(3) With regard to conditions not listed in Item (1) and (2) of this Article, if the building area exceeds that as agreed in the presale Contract, the transferee can avoid the payment for the additional area; if the building area is less than that as agreed, the real estate developer shall reimburse the purchase price in proportion to the reduced area to the transferee. Provided, however, that its otherwise stipulated by the presale Contract.2、依據(jù)上海市房地產(chǎn)登記條例關(guān)于房地產(chǎn)開發(fā)企業(yè)應(yīng)當(dāng)在新建商品房屋竣工驗(yàn)收后交付給買受人之前,持本條例第二十條所列文件和商品房屋建設(shè)項(xiàng)目批準(zhǔn)文件辦理新建商品房屋初始登記的規(guī)定,商品房建成交付前房地產(chǎn)開發(fā)企業(yè)應(yīng)取得新建商品房房地產(chǎn)權(quán)證(大產(chǎn)證)。2). Subject to the stipulation set forth by Shanghai Regulation for Real Estate Registration that “the real estate developer shall use documents listed by Article 20 of this Regulation and approval documents of commodity housing construction projects to proceed initial registration for newly-built commodity housing before delivery to the purchaser after its final acceptance”, the real estate developer shall acquire Certificate of Real Estate Title for newly-built commodity housing (the Big Property Certificate) before the building up and delivery of commodity housing.3、國(guó)務(wù)院發(fā)布的建設(shè)工程質(zhì)量管理?xiàng)l例規(guī)定,施工單位對(duì)商品房屋的質(zhì)量的保修期限為:“(一)基礎(chǔ)設(shè)施工程、房屋建筑的地基基礎(chǔ)工程和主體結(jié)構(gòu)工程,為設(shè)計(jì)文件規(guī)定的該工程的合理使用年限;(二)屋面防水工程、有防水要求的衛(wèi)生間、房間和外墻面的防滲漏,為5年;(三)供熱與供冷系統(tǒng),為2個(gè)采暖期、供冷期;(四)電氣管線、給排水管道、設(shè)備安裝和裝修工程,為2年?!北P奁谙拮钥⒐ず细耱?yàn)收之日起計(jì)算。房地產(chǎn)開發(fā)企業(yè)對(duì)購(gòu)房人購(gòu)買的商品房屋得保修責(zé)任從房屋交付之日起承擔(dān),保修期自房地產(chǎn)權(quán)利轉(zhuǎn)移之日起,不得少于兩年。3). As stipulated in Construction Project Quality Management Regulation promulgated by the State Council, construction unit shall provide a warranty to the quality of commodity housing as: “(1) in case of infrastructure work, groundsill foundation work and main structure work of building construction, the reasonable service life of the work hereinbefore as stated by the design documentation; (2) 5 years of antiseep period for roofing waterproof work and toilets, rooms, external walls require waterproof function; (3) 2 cycles of heating and cold supply for the heat and cold supply systems; (4) 2 years for installation and decoration of electric pipeline, water supply and drainage pipes and equipments.”The warranty period herein shall be calculated upon and from the date of final acceptance. The real estate developer shall bear the responsibility to keep the commodity house bought by the purchaser in good repair from the date of delivery, calculating from the date that the rights of real estate are transferred, this period shall not less than 2 years.4、房屋交付使用后,房屋的主體結(jié)構(gòu)質(zhì)量不合格的,按國(guó)務(wù)院發(fā)布的城市房地產(chǎn)開發(fā)經(jīng)營(yíng)管理?xiàng)l例第三十二條關(guān)于“商品房交付使用后,購(gòu)買人認(rèn)為主體結(jié)構(gòu)質(zhì)量不合格的,可以向工程質(zhì)量監(jiān)督單位申請(qǐng)重新核驗(yàn)。經(jīng)核驗(yàn),確屬主體結(jié)構(gòu)質(zhì)量不合格的,購(gòu)買人有權(quán)退房;給購(gòu)買人造成損失的,房地產(chǎn)開發(fā)企業(yè)應(yīng)當(dāng)依法承擔(dān)賠償責(zé)任?!钡囊?guī)定處理。4) After delivery of the house, if its main body structure is found unqualified, actions can be taken according to Article 32 of Regulation for City Real Estate Development and Operation Management issued by the State Council, which regulates that “after delivery of the house, if the purchaser considers the main structure as unqualified, he/she may apply to project quality supervision units for a second check. If the main structure is really proved disqualified, the purchaser has the right to reject; if it causes any loss and damage to the purchaser, the real estate developer shall assume the legal liability for compensation.”六、雙方履行合同發(fā)生爭(zhēng)議的,可選擇向不動(dòng)產(chǎn)所在地人民法院起訴,也可選擇向仲裁委員會(huì)申請(qǐng)仲裁。如果選擇申請(qǐng)仲裁的,可向本市的仲裁委員會(huì)申請(qǐng),也可向外地的仲裁委員會(huì)申請(qǐng),本市的仲裁委員會(huì)全稱是上海仲裁委員會(huì)。If any dispute arises during the execution of Contract, both parties can choose to file a suit to the peoples court where the real estate is located or apply to the arbitral commission for arbitration. If arbitration is selected, the application can be made to arbitral commission inside and outside Shanghai, the full name of the incity arbitral commission is Shanghai Arbitral Commission.七、商品房預(yù)售合同簽訂后應(yīng)及時(shí)向房地產(chǎn)登記機(jī)構(gòu)辦理商品房預(yù)售合同登記備案,以便保護(hù)合同雙方當(dāng)事人權(quán)益。不登記備案的預(yù)售合同,當(dāng)發(fā)生重復(fù)預(yù)售、抵押等事實(shí)時(shí)不能對(duì)抗第三人。根據(jù)規(guī)定,辦理登記手續(xù),可由合同當(dāng)事人雙方共同辦理,也可由購(gòu)房人一方單獨(dú)辦理。Signed presale Contract of commodity housing shall be timely registered and put on records at relevant real estate registration organ to protect the rights and interests of both parties. Presale Contract without registration shall not counter against a third party in the occurrence of such facts as repeated presale and mortgage. According to relevant regulations, registration can be done together by both parties hereof or solely by the purchaser.八、本合同文本在市、區(qū)、縣房地產(chǎn)交易中心對(duì)外發(fā)售,建議購(gòu)房人先行購(gòu)買,仔細(xì)閱讀。This Contract is for external sale at all the municipal, district and county real estate trading centers. The number of the certificate is Shanghai real estate,the land area isand purpose of the land is for residential houses.With approval, Party A has invested to build(temporary name/present name) commodity housing on the said land lot and the main buildings bear a concrete structure. The total price agreed in this Contract shall not change with exception that the actual building area of this House differs with that of temporary measurement.第五條在該房屋交付時(shí),房屋建筑面積以上海市房屋土地資源管理局認(rèn)定的測(cè)繪機(jī)構(gòu)實(shí)測(cè)面積為準(zhǔn),如甲方暫測(cè)面積與實(shí)測(cè)面積不一致時(shí),除法律、法規(guī)、規(guī)章另有規(guī)定外按下列約定處理:Upon the delivery of this House, its building area shall be subject to the actual area measured by SHLRAB authorized mapping institution, if the temporary measurement by Party A is inconsistent with the actual area, actions shall be taken in accordance with the following covenants unless otherwise stipulated by laws, rules or regulations:1、按該房屋每平方米建筑面積單價(jià)計(jì)算多退少補(bǔ);1. To return the overcharge and demand payment of the shortage according to the unit price for each square meter of the building area.2、甲方同意當(dāng)暫測(cè)面積與實(shí)測(cè)面積的誤差超過(guò)_%(包括_%),不向乙方收取超過(guò)部分的房?jī)r(jià)款;甲方同意當(dāng)暫測(cè)面積與實(shí)測(cè)面積的誤差超過(guò)_%(包括_%),乙方有權(quán)單方面解除本合同。乙方行使單方解除權(quán)時(shí),必須在雙方簽署房屋交接書之時(shí)或之前提出,否則視為放棄該項(xiàng)權(quán)利。Party A agrees not to charge Party B for the extra part of building area when the difference between the temporary measurement and actual area exceeds + %(including%);Party A agrees that Party B has the right to unilaterally rescind this Contract when the difference between the temporary measurement and actual area exceeds - %(including%).Party B shall execute such right of rescindment upon or before the signing of Property Hand Over Paper, otherwise it will be deemed as waiver.第六條簽訂本合同時(shí),該房屋建設(shè)工程建設(shè)到_。乙方應(yīng)當(dāng)按本合同約定時(shí)間如期足額將房款價(jià)解入甲方的預(yù)售款監(jiān)管帳戶(預(yù)收款監(jiān)管機(jī)構(gòu):_、帳戶名稱_、帳號(hào):_)。預(yù)收款按政府規(guī)定監(jiān)管使用。乙方的付款方式和付款期限由甲乙雙方在附件一中約定明確。Upon the signing of this Contract, the construction of this House shall reach the degree that its main body structure has been finished. Party B shall make full payment within the time agreed in this Contract to Party As supervision account for presale money(relevant supervision organ for presale money: _, account name _., account number:).Use of the presale money shall be supervised subject to govenmental regulations.Methot and term of payment by Party B will be explicity agreed by both parties in Annex 1.第七條乙方若未按本合同約定的時(shí)間付款,應(yīng)當(dāng)向甲方支付違約金,違約金按逾期未付款額的日萬(wàn)分之_計(jì)算,違約金自本合同的應(yīng)付款期限之第二天起算至實(shí)際付款之日止。逾期超過(guò)_天后,甲方有權(quán)選擇下列第_種方案追究乙方責(zé)任:If Party B fails to make payment within the time agreed in this Contract, Party B shall pay fine for breach of contract to Party A, such overdue fine will be calculated as of the due payment every day and from the second day after the expiration of time limit for account payable hereof to the day of actual payment. In case of an overdue exceedingdays, Party A shall have the right to choose theoption below to hold Party B for responsibilities:壹、甲方有權(quán)單方面解除本合同,乙方應(yīng)當(dāng)承擔(dān)賠償責(zé)任。賠償金額為總房?jī)r(jià)款的_%,甲方有權(quán)在乙方已支付的房?jī)r(jià)款中扣除乙方應(yīng)支付的賠償金額,剩余房款退還給乙方。如乙方已支付的房?jī)r(jià)款不足賠償?shù)?,甲方有?quán)追索。甲方如行使解除合同權(quán)的,應(yīng)當(dāng)書面通知乙方。1. Party A has the right to unilaterally rescind this Contract and Party B shall bear the responsibility for indemnity, the amount of which will be% of the total price. Party A has the right to deduct this amount payable from the payment already made by Party B and return the balance to Party B. If the amount paid by Party B is not enough for compensation, Party A shall have the right to recourse. Party A shall give a written notice to Party B if it executes its right of rescindment.貳、2第八條簽訂本合同后,甲方不得擅自變更該房屋的建筑設(shè)計(jì)(見附件二),確需變更的應(yīng)當(dāng)征得乙方書面同意并報(bào)規(guī)劃管理部門審核批準(zhǔn),在獲得批準(zhǔn)之日起_天內(nèi)與乙方簽訂本合同變更協(xié)議。甲方未征得乙方同意擅自變更該房屋的建筑設(shè)計(jì),乙方有權(quán)單方面解除本合同。After signing of this Contract, Party A shall not change the building design of this House(see Annex 2) without permission, if change is necessary, Party A shall get the written consent from Party B and approval of planning administration authority and then sign a change agreement of this Contract with Party B withindays after getting the approval.If Party A changes the building design of this House without Party Bs permission, Party B is entitled to unilaterally rescind this Contract.第九條甲方不得擅自變更已經(jīng)與乙方約定的小區(qū)平面布局(見附件四),確需變更的應(yīng)當(dāng)征得乙方書面同意。甲方未征得乙方同意變更小區(qū)的平面布局,乙方有權(quán)要求甲方恢復(fù),如不能恢復(fù)的,甲方應(yīng)當(dāng)向乙方支付總
