精選資料產(chǎn)品代理合同合同編號(hào):甲方:XXXXXX有限公司乙方:_XXXX商貿(mào)有限公司_甲、乙雙方經(jīng)友好協(xié)商,本著平等自愿、誠(chéng)實(shí)守信、互惠互利的原則,就乙方代理甲方指定產(chǎn)品在指定地區(qū)推廣銷售等合作事宜達(dá)成如下協(xié)議:一、代理產(chǎn)品名稱甲方委托乙方代理的產(chǎn)品為:“XXX”系列XXX產(chǎn)品及本合同有效期內(nèi)甲方新增加的產(chǎn)品。二、代理權(quán)限1. 甲方授權(quán)乙方為 XX省XX市 地區(qū)的獨(dú)家代理商,全面負(fù)責(zé)該地區(qū)的銷售、經(jīng)銷商管理及售后服務(wù)。對(duì)于乙方代理的銷售區(qū)域,乙方可以根據(jù)實(shí)際情況制訂銷售政策,原則上甲方不予干涉,但乙方對(duì)于自己以及下屬經(jīng)銷商的經(jīng)銷行為負(fù)無(wú)限連帶責(zé)任。2. 甲方不得在乙方代理區(qū)域內(nèi)另設(shè)其他任何級(jí)別代理商。如出現(xiàn)上述情況,乙方有權(quán)立即終止代理合同及得到相應(yīng)補(bǔ)償。三、代理期限本合同的代理期限為 壹 年,從本合同簽訂之日起 壹 年內(nèi)。雙方可根據(jù)本合同的約定提前終止或到期續(xù)簽,乙方有原區(qū)域優(yōu)先續(xù)簽權(quán)。乙方要求對(duì)本合同續(xù)期的,應(yīng)至少在本合同期限屆滿前提前 壹 個(gè)月向甲方書面提出。四、代理價(jià)格政策1. 代理價(jià)格:甲方向乙方等其他區(qū)域代理客戶統(tǒng)一公開銷售產(chǎn)品的價(jià)格,附表1產(chǎn)品目錄價(jià)格2012-V1.0版為甲方的代理價(jià)格,甲乙雙方的結(jié)算以區(qū)域總代理價(jià)格為依據(jù)。2. 銷售價(jià)格:乙方應(yīng)當(dāng)按照甲方建議的零售價(jià)格銷售產(chǎn)品。如果甲方建議的零售價(jià)格不符合本地區(qū)市場(chǎng)情況,乙方需調(diào)整銷售價(jià)格時(shí),應(yīng)當(dāng)向甲方報(bào)告。甲方應(yīng)當(dāng)根據(jù)系統(tǒng)的統(tǒng)一性要求和乙方所處地區(qū)的市場(chǎng)情況綜合考慮,作出調(diào)整價(jià)格的決定。產(chǎn)品對(duì)外銷售價(jià)格按照甲方的規(guī)定執(zhí)行。3. 遇甲方委托代理產(chǎn)品、價(jià)格等需調(diào)整的,由甲方以書面形式及時(shí)通知乙方,該通知一經(jīng)發(fā)送后即成為本合同的組成部分。4. 優(yōu)惠政策:以附表1代理價(jià)格為標(biāo)準(zhǔn),根據(jù)乙方一次購(gòu)買的產(chǎn)品合計(jì)數(shù)額,甲方按下表給予乙方進(jìn)一步優(yōu)惠;乙方除正常性經(jīng)營(yíng)贏利外,可享受甲方給予的定期考核獎(jiǎng)勵(lì),考核及獎(jiǎng)勵(lì)政策另定。一次訂貨量(萬(wàn)元RMB)代理價(jià)格50100(含50)附表1代理價(jià)格0.95101200(含101)附表1代理價(jià)格0.9201以上附表1代理價(jià)格0.85五、合同雙方的權(quán)利及義務(wù)(一)甲方的權(quán)利及義務(wù)1. 甲方擁有“XXX”系列智XXX產(chǎn)品的價(jià)格制定權(quán)、發(fā)布權(quán)和解釋權(quán)。2. 甲方產(chǎn)品嚴(yán)格按照符合國(guó)家或行業(yè)標(biāo)準(zhǔn)的質(zhì)量標(biāo)準(zhǔn)生產(chǎn),并經(jīng)質(zhì)檢部門嚴(yán)格檢驗(yàn)合格后出品。甲方向乙方提供合格產(chǎn)品的同時(shí),有義務(wù)對(duì)乙方提供開展經(jīng)營(yíng)所必需的業(yè)務(wù)培訓(xùn)、技術(shù)指導(dǎo)、營(yíng)銷咨詢等服務(wù),協(xié)助乙方拓展市場(chǎng)。3. 甲方不得在乙方未違反本合同約定的情況下,在授權(quán)區(qū)域?qū)κ跈?quán)產(chǎn)品另設(shè)代理商。甲方不得在乙方銷售代理區(qū)域銷售本協(xié)議第一條所列產(chǎn)品,如果有乙方區(qū)域客戶向甲方咨詢,甲方應(yīng)將具體業(yè)務(wù)操作轉(zhuǎn)交給乙方辦理。如果有乙方銷售代理區(qū)域以外的客戶向乙方詢價(jià)購(gòu)貨,則乙方應(yīng)將其轉(zhuǎn)給甲方處理。4. 甲方嚴(yán)格控制跨區(qū)域竄貨,維護(hù)乙方代理商的利益,協(xié)調(diào)跨地區(qū)各代理商之間的關(guān)系,做好市場(chǎng)維護(hù)工作,及時(shí)處理代理商的投訴。5. 甲方有權(quán)對(duì)所有代理商的市場(chǎng)經(jīng)營(yíng)行為進(jìn)行督查,督查包括產(chǎn)品推廣、甲方形象維護(hù)、銷售區(qū)域限制、價(jià)格體系維護(hù)等。乙方應(yīng)協(xié)助甲方督查員進(jìn)行監(jiān)督檢查業(yè)務(wù),積極主動(dòng)地提供有關(guān)資料等。6. 甲方免費(fèi)向乙方提供一定數(shù)量的產(chǎn)品樣本及其他進(jìn)行廣告宣傳所需的資料。7. 甲方根據(jù)市場(chǎng)情況定期或不定期舉辦產(chǎn)品推廣會(huì)、培訓(xùn)、宣傳等活動(dòng),乙方應(yīng)配合并開拓和維護(hù)銷售市場(chǎng)。甲方將在全國(guó)性的媒體、大型行業(yè)展會(huì)上進(jìn)行廣告宣傳并提供市場(chǎng)支持,此費(fèi)用由甲方承擔(dān)。乙方在約定代理地區(qū)所作展會(huì)、媒體廣告等促銷活動(dòng)產(chǎn)生的費(fèi)用由乙方承擔(dān)。8. 甲方保證其產(chǎn)品質(zhì)量符合相應(yīng)的國(guó)際、國(guó)內(nèi)或行業(yè)標(biāo)準(zhǔn),努力增加產(chǎn)品種類并使之系列化,并應(yīng)盡量保證乙方訂貨需要。甲方只提供產(chǎn)品質(zhì)量保證并承擔(dān)相應(yīng)的責(zé)任,除產(chǎn)品本身質(zhì)量外不承擔(dān)其他責(zé)任。9. 經(jīng)甲方確認(rèn),保修期內(nèi)產(chǎn)品出現(xiàn)較大質(zhì)量問(wèn)題,甲方將負(fù)責(zé)更換并承擔(dān)調(diào)貨的費(fèi)用。如果由甲方產(chǎn)品質(zhì)量原因給乙方造成直接經(jīng)濟(jì)損失,甲方將根據(jù)國(guó)家相關(guān)部門的裁定結(jié)論承擔(dān)相應(yīng)責(zé)任。10. 如因甲方產(chǎn)品在銷售地不能很好的適應(yīng)時(shí),乙方應(yīng)及時(shí)將問(wèn)題反饋給甲方,甲方應(yīng)盡快改進(jìn),以適應(yīng)市場(chǎng)需求。11. 甲方有權(quán)調(diào)整產(chǎn)品的價(jià)格和零售價(jià)格;甲方應(yīng)將產(chǎn)品、產(chǎn)品價(jià)格、交貨期等的任何變化及時(shí)通知乙方(書面?zhèn)髡嫱ㄖ行В?2. 在乙方正常履約的情況下,在不損害乙方利益前提下,甲方有權(quán)直接與乙方的客戶進(jìn)行商務(wù)接觸或達(dá)成協(xié)議。(二)乙方的權(quán)利及義務(wù)1. 乙方可以用“甲方產(chǎn)品授權(quán)代理商”的名義進(jìn)行一切合法的商業(yè)活動(dòng),乙方積極開拓甲方產(chǎn)品在當(dāng)?shù)氐氖袌?chǎng),并逐步提高甲方產(chǎn)品在該地區(qū)的市場(chǎng)占有率。2. 乙方可以在自己省內(nèi)尚未設(shè)定總代理的任何城市設(shè)立銷售網(wǎng)點(diǎn)(包括獨(dú)家代理商或者拓展經(jīng)銷商),此類網(wǎng)點(diǎn)一律從乙方提貨。設(shè)立時(shí)乙方必須把詳細(xì)情況以書面形式匯報(bào)給甲方,以作備案。合同內(nèi)容需要經(jīng)過(guò)甲方同意方可簽約,否則甲方有權(quán)單方面終止合同,且造成的一切后果由乙方承擔(dān)。甲方在合約有效期間也不得再在此地設(shè)立任何級(jí)別的代理。3. 乙方不得進(jìn)入其他已經(jīng)設(shè)定代理商區(qū)域進(jìn)行銷售,甲方有權(quán)對(duì)其予以處罰,對(duì)情節(jié)嚴(yán)重者,甲方有權(quán)取消其代理資格和本協(xié)議給予的一切權(quán)益。乙方因此而給第三方造成的損害,由乙方自行承擔(dān),若因此給甲方造成損害的,甲方有權(quán)要求乙方予以賠償。4. 在開展業(yè)務(wù)過(guò)程中,乙方應(yīng)忠實(shí)于甲方提供的各種資料,保證各種宣傳準(zhǔn)確無(wú)誤,不得任意夸大和捏造,不得損害甲方的利益和市場(chǎng)形象,否則應(yīng)承擔(dān)由此引起的一切后果。5. 顧客對(duì)乙方的服務(wù)提出投訴,甲方將進(jìn)行核實(shí)。確系乙方責(zé)任的,甲方將根據(jù)所造成不良影響的程度給予相應(yīng)的處罰。6. 代理過(guò)程中遇有顧客對(duì)甲方產(chǎn)品質(zhì)量提出異議和申訴時(shí),乙方應(yīng)先行積極處理,并立即通知甲方,將對(duì)甲方造成的不良影響及損失降到最低,應(yīng)維護(hù)甲方品牌在當(dāng)?shù)氐男蜗蠛吐曌u(yù)。7. 乙方在經(jīng)營(yíng)活動(dòng)中應(yīng)保障雙方的長(zhǎng)期共同利益,乙方在銷售完成后,應(yīng)按甲方要求填寫客戶登記表,并應(yīng)于每月定期以電子郵件、傳真或其他形式向甲方返回客戶登記表,以便于日后的售后服務(wù)和例行巡檢工作。8. 乙方在代理過(guò)程中須按照甲方的具體要求建立相關(guān)顧客檔案,并將收集的顧客信息(含顧客資料、顧客對(duì)甲方產(chǎn)品的評(píng)價(jià)和意見(jiàn)等)須及時(shí)反饋給甲方,并定期向甲方提供有關(guān)市場(chǎng)競(jìng)爭(zhēng)情況和用戶意見(jiàn)的書面報(bào)告。六、訂貨、付款、交貨和檢驗(yàn)1. 甲方執(zhí)行款到發(fā)貨原則,產(chǎn)品運(yùn)費(fèi)及保險(xiǎn)費(fèi)由乙方負(fù)責(zé)承擔(dān)。2. 本合同發(fā)生的支付均通過(guò)銀行帳號(hào)進(jìn)行,貨款由乙方直接匯到甲方指定賬戶,不得將現(xiàn)金或無(wú)公司名稱的支票交給甲方業(yè)務(wù)人員,否則甲方有權(quán)拒絕發(fā)貨,且后果由乙方自負(fù)。3. 乙方應(yīng)以書面形式向甲方下達(dá)訂貨計(jì)劃,應(yīng)寫明產(chǎn)品名稱、型號(hào)規(guī)格、數(shù)量及特殊要求等,訂貨人簽名并加蓋公章后傳真給甲方,甲方收到后予以回復(fù)確認(rèn)。4. 在甲方庫(kù)存能滿足乙方所需數(shù)量時(shí),采取一次付清方式,乙方支付貨款后將匯款憑證傳真到甲方,甲方收到乙方貨款后三個(gè)工作日內(nèi)將貨物發(fā)往乙方指定地點(diǎn)。5. 在甲方現(xiàn)貨不足時(shí),甲乙雙方應(yīng)簽定訂貨合同,乙方可先支付合同總額50%的定金后,合同生效;甲方補(bǔ)充生產(chǎn)完成后通知乙方,乙方支付余款后將匯款憑證傳真到甲方,甲方收到乙方剩余貨款后三個(gè)工作日內(nèi)將貨物發(fā)往乙方指定地點(diǎn)。6. 產(chǎn)品在運(yùn)輸途中出現(xiàn)損壞,由乙方負(fù)責(zé)向承運(yùn)方索賠,甲方應(yīng)積極協(xié)助處理。7. 貨到乙方指定地點(diǎn)后,由乙方負(fù)責(zé)驗(yàn)收。乙方提貨時(shí),須當(dāng)場(chǎng)驗(yàn)收合格后再提。貨物有損失時(shí),甲方協(xié)助乙方與運(yùn)輸公司交涉追討相關(guān)損失。8. 乙方在提貨后,應(yīng)及時(shí)詳細(xì)清點(diǎn)貨物品種和數(shù)量,5個(gè)工作日查驗(yàn)完畢,過(guò)期則視為查驗(yàn)合格。如與訂貨清單不符,應(yīng)以書面方式向甲方提出異議,甲方經(jīng)核實(shí)后如有庫(kù)存則在5天內(nèi)相應(yīng)補(bǔ)齊或換貨。七、退貨換貨1. 乙方的退貨/換貨合格產(chǎn)品更換只限定在三個(gè)月內(nèi)進(jìn)行,內(nèi)包裝與產(chǎn)品外觀不得嚴(yán)重?fù)p壞,否則,甲方不予全額退款或加付重新包裝的費(fèi)用后換貨;人為損壞不在更換與維修范圍內(nèi)。甲方在收到退貨并確認(rèn)符合上述要求后退回貨款或調(diào)換后發(fā)貨。2. 乙方原因?qū)е碌耐素洆Q貨的運(yùn)費(fèi)及保險(xiǎn)費(fèi)用由乙方承擔(dān),甲方批量質(zhì)量原因?qū)е碌耐素洆Q貨的運(yùn)費(fèi)及保險(xiǎn)費(fèi)用由甲方承擔(dān)。八、技術(shù)支持1. 首批定貨完成后,甲方派出技術(shù)員(1人)到乙方駐地進(jìn)行一次技術(shù)培訓(xùn),乙方接受培訓(xùn)人員應(yīng)符合甲方提出的合理要求(包括被培訓(xùn)人員的學(xué)歷和專業(yè)水平),甲方所派技術(shù)人員去乙方所在地的往返交通費(fèi)由甲方承擔(dān),在培訓(xùn)期間的食宿費(fèi)及當(dāng)?shù)亟煌ǎê瑱C(jī)場(chǎng)或火車站接送)由乙方負(fù)責(zé),其中食宿費(fèi)標(biāo)準(zhǔn)每日不應(yīng)低于200元。2. 在培訓(xùn)后,乙方在設(shè)備安裝、調(diào)試過(guò)程中確實(shí)需要技術(shù)支持的,甲方可以派技術(shù)人員進(jìn)行現(xiàn)場(chǎng)指導(dǎo),往返交通費(fèi)由甲方負(fù)責(zé),當(dāng)?shù)厥乘?、交通由乙方?fù)責(zé),標(biāo)準(zhǔn)同上一條。3. 甲方每年定期舉辦新產(chǎn)品應(yīng)用培訓(xùn)和售后服務(wù)培訓(xùn),乙方可派人參加,乙方人員的往返交通費(fèi)自負(fù),甲方統(tǒng)一提供培訓(xùn)期間的免費(fèi)食宿。九、售后服務(wù)1. 為保證最終用戶利益,用戶購(gòu)買產(chǎn)品以后,按照國(guó)內(nèi)電子類產(chǎn)品通行標(biāo)準(zhǔn),給予質(zhì)量保證和售后服務(wù)。2. 經(jīng)乙方售出產(chǎn)品,甲方承諾一個(gè)月包換、十八個(gè)月內(nèi)免費(fèi)維修、終身維護(hù),人為損壞及不按規(guī)定使用造成的損壞不在此列,維修僅收材料成本費(fèi),并嚴(yán)格按照國(guó)家有關(guān)“三包”規(guī)定執(zhí)行售后服務(wù)。3. 甲方產(chǎn)品的保修期起始時(shí)間為發(fā)貨時(shí)間,因乙方保管、安裝不當(dāng)及用戶操作不當(dāng)和不可抗拒因素造成的損壞,甲方不負(fù)責(zé)保修。若產(chǎn)品被拆開或修改過(guò),甲方不負(fù)責(zé)保修和包換。保修內(nèi)容包括壞件的修理和更換,但不承擔(dān)現(xiàn)場(chǎng)維修費(fèi)用。4. 保修期滿后,甲方提供長(zhǎng)期的技術(shù)咨詢及配件供應(yīng)服務(wù),費(fèi)用不高于當(dāng)時(shí)成交價(jià)格。5. 甲方為乙方提供的產(chǎn)品應(yīng)嚴(yán)格按照甲方提供的質(zhì)保書和國(guó)家的相關(guān)規(guī)定進(jìn)行質(zhì)保服務(wù);所有故障品、不良品統(tǒng)一返廠維修,保修期內(nèi),返廠維修的運(yùn)費(fèi)為甲方承擔(dān),保修期外,返廠維修的運(yùn)費(fèi)為客戶自己承擔(dān)。6. 乙方應(yīng)制定具體的售前、售后服務(wù)機(jī)制,并指定專人負(fù)責(zé),并接受甲方的培訓(xùn)和考核。7. 乙方負(fù)責(zé)代理產(chǎn)品的安裝、調(diào)試、調(diào)換及本地維修,甲方負(fù)責(zé)返廠品維修。8. 返廠維修產(chǎn)品操作程序?yàn)椋阂曳郊袑⒐收袭a(chǎn)品退回甲方,甲方在接到乙方返廠維修故障品后,確認(rèn)型號(hào)、規(guī)格、數(shù)量、故障類型及維修費(fèi)用,屬于保修期內(nèi)的即刻安排正品發(fā)貨給乙方,而不必等到故障品維修好以后;超保修期的,向乙方出具維修費(fèi)用清單,經(jīng)乙方確認(rèn)后維修,維修完畢發(fā)貨給乙方,維修費(fèi)用月結(jié)。9. 甲方承諾對(duì)乙方接到客戶關(guān)于產(chǎn)品或服務(wù)的投訴,而又在乙方解決能力之外時(shí),按下面規(guī)定處理:情況描述時(shí)間措施一般故障如信號(hào)不穩(wěn)定,有干擾或出現(xiàn)異常情況2小時(shí)電話指導(dǎo)排故嚴(yán)重故障如出現(xiàn)的問(wèn)題直接影響系統(tǒng)的運(yùn)作時(shí)或是硬件本身的技術(shù)缺陷問(wèn)題4小時(shí)電話指導(dǎo)排故十分嚴(yán)重硬件或軟件自身的質(zhì)量或技術(shù)缺陷而損壞不能修復(fù),而直接影響使用時(shí)57日退回原廠維修投訴產(chǎn)品質(zhì)量問(wèn)題、 售后服務(wù)質(zhì)量投訴2日公布原因或處理結(jié)果,并采取相應(yīng)措施消除影響。十、合同的變更和終止1. 本協(xié)議有效期已過(guò)一半以上時(shí)間,乙方仍未能實(shí)現(xiàn)銷售,甲方可以終止本協(xié)議。2. 乙方以任何形式直接將第一條所列產(chǎn)品銷往所限定區(qū)域以外時(shí),甲方有權(quán)終止本協(xié)議。3. 乙方訂貨雖支付了定金,但其后又取消訂貨合同而造成甲方產(chǎn)品積壓時(shí),甲方可以終止本協(xié)議,并要求乙方按訂貨合同總金額支付違約金。4. 有下列情況之一的守約方可終止本合同,但需提前一個(gè)月通知對(duì)方:a) 甲方的產(chǎn)品、市場(chǎng)不符合乙方要求,無(wú)法打開市場(chǎng)。b) 乙方對(duì)甲方調(diào)整代理區(qū)域及代理費(fèi)比例不同意,且雙方無(wú)法達(dá)成一致。c) 乙方經(jīng)常違反甲方的要求或多次被顧客投訴。d) 乙方部分或全部喪失民事行為能力,不能正常完成甲方代理工作。e) 本合同訂立時(shí)所依據(jù)的客觀情況發(fā)生重大變化,致使本合同無(wú)法履行,經(jīng)雙方協(xié)商不能就變更合同達(dá)成一致。十一、附則1. 本合同一式貳份,協(xié)議由雙方法定代表人或委托代理人代表簽字,并加蓋公章后,自雙方簽字蓋章之日起生效,雙方各執(zhí)壹份,具有同等效力。2. 本協(xié)議的所有附件均為本協(xié)議不可分割的一部分,如有未盡事宜,經(jīng)雙方協(xié)商后可隨時(shí)以書面方式修改或補(bǔ)充,并作為本合同組成部分,與本合同具有同等效力。3. 在合同履行過(guò)程中,如雙方發(fā)生爭(zhēng)議,應(yīng)友好協(xié)商解決。雙方不能達(dá)成一致時(shí),可向甲方所在地人民法院提出訴訟。4. 在協(xié)議的履行過(guò)程中如果出現(xiàn)了戰(zhàn)爭(zhēng)、水災(zāi)、地震等不可抗力事件,致本合作協(xié)議不能履行或不能全部履行時(shí),遭遇不可抗力事件的一方或雙方均可部分或全部免責(zé)。但應(yīng)在不可抗力事件結(jié)束后10天內(nèi),向?qū)Ψ秸f(shuō)明理由并提供相關(guān)的證明文件。5. 本協(xié)議的任何終止,不影響雙方發(fā)生的債權(quán)和債務(wù),債務(wù)人應(yīng)繼續(xù)償付未了債務(wù),直至償清債權(quán)人的全部債務(wù)為止。合同終止后,乙方不得再以甲方代理人名義從事任何有關(guān)活動(dòng),否則,因此造成的后果由乙方自行承擔(dān),若因此而給甲方造成的損失,甲方有權(quán)要求乙方予以賠償,若觸犯刑律,甲方將追究乙方的刑事責(zé)任。 The Principal appoints the Agent, who accepts, as his commercial agent to promote the sale of the products listed in Annex 1, 1 (hereinafter called the Products) in the territory defined in Annex 1, 2 (hereinafter called the Territory).委托人委任代理人,而代理人接受委托作為委托人的商事代理,在附件中規(guī)定的地區(qū)(以下簡(jiǎn)稱為“地區(qū)”),推銷附件所列舉的產(chǎn)品( 以下簡(jiǎn)稱“產(chǎn)品”)。1.2. If the Principal decides to sell any other products in the Territory, he shall inform the Agent in order to discuss the possibility of including them within the Products defined under article 1.1. However, the above obligation to inform the Agent does not apply if, in consideration of the characteristics of the new products and the specialization of the Agent, it is unreasonable to expect that such products may be represented by the Agent (e.g. products of a completely different range).如果委托人決定在“地區(qū)”內(nèi)銷售任何其它產(chǎn)品,委托人應(yīng)通知代理人以便討論是否可能將這些產(chǎn)品包括在所規(guī)定的“產(chǎn)品”之中。但是如果考慮到新產(chǎn)品的性能以及代理人的專長(zhǎng),而期望將這類產(chǎn)品交由該代理人代理是不合理的(例如完全不同類別的產(chǎn)品),上述通知代理人的義務(wù)就不適用。Art. 2 Good faith and fair dealing第二條誠(chéng)信與公平2.1. In carrying out their obligations under this agreement the parties will act in accordance with good faith and fair dealing.為履行本協(xié)議所規(guī)定的義務(wù),當(dāng)事人將依照誠(chéng)信與公平的原則進(jìn)行活動(dòng)。2.2. The provisions of this agreement, as well as any statements made by the parties in connection with this agency relationship, shall be interpreted in good faith.本協(xié)議的條款以及當(dāng)事人就本代理關(guān)系所作的聲明,都應(yīng)該以誠(chéng)信的原則進(jìn)行解釋。Art. 3 Agents functions第三條代理人的職責(zé)3.1. The Agent agrees to use his best endeavours to promote the sale of the Products in the Territory in accordance with the Principals reasonable instructions and shall protect the Principals interests with the diligence of a responsible businessman.代理人同意遵照委托人合理的指示,盡最大努力在“地區(qū)”內(nèi)促進(jìn)“產(chǎn)品”的銷售,并應(yīng)以負(fù)責(zé)任的商人的勤勉和努力,保護(hù)委托人的利益。3.2. The Agent shall not solicit orders from outside the Territory unless permitted to do so by the Principal. Where the Agent negotiates with customers in the Territory business which results in contracts of sale with customers established outside the Territory, article 15.2. shall apply. E.g. for goods to be sold to subsidiary established in another country: the agent is acting within his territory, hat the sale is made to a foreign customer, and the agent would have (in absence of article 15.2) no right to commission.非經(jīng)委托人同意,代理人不得經(jīng)“地區(qū)”之外的地方征求定貨。如果代理人與該“地區(qū)”內(nèi)的顧客洽談商務(wù)導(dǎo)致與設(shè)立在本“地區(qū)”之外的顧客簽訂銷 售合同,應(yīng)適用第節(jié)的規(guī)定。3.3. Unless otherwise specifically agreed, the Agent has no authority to make contracts on behalf of, or in any way to bind the Principal towards third parties. He only solicits orders from customers for the Principal, who is free (save as set forth in article 4.2. hereafter) to accept or to reject them. The other alternative, i.e. to give the agent the authority to conclude contracts on behalf of the principal has not been considered in the model form, since it is rather uncommon in international trade. Of course, if the parties have special reasons for permitting the agent to make contracts on behalf of the principal, they can so provide in article 3.3. It should be noted that in certain cases the third party (customer) may rely on the apparent authority of the agent this means that, especially in legal systems where it is common that the agent is authorized to act on behave of the principal, the exclusion of any such authority provided for in the contract between principaland agent (like art. 3.3. of this model form) does not necessarily bind a third party which had good reasons to rely on the apparent authority of the agent. It is, therefore, recommended that the principal avoids any action which may give third parties the impression that the agent has representative powers, and that he informs, if necessary and possible, third parties that the agent has no authority to bind the principal.除非另有專門的協(xié)議,代理人無(wú)權(quán)代表委托人簽約,也無(wú)權(quán)在簽約中用任何方法使委托人受第三人之約束。代理人僅能為委托人經(jīng)顧客處招攬定貨,而委托人(除以下第節(jié)的規(guī)定外)有接受或拒絕定貨的自由。3.4. When negotiating with customers, the Agent shall offer Products strictly in accordance with the terms and conditions of the contract of sale which the Principal has communicated to him. This is to ensure that orders by the customers conform to the Principals terms and conditions (e.g. prices, delivery terms, etc.): if this is not the case (because the agent has given incorrect information to the prospective customer) the principal will be in an embarrassing situation (at least from the commercial point of view) if the refuses the order.代理人在與顧客洽商業(yè)務(wù)時(shí),應(yīng)嚴(yán)格按照委托人向其交代的銷售合同的條款和條件對(duì)“產(chǎn)品”進(jìn)行報(bào)價(jià)。3.5. The Agent is not entitled to receive payments on the Principals behalf without prior written authorization from the Principal to that effect. When the Agent has been so authorized, he must transmit them as soon as possible to the Principal and until then hold them separately on deposit on the Principals behalf.代理人未經(jīng)委托人對(duì)該事項(xiàng)的事先書面授權(quán),無(wú)權(quán)代表委托人收取付款。如果業(yè)經(jīng)授權(quán)收款,則代理人必須盡快將付款轉(zhuǎn)交給委托人,而在轉(zhuǎn)交之前,應(yīng)以委托人的名義將付款單獨(dú)地存放。Art. 4 Acceptance of orders by the Principal第四條委托人接受定單4.1. The Principal shall inform the Agent without undue delay of his acceptance or rejection of the orders transmitted by the latter. The Principal may accept or reject any individual order transmitted by the Agent at his own discretion.委托人應(yīng)不無(wú)故遲延地通知代理人對(duì)其轉(zhuǎn)交的定單予以接受或拒絕。委托人對(duì)代理人轉(zhuǎn)交的任何定單的接受或拒絕可由其自行決定。4.2. The Principal may not however unreasonably reject the orders transmitted by the Agent. In particular, a repeated refusal of orders contrary to good faith (e.g. if made for the only purpose of hindering the Agents activity) shall be considered as a breach of contract by the Principal.但是委托人不得無(wú)理地拒絕接受代理人所轉(zhuǎn)交的定單。應(yīng)特別指出有悖誠(chéng)信原則的反復(fù)拒絕接受定單(例如,這樣做的目的只是妨礙代理人的活動(dòng)),則被認(rèn)為是委托人違約。Art. 5 Undertaking not to compete第五條保證不進(jìn)行競(jìng)爭(zhēng)5.1. Without the prior written authorization of the Principal, the Agent shall not represent, manufacture or distribute any products which are in competition with the Products, for the entire term of this contract.未經(jīng)委托人事先以書面授權(quán),代理人在合同的全部期限內(nèi)不得代表、制造或經(jīng)銷與“產(chǎn)品”相競(jìng)爭(zhēng)的任何產(chǎn)品。5.2. The Agent may represent, distribute or manufacture any products which are not competitive with the Products, provided he informs the Principal in advance of such activity. However, the above obligation to inform the Principal does not apply if, in consideration: (i) of the characteristics of the products which the Agent wants to represent, and (ii) of the field of activity of the principal for whom the Agent wishes to act, it is unreasonable to expect that the Principals interests may be affected.代理人可以代表、經(jīng)銷或制造與“產(chǎn)品”無(wú)競(jìng)爭(zhēng)的任何產(chǎn)品,但是應(yīng)在進(jìn)行上述活動(dòng)前事先通知委托人。然而,如果考慮到鑒于:()代理人打算代理的產(chǎn)品的性能以及()代理人打算為之進(jìn)行代理業(yè)務(wù)的委托人的經(jīng)營(yíng)范圍,委托人的利益按合理的期待可能不會(huì)被影響,則上述向委托人事先通知的義務(wù)不適用。5.3. The Agent shall refrain from representing or distributing non-competitive products of a manufacturer who is a competitor of the Principal, if requested to do so by the Principal, provided the latters request is reasonable, taking into account all the circumstances of the case. E.g. if there are reasons to fear that the collaboration with a competitor may impair the confidence between the parties or the protection of confidential information.若委托人如此要求,并且從實(shí)際情況來(lái)看該要求是合理的,則代理人須不為與委托人競(jìng)爭(zhēng)的制造商代表或經(jīng)銷非競(jìng)爭(zhēng)性產(chǎn)品。5.4. The Agent declares that he represents (and/or distributes or manufactures, directly or indirectly) the products listed in Annex II on the date on which this contract is signed.在本合同簽字之日,代理人宣布對(duì)附件所列舉的產(chǎn)品作為代表(和或直接或間接地進(jìn)行經(jīng)銷或制造)。Art. 6 Sales organization, Advertising and Fairs第六條銷售機(jī)構(gòu)、廣告和展銷6.1. The Agent shall provide an adequate organization for sales and, where appropriate, after-sale service, with all necessary means and personnel, in order to ensure the fulfillment of his obligations throughout the Territory under this agreement.為了保證在整個(gè)“地區(qū)”履行本協(xié)議項(xiàng)下的義務(wù),代理人應(yīng)以必要的手段和人力建立充分的銷售機(jī)構(gòu),并且當(dāng)適宜時(shí),建立售后服務(wù)。6.2. The parties may agree on the advertising to be jointly made in the Territory. The contents of any advertising must be approved by the Principal. The cost of advertising carried out by the Agent shall be apportioned between the parties as indicated in Annex III,1.當(dāng)事人可同意在“地區(qū)”內(nèi)聯(lián)合進(jìn)行宣傳廣告。廣告的內(nèi)容必須經(jīng)委托人批準(zhǔn)。代理人所作廣告的費(fèi)用應(yīng)按附件三的規(guī)定,由當(dāng)事人分?jǐn)偂?.3. The parties shall agree on their participation in fairs or exhibitions within the Territory. The cost of the Agents participation in such fairs and exhibitions shall be apportioned between the parties as indicated in Annex III,2.當(dāng)事人應(yīng)同意參加在“地區(qū)”內(nèi)舉辦的交易會(huì)或展覽會(huì)。代理人參加交易會(huì)和展覽會(huì)的費(fèi)用應(yīng)按附件三的規(guī)定由當(dāng)事人分?jǐn)?。Art. 7 Sales Targets-Guaranteed Minimum Target第七條銷售目標(biāo)保證完成的最低目標(biāo)A distinction is made between a sales target (7.1., 7.2.) the non-attainment of which does not, in principle, involve a contract breach, and o guaranteed minimum target (7.3.), which implies a possible contract termination (or other consequences) in case of non-attainment. If the parties wish to agree upon such guaranteed minimum target, they must fill in Annex IV.7.1. The parties may agree annually on the sales targets for the forthcoming year.當(dāng)事人可每年商定來(lái)年的銷售目標(biāo)。7.2. The parties shall make their best efforts to attain the targets agreed upon but the non attainment shall not be considered as a breach of the contract by a party, unless that party is clearly at fault.當(dāng)事人應(yīng)竭盡全力地實(shí)現(xiàn)商定的目標(biāo),但是未實(shí)現(xiàn)目標(biāo)不應(yīng)認(rèn)為是某一方的違約,除非該方有明顯的過(guò)錯(cuò)。7.3. In Annex IV the parties may agree on a Guaranteed Minimum Target and on the consequences of its non-attainment.在附件五中當(dāng)事人可以商定保證完成的最低目標(biāo)以及未能實(shí)現(xiàn)目標(biāo)的后果。Art 8 Sub-agents第八條分代理人(In certain circumstances it may be advisable to add a clause providing that each party agrees not to engage subagents and/or employees of the other party. ) The Agent may engage sub-agent. The Agent must carry out agents, provided he informs his activity without recourse the Principal at least one month before the engagement to sub-agents. The Agent shall be responsible for the activities of his subagents.代理人可以聘用分代理人,但至少代理人必須自己進(jìn)行業(yè)務(wù)活動(dòng),不依但至少在聘用前一個(gè)月通知委托人。代理人應(yīng)對(duì)分代理人的活動(dòng)責(zé)。Art. 9 Principal to be kept informed第九條向委托人通報(bào)情況9.1. The Agent shall exercise due diligence to keep the Principal informed about his activities, market conditions and the state of competition within the Territory. He shall answer any reasonable request for information made by the Principal.代理人應(yīng)以適當(dāng)勤勉向委托人通報(bào)其在“地區(qū)”內(nèi)的活動(dòng),市場(chǎng)情況以及競(jìng)爭(zhēng)狀況,代理人應(yīng)答復(fù)委托人提出的合理的有關(guān)提供信息的要求。9.2. The Agent shall exercise due diligence to keep the Principal informed about:代理人應(yīng)以適當(dāng)勤勉向委托人通報(bào)有關(guān):(i) the laws and regulations which are to apply in the Territory to which the Products must conform (e.g. import regulations, labeling, technical specifications, safety requirements, etc.), and在“地區(qū)”內(nèi)要實(shí)施的“產(chǎn)品”必須符合的法律和法規(guī),(如進(jìn)口條例、標(biāo)簽、技術(shù)規(guī)格、安全要求等);(ii) the laws and regulations concerning his activity, as far as that they are relevant for the Principal.有關(guān)代理人業(yè)務(wù)活動(dòng)的法律和法規(guī),只要是與委托人有關(guān)。Art. 10 Financial responsibility第十條財(cái)務(wù)責(zé)任10.1. The Agent shall satisfy himself, with due diligence, of the solvency of customers whose orders he transmits to the Principal. He shall not transmit orders from customers of which he knows or ought to know that they are in a critical financial position, without informing the Principal in advance of such fact.代理人應(yīng)以適當(dāng)勤勉查明他向委托人轉(zhuǎn)交定單的顧客的支付能力。對(duì)于代理人知道或應(yīng)該知道財(cái)務(wù)處于危急情勢(shì)的顧客之定單,在未事先向委托人通報(bào)這種情況下,不得將其定單轉(zhuǎn)交委托人。10.2. The Agent shall act as a del credere agent only if, and to the extent, the parties have expressly agreed thereto. In that case they should complete and sign Annex V.只有經(jīng)當(dāng)事人明確商定并僅在雙方商定的范圍內(nèi),代理人才能充當(dāng)擔(dān)保買方信用的代理人。雙方為此應(yīng)填寫并簽署附件五。Art. 11 Principals trademarks and symbols第十一條委托人的商標(biāo)和標(biāo)志11.1. The Agent shall use the Principals trademarks, trade names or any other symbols, but for the only purpose of identifying and advertising the Products, within the scope of this contract and in the Principals sole interest.代理人應(yīng)使用委托人的商標(biāo)、商名和其它任何標(biāo)志,但其唯一目的是為了識(shí)別和宣傳“產(chǎn)品”,而且只限于在本合同的范圍內(nèi)和為了委托人的利益。11.2. The Agent hereby agrees neither to register, nor to have registered, any trademarks, trade names or symbols of the Principal (or which are confusingly
