7、es Contract and to claim from the Buyers compensation for losses resulting therefrom. 其他條 款 OTHER TERMS :（1） 異議 : 品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出,數(shù)量異議須于貨到目的口岸之日 起15天內(nèi)提出。 但均須提供經(jīng)賣方同意的公證行的檢驗(yàn)證明. 如責(zé)任屬于賣方者賣方于收到異議20天內(nèi)答復(fù)買方并提出處理意見.QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim should be filed by t

8、he Buyers within 30 days after the arrival of the goods at port of destination, while for quantity discrepancy claim should be filed by the Buyers within 15 days after the arrival of the goods at port of destination. In all cases, claims must be accompanied by Survey Reports of Recognized Public Sur

9、veyors agreed to by the Sellers. Should the responsibility of the subject under claim be found to rest on part of the Sellers, the Sellers shall, within 20 days after receipt of the claim, send his reply to the Buyers together with suggestion for settlement.（2） 信用證內(nèi)應(yīng)明確規(guī)定賣方有權(quán)可多裝或少裝所注名的百分?jǐn)?shù)，并按實(shí)際裝運(yùn)數(shù)量議付。

10、 （信用證之金額應(yīng)較本售貨合約的金額增加相應(yīng)的百分?jǐn)?shù)） The Sellers reserve the option of shipping the indicated percentage more or less than the quantity hereby contracted, and the covering Letter of Credit shall be negotiated for the amount covering the value of quantity actually shipped. (The Buyers are requested to establi

11、sh the L/C in accord with the indicated percentage over the total value of order as per this Sales Contract.)（3） 信用證內(nèi)容須嚴(yán)格符合本售貨合約的規(guī)定，否則修改信用證的費(fèi)用由買方負(fù)擔(dān)，賣方亦 不負(fù)因修改信用證而延誤裝運(yùn)的責(zé)任。并保留因此而發(fā)生的一切損失的索賠權(quán)。 The contents of the covering Letter of Credit shall be in strict accordance with stipulations of the Sales Contr

12、act; in case of any variation thereof necessitating amendment of the L/C, the Buyers shall bear the expenses for effecting the amendment. The sellers shall not be held responsible for possible delay of shipment resulting from awaiting the amendment of the L/C, and reserve the right to claim from the

13、 Buyers compensation for the losses resulting therefrom.（4） 除經(jīng)約定保險(xiǎn)歸買方投保者外，由賣方向中國(guó)的保險(xiǎn)公司投保。如買方須增加保險(xiǎn)額或 須加保其他險(xiǎn)，可于裝船前提出，經(jīng)買方同意后代為投保，其費(fèi)用由買方負(fù)擔(dān)。 Except in case where the insurance is covered by the Buyers as arranged, insurance is to be covered by the Sellers with a Chinese insurance company. If insurance for

14、 additional amount and/or for other insurance terms is required by the Buyers, prior notice to this effect mush reach the Sellers before shipment and is subject to the Sellers agreement, and the extra insurance premium shall be for the Buyers account.（5） 買方須將申請(qǐng)?jiān)S可證副本（經(jīng)有關(guān)銀行副署）寄給賣方俟許可證批出后再即用傳真通知賣方，假如許可

15、證被駁退，買方須征得賣方的同意方可重行申請(qǐng)?jiān)S可證。The Buyers are requested to send to the Sellers authentic copy of the License-application (endorsed by the relative bank) filed by the Buyers and to advise the Sellers by fax immediately when the said License is obtained. Should the Buyers intend to file reapplication for Li

16、cense in cases of rejection of the original application, the Buyers shall contact the Sellers and obtain the latters consent before filing reapplication.（6） 商品檢驗(yàn)：產(chǎn)地證明書或中國(guó)有關(guān)機(jī)構(gòu)所簽發(fā)的品質(zhì)數(shù)量/重量檢驗(yàn)證，作為品質(zhì)數(shù)量/ 重 量的交貨依據(jù)。 INSPECTION : The Certificate of Origin and/or the Inspection Certification of Quality/Quantit

17、y/Weight issued by the relative institute shall be taken as the basis for the shipping Quality/Quantity/Weight（7）因人力不可抗拒事故，使賣方不能在本售貨合約規(guī)定期限內(nèi)交貨或不能交貨，賣方不負(fù) 責(zé)任，但是賣方必須立即以傳真通知買方，如果買方提出要求，賣方應(yīng)以掛號(hào)函向買方 提供由中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具的證明，證明事故的存在。買方不能領(lǐng) 到進(jìn)口證不能被認(rèn)為系屬人力不可抗拒范圍。 The Sellers shall not be held responsible if they

18、 owing to Force Majeure cause or causes fail to make delivery within the time stipulated in this Sales contract or cannot delivery the goods. However the Sellers shall inform immediately the Buyers by fax. The Sellers shall delivery to the Buyers by registered letter, if it is requested by the Buyer

19、s, a certificate issued by the China council for the Promotion of International Trade or by any competent authority, certifying to the existence of the said cause or causes. Buyers failure to obtain the relative Import license is not to be treated as Force Majeure.（8） 仲裁 ： 凡因執(zhí)行本合約或有關(guān)本合約所發(fā)生的一切爭(zhēng)執(zhí)，雙方應(yīng)以友好方式協(xié)商解決， 如果協(xié)商不能解決，應(yīng)提交北京中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)根據(jù)中國(guó) 國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)的仲裁程序暫行規(guī)則進(jìn)行仲裁，仲裁裁決是終
