11、ned documents no. _directly to the buyers bycourier service.13裝運條款： fob賣方應在合同規(guī)定的裝運日期前30 天，以電報 /電傳 /傳真通知買方合同號、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船 / 訂艙。裝運船只按期到達裝運港后，如賣方不能按時裝船，發(fā)生的空船費或滯期費由賣方負擔。在貨物超過船舷并脫離吊鉤以前一切費用和風險由賣方負擔。the sellers shall， 30 days before the shipment date specified in the contract advise

18、ng of the manufacturer.16商品檢驗：賣方須在裝運前_日委托 _檢驗機構對合同之貨物進行檢驗并出具檢驗證書，貨到目的港后，由買方委托_檢驗機構進行復檢。goods inspection : the sellers shall have the goods inspected by_inspection authority _ days before the shipment and issued theinspection certificate . the buyers shall have the goods reinspected by $inspection au

19、thority after the goods arrival at the destination.17索賠claims:如經中國 _檢驗機構復檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質量與本合同及質量保證書之規(guī)定不符，買方可于貨到目的港后_天內憑上述檢驗機構出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質量保證期不一致，在質量保證期限內買方仍可向賣方就質量保證條款之內容向賣方提出索賠。the buyers shall lodge claims against the sellers based on the inspection certificate issued by china

21、ied is not in conformity with the quality guarantee period， during the quality guarantee period， the buyers have rights to lodge claims against the sellers concerning the quality guarantee.18延期交貨違約金late delivery and penalty除雙方認可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應同意對信用證有關條款進行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。

22、違約金總值不超過貨物總價值的5%，差率按 7 天 0.5%計算，不滿7 天仍按 7 天計算。在未采用信用證支付的情況下，賣方應將前述方法計算的違約金即付買方。if the sellers fail to make delivery on time as stipulated in the contract， with exception of force majeure， the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the

23、 l/c and pay a penalty which shall be dcted by the paying bank from the payment under negotiation . the penalty， however ， shall not exceed 5% of the total value of the goods . the rate of penalty is charged at 0.5%for every seven days， if less that seven days. in case， the payment is not made throu

24、gh l/c， the sellers shall pay the penalty counted as above to the buyers as soon as possible.19人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負責，但賣方應將上述發(fā)生的情況及時通知買方。force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the

25、 sellers shall advise the buyers on times of such occurrence.20爭議之解決方式：disputes settlement :任何因本合同而發(fā)生或與本合同有關的爭議，應提交中國國際經濟貿易仲裁委員會，按該會的仲裁規(guī)則進行仲裁。仲裁地點在中國深圳。仲裁裁決是終局的，對雙方均有約束力。all disputes arising out of the contract or in connection with the contract， shall be submitted to the china international economi
