4、olicit orders for the above commodity from customers in the above territory during the effective period of this agreement for not less than USD .6. 價格與支付Price and Payment 每一筆交易的貨物價格應(yīng)由乙方與買主通過談判確定，并須經(jīng)甲方最后確認。 付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在 裝運日期前 天到達甲方。The price for each individual transaction sha

5、ll be fixed through negotiations between Party B and the buyer, and subject to Party As final confirmation.Payment shall be made by confirmed, irrevocable L/C opened by the buyer in favor of Party A, which shall reach Parth A days before the date of shipment.7. 獨家代理權(quán)Exclusive Right基于本協(xié)議授予的獨家代理權(quán)， 甲方不

6、得直接或間接地通過乙方以外的渠道向中國 顧客銷售或出口第三條所列商品，乙方不得在中國經(jīng)銷、分銷或促銷與上述商品相競爭 或類似的產(chǎn)品，也不得招攬或接受以到中國以外地區(qū)銷售為目的的訂單，在本協(xié)議有效 期內(nèi)，甲方應(yīng)將其收到的來自中國其他商家的有關(guān)代理產(chǎn)品的詢價或訂單轉(zhuǎn)交給乙方。In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customer

7、s in China through channels other than Party B; Party B shall not sell, distribute or promote the sales of any products competitive with or similar to the above commodity in China and shall not solicit or accept orders for the purpose of sellingthem outside China. Party A shall refer to Party B anye

8、nquiries or orders for the commodity in question received by Party A from other firms in China during the validity of this agreement.8. 商情報告Market Report為使甲方充分了解現(xiàn)行市場情況， 乙方承擔至少每季度一次或在必要時隨時向甲方 提供市場報告， 內(nèi)容包括與本協(xié)議代理商品的進口與銷售有關(guān)的地方規(guī)章的變動、當 地市場發(fā)展趨勢以及買方對甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價格等方面的意見。 乙方還承擔向甲方提供其他供應(yīng)商類似商品的報價和廣告資 料。In

9、 order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covere

10、d by this agreement, local market tendency and the buyers comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement. PartyB shall also supply party A with quotations and advertising materials on similar products of other suppliers.9. 廣告及費用Advertising and Expense

11、s乙方負擔本協(xié)議有效期內(nèi)在中國銷售代理商品做廣告宣傳的一切費用， 并向甲方提 交所用于廣告的聲像資料，供甲方事先核準。Party A shall bear all expenses for advertising and publicity in connection with the commodity in question in China within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for

12、 prior approval.10. 傭金Commission對乙方直接獲取并經(jīng)甲方確認接受的訂單， 甲方按凈發(fā)票售價向乙方支付 _%的傭 金 。 傭 金 在 甲 方 收 到 每 筆 訂 單 的 全 部 貨 款 后 天 內(nèi) 向 乙 方 支付。Party A shall pay Party B a commission of% on the net invoiced sellingprice on all orders directly obtained by Party B and accepted by party A. Within days from the date Party A

13、receives the full payment for each order, Party A shall paid the commission to Party B.11. 政府部門間的交易Transactions Between Governmental Bodies 在甲、乙雙方政府部門之間達成的交易不受本協(xié)議條款的限制，此類交易的金額也 不應(yīng)計入第五條規(guī)定的最低業(yè)務(wù)量。Transactions concluded between govenmental bodies of Party A and Party B shall not be restricted by the ter

14、ms and conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in Article 5.12. 工業(yè)產(chǎn)權(quán)Industrial Property Rights 在本協(xié)議有效期內(nèi)，為銷售有關(guān)洗衣機，乙方可以使用甲方擁有的商標，并承認使 用于或包含于洗衣機中的任何專利商標、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨家擁有。 一旦 發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護甲方權(quán)益。Party B may use the t

15、rade-marks ownedby Party A for the sale of the Washing Machines covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the Washing Machines shall remain to be the sole propertie

Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latters rights.13. 協(xié)議有效期Validity of Agreement 本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為 年，從 2年_月_日至2年 月 日。 除非作出相反通知，本協(xié)議期滿后將延長 個月。This agreement, whenduly signed by the both parties concerned, sha

18、e violated the stipulations herein, the other party has the right to terminate this agreement.15. 不可抗力Force Majeure 由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其 他事件導(dǎo)致不能或暫時不能全部或部分履行本協(xié)議，該方不負責任。但是，受不可抗力 事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生 15 天內(nèi)將有 關(guān)機構(gòu)出具的不可抗力事件的證明寄交對方。Either party shall not be responsible for failu

19、re or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of ForceMajeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate
