孔子學(xué)院總部與外方機(jī)構(gòu)關(guān)于合作建設(shè)孔子學(xué)院協(xié)議中英文

1、孔子學(xué)院總部與外方機(jī)構(gòu)名關(guān)于合作建設(shè)外方機(jī)構(gòu)名孔子學(xué)院的協(xié)議為進(jìn)一步加強(qiáng)中國(guó)與外方國(guó)名在教育領(lǐng)域的合作，支持并促進(jìn)漢語教學(xué)的發(fā)展，增進(jìn)兩國(guó)人民的相互理解和友誼，孔子學(xué)院總部（以下簡(jiǎn)稱總部）與外方機(jī)構(gòu)名就合作建設(shè)外方機(jī)構(gòu)名孔子學(xué)院達(dá)成如下協(xié)議：第一條 宗旨本協(xié)議的宗旨在于規(guī)定在合作成立和運(yùn)作外方機(jī)構(gòu)名孔子學(xué)院過程中總部和外方機(jī)構(gòu)名的權(quán)利和義務(wù)。第二條 孔子學(xué)院的性質(zhì)外方機(jī)構(gòu)名孔子學(xué)院系非營(yíng)利教育機(jī)構(gòu)，通過教授漢語和中國(guó)文化增進(jìn)外方國(guó)名人民對(duì)中國(guó)的了解。第三條 執(zhí)行機(jī)構(gòu)經(jīng)外方機(jī)構(gòu)名同意，孔子學(xué)院總部將授權(quán)并委托一中方院校，作為中方具體執(zhí)行機(jī)構(gòu)與外方機(jī)構(gòu)名合作建設(shè)孔子學(xué)院，合作雙方可就該協(xié)議未盡事宜

2、另行簽訂補(bǔ)充協(xié)議。補(bǔ)充協(xié)議簽署前，須報(bào)總部審核。第四條 業(yè)務(wù)范圍根據(jù)當(dāng)?shù)貙?shí)際情況，外方機(jī)構(gòu)名孔子學(xué)院可開展以下項(xiàng)目或其他與漢語教學(xué)及中國(guó)文化相關(guān)的活動(dòng)： 1、使用包括多媒體和網(wǎng)絡(luò)在內(nèi)的多種方式進(jìn)行漢語教學(xué)；2、為小學(xué)、中學(xué)和大學(xué)培訓(xùn)漢語教師；3、實(shí)施漢語考試及漢語作為第二語言教學(xué)能力的考試；4、為社會(huì)各界人士開設(shè)多類型、多領(lǐng)域的漢語課程；5、舉辦學(xué)術(shù)活動(dòng)和其他與漢語及中國(guó)文化有關(guān)的競(jìng)賽；6、放映中國(guó)電影和電視節(jié)目；7、為有意到中國(guó)留學(xué)的個(gè)人提供咨詢服務(wù)；8、為教育界及其他職業(yè)的人士提供參考資源；第五條 組織和管理雙方將推薦人選組成理事會(huì)對(duì)孔子學(xué)院進(jìn)行管理。第六條 雙方義務(wù)總部義務(wù)：1、授權(quán)使用

3、孔子學(xué)院名稱，提供孔子學(xué)院標(biāo)識(shí)；2、提供多媒體課件和其他教材、輔助教材和音像材料，授權(quán)使用網(wǎng)上課程；3、提供5-10萬美元啟動(dòng)經(jīng)費(fèi)，匯至外方機(jī)構(gòu)名在當(dāng)?shù)刂袊?guó)銀行為孔子學(xué)院開設(shè)的專門帳戶；4、提供3000冊(cè)圖書、音像及多媒體教學(xué)資料；5、提供1-2名漢語教師，并負(fù)擔(dān)其國(guó)際旅費(fèi)、工資等；外方機(jī)構(gòu)名義務(wù)：1、提供適合的場(chǎng)所供孔子學(xué)院開展教學(xué)、辦公和其他活動(dòng)，配備必備的辦公設(shè)備并負(fù)責(zé)安裝、管理和維護(hù)；2、為孔子學(xué)院配備必要的行政人員（可由相關(guān)人員兼職），并提供相關(guān)費(fèi)用，并在當(dāng)?shù)刂袊?guó)銀行為孔子學(xué)院開設(shè)專門帳戶；3、為中方派遣人員提供必要的工作條件；4、協(xié)助辦理中方人員進(jìn)入該國(guó)境內(nèi)從事教學(xué)活動(dòng)所需的手續(xù)；

4、5、同意就孔子學(xué)院的其他需求與總部進(jìn)行協(xié)商。第七條 經(jīng)費(fèi)外方機(jī)構(gòu)名孔子學(xué)院的運(yùn)營(yíng)經(jīng)費(fèi)由雙方共同籌措，最終將通過孔子學(xué)院項(xiàng)目的實(shí)施和授課的收入實(shí)現(xiàn)自負(fù)盈虧。第八條 知識(shí)產(chǎn)權(quán)“孔子學(xué)院”及相關(guān)標(biāo)識(shí)和徽章的知識(shí)產(chǎn)權(quán)為總部獨(dú)家擁有。本協(xié)議終止后，外方機(jī)構(gòu)名不得以任何形式繼續(xù)直接或間接使用和轉(zhuǎn)讓。外方機(jī)構(gòu)名孔子學(xué)院開展的有知識(shí)產(chǎn)權(quán)的具體項(xiàng)目，其知識(shí)產(chǎn)權(quán)由提供方擁有，合作開發(fā)的項(xiàng)目由雙方協(xié)商確定知識(shí)產(chǎn)權(quán)。若雙方在知識(shí)產(chǎn)權(quán)方面產(chǎn)生爭(zhēng)議，應(yīng)在友好協(xié)商的基礎(chǔ)上進(jìn)行協(xié)商。協(xié)商不成的，按照相關(guān)法律規(guī)定及國(guó)際慣例提交有管轄權(quán)的機(jī)構(gòu)裁定。第九條 協(xié)議的修改 經(jīng)雙方同意，本著合作和友好的精神，本協(xié)議可以在談判和商討過程中

5、進(jìn)行修改，所有的修改均以中外文兩種語言書面做出，應(yīng)經(jīng)雙方授權(quán)代表簽字。第十條 協(xié)議的有效期本協(xié)議經(jīng)雙方簽字生效。本協(xié)議有效期為五年，如在本協(xié)議有效期截止前九十天內(nèi)，雙方均未書面通知對(duì)方不延長(zhǎng)本協(xié)議的有效期，則本協(xié)議有效期自動(dòng)延長(zhǎng)。第十一條 不可抗力協(xié)議方在以下不可抗力情況下可免除履行本協(xié)議規(guī)定義務(wù)：國(guó)家突發(fā)事件、戰(zhàn)爭(zhēng)、政府禁令或其他超出協(xié)議方控制范圍的使協(xié)議方不能繼續(xù)履行協(xié)議規(guī)定義務(wù)的事件。如發(fā)生此類事件，協(xié)議當(dāng)事方須通知另一方，將項(xiàng)目延期或取消，將協(xié)議另一方的損失降至最低。第十二條 協(xié)議終止有下列情況之一的，本協(xié)議終止：1、協(xié)議一方在至少提前六個(gè)月書面通知對(duì)方后，可以終止本協(xié)議；2、協(xié)議期限

6、屆滿，雙方無繼續(xù)合作的意愿；3、履行該協(xié)議的條件已喪失，協(xié)議無法履行或繼續(xù)履行無法達(dá)到預(yù)期目的；4、協(xié)議一方有嚴(yán)重?fù)p害孔子學(xué)院聲譽(yù)與形象的行為的，一經(jīng)發(fā)現(xiàn)，另一方可立即解除本協(xié)議并追究對(duì)方的違約責(zé)任； 5、因不可抗力致使該協(xié)議無法履行的。本協(xié)議的解除不影響雙方正在執(zhí)行的單獨(dú)協(xié)議、合同或項(xiàng)目；本協(xié)議解除時(shí)，外方機(jī)構(gòu)名應(yīng)妥善安排孔子學(xué)院學(xué)生及相關(guān)工作。第十三條 爭(zhēng)議的解決雙方在協(xié)議履行過程中若發(fā)生糾紛及爭(zhēng)議，應(yīng)本著友好的態(tài)度協(xié)商解決，協(xié)商未果的，向協(xié)議簽訂地法院提起訴訟。第十四條 協(xié)議語言本協(xié)議一式兩份，分別以中、外文書就。雙方各持中、外文本各一份，兩種文本有同等效力。第十五條 其他事項(xiàng)本協(xié)議未盡

9、sibilities of the headquarters and institution name in the establishment of the confucius institute at institution name .article 2 characterthe confucius institute at institution name shall be a non-profit institute with the purpose of enhancing intercultural understanding in country name by sponsor

10、ing courses of chinese language and culture.article 3 executive institutionthrough institution names approval, the headquarters will authorize and appoint a chinese institute to construct the confucius institute with institution name as the chinese executive institution. the two parties of cooperati

11、on can sign the supplementary agreement on matters not settled by this agreement. the supplementary agreement should be audited by the headquarters before signing.article 4 scope of activitiesthe confucius institute at institution name can serve the following chinese teaching courses and programs ac

12、cording to the local instance:1. teach chinese using a variety of methods including multimedia and the internet;2. train teachers to teach chinese in primary schools, high schools and colleges;3. administer the chinese proficiency test and tests to certify ability to teach chinese as a foreign langu

13、age;4. teach chinese courses of various types in various areas for all circles of person；5. sponsor academic activities and chinese competitions;6. show chinese movies and tv programs;7. provide consulting services for individuals wishing to study in china;8. provide reference materials for the educ

14、ational and other professional individuals.article 5 organizationthe confucius institute shall have a board of advisors and the two parties nominate members of the board of advisors. the board of advisors shall have the responsibility for the operation of the confucius institute.article 6 obligation

15、sthe obligations of the headquarters:1. to authorize the use of the title “confucius institute”, and provide logos and institute emblems.2. to provide multimedia coursewares and other teaching materials, supplementary materials, and audio-visual materials authorized by the headquarters; and to autho

16、rize the use of online courses.3. to provide 50,000-100,000 us dollars as a start-up fund, payable to the special account opened by institution name in the local bank of china.4. to provide 3,000 volumes of books, audio-visual, and multimedia materials.5. to send one or two chinese instructors and p

17、ay for their air fares and salaries.the obligations of institution name1. to provide an appropriate site for the confucius institute to carry out its activities; to provide the necessary conditions and facilities management to establish the confucius institute and take charge setting, management and

18、 maintenance and open the special account for the confucius institute in the local bank of china.2. to provide necessary administrative personnel (full time or part-time) and provide the related payment.3. to provide necessary working conditions for the chinese instructors.4. assist the chinese part

19、y at the institute with all immigration procedures.5. agree to discuss with the headquarters any further requirements of the confucius institute.article 7 financial supportthe confucius institute will be jointly funded by institution name and the headquarters, and it should finally assume sole respo

20、nsibility for its profits or losses by charging language course fees and other programs.article 8 intellectual propertythe headquarters exclusively owns the title of “the confucius institute”, its related logo, and plaque (or badge) as its exclusive intellectual property. institution name cannot con

21、tinue applying or transfer the title, logo, and plaque (or badge) in any form, either directly or indirectly, after this agreement has been terminated. the provider owns intellectual property of the certain program. the two parties can consult the owner of the co-operated programs. in the events of

22、any dispute, the two parties should consult with each other friendly or submit to the jurisdictional organ according to the related laws and regulations.article 9 revision with the consent of both parties, this agreement may from time to time be revised through a process of negotiation and discussio

23、n in a spirit of cooperation and good will and any revisions will be made in writing, in both english and chinese, and signed by authorized representatives of the parties.article 10 termthe agreement shall be effective on the date when the two parties sign below. the agreement shall have a period of

24、 validity of 5 years. if, during the 90 days before the end of the agreement, neither party notifies the other in writing that it wishes to terminate the agreement, then it will automatically be extended.article 11 force majeureparties hereto will be released from their obligations under this agreem

25、ent in the event of a national emergency, war, prohibitive government regulation or any other cause beyond the control of the parties hereto that renders the performance of this agreement impossible. in the event of such circumstance, the party under the situation shall inform the other party so the

26、 program may be delayed or terminated in order to mitigate the loss of the other party.article 12 terminationthis agreement shall be terminated in one of the following cases:1. either party may terminate this agreement upon giving written notice at least six months in advance of their intention to t

27、erminate.2. the two parties have no aspiration of cooperation at the expiration of the term.3. the agreement can not go through or can not achieve the anticipated aim because of comedown of the condition.4. if the act of one party of the agreement severely harms the image and reputation of the confucius institute, the other party will terminate the agreement immediately and reserve the right of claiming. 5. the agreement can not go through be
