2、es for medium to small size corporation investors, acting as an investment agent, assisting in investment management and providing IPO consultation services. 乙方在英國及香港、中國（大陸）主要經(jīng)營范圍為：Party Bs major operation in Great Britain, Hong Kong and China are as follows; A、 企業(yè)戰(zhàn)略咨詢：包括以中英為核心的世界投融資業(yè)務(wù)、 并購業(yè)務(wù)、資本市場與證券

3、、財務(wù)和法律顧問、戰(zhàn)略發(fā)展顧問、招商引資。Corporation Strategy Advisory Services : core base are in UK and China to provide advisory services for worldwide financial investment, business merger and acquisition, capital market and stock market, financial and legal matters, strategic business development and investment.B、

4、 英國公司注冊及倫敦代表處注冊、年檢及會計服務(wù)、委托管理等. Company or Representation Office registration in UK. annual checking & renewal, finance and accounting serves, trusty management, etc.C、 英國公司配套服務(wù)資源：專業(yè)秘書、提供商務(wù)資源整合空間、專案指派服務(wù)、免費虛擬辦公室、商業(yè)配套升級服務(wù)（專線來電接聽、英國電話轉(zhuǎn)接、辦公室使用、公司行政管理） 、法律顧問。UK company resources : professional company sec

7、作聯(lián)盟一事達成如下協(xié)議：Through mutual discussion, with consideration of integration of both Parties competitive advantages for international business development, Party A and Party B has mutually agreed the following items for strategic co-operation alliance. 一、 合作領(lǐng)域Co-operation Domain甲乙雙方擬在下列方面進行合作（包括但不限于以下方面

8、）：Party A and Party B have agreed on the following co-operation (including but not limited to below stated items)1、 上市融資：甲方為乙方輸送中國企業(yè)在英國證券市場上市（包括主板和創(chuàng)業(yè)板市場）；IPO Equity Financing : Party A will introduce the potential China Corporations to Party B for IPO in UK Stock Market (including Main Board and GEM

9、 Board).2、 私募融資：乙方為甲方輸送的中國企業(yè)在英國境內(nèi)進行私募融資；Private Equity Fund Financing : Party B will introduce the UK Private Equity Fund to Party A for potential China Corporation. 3、 企業(yè)服務(wù)：乙方為甲方輸送的中國企業(yè)提供在英國的分支以及獨立機構(gòu)注冊及其管理服務(wù)，甲方為乙方輸送的英國企業(yè)提供在中國的分支以及獨立機構(gòu)注冊及管理服務(wù)；Corporation Services : Party B will provide company regis

10、tration and management services in UK to Party As introduced China Corporation who intends to setup the subsidiary company, branch office or independent corporation in UK. Party A will provide same sort of services in PRC to Partys introduced UK Corporation who intends to setup the business entity o

11、r office in PRC. 4、 文化經(jīng)濟交流：甲乙雙方共同組織主辦在中國以及英國境內(nèi)的各種金融投資、文化經(jīng)濟交流活動以及國際間招商引資活動。Cultural and Economical Exchange Program : Party A and Party B will co-operate to organize various activities in UK and PRC for Financial Investment, Cultural and Economical Exchange Program and International-wise Business Dev

12、elopment Conference. 二、 合作方式Manner of Co-operation1、 乙方授權(quán)甲方為其在中國境內(nèi)的代表機構(gòu)，負責乙方在中國的合作項目及相關(guān)事務(wù)。Party B authorized Party A to act as the Representation Agent of Party B in Mainland China to perform the co-operation business.2、 甲方授權(quán)乙方為其在英國境內(nèi)的代表機構(gòu)，負責甲方在英國及國際的合作項目及相關(guān)事務(wù)。Party A authorized Party B to act as th

13、e Representation Agent of Party B in UK to perform the co-operation business.3、 甲乙雙方為對方提供雙語翻譯1名，負責雙方日常事務(wù)的溝通交流；Both Parties will provide a bilingual translator for each other to take care both parties daily operation and communication matters.4、 甲乙雙方互設(shè)辦事處及電話轉(zhuǎn)、接聽服務(wù)。Both Parties will establish their ow

14、n representation office and provide call transfer and pick-up services. 5、 甲乙雙方共同建立高層定期溝通制度，保證各項工作的順利開展.Both Parties will mutually develop periodical management communication system to ensure smooth development of co-operation business.6、 甲乙雙方各自認定對方為其在對方所在國的戰(zhàn)略合作伙伴；為共同項目合作成功而努力。Both Parties will reco

15、gnize another party as the strategic partner in its own territory and strive for the successful on co-operation business.7、 甲乙雙方同意，在本協(xié)議有效期內(nèi)，一方可以使用另一方所有合作項目中擁有合法著作權(quán)或者合法授權(quán)的文字、音頻、圖像等資源，如果一方在其網(wǎng)站上使用另一方這些內(nèi)容時，該方須標明內(nèi)容來自另一方。Both Parties agreed, in this agreement validity period, one party can use another par
