Liabilities for Breaching of the Contract 違約責(zé)任1) If the Buyer fails to pay the down-payment to the S

8、eller within 15 days after the date of signing of the Contract, the Seller shall have the right to terminate the Contract upon notifying the Buyer in writing.合同簽訂后15日內(nèi)，如買方仍未將合同規(guī)定的預(yù)付款支付給賣方, 賣方有權(quán)在書面通知買方后終止合同。2) If the Seller fails to ship the Goods in accordance with the shipping date specified in Art

9、icle 4 of this Contract and the Buyer has paid all amounts due to the Seller, the Seller shall pay 0.02% of the value of the delayed Goods to the Buyer as a compensation fee for each day that shipment is overdue, provided that the maximum amount of compensation shall not exceed 5% of the Purchase Pr

If the delay is caused by the Buyers Customs clearance, then the Seller will not be responsible to pay the compensation. 如賣方未能在合同第四條規(guī)定的交貨日期內(nèi)發(fā)貨，且買方已支付了全部貨款，每推遲一個(gè)天， 賣方應(yīng)向買方支付遲延交付的貨物的價(jià)值的0.02%作為賠償，但賠償額最多不超過貨款的5%. 如果由于買方清關(guān)原因引起的延誤交貨，則賣方不需要支付賠償3) If the Buyer fails to make payment within the payment te

11、rms of the Contract and without consent from the Seller in writing, the Goods shall stay in the Sellers inventory. In such case, the Seller will charge the Buyer 0.02% of the purchase price as a storage fee for the delayed Goods each day that shipment is overdue, provided that the maximum storage fe

12、e shall not exceed 5% of the Purchase Price. If the actual shipment date is 30 days later than the shipment date specified in the Contract due to the Buyers fault, the Seller reserves the right to re-adjust the selling price in effect on the actual shipping date.如果買方未在合同規(guī)定的期限內(nèi)支付貨款，且該逾期支付并未征得賣方書面同意，那

Ownership of the Goods and Risk of Loss 貨物所有權(quán)與滅失風(fēng)險(xiǎn)The Seller reserves the Ownership of the Goods delivered until the Buyer has paid fully to the Sell

14、er the Purchase Price and all related costs (shipping costs, custom duty, VAT, insurance costs, etc) as stated in the Contract for such Goods. The risk of loss of the Goods shall be borne by the Buyer upon delivery.在買方未付清合同所規(guī)定的全部貨款及全部相關(guān)費(fèi)用（包括運(yùn)費(fèi)、關(guān)稅、增值稅、保險(xiǎn)費(fèi)等）以前, 所發(fā)運(yùn)貨物的所有權(quán)歸賣方所有。貨物滅失的風(fēng)險(xiǎn)自發(fā)運(yùn)之時(shí)起由買方承擔(dān)。10. 15、rranty 質(zhì)量擔(dān)保The Seller warrants that the Goods manufactured by the Seller or its affiliate(s) (collectively, “Ingersoll-Rand”) and delivered hereunder conform to Ingersoll-Rands quality standard in material and workmanship for a period of _ months from the date of placing the Goods in operation or _m

17、hereto acknowledge that confidential information (including trade secrets) (“Information”) shall be provided exclusively to each other. The parties and their respective employees and directors shall maintain confidentiality of the Information and shall use the Information exclusively for the purpose

Force Majeure 不可抗力 Performance is excused when there is any contingency beyond the reasonable control of the Seller or the Buyer (for example, earthquake, typhoon, storm, fire disaster, war, rebellion, break

19、age of equipment, governmental actions or legislation, labor difficulties, and other unpredictable Force Majeure events) and such contingency has prevented the Seller or the Buyer, as applicable, from performing its obligations under this Contract.當(dāng)出現(xiàn)為賣方或買方所不能合理控制的意外事件（如地震、臺(tái)風(fēng)、暴風(fēng)雨、火災(zāi)、戰(zhàn)爭、叛亂、設(shè)備損壞、政府行為或

20、立法、勞工爭議，以及其他不可預(yù)見之不可抗力事件）而且該意外事件已阻止賣方或買方（視情況而定）履行其在本合同項(xiàng)下的義務(wù)，遭遇不可抗力之一方可以免除其履行合同的義務(wù)。13. Disputes Settlement 爭議的解決All disputes arising from the execution of or in connection with the Contract shall be settled through friendly consultation between the parties. In case no agreement can be reached through

21、consultations, such dispute shall be governed by Chinese law and shall be submit to China International Economic and Trade Arbitration Commission (CIETAC) for arbitration at Shanghai. The CIETAC Arbitration Rules in effect on the date of the signing of this Contract shall apply. .對(duì)由于履行合同而引起的或與合同有關(guān)的任

22、何爭議, 雙方應(yīng)友好協(xié)商解決。如經(jīng)協(xié)商仍達(dá)不成協(xié)議,該爭議適用于中國法律, 并應(yīng)遞交在上海的中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)進(jìn)行仲裁。仲裁程序應(yīng)適用合同簽訂時(shí)有效的中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)仲裁規(guī)則。14. Limitation of Liability 責(zé)任限制 1) The liability of Seller shall not exceed the purchase price of the Goods upon which such liability arises, whether the claim is based on contract, warranty, tort, negl

23、igence, strict liability, indemnity, statute or otherwise.賣方因貨物所產(chǎn)生的責(zé)任不應(yīng)超出此貨物購買價(jià)格, 無論索賠依據(jù)為合同、 保證責(zé)任、 侵權(quán)、疏忽、 嚴(yán)格責(zé)任、賠償責(zé)任、法令（條例）或其他。2) IN NO EVENT SHALL THE SELLER BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR PUNITIVE LOSSES OR DAMAGES ARISING OUT OF THIS CONTRACT, WHETHER BASED ON CO
