3、待中國(guó)公民出境旅游的經(jīng)營(yíng)資格，地址在香港九龍觀塘偉業(yè)街223-231號(hào)宏利金融中心B座7樓708室; 電話：（852）2102-6688，傳真：（852）2102-6169（下稱“乙方”）。GTA (Hong Kong) Limited (“GTA”)， a subsidiary of Gullivers Travel Associates and entitled to provide outbound tourism services to Chinese citizen with principal place of business at Unit 708A, 7th Floor, T

4、ower B Manulife Financial Centre 223-231 Wai Yip Street Kwun Tong Kowloon Hong Kong; Tel: (852) 2102-6688; Fax:(852)_2102-6169_ (“Party B”):甲、乙雙方本著平等互利的原則，經(jīng)友好協(xié)商，就組織、接待中國(guó)公民前往向中國(guó)公民開(kāi)放旅游的國(guó)家/地區(qū)旅游事宜，明確雙方的權(quán)利義務(wù)，訂立本合同。Upon friendly consultation, both parties reach this contract in respect to provision outbou

5、nd tourism services to Chinese citizens as follows:第一條 甲方同意將組織成行的旅游團(tuán)交由乙方接待，乙方同意按照雙方確認(rèn)的接待標(biāo)準(zhǔn)，安排旅游團(tuán)的旅行游覽活動(dòng)。Party A agreed to employ Party B to provide tourism services to tourism groups organized by Party A. Party B agreed to provide such services according to the arrangements confirmed by both parties

6、.第二條 甲方應(yīng)在旅游團(tuán)進(jìn)入目的地國(guó)境之日20天前向乙方預(yù)報(bào)團(tuán)隊(duì)信息；乙方應(yīng)當(dāng)在接到甲方預(yù)報(bào)后2個(gè)工作日內(nèi)予以回復(fù)。甲方應(yīng)當(dāng)在旅游團(tuán)進(jìn)入目的地國(guó)境之日前5個(gè)工作日內(nèi)，以書面形式向乙方提供下列資料：Party A shall notify Party B preliminary group information 20 days prior to the planed arrival date; Party B shall respond to Party A within 2 working days after receipt of the notice. Party A shall pro

7、vide following detailed information in writing to Party B 5 days prior to the planed arrival date:1 接待標(biāo)準(zhǔn)；Accommodation Standard;2 游程安排；Itinerary;3 旅游者名單（含姓名、性別、出生年月、職業(yè)、國(guó)籍、證件名稱、號(hào)碼）；Tourist Details4 所需房間數(shù)；Rooms Needed5 入境航班或車次。Flight Information乙方應(yīng)按上述要求向甲方做出報(bào)價(jià)。上述信息和乙方的報(bào)價(jià)經(jīng)雙方確認(rèn)后作為執(zhí)行該次旅行的標(biāo)準(zhǔn)。如果甲方取消該旅行團(tuán)，應(yīng)在

8、旅行團(tuán)發(fā)團(tuán)14天前通知乙方，以便乙方進(jìn)行相應(yīng)安排。如果在14天內(nèi)通知，甲方應(yīng)支付團(tuán)費(fèi)的50%作為補(bǔ)償。Party B shall provide fee quotation to Party A based on the above information. Both parties, upon confirmation of the aforesaid, shall perform relevant trips accordingly. Party A shall notify Party B 14 days prior to departure date in case of cancel

Otherwise, 50% of the group fees shall be paid to Party B as compensation.甲方應(yīng)保證旅行團(tuán)成員持有前往目的地國(guó)家/地區(qū)的有效護(hù)照和簽證。Party A shall be responsible for validity of tourists passport and visa. 第三條除非雙方另有約定，甲方應(yīng)當(dāng)在旅游團(tuán)進(jìn)入目的地國(guó)境之日前，用電匯方式把旅游團(tuán)的全部旅行費(fèi)用匯入乙方帳戶。Unless otherwise agreed, Party A shall remit group fees to t

10、he following bank account of Party B by T/T prior to arrival date of the group:開(kāi)戶銀行如果甲方未能按本合同規(guī)定支付相關(guān)款項(xiàng)，每逾期一日，應(yīng)向乙方支付未付款項(xiàng)的千分之一作為違約金，并賠償乙方的其他損失。In case of any delay in the above payment, Party A shall pay 0.1% of outstanding amount as liquidated damage for each day delayed, and compensate for any loss o

11、f Party B.第四條 如因甲方操作失誤或甲方的其他原因造成旅游團(tuán)行程延誤、更改、取消所產(chǎn)生的經(jīng)濟(jì)損失（包括但不限于乙方的損失）由甲方承擔(dān)。Party A shall be responsible for any loss (including but not limited to loss of Party B) caused by delay, modification or cancellation of the groups due to reasons attributable to Party A.第五條 乙方應(yīng)當(dāng)按照本合同和合同附件約定及雙方確認(rèn)的標(biāo)準(zhǔn)和日程安排為旅游團(tuán)提供服

12、務(wù)。除人力不可抗拒或乙方不能控制的因素外，如乙方未按約定的接待標(biāo)準(zhǔn)和日程安排向旅游團(tuán)提供服務(wù)，應(yīng)當(dāng)提供補(bǔ)償服務(wù)或?qū)⒌陀诜?wù)標(biāo)準(zhǔn)的費(fèi)用差額退還甲方。除人力不可抗拒或乙方不能控制的因素外，如因乙方的原因變更旅行日程、交通工具、食宿標(biāo)準(zhǔn)等所增加的費(fèi)用由乙方承擔(dān)。Party B shall provide services according to the agreed schedule and standards. Otherwise, Party B shall compensate price difference to Party A and bear the cost of changes

13、of itinerary, transportation and accommodation, unless such changes are caused by force majure and/or reasons not attributable to Party B 第六條 如果接待國(guó)法律有強(qiáng)制性要求，乙方應(yīng)當(dāng)為旅游團(tuán)委派持有導(dǎo)游證的導(dǎo)游人員提供服務(wù)。乙方導(dǎo)游不得強(qiáng)迫或誘導(dǎo)旅游者購(gòu)物；旅游者在乙方指定的商店購(gòu)物，經(jīng)鑒定，如屬偽劣假冒商品的，乙方有責(zé)任協(xié)助退換。乙方導(dǎo)游不得誘導(dǎo)旅游者涉足色情場(chǎng)所和賭毒場(chǎng)所，不得強(qiáng)迫旅游者參與自費(fèi)項(xiàng)目。If required by local law co

14、mpulsorily, Party B shall provide licensed tour guide for the groups. Tour guide shall not force tourist to shop or participate in program not included in the schedule or induce tourist to visit pornographic, gambling or drug places.第七條 甲方旅游團(tuán)搭乘飛機(jī)、輪船、汽車或在飯店、餐廳等各項(xiàng)旅游設(shè)施（區(qū)）中受到損害，或遇到戰(zhàn)爭(zhēng)、地震、海嘯、傳染性疫病等突發(fā)安全事件，

15、乙方必須立即向甲方反饋信息。如不屬乙方責(zé)任，乙方也應(yīng)盡人道主義義務(wù)協(xié)助處理；如屬乙方責(zé)任，乙方應(yīng)當(dāng)負(fù)責(zé)處理。Party B shall notify Party A of any emergency of the groups or tourists and provide assistance in handling of such emergencies.第八條 甲方旅游團(tuán)在進(jìn)入目的地國(guó)境被阻時(shí)，除甲方或旅游者自身的原因外，乙方應(yīng)當(dāng)積極協(xié)助處理；如屬乙方原因，乙方應(yīng)當(dāng)負(fù)責(zé)處理。If the groups encounter difficulties of entry into destin

16、ation country due to reasons of Party A or tourists, Party B shall provide necessary assistance; Party B shall be responsible to resolve such difficulties in case they were caused by reasons of Party B. 第九條 乙方未按雙方確認(rèn)的接待標(biāo)準(zhǔn)為旅游團(tuán)提供服務(wù)，造成旅游者經(jīng)濟(jì)損失，乙方應(yīng)當(dāng)承擔(dān)賠償責(zé)任；甲方有權(quán)向乙方政府旅游管理機(jī)構(gòu)投訴并要求賠償。Party B shall compensate lo

17、sses of tourist if Party B did not provide services according to agreed standards; Party A has the right to file complains against Party B with relevant tourism administrative authorities and claim compensation. 第十條 乙方有責(zé)任使甲方知曉目的地國(guó)家的法律和有關(guān)規(guī)定的概況。甲方應(yīng)當(dāng)要求旅游者遵守目的地國(guó)家的法律和有關(guān)規(guī)定。Party B shall introduce general

18、legal and regulatory requirement of destination countries to Party A. Party A to request tourists to comply with local laws and regulations of destination countries.第十一條 乙方對(duì)旅游團(tuán)的報(bào)價(jià)或雙方對(duì)本合同項(xiàng)下具體旅游團(tuán)的安排文件，經(jīng)雙方書面認(rèn)可后，作為本合同的附件。本合同正文和合同附件為不可分割的整體，具有同等的效力；兩者如有不符，應(yīng)以附件為準(zhǔn)。Quotation of Party B and other transaction

19、 documents in respect of specific trip or group should, upon confirmation of both parties, be deemed as appendixes of this contract. In case of any inconsistence between this contract and appendixes, the appendixes shall prevail. 第十二條 甲方在此確認(rèn)本合同及其項(xiàng)下交易將由其_/_ 分支機(jī)構(gòu)實(shí)施，甲方對(duì)該分支機(jī)構(gòu)的行為承擔(dān)連帶責(zé)任。Party A confirms t

Party A agreed to assume joint and several liabilities for its branch.第十三條 本協(xié)議項(xiàng)下的往來(lái)文件可以是復(fù)印件、傳真、電子郵件或其他非原件形式。 該等非原件的往來(lái)文件經(jīng)適當(dāng)送達(dá)后應(yīng)被視為有效并具有約束力。Transaction documents under this Contract can be made in fax, email, photocopy or other non-original formats. S

21、uch non-original documents shall be deemed valid and binding if properly delivered.第十四條 乙方在本合同項(xiàng)下的賠償責(zé)任限于其獲得的保險(xiǎn)賠付。在此之外，乙方的全部賠償責(zé)任的總額不超過(guò)其就相關(guān)旅游團(tuán)從甲方收取的費(fèi)用的數(shù)額。任何一方均不對(duì)另一方的間接或結(jié)果性損失承擔(dān)責(zé)任，包括但不限于收入、利潤(rùn)、商業(yè)機(jī)會(huì)或商譽(yù)的損失。Compensation made by Party B under this contract shall be limited to the amount of its insurance recovery. In addition, total liabilities of Party B shall not exceed relevant group fees. Neither party shall be responsible for any indirect and/or consequential damage of the other party, including without limitation to loss of incom
