3、eans air dried basis.“adb” 是指空干基。2."arb" means as received basis.“arb” 是指收到基。3."Cargo" means delivered Korea blind coal of each shipment approximately 6500 MT (+/-10%) as per sellers option.“Cargo” 是指交運的每船裝運約 60,000 噸 +/-10的朝鮮無煙煤。4."Coal" means Korea blind coal produced

4、 for the Seller from D.P R .Korea“Coal” 是指賣方產(chǎn)的。朝鮮無煙煤5.“C&F” has meaning ascribed to such term in INCOTERMS 2000 (as amended from time to time).“C&f” 含義等同于(隨時修正的)INCOTERMS 2000 確定的相同術(shù)語的含義。6.“CFR” has meaning ascribed to such term in INCOTERMS 2000 (as amended from time to time).“CFR” 含義等同于(隨時

5、修正的)INCOTERMS 2000 確定的相同術(shù)語COTERMS 2000 確定的相同術(shù)語的含義。7."Loading Port" means the vessel loading port,it is Nampo,Korea, or such other port as the parties may agree to in writing.“裝貨港” 是指船裝貨港口,即朝鮮南浦港或由雙方書面同意的其它港口。8. “Discharge Port” means RIZHAO PORT, CHINA “卸貨港” 是指中國日照港。 9."Kcal/Kg"

6、means kilocalories of energy per kilogram of coal.“Kcal/Kg” 是指每公斤煤炭的發(fā)熱量。10.When calculating any price or adjusted price, or component thereof, the results of such calculation shall be rounded to the nearest cent and on half of a cent shall be rounded up. When calculating any tonnage, the results of

7、such calculation shall be rounded to the nearest tonne and one half of a tonne shall be rounded up.當(dāng)計算任何價格或是調(diào)整價格或是任何部分價格時,這類計算的結(jié)果應(yīng)當(dāng)按照最接近的分值四舍五入,并且 0.5 美分應(yīng)當(dāng)四舍五入到 1 美分。當(dāng)計算任何噸數(shù)時,這類計算的結(jié)果應(yīng)當(dāng)按照最接近的噸數(shù)四舍五入,并且 0.5 噸應(yīng)當(dāng)四舍五入到 1 噸。11."US$" means (unless otherwise specified) the currency of the United St

9、e with Clause 3.1, 3.2, 3.3.“基準(zhǔn)價格” 是指按照本合同第 3.1、3.2 、3.3 條款確定的煤炭底價。15.Delivery time at the Discharging Port means the first day when ship sail to discharge port or anchorage.在卸貨港交貨時間意為船到達(dá)卸貨港或者錨地的第一天。16.Unless the context otherwise requires, the singular shall including the plural and vice versa.除非本合

10、同上下文另有要求,任何詞語的單數(shù)應(yīng)包含復(fù)數(shù)的含義,反之亦然。17.The contract signed through electronic method shall be valid as original contract and can be sent through email to each other.電子簽章合約視同正本合約,并以網(wǎng)絡(luò)寄送為依據(jù)。18.Whereas, Seller has agreed to sell and Buyer has agreed to purchase the Coal in accordance with the terms and condi

The Seller and Buyer mutually agree as follows:買賣雙方均同意根據(jù)如下條款和條件購銷煤炭:CLAUSE 1COMMODITY AND QUANTITY 商品與數(shù)量1.1Commodity: Steam Coal, Net Calorific Value over 6300kcal/kg (ARB). 商品:無煙煤指低位收到基基準(zhǔn)(收到基凈值)大卡數(shù)為6300KCAL/KG以上1.2Origin: D.P R.KOREA原產(chǎn)地:朝鮮1.3Quantity: 數(shù)量:1.3.1Trial/First Shipme

12、nt:6500MT (+/-10%)試單數(shù)量6500MT (+/-10%)1.4Loading Port:Nampo,D.P.R.Korea 裝貨港: 朝鮮南浦港1.5Discharging port: Rizhao/Lanshan PORT, CHINA. 卸貨港:中國日照或嵐山港.CLAUSE 2DELIVERY 交貨: 2.1Goods must arrive Discharging Port within 30 days upon the contract is signed by Buyers and Seller.在買賣雙方簽訂合同后 30天內(nèi),貨物必須抵達(dá)卸貨港。2.4 Weig

13、ht for invoicing purposes shall be established by the actual net weight. In case short/over weight exceeds10%,Buyers and sellers should arrange the settlement according to actual quantity 發(fā)票重量應(yīng)按實際凈重開具,允許提單重量10%的允差,買賣雙方按照實際數(shù)量進行結(jié)算CLAUSE 3PRICE 價格 3.1The base price for Coal Net Calorific Value over 630

14、0 Kcal/kg (ARB) CFR China, PORT will be USD142/MT (United States Dollar NINETY ONLY) per metric ton. 單價以收到基低位發(fā)熱量6300Kcal/kg以上為基準(zhǔn),CIF中國,到岸價142美元/噸。3.2Prices will be reviewed for every Three (3) months and finalized by Both Parties. Both Parties would do their best to renegotiate and agree on a new pr

15、ice 15 days prior to the beginning of every three months. 價格評估是由雙方以每3個月一次定價來確定。雙方應(yīng)盡最大努力重新確定新的價格和該在三個月開始之前15天確定價格。CLAUSE 4QUALITY SPECIFICATIONS 品質(zhì)規(guī)格:4.1The quality of Coal delivered hereunder shall conform to the following typical specification determined in accordance with ISO Standards by CCIC at

18、deg.C 灰熔點(IDT, deg.C) > deg.C CLAUSE 5PRICE ADJUSTMENT/PENALTIES價格調(diào)整In regards to each shipment of Steam Coal which does not meet the Specifications set forth in Clause 4, the base price in Clause 3 shall be adjusted in accordance with the Specification as stated in Clause 5: 每批裝運的動力煤, 如果成分不能滿足本合

19、同第4項條款的規(guī)定,在第3條款中所闡述的基價將由在第5條款中所規(guī)定的內(nèi)容進行調(diào)整:5.1If the actual Total Moisture (ARB) of the cargo exceeds 8%, then the invoice weight of the cargo for payment shall be adjusted in following formula: Invoice Weight = Weight of Cargo in CIQ Certificate of Draft Survey x 1- (Total Moisture in CIQ certificate

20、 - 16%)如果全水分(ARB) 大于8%,那么對于交貨數(shù)量應(yīng)該按照如下公式調(diào)整:結(jié)算實際重量 = CIQ重量證書上的水尺計重量 x 【1-(CIQ測量全水-8%)】。5.2Total Sulphur (ADB) must not be more than 0.50% and the Buyer has the right to reject the cargo if Total Sulphur is above 1.0%. 硫含量不得高于0.50%, 并且買方有權(quán)拒收如果高于1.0%。5.3For every Ash Content above 13%, USD0.20/MT will b

21、e deducted from the total value of the invoice. 每1%灰份高于13%, 價格將扣除美元0.20/噸。5.4Net Calorific Value (ARB)5.4.1If the actual Net Calorific Value (ARB) supplied falls below or exceeds the guaranteed Net Calorific Value (ARB), then the price shall be derived as per the following formula: 如果實際提供的NCV(ARB) 低

23、IRE DETERMINATION 重量和質(zhì)量之檢測以及仲裁判定:6.1 Sampling analysis At Discharging Port 在卸貨港之抽樣分析Upon goods arrival at the discharging port, the buyer shall, at buyers expense, arrange CIQ China to take samples and will take three representative samples, one for the analysis of the shipment by CIQ China, one sho

24、uld be sealed and sent to Seller as soon as finishing discharging and making samples by CIQ China and one sealed sample to be held by the assayer for 90 days from B/L date, in the event that an umpire analysis is required, Both parties agreed to appoint SGS CHINA as neutral agent to make umpire anal

25、ysis.The seller may, at sellers expense, appoint representative(s) to be presented at the time of sampling at the port of discharge.當(dāng)貨物到達(dá)卸貨港后,買方自費安排中國CIQ在卸貨港提取樣品,并提取三份代表樣品,一份是作為CIQ中國的船運分析樣品, 一份密封樣品需在完成卸貨后寄給賣方,一份密封的樣品作為仲裁樣本, 如有需要,需在提單日起90天進行化驗分析。雙方同意SGS中國作為中立機構(gòu)對新樣品進行仲裁分析。在卸貨港進行抽樣時,賣方有權(quán)自行付費派遣代表到達(dá)現(xiàn)場。6.

26、2 Umpire analysis 仲裁化驗6.2.1Certificate issued at discharging port by China CIQ shall be used as the basis of invoice of final balance payment. 由中國CIQ提供的卸貨港樣品檢測報告必須作為卸貨港最終結(jié)算付款發(fā)票之依據(jù)。6.2.2If the deference is larger than the value of the tolerance stipulated as clause 5.4, within five (5) days after the

27、 date that Seller inform buyer, Both parties shall to invite SGS CHINA as neutral agent to make umpire analysis, the representative sample seal at discharging port shall send to SGS institute CHINA to make Independent re-examine。如果差異大于5.4 節(jié)所述的允差數(shù)值,在賣方通知買方后五天內(nèi),雙方邀請中國SGS執(zhí)行中立的仲裁分析,在卸貨港保留的代表樣品將被送到中國SGS檢

28、驗機構(gòu)進行公正獨立的復(fù)驗。6.2.3The Inspecting result of discharging port and SGS China shall be the final result and shall be the basis of final balance and payment settlement.卸貨港及中國 SGS 之檢驗結(jié)果將作為最終付款結(jié)算之依據(jù)。 6.2.4The party with big difference result of SGS CHINA analysis result shall pay the cost of the analysis e

29、xpenses and the cost for making an umpire re-examine. Should the differences be equal, each party shall pay half of the cost of the analysis and the cost for making an umpire re-examine. 與中國SGS仲裁化驗結(jié)論相差較大方需負(fù)擔(dān)仲裁檢驗費用,如誤差相等,雙方各付一半。6.3 Allowable Tolerance value and Umpire determination 容許允差數(shù)值及仲裁判定6.3.1 T

30、he allowable tolerance of deference of Inspection result between Loading port and discharging port define as 1 % basis value of all specific items of steam coal of this contract. 裝貨港與卸貨港所有檢驗項目的差異允許容差定義為各項規(guī)格基礎(chǔ)值的0.5。6.3.2 If Difference of each item is less than 1% allowable Tolerance, the average of t

31、he inspection value at loading port and discharging port shall be the final value of the basis of invoice value of Payment ; and no further umpire determination is required. 如果每一項目差異值均小于每一項目之允差值,則裝貨港與卸貨港的檢驗數(shù)據(jù)平均值視為最終數(shù)值并 必須為付款發(fā)票之依據(jù)。6.3.3If any one item Difference is higher than 1% allowable Tolerance,

32、 Umpire Determination Shall be deem to required and seller and buyer shall invite SGS China to proceeding umpire analysis according the provisions as clause 6.3 如果有任何一項目之差異值大于允差值,則仲裁分析必須執(zhí)行,賣方與買方必須共同邀請中國SGS依據(jù)項目6.3之規(guī)則進行仲裁分析。CLAUSE 7METHOD of PAYMENT 付款方式船到碼頭后,買方即應(yīng)抽樣做簡單檢驗,如檢驗結(jié)果符合本合同所定各項指標(biāo),即應(yīng)支付賣方80%貨款,余

33、下20%貨款應(yīng)在SGS檢驗結(jié)果出來后一次性結(jié)算清楚。WHEN THE VESSEL ARRIVAL DISCHARGING PORT, THE BUYER SHOULD BE SAMPLING TEST,IF THE INSPECTION RESULT ACOORD WITH THE CONTRACT,THEN SHOULD PAY 80%PAYMENT TO THE SELLER,AND THE BALANCE 20% PAYMENT SHOULD BE PAID WHILE SGS INSPECTION RESULT COME IN .BANK NAME: BANK ADDRESS: BA

34、NK OFFICER: BANK TEL :ACCOUNT NAME: ACCOUNT NUMBER: SWIFT CODE : 7.7 TERMS OF PAYMENT 付款條件98% (+/-10%) of total purchase price are payable at sight against presentation of the following documents. 總購買價格98% (+/-10%) 對下列信用證介紹文件付款給賣方.(A)Full set of 3/3 original clean on board ocean Bills of Lading made

35、 out to order and blank endorsed marked “freight prepaid” notifying applicant. 全套3/3正本清潔已裝船海運提單,空白抬頭,空白背書,注明 ”運費已付” 通知開證人。(B)Sellers signed commercial invoice in three original and 3 copies showing L/C No. and Contract No.賣方簽署的商業(yè)發(fā)票正本三份副本三份,注明信用證編號和合同號。(C)Certificate of Origin in 1 original and 2 cop

36、ies issued by the relevant Indonesian governmental authority indicating shipper and consignee make out tom order.相關(guān)印度尼西亞政府機構(gòu)簽發(fā)的原產(chǎn)地證明正本一份副本二份。注明托運人與受貨人。(D)Beneficiary's certificate certify that they have faxed or couriered to applicant a copy of certificates (sampling & analysis, weight, draf

37、t survey report) within three (3) days after the vessel departure loading port。受益人證明,聲明他們已于母船離開裝貨港三天內(nèi)將檢驗證明(取樣和分析、重量及水尺檢驗報告)傳真或快遞給開證人。(E) Sellers certified copy of fax / telex dispatched to the Buyer within 48 hours after shipment advising the following items: 一份證明賣方已經(jīng)在發(fā)貨后48小時內(nèi)通過傳真/電傳通知買方下列事項之復(fù)印件:Nam

39、 8REJECTION 拒絕收貨:8.1Seller shall use its best endeavors to ensure that coal meets the element of quality listed in Clause 4.1. In the event that the quality of Coal as determined by analysis of the samples taken during the course of loading indicates the final analysis of the shipment is likely to e

40、xceed the elements of quality listed in Clause 4.1, the seller shall endeavor to remedy the problem.賣方應(yīng)盡其最大的努力以確保貨物能滿足第 4.1 條款所列的質(zhì)量要素。如果貨物通過在裝載過程中進行的樣品分析所確定的質(zhì)量表明這批貨物的最終熱值和質(zhì)量分析有可能不能滿足第 4.1 條款所述,則賣方應(yīng)盡力采取補救措施。8.2If coal quality reaches rejection standards, Seller and Buyer shall negotiate in good faith

41、 to agree an equitable settlement for such shipment (which may include a reduction in price).But the 2% PB of the contract value will be paid to the buyer as penalty charge from the seller before negotiation of settlement.如果煤炭質(zhì)量達(dá)到拒收標(biāo)準(zhǔn),則賣方和買方應(yīng)基于善意原則,協(xié)商一致采取公正的措施處理該批貨物(可能包括降價出售)。但是發(fā)生拒收情況,視為賣方違約,在議價之前,作

42、為賣方供貨保證金的2%履約金將作為未履約罰金賠付給買方。CLAUSE 9OCEAN TRANSPORTATION OF COAL 煤炭的海上運輸9.1 Seller shall immediately notify the buyer by fax or email of name、nationality and details of vessel after charter party confirmed by Seller.賣方在確認(rèn)承租船后,須立即以傳真或者電子郵件方式通知買方包括船名、國籍及所任命船只的詳細(xì)情況。9.2The Seller shall undertake to load

43、 the contracted goods on board the vessel nominated by the Seller within the time of shipment as stipulated in this Contract. The actual LAYCAN is to be fixed based on the countdown 7, 5, 3, 2, 1 day.賣方應(yīng)負(fù)責(zé)將所訂貨物按照本合同所規(guī)定的裝船期內(nèi)裝上賣方所指定的船只。實際裝船日必須在倒數(shù)7、5、3、2、1 天前各一次傳真通知。9.3Discharging Terms 卸貨條件9.3.1Buyer

44、guarantees to provide one safe berth at the Discharging Port upon vessel arrival to accommodate a vessel with Beam and LOA as per permissible limits for draft at least of each shipment quantity. 買方保證在卸貨港提供一個安全的泊位使每次裝載噸位之貨船有足夠的長度及水深可以安全靠泊。 9.3.2Discharging Rate is 10,000MT Per Weather Working Day 24

45、consecutive hours, Sunday & Holiday Including basis Vessel shall have minimum 4 Hatches / 4 Hold. 卸除率,每個工作日連續(xù)24小時,包括周日及節(jié)假日基礎(chǔ),船舶至少有4 個艙口和4 個船艙.9.3.3At the Discharging port, Vessel shall be consigned to a Port Agent nominated by the Buyer / Seller and appointed by Owner, subject to Owners approval

46、 for port disbursement. 在卸貨港,船舶應(yīng)委托一個由買方或者賣方提名和船主任命的港口代理,船東支付港口費用。9.3.4Seller will advise Buyer of the estimated time of arrival(ETA) of Vessel at the Discharging port at least 5 days prior arrival at discharging port. 賣方應(yīng)至少在船舶到達(dá)卸貨港前五天通知買方船舶預(yù)計到達(dá)時間(ETA)。9.3.5Seller will arrange for Vessels Master to a

47、dvise by agent to Buyer the estimated time of arrival(ETA) at the Discharging Port on departure from the loading port, 7 days, 5 days, 3 days, 2 days and 24 hours prior. 賣方應(yīng)安排船東在船舶離開裝貨港后,通知買方的代理人船舶預(yù)計到達(dá)卸貨港的時間(ETA),在預(yù)計時間前7天,5天,3天,2天,24小時各通知一次。9.3.6Written Notice of Readiness(NOR) to discharge will be

48、presented by the vessel after arrival at the designated anchorage during normal office hours between 7:00AM and 4:00PM, seven days per week, provided that Vessel is in free practice and is in all respects ready to discharge. 假如貨船全面準(zhǔn)備好卸貨,那么到達(dá)指定的停泊港后的母船,必須在正常的辦公時間(上午7點到下午4點之間)發(fā)出卸貨準(zhǔn)備的書面通知(NOR)。9.3.7Ves

49、sel will be arriving within as the designated lay days and will be discharged in principal in accordance with the order of arrival at Discharging Port. 船只應(yīng)該在指定的裝卸時間到達(dá),并根據(jù)卸貨港的到達(dá)指令及規(guī)則卸貨。9.3.8Lay time for discharging will commence 12 hours after written Notice of Readiness is tendered to Buyers office,

50、 whether the Vessel is actually berthed or not, or on commencement of discharging if sooner. If the twelve ( 12 ) hours turn time expires on a major Chinese Holiday, then Lay time for discharging is to commence from 7:00AM on next working day, unless discharging is sooner commenced. Waiting time for

51、 berth shall be included in the Lay time unless the waiting has resulted from any action or inaction by Buyer; it is agent, the owner or master of the Vessel, including the granting of practice. Shifting time from anchorage to berth shall not count as Lay time. The time is required for the ballastin

52、g and for any delay caused by Vessels inability to discharge will not count as Lay time, even if on demurrage, delays due to the causes stipulated as Force Majeure in accordance with Article 11 shall not count as Lay time. Time is allowed for discharging and to be calculated on the basis of the Bill

53、 of Lading quantity. Lay time will cease count on completion of discharging. 裝卸時間應(yīng)該于給買方辦公室的書面通知的12小時后開始,無論船只有無實際停泊,或者在裝卸貨開始的不久,如果這12小時開始期滿于一個主要的中國假日,裝卸時間是從下一個工作日的上午7時開始。除非卸貨是很快開始的。等待泊位時間應(yīng)包括在裝卸時間內(nèi),除非因為是等待買方的任何行動或是因為買方不行動而等待。他是代理人,船只的擁有者或者船長。包括核準(zhǔn)執(zhí)行。即使在滯期內(nèi),從停泊處移動到泊位的移動時間不應(yīng)該被算做裝卸時間。任何因為船只壓艙所需時間及船只不做為的時間

54、均不能計算為卸貨時間。因第11條不可抗力條款所述之原因所造成的延誤,不應(yīng)計為裝卸時間。卸貨時間是被以提單的數(shù)量為基礎(chǔ)去計算的。裝卸時間應(yīng)該以卸貨的完成時間為準(zhǔn)到期。9.3.9Any cost for over time of the officers and crew of the Vessel shall always be to the account of Vessel. 任何船上的官員及船員的超時費用應(yīng)該總是計入船只的賬上。9.3.10The Vessel will furnish lighting necessary for night work on board the Vesse

55、l and its suitable safety gangway with net. Vessel is ought to provide working accommodation for foremen. Opening or closing the hatch covers shall be at Vessels cost.該船只應(yīng)該在船上提供夜間工作的照明設(shè)備和安全的通道。船只應(yīng)該為領(lǐng)班提供工作住宿。打開或關(guān)閉艙口蓋應(yīng)含在船舶的成本中。9.3.11Buyer shall bear all the Costs of discharging of Coal from the Vessel
