1、貿(mào)易中介合同范本貿(mào)易中介合同范本甲方(代理方)：乙方(委托方)：甲、乙雙方本著平等互利、共同發(fā)展原則，經(jīng)友好協(xié)商一致，乙方愿意委托甲方提供進(jìn)出口貨物報關(guān)委托書，并自愿達(dá)成如下協(xié)議：一、甲方接受乙方委托，提供進(jìn)出口貿(mào)易代理服務(wù)，代理乙方從事進(jìn)出口貿(mào)易及相關(guān)業(yè)務(wù)。二、甲方責(zé)任：提供報關(guān)委托書三、乙方責(zé)任：1.乙方負(fù)責(zé)與國外供貨商聯(lián)絡(luò)，確定貨物的規(guī)格、質(zhì)量、數(shù)量和價格條件;2.承擔(dān)進(jìn)出口過程中發(fā)生的一切費用(銀行費用、換單費、保險費、報關(guān)報檢費、檢驗檢疫費、運輸費、倉儲費等)，將上述款項直接支付給相關(guān)收款單位或交給第三方代付;3.乙方應(yīng)在接到關(guān)稅和海關(guān)代征增值稅稅票后按時向代收銀行繳納稅款;4.如代

2、理進(jìn)出口商品屬免稅、許可證商品，乙方負(fù)責(zé)辦理相關(guān)的手續(xù)或證明，由此引起的一切責(zé)任和損失由乙方負(fù)擔(dān);5.守法經(jīng)營，不偽報、不滿報，單單相符、單貨相符、如實申報、提供貨物的真實情況，對于偽報商品名稱、夾帶私運物品、高值低報、少報通關(guān)數(shù)量等違反相關(guān)法律法規(guī)的行為，乙方承擔(dān)一切責(zé)任和后果，并賠償給甲方造成的損失。四、在貿(mào)易合同執(zhí)行中，如因國外客戶或乙方的原因造成合同的變更、解除、終止或違反合同致使變更或終止本協(xié)議，甲方不承擔(dān)責(zé)任，因甲方代理行為的過錯造成的損失除外。五、甲方在執(zhí)行本協(xié)議中，對于乙方或第三方的經(jīng)濟(jì)、刑事等糾紛，甲方不負(fù)連帶責(zé)任。由此給甲方造成的損失，乙方承擔(dān)全部責(zé)任。六、如因執(zhí)行本協(xié)議發(fā)

Should either party fail to implement the terms and conditions herein, the other party is entitled to terminate this Agreement.10.仲裁Arbitration在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商達(dá)不成協(xié)議，則提交中國國際貿(mào)易促進(jìn)委員會對外貿(mào)易仲裁委員會，根據(jù)該會仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會的決定是終局的，對雙方均具有約束力。仲裁費用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。

14、All disputes arising from the execution of this Agreement shall be settled throunsultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in

15、accordance with its provisional rules of procedure. The decision made by this Commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party ,unless otherwise awarded.11.其他條款Other TermsConditions(1)甲方不得向經(jīng)銷地區(qū)其他買主供應(yīng)本協(xié)議所規(guī)定的商品。如有詢價，當(dāng)轉(zhuǎn)達(dá)給乙方洽辦。若有買主希

16、望從甲方直接訂購，甲方可以供貨，但甲方須將有關(guān)銷售確認(rèn)書副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給予乙方%的傭金。Party A shall not supply thedity to any other buyer(s) in the above mentioned territory. Direct enquiries, if any, will be referred to Party B. However, should any other buyers wish to deal with Party A directly, Party A may do so. But party A
