17、2個(gè)月，并以早到期者為準(zhǔn)。貨物到達(dá)口岸后由中國商檢機(jī)構(gòu)出具商檢證書，如發(fā)現(xiàn)品質(zhì)或數(shù)量或規(guī)格或重量與本合同不符時(shí)，除屬于保險(xiǎn)公司或船行責(zé)任外，或在保險(xiǎn)期限內(nèi)因制造廠商在設(shè)計(jì)制造過程中的缺陷造成貨物損害，賣方憑中國商檢機(jī)構(gòu)出具的檢驗(yàn)證明書，根據(jù)自己的選擇或?qū)ω浳镞M(jìn)行修理，或在買方提出索賠時(shí)，如果索賠屬實(shí)，立即予以賠償。如果發(fā)生索賠，所有因索賠引起的直接費(fèi)用（包括檢驗(yàn)費(fèi)、貨物修理或更換的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉儲(chǔ)費(fèi)及裝卸費(fèi)）均由賣方負(fù)擔(dān)，所有連帶損失（特別是利潤和停產(chǎn)損失等）不在索賠范圍之內(nèi)。Guarantee of quality: the sellers guarantee that the commo

After the arrival of the goods, at destination, the goods shall be inspected and the certificate of inspection shall be issued by China Commodity Inspection Age

Should the quality, specification, quantity and / or weight be found not in conformity with the stipulations of the contract, damages occur in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials, the sellers shall at their discretion, on the b

20、asis of Inspection Certificate issued by China Commodity Inspection Agency， repair or replace defective goods or undertake immediate compensation according to the state the claim is proven to be justified. In case of and specifications stipulated in this contract. The guarantee period shall be 12 mo

21、nths after putting the goods into commercial operation at site or 18 months after delivery ex-works, whichever comes earlier. All the relevant direct expenses (such as inspection charges, freight for returning the goods and for sending the replacement insurance premium, storage and loading and unloa

22、ding charges) shall be borne by the sellers. All further claims for defects, especially claims for consequential damages (loss of profit, loss of production and incidental damages )shall be excluded.17、不可抗力：由于一般公認(rèn)的人力不可抗拒原因（包括罷工和罷工引起的停產(chǎn)）導(dǎo)致不能裝船或裝船延誤，賣方不負(fù)責(zé)任。但賣方必須在事故發(fā)生時(shí)立即電告買方，并在事故發(fā)生后14日內(nèi)航空給買方災(zāi)難發(fā)生地之有關(guān)政府機(jī)

The sellers shall advise the buyers immediately by fax of the occurrence mentioned above and within fourteen days thereafter, the sellers shall send by airmail to the buyers for their acceptance a certificate of the accident issued by the competent government authori

25、ties or the chamber lf commerce where the accident occurs as evidence thereof. Under such circumstances the sellers, however, are still under the obligation to take all necessary measure to hasten the delivery of the goods. In case the accident lasts for more than two months, the buyers shall have t

26、he right to cancel the contract.18、延期交貨及罰款： 如果由于賣方的原因，賣方不能按合同規(guī)定的時(shí)間交貨，賣方同意在15天寬限期之后，付滯納金（非罰款）。滯納金按貨物的總額計(jì)算，每周為0.5 %，不到一周按一周計(jì)算，滯納金額不超過遲交部分的5 %。如果滯納金達(dá)到了總額，則買方可以終止遲交部分的交貨。所有其他損失，特別是連帶損失不在索賠的范圍之內(nèi)。Delayed delivery and penalty: should the sellers fail to make delivery on time as stipulated in the contract,

All further claims for delay, especially claims for consequential damages, shall be excluded.19、仲裁： 一切因執(zhí)行本合同或與本合同有關(guān)的爭執(zhí)，應(yīng)有雙方通過友好方式協(xié)商解決。如因協(xié)商不能得到解決時(shí)，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按其規(guī)則進(jìn)行仲裁。仲裁委員會(huì)的仲裁為終局裁決，對雙方均由約束力。仲裁費(fèi)用除仲裁委員會(huì)另有決定外，由敗訴一方承擔(dān)。Arbitration: A
