13、 Buyers within 2 workdays from the Seller.11、裝運(yùn)通知/Shipping Advice:貨物裝上飛機(jī)后，賣(mài)方應(yīng)立即以電報(bào)或傳真通知買(mǎi)方合同號(hào)、重量、裝箱尺寸、班次名、起飛日期和目的地。Immediately after the goods have been loading, the Sellers shall notify the Buyers by cable or FAX the contract number, weight, packing size, flights and taking off date of the plane and

14、 port of destination.12、索賠/Claims:在貨物到達(dá)目的地口岸90天內(nèi)，如發(fā)現(xiàn)貨物品質(zhì)、規(guī)格或/和數(shù)量與合同規(guī)定不符合時(shí)，除屬于保險(xiǎn)公司或航空公司責(zé)任者外，買(mǎi)方有權(quán)憑中國(guó)的商品檢驗(yàn)局出具的檢驗(yàn)證書(shū)向賣(mài)方索賠換貨或賠款，因此而發(fā)生之一切費(fèi)用（包括檢驗(yàn)費(fèi)、退貨及換貨運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉(cāng)儲(chǔ)費(fèi)及裝卸費(fèi)）由賣(mài)方負(fù)責(zé)。Within 90 days after the arrival of the goods at destination port, the quality, specifications or quantity be found not in conformity w

15、ith the stipulations of the contract except those claims for which the insurance company or air company is liable, the Buyers shall, on the strength of the Inspection Certificate issued by China Commodity Inspection Bureau, have the right to claim for replacement with new goods, or for compensation,

16、 and all the expenses (such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage and loading and unloading charges etc.), shall be borne by the Sellers.13、質(zhì)量保證/Warranty:賣(mài)方保證在加工產(chǎn)品材質(zhì)和操作維護(hù)符合正常要求的前提下，所售設(shè)備自驗(yàn)收證書(shū)簽署之日起12個(gè)月內(nèi)運(yùn)轉(zhuǎn)正常。The Sellers warran

17、ts that the machine units shall conform to the specifications and warranties free from defects in material and workmanship for 12 months from signing the Acceptance Certificate.14、人力不可抗拒因素/Force Marjorie:賣(mài)方對(duì)在設(shè)備制造及運(yùn)輸期間由人力不可抗拒因素而引起的延遲交貨或不能交貨不負(fù)任何責(zé)任。例如，在出現(xiàn)了戰(zhàn)爭(zhēng)、火災(zāi)、地震、臺(tái)風(fēng)、自然災(zāi)害以及其它賣(mài)方所不能合理控制的任何意外事故和情況而阻止或干擾了本

18、合同的履行時(shí)，賣(mài)方應(yīng)立即通知買(mǎi)方所發(fā)生的人力不可抗拒因素，并在14天內(nèi)，通過(guò)航空郵件將由事發(fā)當(dāng)?shù)卣畽C(jī)關(guān)頒發(fā)的事故證書(shū)寄給買(mǎi)方，供其核查。在這種情況下，賣(mài)方仍有義務(wù)采取必要措施加快交貨的速度。The Sellers shall not responsible for the delay in shipment or non-delivery of the good due to Force Marjorie, which might occur during the process of manufacturing or in the course of loading or transit,

19、 such as war, fire, flood, earthquake, typhoon, natural catastrophe and all other contingencies and circumstances whatsoever beyond the Sellers reasonable control preventing hindering or interfering with the performance thereof. The Sellers shall advise the Buyers immediately of the occurrence menti

20、oned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances the Sellers, however, are still un

21、der the obligation to take all necessary measures to hasten the delivery of the goods.15、遲交貨罰款/Delayed delivery and Penalty:如賣(mài)方不能按合同規(guī)定時(shí)間交貨時(shí)，除本合同第13條中所述的人力不可抗拒因素造成的延遲交貨外，如賣(mài)方同意支付罰款，買(mǎi)方應(yīng)同意推遲交貨期。罰款總額不應(yīng)超過(guò)貨物總價(jià)的5%。罰款金額為每7天罰0.5%，不滿(mǎn)7天以7天計(jì)算。如果交貨期的延遲超過(guò)10周，買(mǎi)方有權(quán)要求取消合同，而賣(mài)方仍應(yīng)及時(shí)支付上述罰款。Should the Sellers fail to make

22、 delivery on time as stipulated in the Contract, with exception of Force Marjorie causes specified in Clause 13 of this contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty. The penalty, however, shall not exceed 5% of the total amount the go

23、ods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the contrac

24、t, the Buyers shall have the right to cancel the contract, the Sellers in spite of the cancellation shall still pay the aforesaid penalty to the Buyers without delay.16、仲裁/Arbitration:凡有關(guān)執(zhí)行合同所發(fā)生的一切爭(zhēng)執(zhí)，雙方須通過(guò)友好協(xié)商解決，雙方如協(xié)商不能解決時(shí)，此爭(zhēng)執(zhí)應(yīng)提交設(shè)在中國(guó)上海的上海國(guó)際金融貿(mào)易仲裁委員會(huì)，按該仲裁委員會(huì)的仲裁程序進(jìn)行仲裁。仲裁地點(diǎn)為上海，仲裁委員會(huì)的裁決對(duì)合同雙方均有約束力。仲裁費(fèi)用由敗

25、訴方承擔(dān)。All disputes in connection with this contract or the execution thereof shall be settled by friendly negotiation. If no settlement can be reached, the case in dispute shall be submitted to China International Economic and Trade Arbitration Commission in Shanghai in accordance with the provisiona

26、l rules of procedures promulgated by the arbitration commission. The arbitration shall take place in Shanghai, China. Any decision made by the Arbitration Commission shall be accepted as final and binding upon both parties; neither party shall seek recourse to a law court or other authorities to app

27、eal for Revision of the decision. Arbitration fee shall be borne by the losing party.17、商品檢驗(yàn)/Commodities Inspection:貨物到達(dá)目的地口岸后，買(mǎi)方應(yīng)申請(qǐng)中國(guó)商品檢驗(yàn)局（以下簡(jiǎn)稱(chēng)為商檢局）就貨物的質(zhì)量、規(guī)格和數(shù)量進(jìn)行檢驗(yàn)。如發(fā)現(xiàn)貨物的規(guī)格或數(shù)量與合同不符，除應(yīng)由保險(xiǎn)公司或船運(yùn)公司負(fù)責(zé)的責(zé)任外，買(mǎi)方于貨物到達(dá)目的地口岸卸貨后90天內(nèi)憑商檢局出具的檢驗(yàn)證書(shū)有權(quán)拒絕接收貨物或向賣(mài)方索賠。After arrival of the goods at the destination port, t

28、he Buyers shall apply to the China Commodity Inspection Bureau (hereinafter called CCIB) for a preliminary inspection of the goods in respect of their quality, specifications and quantity or both, except those for which either the insurance company or the shipping company is responsible, the Buyers shall, within 90 days after dischargethe Sellers on the strength of the inspection certificate issued by CCIB.18、銀行費(fèi)用/Banking Charges:所有在中國(guó)境外發(fā)生的銀行費(fèi)用由賣(mài)
