10、e buyers of the Contract No. , commodity , quantity , invoiced value , gross weight , name of vessel and date of delivery etc. In case due to the sellers not having faxed in time , all losses caused shall be borne by the sellers.裝運(yùn)通知：賣方應(yīng)于裝貨后,立即用 將有關(guān)合同號(hào)、貨物、數(shù)量、發(fā)票價(jià)值、毛重、 運(yùn)輸工具名稱、交貨日期、貨物預(yù)計(jì)抵達(dá)日等資料通知買方.如果由于賣

11、方未能通知買 方而造成的所有損失均由賣方承擔(dān).13. GUARANTEE OF QUALITY:The Sellers guarantee that the Commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract. The guarantee period shall be

12、 12 months counting from the date of signing the Acceptance Report of this machine at the end-user's site.質(zhì)量保證：賣方保證合同貨物采用最好的材料、精湛的做工、全新、未使用過、質(zhì)量和技術(shù)規(guī)格均符合合同的要求.質(zhì)保期為最終用戶簽定驗(yàn)收?qǐng)?bào)告后12個(gè)月內(nèi).14. CLAIMS:Within 90 days after the arrival of the goods at destination , should the quality ,specification , or quant

13、ity be found in unconformity with the stipulations ofthe Contract except those claims for which the insurance company or not theowners of the vessel are liable,the Buyers shall , on the strength of theInspection Certificate issued by the State Administration for Entry-ExitInspection and Quarantine o

14、f P.R.C. or the site inspection report issued by theseller ' s engineer , have the right to claim for replacement with new goodsor for compensation , and all expenses (such as inspection charges,freightfor returning the goods and for sending the replacementinsurance premium ,storage and loading

15、and unloading charges etc.) shallbe borne by the Sellers.As regards quality , the Sellers shall guarantee thatif within 12 months fromthe date of signing the acceptance report of this machinedamages occur inthe course of operation by reason of inferiorquality,bad workmanship or theuse of inferior ma

16、terials , the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C. .TheCertificate so issued shall be accepted as the base of a claim. The Sellers in ac

17、cordance with the Buyers' claim shall be responsible for the immediate elimination of the defect(s) , complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s). If the Sellers fail to answer the Buyers within one month after receipt of

18、the aforesaid claim , the claim shall be reckoned as having been accepted by the Sellers.索賠：貨物抵達(dá)目的地后90天內(nèi),如果質(zhì)量、技術(shù)規(guī)格或數(shù)量發(fā)現(xiàn)與合同的規(guī)定不符除過保險(xiǎn)公司和運(yùn)輸公司的責(zé)任所負(fù),買方應(yīng)該依據(jù)中華人民共和國出入境檢驗(yàn)檢疫局的檢驗(yàn)報(bào)告或者是賣方的調(diào)試人員在安裝調(diào)試時(shí)出具的報(bào)告,有權(quán)要求替換或補(bǔ)償,所有的費(fèi)用包括商檢費(fèi)、替補(bǔ)件往返的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉儲(chǔ)費(fèi)、貨物裝貨卸貨費(fèi)等均由賣方承擔(dān).賣方的質(zhì)量保證為簽定關(guān)于此批貨物的驗(yàn)收?qǐng)?bào)告后12個(gè)月內(nèi)；由于貨物內(nèi)在的質(zhì)量、差的做工、選材不當(dāng)而造成操作中的貨

19、物損壞,買方應(yīng)立即書面通知賣方,并 同時(shí)隨附中國商檢局出具的檢驗(yàn)報(bào)告作為索賠依據(jù).賣方在接到買方的索賠后,有責(zé)任立即解決相應(yīng)的質(zhì)量問題、全部或局部地替換貨物或根據(jù)貨物損壞的程度進(jìn)行折價(jià)；如果賣方在收到買方的上述索賠后一個(gè)月內(nèi)未能作出答復(fù),那么視為索賠已為賣方所接受.15. FORCE MAJEURE:The Sellers shall not be held responsible for the delay in shipment ornon-delivery of the goods due to Force Majeure , which might occur during the p

20、rocess of manufacturing or in the course of loading or transit. The Sellersshall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter , the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Comp

21、etent Government Authorities where the accident occurs as evidence thereof. Under such circumstances the Sellers , however , are still under the obligation to takeall necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks , the Buyers shall have the

22、 right to cancel the Contract.不可抗力：對(duì)于制造或裝船運(yùn)輸過程中可能產(chǎn)生的不可抗力而造成的遲交貨或不能交 貨,賣方可以不承擔(dān)責(zé)任.賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方, 并且賣方應(yīng)用航空郵件將有關(guān)政府當(dāng)局部門出具的證實(shí)不可抗力產(chǎn)生的文件寄送給買 方.在此情況下,賣方仍應(yīng)盡最大努力采取各種舉措促使貨物的發(fā)運(yùn).如果事故持續(xù)十 周,買方有權(quán)取消該合同.16. LATE DELIVERY AND PENALTY:Should the Sellers fail to make delivery on time as stipulated in the Contract , with exception of Force Majeure causes specified in Clause 15 of this Contract.
