Thecontractorpromisestotheemployerthatheshallcarryoutandcompletealloftheconstructionworksinaccordancewiththecontractualprovisions

11、hereunder,andwillundertaketheresponsibilityofqualitywarrantyfortheprojectwithinthequalitywarrantyperiod.承包人向發(fā)包人承諾按照合同約定進(jìn)行施工、竣工并在質(zhì)量保修期內(nèi)承擔(dān)工程質(zhì)量保修責(zé)任。9. Theemployerpromisestothecontractorthatheshallpaytothecontractorthecontractpriceandanyotherpayableamountsinaccordancewiththepaymenttermsandmethodsasagree

12、dinthecontract.發(fā)包人向承包人承諾按照合同約定的期限和方式支付合同價(jià)款及其他應(yīng)當(dāng)支付的款項(xiàng)。10. Comeintoeffectiveness:合同生效Thepreconditionfortheeffectivenessofthiscontractisthefollowing:合同生效的前提條件：TheemployerhasobtainedanirrevocableandunconditionalperformanceguaranteeissuedbyamajorChineseBank,underwhichtheguaranteedvalueisRMB.發(fā)包人已經(jīng)獲得銀行簽發(fā)的不

Thedefinitionsofspecialwords:詞語定義Thefollowingwordsshallhavethedefinitionasdefinedinthisarticleunlessotherwisestipulatedinthiscontract.下列詞語除本合同另有約定外，應(yīng)具有本條所賦予的定義：1.1 TheEmployer:Thepartyasspecifiedintheagreementwhichisqualifiedtob

15、etheprojectemployerandisabletopaythecontractprice,andthelegalsuccessortothetitleoftheparty.發(fā)包人：指在協(xié)議書中約定，具有工程發(fā)包主體資格和支付工程價(jià)款能力的當(dāng)事人以及取得該當(dāng)事人資格的合法繼承人。1.2 TheContractor:ThepartyasspecifiedintheagreementthatisqualifiedforcontractingconstructionprojectandisacceptedbytheEmployer,andthelegalsuccessortothetitle

16、oftheparty.承包人：指在協(xié)議書中約定，被發(fā)包人接受的具有工程施工承包主體資格的當(dāng)事人以及取得該當(dāng)事人資格的合法繼承人。1.3 TheProjectManager:Therepresentativeasappointedbythecontractortoberesponsiblefortheconstructionmanagementandperformanceofthecontract.項(xiàng)目經(jīng)理：指承包人指定的負(fù)責(zé)施工管理和合同履行的代表。1.4 TheDesigner:ThecompanyentrustedbytheEmployertoberesponsibleforthedesi

17、gnofthisProject,whohasobtainedtherelevantqualificationcertificateforprojectdesign.設(shè)計(jì)單位：指發(fā)包人委托的負(fù)責(zé)本工程設(shè)計(jì)并取得相應(yīng)工程設(shè)計(jì)資質(zhì)等級(jí)證書的單位。1.5 TheSupervisor:ThecompanyentrustedbytheEmployertoberesponsibleforthesupervisionofthisProject,whohasobtainedtherelevantqualificationcertificateforprojectsupervision.監(jiān)理單位：指發(fā)包人委托的負(fù)

18、責(zé)本工程監(jiān)理并取得相應(yīng)工程監(jiān)理資質(zhì)等級(jí)證書的單位。1.6 TheEngineers:ThegeneralsupervisionengineerappointedbytheSupervisorandtheon-siterepresentativeofTKSBauplanungGmbH(whichisthedesignatedconsultantoftheEmployer).TheiridentityandauthoritywillbespecifiedbytheEmployerandtheContractorintheParticularTermsoftheContract.Fortheconv

19、enienceofdistinguishment,thegeneralsupervisionengineerandhisauthorizedrepresentativeswillindividuallybenamedastheSupervisionEngineerinthisContract,whiletheon-siterepresentativeofTKSBauplanungGmbHandhisauthorizedrepresentativewillindividuallybenamedastheTKSEngineerintheContract,collectivelyastheEngin

20、eers.工程師：指監(jiān)理單位委派的總監(jiān)理工程師及發(fā)包人指定的咨詢單位TKSBauplanungGmbH的駐工地代表，其具體身份和職權(quán)由發(fā)包人承包人在專用條款中予以約定。為便于區(qū)分時(shí)，總監(jiān)理工程師及其授權(quán)代表在本合同中單稱為“監(jiān)理工程師”，TKSBauplanungGmbH的駐工地代表及其授權(quán)代表在本合同中單稱為“TKS工程師”，兩者合稱為工程師。1.7 TheEmployersRepresentative:ThepersonasdesignatedbytheEmployerintheAgreementtocarryoutworkonbehalfoftheEmployeraccordingtot

21、heContract.發(fā)包人代表：發(fā)包人在協(xié)議書中指定的代表其根據(jù)本合同進(jìn)行工作的人員。1.8 TheEmployersPersonnel:TheEmployersRepresentative,anyotherstaff,workerandotheremployeeoftheEmployer,excludingthepersonneloftheSupervisor.發(fā)包人人員：系指發(fā)包人代表、以及發(fā)包人的所有其他職員、工人和其他雇員，監(jiān)理單位的人員除外。1.9 TheProjectPriceGoverningAuthority:TherelevantdepartmentoftheStateCo

22、uncil,theconstructionadministrativedepartmentsofthelocalgovernmentatorabovethecountylevelortheprojectpricegoverninginstituteasauthorizedbytheabovementioneddepartments.工程造價(jià)管理部門：指國務(wù)院有關(guān)部門、縣級(jí)以上人民政府建設(shè)行政主管部門或其委托的工程造價(jià)管理機(jī)構(gòu)。1.10 TheProject:TheprojectwithinthecontractingscopeagreedinthisagreementbytheEmployer

23、andtheContractor.工程：指發(fā)包人承包人在協(xié)議書中約定的承包范圍的工程。1.11 TheContractPrice:TheamountspecifiedinthisAgreementbybothPartiesthattheEmployershallpaytotheContractorprovidedthattheContractorhascompletedalltheworkswithinthecontractscopeandundertakentheresponsibilityofqualitywarrantyinstrictandfullcompliancewiththeco

24、ntractualprovisions.合同價(jià)款：指發(fā)包人承包人在協(xié)議書中約定，發(fā)包人用以支付承包人嚴(yán)格及全面按照合同約定完成承包范圍內(nèi)全部工程并承包質(zhì)量保修責(zé)任的款項(xiàng)。1.12 TheAdditionalContractPrice:IncasetheContractPriceneedstobeincreasedduringtheperformanceoftheContract,theincreasingpartcalculatedaccordingtothemethodagreedbybothPartiesaftertheconfirmationandapprovaloftheEmploye

25、r.追加合同價(jià)款：指在合同履行中發(fā)生需要增加合同價(jià)款的情況，經(jīng)發(fā)包人確認(rèn)及批準(zhǔn)后按雙方同意的方法增加計(jì)算的合同價(jià)款。1.13 Expenses:TheeconomicexpenditureexcludedintheContractPriceandtobebornbyeithertheEmployerorbytheContractor.費(fèi)用：指不包含在合同價(jià)款之內(nèi)的應(yīng)當(dāng)由發(fā)包人或承包人承擔(dān)的經(jīng)濟(jì)支出。1.14 ProjectPeriod:ThecontractingdaysthatarespecifiedintheAgreementbybothPartiesandarecalculatedasp

26、ercalendardays(incl.allweekendsandstatutoryholidays).工期：指發(fā)包人承包人在協(xié)議書中約定，按總?cè)諝v天數(shù)(包括所有休息日及法定節(jié)假日)計(jì)算的承包天數(shù)。1.15 TheCommencementDate:ThedateonwhichtheContractorcommencestheconstructionhereunderasspecifiedintheagreement.開工日期：指發(fā)包人承包人在協(xié)議書中約定的承包人開始施工的日期。1.16 TheCompletionDate:Theabsoluteorrelativedateonwhichthe

27、Contractorcompletestheworksunderthecontractscopeasspecifiedintheagreement.竣工日期：指發(fā)包人承包人在協(xié)議書中約定，承包人完成承包范圍內(nèi)工程的絕對(duì)或相對(duì)的日期。1.17 TheDrawings:AnyandallthedrawingssatisfactorytotheconstructionrequirementsoftheContractor(includingaccessorialinstructionsandrelatedmaterials),whicharepresentedbytheEmployer.圖紙：指由發(fā)

28、包人提供的，滿足承包人施工需要的任何及所有圖紙(包括配套說明和有關(guān)資料)。TheContractorsDrawings:AnyandallthedrawingssatisfactorytotheconstructionrequirementsoftheContractor(includingaccessorialinstructionsandrelatedmaterials),whichareprovidedbytheContractoraccordingtotherequirementsoftheEmployerandapprovedbytheEmployer.承包人圖紙：指由承包人根據(jù)發(fā)包

29、人之要求提供的并經(jīng)發(fā)包人批準(zhǔn)的，滿足承包人施工需要的任何及所有圖紙(包括配套說明和有關(guān)資料)1.18 TheSite:ThesiteprovidedbytheEmployerforthepurposeofexecutingtheProjectandanyotherplacespecifiedbytheEmployerintheDrawingsforthepurposeofexecutingtheProject.施工場(chǎng)地：指由發(fā)包人提供的用于工程施工的場(chǎng)所以及發(fā)包人在圖紙中具體指定的供施工使用的任何其他場(chǎng)所。1.19 Inwritingorwritten:Theformwheretheconte

30、ntsitcarriescanbetangiblyrepresented,suchagreements,lettersanddigitaldocuments(includingtelegrams,telexes,facsimiles,electronicdatainterchangeande-mails),etc.書面形式：指協(xié)議書、信件和數(shù)據(jù)電文(包括電報(bào)、電傳、傳真、電子數(shù)據(jù)交換和電子郵件)等可以有形地表現(xiàn)所載內(nèi)容的形式。1.20 Liabilityforbreach:TheliabilitytobetakenbyeitherPartywhofailstofulfillthecontrac

31、tualobligationsorfailstoperformitscontractualobligationsincompliancewiththeagreementshereunder.違約責(zé)任：指合同一方不履行合同義務(wù)或履行合同義務(wù)不符合約定所應(yīng)承擔(dān)的責(zé)任。1.21 Claim:TheclaimagainsttheotherPartyforeconomiccompensationand/orextendingtheProjectPeriodfortheactuallossesthatarecausednotduetohisfault,butduetoareasonattributable

32、totheotherPartyduringtheperformanceofthisContract.索賠：指在合同履行過程中，對(duì)于并非自己的過錯(cuò)，而是應(yīng)由對(duì)方承擔(dān)責(zé)任的情況造成的實(shí)際損失，向?qū)Ψ教岢鼋?jīng)濟(jì)補(bǔ)償和(或)工期順延的要求。1.22 ForceMajeure:Anyobjectivesituationthatisunforeseeable,unavoidableorunconquerableasdefinedindetailsinArticle37.1ofthisGeneralTermsoftheContract.不可抗力：指根據(jù)本通用條件第37.1款具體界定的任何不能預(yù)見、不能避免并不

33、能克服的客觀情況。1.23 Hourorday:IntheContract,whereaperiodisspecifiedtobecalculatedbyhour,theperiodshallbecalculatedfromtheeffectivecommencementoftheevent(thebreaktimenottobededucted);whereaperiodisspecifiedtobecalculatedbyday,thedayofcommencementshallnotbeincluded,andthecalculationshallstartfromthefollowin

34、gday.Wherethefinaldayofatimelimitfallsonapublicholidayorotherstatutoryholidays,thedayaftertheholidayshallbedeemedtobethefinaldayofthetimelimit,butthisshallnotapplytothecaseofCompletionDate.Closingtimeforthefinaldayofatimelimitshallbemidnight24:00.小時(shí)或天：本合同中規(guī)定按小時(shí)計(jì)算時(shí)間的，從事件有效開始時(shí)計(jì)算(不扣除休息時(shí)間)；規(guī)定按天計(jì)算時(shí)間的，開始當(dāng)

35、天不計(jì)入，從次日開始計(jì)算。時(shí)限的最后一天是休息日或者其他法定節(jié)假日的，以節(jié)假日次日為時(shí)限的最后一天，但竣工日期除外。時(shí)限的最后一天的截止時(shí)間為當(dāng)日24時(shí)。2. ContractDocumentsandInterpretationPriority合同文件及解釋順序2.1 ThedocumentsoftheContractshallbetakenasmutuallyexplanatoryandinterpretableofoneanother.Theirpriorityforinterpretationshallbeasfollows:合同文件應(yīng)能相互解釋，互為說明。所有這些合同文件的解釋順序如下

39、nshallbethefinalopinionwhenconfirmedbytheEmployer.當(dāng)合同文件內(nèi)容含糊不清或不相一致時(shí)，應(yīng)由工程師作出解釋，經(jīng)發(fā)包人認(rèn)可后作為最后意見。3. LanguageandApplicableLaws,StandardsandSpecifications.語言文字和適用法律、標(biāo)準(zhǔn)及規(guī)范。3.1 Language語言文字TheContractDocumentsshallbewritten,explainedandinterpretedinChineseandEnglish.本合同文件使用漢語、英文語言文字書寫、解釋和說明。Incaseofdiscrepan

40、cybetweentwoversions,theEnglishversionshallprevail.當(dāng)中英文解釋不一致時(shí)，以英文文本為準(zhǔn)。3.2 ApplicableLawsandRegulations適用法律和法規(guī)TheContractDocumentsshallbegovernedbytheChineselawsandadministrativeregulationsatthelevelofstate.本合同文件適用中國國家的法律和行政法規(guī)。3.3 ApplicableStandardsandSpecifications適用標(biāo)準(zhǔn)、規(guī)范TheEmployerandtheContractor

41、shallspecifythenamesoftheapplicablenationalstandardsandspecificationsintheContract;iftherearenonationalstandardsandspecificationsbutindustrystandardsandspecifications,thePartiesshallspecifythenamesoftheapplicableindustrystandardsandspecifications;iftherearenonationalorindustrystandardsandspecificati

42、ons,thePartiesshallspecifythenameofthelocalstandardsandspecificationstobeappliedwheretheProjectislocated.TheContractorshallprovidetheEmployerwithtwosetsofagreedstandardsandspecifications(asrequiredbytheEmployer).IncasethereexistsapplicablestandardsagreedbybothParties,suchagreedstandardsshallapplyint

43、hefirstplace.雙方在合同文件內(nèi)約定適用國家標(biāo)準(zhǔn)、規(guī)范的名稱；沒有國家標(biāo)準(zhǔn)、規(guī)范但有行業(yè)標(biāo)準(zhǔn)、規(guī)范的，約定適用行業(yè)標(biāo)準(zhǔn)、規(guī)范的名稱；沒有國家和行業(yè)標(biāo)準(zhǔn)、規(guī)范的，約定適用工程所在地地方標(biāo)準(zhǔn)、規(guī)范的名稱。承包人應(yīng)向發(fā)包人提供一式兩份約定的標(biāo)準(zhǔn)、規(guī)范(發(fā)包方需要的)。雙方有約定標(biāo)準(zhǔn)的，應(yīng)首先適用約定的標(biāo)準(zhǔn)。AlltheExpensesforpurchasingandtranslatingthestandardsandspecificationsormakingouttheconstructionprocessshallbebornebytheContractor.本條所發(fā)生的購買、翻譯標(biāo)準(zhǔn)

44、、規(guī)范或制定施工工藝的費(fèi)用，由承包人承擔(dān)。4. Drawings圖紙4.1 TheEmployershouldprovidetheContractorwith7setsofthespecifiedDrawings.IftheContractorneedsadditionalcopyoftheDrawings,theEmployershallduplicateitfortheContractorattheContractorscosts.TheContractorshallnotusetheDrawingsforpurposesirrelevanttotheProject.發(fā)包人應(yīng)向承包人提供7

45、套圖紙。承包人需要增加圖紙?zhí)讛?shù)的，發(fā)包人應(yīng)代為復(fù)制，復(fù)制費(fèi)用由承包人承擔(dān)。承包人不得將圖紙用于與工程無關(guān)的用途。4.2 TheContractormustnotprovidetheDrawingstoanythirdpartywithouttheEmployersapproval.WhenthequalitywarrantyperiodoftheProjectexpires,theContractorshallreturnalloftheDrawingstotheEmployerexceptforthosefortheContractorsfiling.承包人未經(jīng)發(fā)包人同意，不得將本工程圖紙轉(zhuǎn)

46、給第三人。工程質(zhì)量保修期滿后，除承包人存檔需要的圖紙外，應(yīng)將全部圖紙退還給發(fā)包人。4.3 TheContractorshallkeepafullsetoftheDrawingsattheconstructionSitefortheuseofProjectinspectionbytheEngineersandtheEmployersPersonnel.承包人應(yīng)在施工場(chǎng)地保留一套完整圖紙，供工程師及發(fā)包人人員進(jìn)行工程檢查時(shí)使用。GeneralRightsandObligationsofBothParties雙方一般權(quán)利和義務(wù)5. 56、sRepresentativeandtheEngineersjointly.TheinstructionornoticefromtheEngineersshallbesignedbytheEngineersandsenttotheProjectManagerinwriting,andshallbevalidatthetimewhentheProjectManagersignshispersonalsignatureandwritesthereceivingtimeonit.Whennecessary,theEngineerscanmakeanoralinstruction,whichshall
