9、d the principle of equality and mutual benefit, THE PARTIES HERETO HEREBY AGREE AS FOLLOWS: 1. 釋義INTERPRETATION 除非本協(xié)議另有規(guī)定，本協(xié)議中使用的下列詞語(yǔ)具有如下含義： In this Agreement unless the terms or context of this Agreement otherwise provide, the following terms shall have the meanings set out below: 1.1 某公司的“附屬公司”指被該

12、恒信，Zentric和捷榮根據(jù)合資企業(yè)法律法規(guī)和其他有關(guān)規(guī)定以及本協(xié)議的規(guī)定設(shè)立的中外合資有限責(zé)任公司。 “Company” shall mean Jilin Zentric Inc., the joint venture limited liability company formed by Hengxin , Zentric and Jet Glory pursuant to the Joint Venture Law, the Joint Venture Regulations, other relevant PRC laws and this Agreement. 1.4 “完成日期”

14、n” shall mean all information, know-how and records (in whatever form held) including but not limited to all information, know-how and records to be supplied by Hengxin , Zentric and Jet Glory to the Company as part of its contribution to the capital of the Company pursuant to this agreement and all

15、 formulas, designs, specifications, diagrams, data, manuals and instructions, customer lists, sales information, business plans and forecasts, technical or other expertise (including computer software), accounting and tax records, correspondence, orders and inquiries, which are confidential or not g

16、enerally known. 1.6 “商務(wù)部”指中華人民共和國(guó)商務(wù)部。 “Ministry of Commerce” shall mean Ministry of Commerce of the People’s Republic of China. 1.7 “合資企業(yè)法”指（不時(shí)修訂的）中華人民共和國(guó)中外合資企業(yè)法。 “Joint Venture Law” shall mean the Law of the PRC on Chinese-Foreign Equity Joint Ventures (as amended from time to time). 1.8

The division of this Agreement into Articles, Clauses, Sections, subsections, paragraphs and subparagraphs and the insertion of titles are only meant to be reference a

23、nd do not affect the meaning or the interpretation of the present Agreement. 2. 合資公司的成立ESTABLISHMENT OF THE JOINT VENTURE COMPANY 2.1根據(jù)本協(xié)議所規(guī)定的條款和條件，并有賴于雙方在本協(xié)議中所作出的聲明、保證和承諾，雙方同意根據(jù)合資公司章程、合資企業(yè)法、合資細(xì)則以及中國(guó)其他法律法規(guī)和本協(xié)議的規(guī)定，組建合資公司。 Subject to the terms and conditions of this Contract and in reliance upon the r

24、epresentations, warranties and undertakings in this Agreement, the Parties hereby agree to establish the Company pursuant to the Articles of Association and in accordance with the Joint Venture Law, the Joint Venture Regulations and other relevant PRC laws and regulations and the provisions of this

25、Agreement. 3.1 組成Formation 若三方對(duì)調(diào)研結(jié)果滿意，同意組成合資公司并發(fā)展，操作該項(xiàng)目，則雙方比例分配如下： Zentric （或其指定子公司）：70% 恒信 (或其子公司)：20% 捷榮 (或其指定子公司): 10% If each of the parties hereto is satisfied with the results of the Study, the parties agree to form a joint venture for the purpose of developing and operating the Project by way

26、 of a corporate entity of which they will each hold the following percentage of all issued and outstanding shares: i. ZENTRIC (or any affiliated company designated by Zentric): 70%; ii. HENGXIN (and/or its Associates): 20% iii. Jet Glory (or its Associates): 10% 3.2 合資公司的名稱和住所Name and Address of the

27、 Company (有關(guān)資料後補(bǔ)) a) 公司的中文名稱為：“吉林北美鑫捷科技有限公司”，英文名稱為：“JILIN ZENTRIC INC.”。 The name of the Company shall be “吉林北美鑫捷科技有限公司”in Chinese and “JILIN ZENTRIC INC.” in English b) 公司法定住所地為 :( 吉林市, 吉林省, 中華人民共和國(guó) The legal address of the Company shall be ,Jilin City, Jilin Province, PRC. c) 經(jīng)董事會(huì)同意以及批準(zhǔn)本協(xié)議的審批機(jī)關(guān)批準(zhǔn)，

28、合資公司可以在中國(guó)其他省份設(shè)立子公司、分公司、辦公室及/或生產(chǎn)設(shè)施。 The Company may establish subsidiaries, branches, offices and/or manufacturing facilities in other provinces in the PRC with the consent of the Board and the approval of the Authority (ies) which approved this Agreement. 法律和法令Laws and Decrees 合資公司為中國(guó)法律體系下的法人，其活動(dòng)受中國(guó)

29、法律、法規(guī)以及其他規(guī)則和規(guī)定的制約和保護(hù)。 The Company shall be a legal person under PRC laws. The activities of the Company shall be governed and protected by the laws, regulations and relevant rules and regulations of the PRC. 3.4 有限責(zé)任公司Limited Liability Company 合資公司是根據(jù)中國(guó)法律法規(guī)設(shè)立的有限責(zé)任公司。合資雙方根據(jù)各自在注冊(cè)資本中所占的比例分享利益并承擔(dān)風(fēng)險(xiǎn)和損失。

30、The Company shall be a limited liability company, founded in accordance with the laws and regulations of China. The Parties shall share the profits and assume the risks and losses in the proportion to their respective shares of the registered capital. 3.5 附表所列合同Contracts as per attached Schedule 雙方同

31、意，一俟合資公司成立，則雙方應(yīng)通過(guò)其提名的董事，使合資公司批準(zhǔn)簽署并履行本協(xié)議中的附件。 The Parties hereby agree to cause the Company, immediately upon its formation, by acting through the individual directors of the Company nominated by the Parties, to approve the entering into and performance of the Annexes of this Agreement. 4. 生產(chǎn)目的和經(jīng)營(yíng)范圍P

32、URPOSE, SCOPE AND SCALE OF BUSINESS 4.1 生產(chǎn)目的Purpose of the Company 合資公司的生產(chǎn)目的是，本著加強(qiáng)經(jīng)濟(jì)合作和技術(shù)交流的愿望，采用先進(jìn)而適用的技術(shù)和科學(xué)的經(jīng)營(yíng)管理方法，建立一個(gè)先進(jìn)的電池生產(chǎn)廠； The purpose of the Company is to establish a battery manufacturer with advanced and proper technology and scientific business and management methods under the expectation

33、 of strengthening economic cooperation and technical communications. 經(jīng)營(yíng)范圍Business Scope of the Company 合營(yíng)公司經(jīng)營(yíng)范圍是，制造,營(yíng)銷和供應(yīng)有關(guān)電池產(chǎn)品給中國(guó)和國(guó)際市場(chǎng)。 JV Company will produce,sell and supply the batteries to the market of China and Internationally. 5注冊(cè)資本和投資總額Registered Capital and Total Investment 合資公司的注冊(cè)資本為人民幣【估

36、 20 percent share of the JV company. 5.2 Zentric對(duì)合資公司出資額相當(dāng)于人民幣一千二佰萬(wàn)元，加上批準(zhǔn)合資公司擁有獨(dú)家生產(chǎn)Zentric現(xiàn)在已經(jīng)完成在美國(guó)產(chǎn)品專利的生產(chǎn)權(quán) (美國(guó)專利編號(hào): ) 和提供所有技術(shù)投入合資公司，在注冊(cè)資本中所占合資公司百分之七十股權(quán)。 Zentric’s contribution to the registered capital of the Joint Venture Company shall be the equivalent of Twelve million Yuan (RMB) , and

39、et. 5.4 出資證明書Investment Certificates 恒信或Zentric 或捷榮完成對(duì)注冊(cè)資本的出資后，在國(guó)內(nèi)注冊(cè)的會(huì)計(jì)師應(yīng)驗(yàn)證各方的有關(guān)出資并出具驗(yàn)資報(bào)告。有關(guān)費(fèi)用由合資公司承擔(dān)。合資公司在收到驗(yàn)資報(bào)告后三十（30）日內(nèi)，應(yīng)分別向恒信和Zentric和捷榮出具一份由董事長(zhǎng)簽署的載明各方出資的出資證明書。 Promptly on or after the contribution by each of the Parties of the registered capital, an accountant registered in China shall, at the

Thereupon, the Company shall, within thirty (30) days after receiving the contribution verification report, issue an investment certificate to each Party signed by the Chairman of the Board and

41、specifying their respective contributions to the registered capital of the Company. 6 股權(quán)轉(zhuǎn)讓Assignment of shares 6.1 根據(jù)本協(xié)議下文規(guī)定的條款和條件，任何一方（轉(zhuǎn)讓方）未經(jīng)另一方的事先書面同意，均不得將其在合資公司的全部或部分出資轉(zhuǎn)讓、出售或者以其他方式處理給第三方。 Subject to the terms and conditions set forth below, no Party (assignor) may assign, sell or otherwise dispos

44、t to any of its affiliated company it may designate in writing to Hengxin in which case, the name "Zentric" used hereunder shall designate any such affiliated company and Modena 1, Inc. shall be automatically released from any and all its obligations hereunder so assigned and trans

45、ferred.Hengxin hereby consents to the assignment of all or part of Zentric’s interest in the Company to any of Zentric’s Affiliates, and waives its pre-emptive right to purchase Zentric’s interest which is transferred to such overseas Affiliate or Affiliates. Zentric wi

46、ll notify Hengxin in writing not less than thirty (30) days prior to any such assignment. 6.3盡管本協(xié)議有其他規(guī)定，且根據(jù)董事會(huì)的批準(zhǔn)，若恒信、Zentric , 捷榮或其關(guān)聯(lián)公司因法律實(shí)施或監(jiān)管機(jī)構(gòu)的要求或因其他原因而須轉(zhuǎn)讓在合資公司的全部或部分權(quán)益的，其應(yīng)首先向另一方提出要約，或者可以任意處理有關(guān)的權(quán)益，但另一方在同等價(jià)格下有優(yōu)先購(gòu)買權(quán)。 Notwithstanding any other provision in this Agreement and subject to the approval

47、 of the Board, in the event that either Hengxin or Zentric or Jet Glory or its Affiliates is required by operation of law or by a regulatory agency or for any other reasons to sell, transfer or dispose of all or part of its interests in the Company, it shall first offer its interests to the other Pa

48、rty and otherwise shall be free to select the person to whom it shall sell, transfer, or dispose of the equity interests in question, but the other Party will still retain priority to buy at the same price. 7 . 三方提供的融資Financing by the parties 三方為合資公司提供融資和常規(guī)的費(fèi)用支出的條款應(yīng)由三方進(jìn)行協(xié)商，協(xié)商時(shí)應(yīng)考慮、預(yù)算方案和研究結(jié)果。 The term

50、恒信的責(zé)任Responsibility of Hengxin 除本協(xié)議規(guī)定的其他義務(wù)外，恒信還應(yīng)履行下列義務(wù)： In addition to its other obligations under this Agreement, Hengxin shall: 8.1.1在Zentric 和捷榮的協(xié)助下進(jìn)行設(shè)立和運(yùn)營(yíng)合資公司所必需的審批、許可、發(fā)照和登記等工作； With the assistance of Zenric and Jet Glory, apply for all necessary approvals, permits, licenses and registrations re

51、quired for the establishment and operation of the Company; 8.1.2 協(xié)助Zentric 和捷榮和合資公司申請(qǐng)并取得合資公司可享有的稅務(wù)優(yōu) 惠 和關(guān)稅減免，以及其他可獲得的鼓勵(lì)投資的優(yōu)惠待遇； Assist Zentric and Jet Glory and the Company in applying for and obtaining preferential tax and customs duty reductions and exemptions and the benefit of other investment in

52、centives available to Zentric and the Company; 8.1.3 協(xié)助合資公司的境外員工以及Zentric和捷榮或其關(guān)聯(lián)公司的員工及員工家屬辦理與合資公司業(yè)務(wù)有關(guān)的出入境手續(xù)，以獲得出入境的簽證，并協(xié)助辦理其住宿和工作簽證問(wèn)題. 54、vant contracts as per attached Schedules and /or Appendices; 8.1.5 協(xié)助合資公司在中國(guó)開(kāi)立人民幣和外匯賬戶； Assist the Company in opening RMB and foreign exchange bank accounts in China; 8.1.6 協(xié)助合資公司招聘地方員工、技術(shù)人員、管理人員以及其他職員； Assist the Company to employ local employees, technical and managerial staff and other personnel;
