2、NOWTHEREFORE:ThePartiesagreetotheTermsandConditionsasfollows:在此：雙方同意以下的合同條款SCOPEOFTHECONTRACT:合同適用范圍：a)TheSeller,underfullauthorityandresponsibility,declarestha thehasthecapabilityandunrestrtedrighttoselltheGoldandguaranteesthatheiscapabletolegallyeporttheGoldDust.賣方在完全權(quán)利和責(zé)任下，聲明其有才能和自由權(quán)利去銷售黃金及保證是合法出

3、售。Sellermustpaythefulloflocaltaes,duties,insurance,smelting/assay,governmentfees,shippingcostfromlocationofgoldtoloadingairport,shippingcostfromdepartureoforintobuyerdesignatedairport.賣方必須全額支付當(dāng)?shù)囟愘M，關(guān)稅，保險，檢驗，政府費用，從當(dāng)?shù)氐綑C場運費，機場到最終買方目的地機場運費。Afterthegoldisdeliveredtobuyerdesignatedairport,SellerRepresentat

4、iveorShippingAgentmustallowthebuyertoseeandinspectthewholequantityoftheproductinperson.SellerRepresentativeorShippingAgentisnotallowedtoaskforrandomslefeeordiplomatfeeorsecuritystoragefeeorreleasechargeorwarehousefee,etc.Paymentismade100atagobyswifttransferaftersatisfactoryfinalassayreportforthewhol

5、equantityinbuyerselectedrefinery.當(dāng)黃金運送到達買方目的地機場，賣方代表人或運輸代理必須同意讓買方親自看和檢測全部的數(shù)量。賣方代表人或運輸代理不能收取隨機抽樣費或者外交費或者平安保管費或者倉庫發(fā)放費等等，100 的貨款必須在買方的精煉廠對全部數(shù)量做出最終的滿意報告后進展電匯。b)TheBuyer,underfullcorporateauthorityandresponsibilitydeclaresthatheandhisassociateshavethefullcapabilityurchasetheun-refinedgoldandsuchpurchasew

6、illbeincreasedwithoptionsofannualetensions.買方在完全法人權(quán)利和責(zé)任下聲明其和其合作伙伴完全由才能去采購未提煉的黃金及今后將會增加年度采購量。AnyecuseofdelayedorpartialpaymentisnotaeptedafterfinalassayandthevalueaeptedbybothBuyerandSeller.當(dāng)雙方承受最終的檢驗報告和承受其價值后，任何的延遲或局部付款理由都不再承受。c)Shouldanyirregularitiesduringthecourseofthiseerciseiseecuteddetailsshal

10、rencyonly.本協(xié)議的參考價格將是美元轉(zhuǎn)帳DELIVERYTERMS:交貨條款a)ThedeliverytermsforthisS.P.A.agreementshallbeonaCIFbasis(byAir-cargo)totheBuyersdesignatedairport本協(xié)議的交貨條款為 CIF(空運)到買方目的地機場b)TheSellerwillpayalltaes,duties,insurance,etc,inthecountryoforin.賣方將在原產(chǎn)國支付全部的稅費，關(guān)稅，保險等b)TheSellerwillbeartheshippingcostfromthedepart

11、urepoint(Ara,Ghana)totheBuyersdesignateddestinationairport.賣方將要承當(dāng)從出發(fā)站阿克拉到買方目的地機場運費c)TheBuyerwillclearshipmentofGoldDustthroughCustomsattheportofimport.TheBuyerwilltransportthegoldfromBuyersdesignatedairportundertheSellersnamebutattheBuyersCosttotheBuyersdesignatedrefinery.買方將在進口港通過海關(guān)進展黃金的清關(guān)e)TheBuye

12、rwillbephysallypresentatCustomsoftheportofimportandtoinsureallprocedureshavebeenfollowedandactualdeliverywaspletedtotherefinery.BuyerwillnotifytheSellerofsuessfulpletionofeventsinwrittenform.買方將要在進口海關(guān)確保整個流程是按照實際的完好交貨到精煉廠，買方要以書面形式通知賣方事情已成功辦理完成了。f)LegalOwnershipofGoldDustisretainedbytheSelleruntilthep

13、aymentinfullisreceivedbySellersbankfromtheBuyer.黃金的法定所有權(quán)保存在賣方手里直到收到買方的所有貨款。PAYMENTTERMS:付款方式：FinalpaymentfortheGoldshallbemadebyWireTransfertotheSellersdesignatedBank,within48hoursafterreceiptoffinalassayreportfromtherefinery.PaymentNotewillserveaspartofthecontractandhasthesamelegaleffect.在收到精煉廠的檢驗報

14、告的 48 小時內(nèi)，最終的貨款將通過轉(zhuǎn)賬到賣方指定的銀行賬戶，付款通知將視為合同的一局部及擁有相等的法律效力PROCEDURE:程序：1.BuyersignsthisAgreementande-mailsittoSellerforhissignature.SellersendssignedAgreementtotheBuyerviae-mail.買方簽了這個協(xié)議并通過郵件發(fā)給賣方簽名。2.TheBuyershalladvisehis/herbanktoissueaSwiftmessageMT799ForproveoffundasabilitytoaffectthepaymentafterAss

15、ayreportforthevalueofthegolddustandsentviaSWIFTtoSellersBankasasecurityforthetwoparties.買方要通知其銀行發(fā)出 MT799 的電文做資金支付才能證明以便驗貨認可后能電匯給賣方銀行的對雙方的保證。3.UponreceiptofconfirmationslipofthebankMT799bySellersnominatedbankSellermencepackangofthesaidquantityanddeliv ertothechoeofRefineryoftheBuyerforfinalAssaytonec

16、essitateout-rightfullpayment一旦賣方指定銀行收到 MT799 電文確實認書，將會著手包裝所說的數(shù)量和交貨到買方選擇的精煉廠做最后的檢驗以便全款的順利支付4.Within10workingdaysofreceiptoftheconfirmationslipoftheMT799,theSellerwilldeparttoBuyersdestination.在接到銀行 MT799 確實認電文 10 天內(nèi)，賣方將動身去買方的目的地5.TheBuyermustinspectandconfirmthewholelotofthesaidquantityinperson.買方必須親

17、自進展整批貨數(shù)量的檢驗和確認6.AssaywillbeconductedatBuyers aountatthepresenceofbothbuyerandSellerinBuyerschoeofrefineryin當(dāng)買方和賣方現(xiàn)場在買方指定的精煉廠時，檢驗費將由買方賬號扣除7.PaymentwillbefacilitatedbyanAuthorityInvoefromtheSeller.付款將按照由賣方出具的一份權(quán)威發(fā)票進展。8.PaymentbytheBuyershallbemadetotheSellersdesignatedBankwithin5daysafterreceiptoffina

18、lassayreportfromtherefineryanditsvaluewillbeaeptedbybothBuyerandSeller.在接收到由買方指定的精煉廠發(fā)出的雙方都承受的最后檢驗報告的 5 天內(nèi)買方要付款給賣方指定的銀行。DOCUMENTS:文件：Theshipmentanddeliveryshallbeidentifiedwithallassignedcontractreferencecodesandnumbers.SellerrovidethefollogdocumentstoBuyerpriortoarrivalofthegold:發(fā)貨和交貨應(yīng)該等同于所簽合同參考的編號和數(shù)字，賣方提早提供以下文件給買方a)TwoorinalsofCommercialInvoesinfavouroftheBuyer2 份買方贊同的正式的商業(yè)發(fā)票b)CertifateOfOrin 原產(chǎn)地證c)CertifateOfOwnership 所有者證明d)EportPermit
