服務(wù)合同ServiceContract中英文

1、維護(hù)服務(wù)合同Themaintenanceservicecontract根據(jù)中華人民共和國(guó)合同法等相關(guān)的法律和法規(guī)，委托方和受托方本著平等互利，等價(jià)有償，誠(chéng)實(shí)信用的原則，在協(xié)商一致的基礎(chǔ)上簽訂本合同，就委托方的服務(wù)事宜，達(dá)成以下協(xié)議。Thiscontractwasmade,withtheprincipalofmutualbenefitandgoodfaith,inaccordancewiththe“ContractLawofthePRC”andrelatedlaw,regulationand/orinterpretations,byandbetweentheentrustingpartyandt

2、rustee,subjecttotheservicesthatprovidedhereunder.一、服務(wù)范圍和服務(wù)時(shí)間、服務(wù)條款、合同金額I,Scopeofservices,BusinessHours,ServiceItemsandContractValue1、受托方負(fù)責(zé)對(duì)附件一的服務(wù)產(chǎn)品清單，按合同約定在服務(wù)期間內(nèi)完成技術(shù)服務(wù)。Thetrusteeshall,withintheagreedserviceperiodhereof,beresponsibleforcompletethetechnicalservicesthatexhibitinAppendix12、受托方將按照合同附件一約定的

3、服務(wù)條款標(biāo)準(zhǔn)在合同約定期限內(nèi)，提供合同所列的服務(wù)。Thetrusteeshall,inaccordancewithservicestandardoftheAppendix1ofthiscontractandwithintheagreedcontractperiod,providethelistedservice.3、合同附件一：服務(wù)產(chǎn)品清單及服務(wù)條款，是本合同不可分割的一部分。Appendix1:Productlistandserviceitemsshallbedeemedasanintegralpartofthiscontract.4、服務(wù)合同總金額為¥元，大寫：人民幣元整,此價(jià)格

4、為包括服務(wù)費(fèi)、差旅費(fèi)、人工費(fèi)、稅費(fèi)等項(xiàng)費(fèi)用的最終價(jià)格。thetotalamountofthisservicecontractis¥(RMBonly),thisamountisall-inprinceandshallincludebutnotlimitedservicefees,travelexpenses,laborcost,taxesandotherexpenses.二、雙方的義務(wù)n,theobligationsoftheparties委托方的義務(wù)EntrustingPartysobligation1、當(dāng)故障發(fā)生時(shí)，須以書面或電話、郵件形式向受托方提供詳細(xì)的故障說明，以幫助受托方人

5、員作出正確的故障判斷。Wheneverthefailurehappens,theentrustingpartyshallusewrittennotice,telephoneoremailinformtrusteewithdetailedfailureexplanations;toconvenientthetrusteemakecorrectresolvesolution.3、為受托方實(shí)施服務(wù)提供必要的人員、場(chǎng)地和其他環(huán)境安排。Theentrustingpartyshall,fortheconvenientoftrustee,providethenecessarypersonnel,venues

6、andotherenvironmentalarrangement.受托方的義務(wù)TheTrustee'sObligations1、 受托方按照合同附件一中的服務(wù)條款就合同附件一中服務(wù)內(nèi)容，向委托方提供保證質(zhì)量的服務(wù)。Thetrusteeshall,inaccordancewiththeserviceclauseinAppendix1,providequalityguaranteetotheentrustingparty.2、 其它按照本合同應(yīng)當(dāng)由受托方完成或協(xié)助完成的工作。Otherworksshouldbeassistedbytheentrustingpartythatpursuant

7、tothiscontract.3、 違約責(zé)任m,theliabilityforbreachofcontract3、受托方未按照合同約定保證質(zhì)量地完成工作任務(wù)，每違約一次按服務(wù)合同總額的%計(jì)算向委托方支付違約金，違約金最多不超過當(dāng)月服務(wù)合同額的50%。Ifthetrusteefailuretocompletetherequiredworkthatpursuanttotherequirementofthequalityguaranteeofthiscontract,thetrusteeshallpaytotheentrustingpartyliquidateddamages%ofthecontra

8、ctvalueforeachbreach,butthetotalliquidateddamagesshallnotexceed50%ofthecontractvalue.4、 付款方式：IV,Paymentterms委托方收到受托方發(fā)票并不說明委托方已經(jīng)向受托方支付了合同全款。雙方一致認(rèn)同，委托方貨款支付以到達(dá)受托方指定銀行賬戶為標(biāo)準(zhǔn)。Bothpartiesagreethatthepaymentbyentrustingpartyenterintothedesignatedbankaccountofthetrusteeshallbedeemedaspaymentaccomplished.合同簽訂

9、生效后30天內(nèi)，買方向賣方支付合同全款。買方付款前，賣方向買方提供合同全額的增值稅專用發(fā)票，對(duì)應(yīng)稅率見附件約定.Within30daysofthiscontractsigned,thebuyerpaytothesellerfullamountofthiscontract.Butbeforethepaymentismade,thesellershallissuetheVATinvoicewithfullamountofthecontractvaluetothebuyer,therelevanttaxrateshallbeexhibitinappendix.5、 解決爭(zhēng)議V,Disputereso

10、lution如履行本合同發(fā)生爭(zhēng)議，雙方應(yīng)首先協(xié)商解決。如協(xié)商不成，任何一方均可向委托方所在地的人民法院提起訴訟，通過法律程序予以解決。Intheeventofanydisputesarisebythiscontract;suchdisputeshallberesolvedthroughfriendlynegotiation;iffailuretomaketheconsensusofthepartiesthroughnegotiation,eitherpartymaybringsuchdisputetothepeoplescourtwheretheentrustingpartylocated.6

11、、 不可抗力、政府行為及免責(zé)條款VI,Forcemajeure,governmentbehaviorandtheexemptionclause1、本合同雙方中任何一方面臨不可抗力事件，包括但不限于火災(zāi)、水災(zāi)、地震、臺(tái)風(fēng)、自然災(zāi)害、原廠商原因等過程中可能發(fā)生的不可預(yù)見、不可避免且無(wú)法控制的情況，致使合同履行遲延或履行不能，受不可抗力影響的一方應(yīng)以書面形式將相關(guān)情況及時(shí)通知對(duì)方，除支付義務(wù)外本合同約定履行期限應(yīng)自動(dòng)順延。如前述不可抗力致使合同履行遲延或不能履行的情況持續(xù)達(dá)一百二十日，且雙方未能就合同變更達(dá)成一致意見的，未受不可抗力影響的一方可提前一周通知對(duì)方后終止合同；Intheeventofan

13、hallusewrittennoticetoinformtheotherpartyabouttheforcemajeureevent,exceptotherwisethepaymentobligations,otherperformanceliabilitiesshallbeextendaccordingly.Ifthecontinuousoftheaforesaidcircumstancemakestheperformanceofthiscontractdelayedorunperformedover120colanderdays,andthebothpartiesfailuretomake

14、newagreement,theunaffectedpartymayupononeweekinadvancewithwrittennoticetoterminatethiscontractwithoutanyotherliabilities.2、因政府頒布法律、法規(guī)、行政命令及相關(guān)權(quán)力機(jī)關(guān)抽象行政行為原因?qū)е氯魏我环竭t延或不能履行本合同所約定義務(wù)的，應(yīng)及時(shí)通知對(duì)方，合同約定的履行期限相應(yīng)順延，因此造成的對(duì)方損失彼此不承擔(dān)違約責(zé)任。合同任何一方上級(jí)主管單位針對(duì)本合同相關(guān)項(xiàng)目的具體行政行為導(dǎo)致該方無(wú)法履行合同的不在免責(zé)范圍之內(nèi)。Anydelayorfailureperformancetothisc

16、asons.Nevertheless,anyspecificadministrativeactthatleadtothiscontractcannotbeperformedshalldefinitelynotbeincluded.7、 商業(yè)秘密VU,Confidential委托方和受托方均有義務(wù)對(duì)在本合同簽訂、履行過程中知悉的另一方的商業(yè)秘密予以保護(hù)，不得向其他任何第三方泄露，本合同項(xiàng)下的商業(yè)秘密包括雙方明示并通過書面形式確認(rèn)的文件或以其他載體存在的文件或信息。保密期限將不受本合同期限的限制。受托方在履行本合同過程中觸及和知曉的有關(guān)委托方的設(shè)備、網(wǎng)絡(luò)情況、業(yè)務(wù)程序及方式、管理的方法制度和專有技

17、術(shù)等，無(wú)論此種信息的形式和目的為何，均為委托方的保密信息，未經(jīng)一方書面同意，另一方不得復(fù)制、記錄或以其他方式泄露上述信息。Bothparties,knowingtheotherpartysconfidentialinformationbeforeorduringthiscontractperformance,shallkeepsecretandneverreleasetoanythirdparty;theconfidentialhereofshallmeans,explicitorimplied,anytypeofwrittendocumentoranyotherinformationorme

18、ssagestoredinanymedia.Thetrustee,duringtheperformanceofthiscontact,withknoworobtainanyinformationaboutequipment,network,businessprocessorstructures,managementsystemsorproprietaryinformationandetc.thatbelongtotheentrustingparty,irrespectiveoftheinformationtypeorpurpose,theconfidentialinformationshall

19、remainbelongstotheentrustingparty,withoutwrittenconsent;thetrusteecannotcopy,recordorreleasebyanyothermethod.8、 技術(shù)成果歸屬W,Ownershipofthetechnicalachievement1、委托方利用受托方提交的技術(shù)服務(wù)工作成果所完成的新的技術(shù)成果，歸委托方所有。Anynewtechnicalachievement,theentrustingpartycreatebyusingtechnicalserviceprovidedbytrustee,shallbeownedbye

20、ntrustingparty.2、受托方在服務(wù)過程中獲得的技術(shù)成果，包括但不限于新技術(shù)、新工藝、新方法、新發(fā)明、新發(fā)現(xiàn)等，所有權(quán)及知識(shí)產(chǎn)權(quán)的歸受托方所有。Thenewtechnicalresultsacquiredduringtheserviceterms,includingbutnotlimitedtonewtechnology,invention,newdiscoveryandetc.,theownershiporintellectualpropertyrightshallalwaysbelongstotheentrustingparty.九、權(quán)利瑕疵擔(dān)保IX,GuaranteeOblig

21、ations因執(zhí)行本合同的需要，合同一方提供的與本合同有關(guān)的設(shè)備、材料、工序工藝、軟件及其他知識(shí)產(chǎn)權(quán)，應(yīng)保障對(duì)方在使用時(shí)不存在權(quán)利上的瑕疵，不會(huì)發(fā)生侵犯第三方知識(shí)產(chǎn)權(quán)等情況。若發(fā)生侵害第三方權(quán)利的情況，提供方應(yīng)負(fù)責(zé)與第三方交涉，并承擔(dān)由此產(chǎn)生的全部法律和經(jīng)濟(jì)責(zé)任。因侵權(quán)給合同另一方造成損失的應(yīng)給予賠償。Duringthecontractperiod,anyequipment,material,technicalprocess,software,orotherintellectualpropertythatusedtoperformthiscontractbyoneparty,thepartys

22、hallensure,usingtheaforesaid,willnorightdefectsandwillnotinfringetheintellectualpropertyofanythirdparty.Intheeventoftheinfringement,theprovidingpartyshallbesolelyresponsibleforanyliabilityofboththelegalandeconomical,andshallbeindemnifyforthelossthatcausedtotheotherparty.十、其它事項(xiàng)：X,Miscellaneous1、本合同自委托方和受托方加蓋雙方印章后生效，合同傳真件等同原件，有同等法律效力。本合同一式陸份，委托方執(zhí)叁份，受托方執(zhí)叁份。未盡事宜，依照中華人民共和國(guó)合同法的規(guī)定處理。Thiscontractshallbeenforceableonlyuponthesignedandsealedbythedulyauthorizedrepresentatives;thefacsimileshallbedeemedastheoriginalandenjoysamelegalforcewiththeoriginal.Thiscontractismadeinsixcopies,eithe
