12、 Buyers by cable or FAX the contract number, weight, packing size, flights and taking off date of the plane and port of destination.12、索賠/Claims:在貨物到達目的地口岸90天內，如發(fā)現貨物品質、規(guī)格或/和數量與合同規(guī)定不符合時，除屬于保險公司或航空公司責任者外，買方有權憑中國的商品檢驗局出具的檢驗證書向賣方索賠換貨或賠款，因此而發(fā)生之一切費用（包括檢驗費、退貨及換貨運費、保險費、倉儲費及裝卸費）由賣方負責。Within 90 days after the

15、 be borne by the Sellers.13、質量保證/Warranty:賣方保證在加工產品材質和操作維護符合正常要求的前提下，所售設備自驗收證書簽署之日起12個月內運轉正常。The Sellers warrants that the machine units shall conform to the specifications and warranties free from defects in material and workmanship for 12 months from signing the Acceptance Certificate.14、人力不可抗拒因素/

16、Force Marjorie:賣方對在設備制造及運輸期間由人力不可抗拒因素而引起的延遲交貨或不能交貨不負任何責任。例如，在出現了戰(zhàn)爭、火災、地震、臺風、自然災害以及其它賣方所不能合理控制的任何意外事故和情況而阻止或干擾了本合同的履行時，賣方應立即通知買方所發(fā)生的人力不可抗拒因素，并在14天內，通過航空郵件將由事發(fā)當地政府機關頒發(fā)的事故證書寄給買方，供其核查。在這種情況下，賣方仍有義務采取必要措施加快交貨的速度。The Sellers shall not responsible for the delay in shipment or non-delivery of the good due t

17、o Force Marjorie, which might occur during the process of manufacturing or in the course of loading or transit, such as war, fire, flood, earthquake, typhoon, natural catastrophe and all other contingencies and circumstances whatsoever beyond the Sellers reasonable control preventing hindering or in

18、terfering with the performance thereof. The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the competent Government Authori

19、ties where the accident occurs as evidence thereof. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.15、遲交貨罰款/Delayed delivery and Penalty:如賣方不能按合同規(guī)定時間交貨時，除本合同第13條中所述的人力不可抗拒因素造成的延遲交貨外，如賣方同意支付罰款，買方應同意推遲交貨期

20、。罰款總額不應超過貨物總價的5%。罰款金額為每7天罰0.5%，不滿7天以7天計算。如果交貨期的延遲超過10周，買方有權要求取消合同，而賣方仍應及時支付上述罰款。Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Marjorie causes specified in Clause 13 of this contract, the Buyers shall agree to postpone the delivery on conditio

21、n that the Sellers agree to pay a penalty. The penalty, however, shall not exceed 5% of the total amount the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days should be counted as seven days

23、合同所發(fā)生的一切爭執(zhí)，雙方須通過友好協(xié)商解決，雙方如協(xié)商不能解決時，此爭執(zhí)應提交設在中國上海的上海國際金融貿易仲裁委員會，按該仲裁委員會的仲裁程序進行仲裁。仲裁地點為上海，仲裁委員會的裁決對合同雙方均有約束力。仲裁費用由敗訴方承擔。All disputes in connection with this contract or the execution thereof shall be settled by friendly negotiation. If no settlement can be reached, the case in dispute shall be submitted

24、 to China International Economic and Trade Arbitration Commission in Shanghai in accordance with the provisional rules of procedures promulgated by the arbitration commission. The arbitration shall take place in Shanghai, China. Any decision made by the Arbitration Commission shall be accepted as fi

25、nal and binding upon both parties; neither party shall seek recourse to a law court or other authorities to appeal for Revision of the decision. Arbitration fee shall be borne by the losing party.17、商品檢驗/Commodities Inspection:貨物到達目的地口岸后，買方應申請中國商品檢驗局（以下簡稱為商檢局）就貨物的質量、規(guī)格和數量進行檢驗。如發(fā)現貨物的規(guī)格或數量與合同不符，除應由保險公
