The Seller

5、 will estimate the relevant fees after receipt of the Buyer ' s note ， and handle the transportation and insurance only if the Buyer confirms and pays the relevantfees in advance. 貨物保險(xiǎn)單的“被保險(xiǎn)人一欄應(yīng)具買方名稱。一旦途中出險(xiǎn)， “被保險(xiǎn)人應(yīng)立即 或 向保險(xiǎn)公 司 報(bào)損和提出索賠。賣方將不負(fù)責(zé)任何途中損失也不負(fù)責(zé)向保險(xiǎn)公司提出索賠。賣方將根據(jù)需要積極配合買方 辦理索賠事 宜。The Insurant s

Onceaccidents takeplace, the Insurant shall immediately inform the insurance company via telephone or fax of losses and initiate claims. The Seller is neither responsible for any transit losses nor initiating any claims. The Seller will a

7、ctively do its best to assist the Buyer in the claims process when required.五、付款及期限 Payment and Terms1買方應(yīng)在合同簽字日起 內(nèi)向賣方支付 %合同貨款作為首期付款，即人民幣 元。在賣方收到該首期付款時(shí)，本合同即生效。買方應(yīng)于交貨日期前 天支付剩余 %合同貨款，即人民幣 元。The Buyer shall pay % of the Contractual value, to the Seller as downpayment, within _ after the date of the Cont

10、有 之前,有權(quán)拒絕發(fā)運(yùn)。The Seller should perform delivery and transportation if required on or before the DATE OF DELIVERY. Notwithstanding the above, the Seller has the rightnot to deliver the ContractualEquipment before it receives the down payment and/or the prepaid freight and insurance fees if any. 后， 賣方有

13、, in no event shall the Buyer have the right to withhold the payment of the Contractual value or claim off-set.六、質(zhì)量保證 Warranty:1) 賣方應(yīng)在交貨時(shí)隨發(fā)運(yùn)的合同設(shè)備提供質(zhì)量保證書(shū)及指導(dǎo)正確使用和維修機(jī)器的技術(shù)文件。The Seller shall, completewith delivery, provide Quality Assurance Certification of the Contractual Equipment and technical docume

14、nts including operation and maintenance manual for guide of proper operation and proper maintenance.2) 賣方按其質(zhì)量保證條例擔(dān)保所提供的設(shè)備并無(wú)設(shè)計(jì)、材料和制造缺陷。質(zhì)量保證期應(yīng)以從廊坊實(shí)際發(fā)運(yùn) 日期起十二個(gè)月 或者 1,000 運(yùn)轉(zhuǎn)小時(shí)，以先到者為準(zhǔn)。The Seller warrants the Contractual Equipment sold by it is free from defects in design, material or workmanship according

The period of Quality Warranty is twelve (12) months since the actual DATE OF DELIVERY ex Langfang factory or 1,000 operating hours whichever is earlier.七 風(fēng)險(xiǎn)轉(zhuǎn)移或所有權(quán)保存 Transfer of Risk and Retention of Title1) 無(wú)論本合同第三條規(guī)定的交貨方式如何，本合同設(shè)備的風(fēng)險(xiǎn)在合同設(shè)備離開(kāi)賣方廠房時(shí)即轉(zhuǎn)移給買方。The ris
