1、合 作 協(xié) 議COOPERATION AGREEMENT 甲方： PartyA：乙方：PartyB：甲乙雙方本著平等互信、互惠互利的原則，在共同遵守相關法律法規(guī)的基礎上，就產品銷售合作達成如下協(xié)議：In accordance with the principle of equality, mutual trust and benefit, Party A and Party B have reached the following agreement on product sales cooperation on the basis of common compliance with rele

2、vant laws and regulations:1. 合作內容cooperation content1.1合作范圍scope of cooperation甲方授權乙方在XX國家代理銷售甲方的xx等xx牌產品。Party A authorizes Party B to sell xx products in xx countries. 1.2合作方式Cooperation mode甲乙雙方直接簽訂合同的，甲方按代理商價格銷售給乙方，乙方按先款后貨條件支付貨款，在合同中明確權責、義務等。乙方提供市場資源、開發(fā)客戶，由甲方與最終客戶直接簽訂合同的，雙方事先約定由甲方給乙方支付一定比例的傭金作為乙

3、方的市場開發(fā)費用。Party A and Party B sign the contract directly, Party A sells products to Party B at the agents price and Party B shall pay the goods according to the principle of first payment and later shipment . The rights and responsibilities should be clear in the contract. Party B provides market res

4、ources and develops customer to Party A, and then Party A sign the contract with customer, Party A will pay a certain proportion of commission to Party B as Party Bs market development cost.1.3合作期限period of cooperationxx年xx月至xx年xx月。協(xié)議期滿前一個月，若雙方愿意繼續(xù)合作，可協(xié)商續(xù)簽協(xié)議。xx to xx. The parties sign specific contract with additional agreement.2. 甲乙雙方的權利和義務rights and obligations of Party A and Party B2.1甲方的權利與義務rights and obligations of Party A甲方負責為客戶提供符合合同規(guī)定標準的產品、運輸與服務等相關事宜，并對所供產品質量負責。2.1.1 Party A is responsible for providing customers with relevant products, tra

7、nsportation and services related to the standards stipulated in the contract, and responsible for the quality of the products provided.甲方負責為乙方提供市場開發(fā)、客戶招標所需的資料、技術支持、投標文件等服務。2.1.2 Party A is responsible for providing market development, bidding information, technical support and other services for Par

8、ty B.對乙方開發(fā)的客戶，并由甲方與最終客戶簽訂的合同，甲方合同履行完成并收到全額貨款后xx日內，甲方負責按雙方確定的傭金比例給乙方支付傭金費。 When Party A sign contract with clients developed by Party B , Party A should pay the contract commission to Party B within xx days after completing the contract and receiveing all the payment. 2.1.4對乙方因業(yè)務需要，客戶需來訪甲方工廠的，甲方負責提供必

9、要的便利條件和服務。 Party A should be responsible for providing necessary facilities and services for clients developed by Party B when they need to visit Party As factory.2.2乙方的權利和義務rights and obligations of Party B2.2.1乙方負責在符合所在國的法規(guī)前提下，對甲方產品進行宣傳，市場開發(fā)、收集客戶所在國的產品相關技術標準和要求，取得合同訂單、維護客戶資源。2.2.1 In accordance wi

10、th the laws and regulations of the country, Party B is responsible for the publicity of Party As products, market development, collection of clientss relevant technical standards and requirements, to obtain contract orders, maintain customer resources.2.2.2乙方負責對甲方在合同履約過程中協(xié)調各方關系，協(xié)助辦理各種手續(xù)及貨款回收等事宜。 Dur

11、ing the performance of the contract, Party B is responsible for coordinating the relationship among all parties, assisting in handling various formalities ,the collection of the loan and so on.2.2.3因業(yè)務需要，甲方相關人員需前往所在區(qū)域拜訪客戶的，乙方負責為甲方提供必要的便利條件和服務。 Because of the business needs, Party As related personne

12、l need to go to the region to visit customers, Party B is responsible for providing the necessary conditions and services for Party A.3. 雙方建立共同確認的信息傳遞、發(fā)布等溝通渠道，以保證市場開拓業(yè)務的及時高效。3. Both sides establish communication channels and transmit information, so as to ensure timely and efficient development of the business.4. 未盡事宜Unsettled affairs雙方友好協(xié)商解決，并另行簽訂補充協(xié)議作為本協(xié)議的補充文件，具有同等法律效力。Bothpartiesshallresolvethroughfriendly consultation.
