1、第 頁(yè)教 學(xué) 內(nèi) 容 提 要備注Unit 3 Offer and Counter-offer 報(bào)價(jià)和還盤(pán)3.1 Offer(45 mins)3.1.1 Introduction (5 mins)目的:掌握發(fā)盤(pán)的基本約束,以及如何進(jìn)行報(bào)價(jià)和發(fā)盤(pán)的信函書(shū)寫(xiě)。在國(guó)際貿(mào)易中,發(fā)盤(pán)(Offer)又稱(chēng)發(fā)價(jià),在法律上又稱(chēng)“要約”,是指買(mǎi)方或賣(mài)方向?qū)Ψ教岢龅母黜?xiàng)交易條件。發(fā)盤(pán)通常是一方收到對(duì)方的詢(xún)盤(pán)之后所提出的,但也可不經(jīng)過(guò)對(duì)方詢(xún)盤(pán)而主動(dòng)向?qū)Ψ教岢觥?在實(shí)際業(yè)務(wù)中,當(dāng)發(fā)盤(pán)針對(duì)一個(gè)或幾個(gè)特定的受盤(pán)人明示或暗示發(fā)盤(pán)人在明確、完整和最終的條件下訂立合同的明確意圖時(shí),該盤(pán)就為實(shí)盤(pán)。受盤(pán)人一旦在發(fā)盤(pán)的有效期內(nèi)有效地表示

15、e to invite you to have a look at my shop, and wish me success.3.2 Counter-offer (45 mins)3.2.1 Introduction(簡(jiǎn)介) (5 mins)目的:掌握在接到發(fā)盤(pán)后,如何撰寫(xiě)還盤(pán)和接受的相關(guān)信函。在接到發(fā)盤(pán)后,受盤(pán)人必須對(duì)報(bào)盤(pán)內(nèi)容進(jìn)行認(rèn)真研究。如果發(fā)盤(pán)人認(rèn)為發(fā)盤(pán)價(jià)格難以接受或?qū)ζ渌麠l件不滿(mǎn)意,既可以拒絕接受,也可以向發(fā)盤(pán)人提出建議,要求對(duì)發(fā)盤(pán)內(nèi)容進(jìn)行修改。這種受盤(pán)人對(duì)發(fā)盤(pán)內(nèi)容進(jìn)行變更的表示被稱(chēng)為還盤(pán)(Counter-offer),也被稱(chēng)為還價(jià)。事實(shí)上,還盤(pán)既是受盤(pán)人對(duì)發(fā)盤(pán)的拒絕,又是受盤(pán)人以發(fā)盤(pán)
