IntroductionThe shipment should come into effect neither too long

5、nor too short a time after the contract is concluded. Generally speaking, the time limit governing a shipment is of three categories: The shipment with a fixed date, e.g. before the end of June, on June 25; The shipment with a date in the near futre, e.g. immediate shipment, prompt shipment; The shi

10、international trade goods are sent by cargo ships from one country to another. When the exporter places the goods on board the ship he gets a receipt from the shipping company, which is called Bill of Lading (B/L). The bill of lading is important because it gives the right to the goods. In internati

11、onal trade, delivery of goods is actually made by handling over the bill of lading. Without L/C, the importer cannot take delivery of the goods unless he can prove that the goods really belongs to him. 14、 8/20/202210Kinds of B/L:6)租船合同提單(CHARTER PARTY B/L):用租船承運租船人的全部貨物，船東簽給租船人的提單，或者并非全部裝運租船人的貨物，而由船東或租船人所簽發(fā)的提單。 7) 記名提單(STRAIGHT B/L):只有提單上指名的收貨人可以提貨的提單，一般不具備流通性。 8)指示提單(ORDER B/L)此種提單通過指示人背書后可以轉讓。 通常有未列名指示（僅寫ORDER），列名指示（ORDER OF SHIPPER或ORDER OF CONSIGNEE/COMPANY；ORDER OF/BANK）。8/20/202211Kinds of B/L

16、02213各種提單的特點：不記名提單上不列明收貨人名稱，又稱來人抬頭提單，這種提單不需要任何背書手續(xù)即可轉讓，或提取貨物，極為簡便。承運人應將貨物交給提單持有人，誰持有提單，誰就可以提貨，承運人交付貨物只憑單，不憑人。這種提單丟失或被竊，風險極大，若轉入惡意的第三著手中時，極易引起糾紛，故國際上較少使用這種提單。另外，根據有些班輪公會的規(guī)定，凡使用不記名提單。在給大副的提單副本中必須注明卸貨港通知人的名稱和地址。 8/20/202214各種提單的特點：指示提單上不列明收貨人，憑背書進行轉讓，有利于資金的周轉，所以在國際貿易中應用較普遍。指示提單按照表示指示人的方法不同而分為以下三種： ）托運人

20、合以上分析得出背書提單分為以下三種： 1空白背書的記名指示提單（TOORDEROF，不注明被背書人）：托運人、收貨人或進口方銀行作為第一背書人將提單所有權轉讓給不定的其他人； 2空白背書的不記名指示提單（TOORDER，不注明被背書人）：托運人作為第一背書人將提單所有權轉讓給不定的其他人； 3記名背書的記名指示提單（TOORDEROF，注明被背書人）：托運人、收貨人或進口方銀行作為第一背書人將提單所有權轉讓給特定的其他人； 8/20/202220什么是提單的背書? 提單的背書是僅對于指示提單ORDER B/L來說的，其它提單，像記名提單STRAIGHT B/L、不記名提單BEARER B/L都

21、不用背書。 8/20/202221無單放貨隨著航海技術和貿易的發(fā)展，專門從事運輸的承運人出現，開始和貿易商人相分離；提單這種工具應運而生，并逐步完善成現在的單證交易，承運人在目的港只能向單證持有人放貨，提單也是收貨人向承運人提貨的必不可少的憑證1。依照國際貿易慣例，承運人只能在收貨人提交全套正本提單后交付貨物；航運界一項基本原則是，承運人在交付貨物之前如果沒有收到任何第三方對將交付的貨物聲明物權的通知，他有權且也有義務將貨物交付予向其出示正本提單者，如果此人即是托運人、收貨人或被背書人的話2。這意味著：(1)正本提單持有人對提單項下貨物有占有權，承運人必須將其承運的貨物交給正本提單持有人。(2

22、)正本提單持有人才享有要求承運人交付貨物的權利。(3)承運人必須僅在提交提單時才交付貨物，否則要對不當交貨之前或其后善意支付對價購買提單的任何人負責3。 8/20/202222無單放貨然而在國際貿易實踐中，由于航速提高、較短航次或提單轉讓過程延遲的情況下，貨物一般先于提單抵達目的港，嚴格憑單放貨可能導致壓貨、壓船、壓艙、壓港，不僅不利于生產流通，還將造成嚴重經濟損失，以及面臨被強制拍賣或沒收的危險，承運人往往被無正本提單的收貨人說服或憑副本提單加擔保交付貨物。8/20/202223無單放貨無單放貨大體上有如下幾種情況：1. 記名提單的收貨人憑付本提單或提單復印件加擔保提貨；或不提供任何擔保提取

23、貨物；2. 指示提單的通知人憑付本提單或提單復印件加擔保提貨；或僅憑付本提單提貨；3. 其它人憑付本提單或提單復印件加擔保提貨；4. 提貨人偽造或變造提單提貨；廣義的無單放貨除包括以上的內容外應該還包括電報放貨，即電放，承運人在裝船港已經將全部正本提單收回，在卸貨港將貨物憑托運人的指示交給指定的收貨人。8/20/202224無單放貨案例1993年7月29日，萬寶集團廣州菲達電器廠（以下簡稱菲達廠）與新加坡藝明燈飾公司（以下簡稱藝明公司）以傳真的形式簽訂一份協(xié)議書：約定菲達廠向藝明公司出口一批燈飾，貿易術語為FOB黃埔；菲達廠發(fā)貨后以傳真的形式將提單發(fā)出，藝明公司須在三天內將貨款全數匯出；菲達廠

24、收到匯款通知副本，再將提單正本交付藝明公司；若有違法提貨的行為，視詐騙論。合同簽訂后，菲達廠委托中國長城工業(yè)廣州公司（以下簡稱長城公司）和菲利廣州工業(yè)有限公司（以下簡稱菲利公司）辦理出口手續(xù) 8/20/202225無單放貨案例1993年8月14日，長城公司以托運人的名義，將910箱照明燈具及變壓器裝上美國總統(tǒng)輪船公司（以下簡稱輪船公司）所屬的“EAGLE WAVE V002”輪，輪船公司簽發(fā)了一式3份的記名提單。1993年8月21日，菲利公司以托運人的名義，將783箱照明燈具裝入輪船公司所屬的“EAGLE COMET V112”輪，輪船公司簽發(fā)了一式3份的記名提單。 8/20/202226無單

25、放貨案例根據提單的記載，收貨人為藝明公司，裝貨港為廣州黃埔，卸貨港為新加坡，運費預付，提單項下的貨物總價為98663148美元。貨物運抵新加坡后，藝明公司未依協(xié)議付款，并且在未取得正本提單的情況下，先后于1993年9月16日、9月17日致函輪船公司，要求輪船公司將上述兩票貨物交給其指定的陸路承運人，并保證承擔由此可能產生的任何后果。 8/20/202227無單放貨案例隨后，承運人將兩票貨物交付放行。菲達公司持有上述兩票貨物的全套正本提單，以輪船公司無單放貨為由在廣州海事法院提起訴訟。兩套提單的首要條款均規(guī)定適用美國1936年海上貨物運輸法或海牙規(guī)則。此案1998年由最高人民法院提起再審程序，最

26、后得以了結。 問題：1.承運人向未持有正本提單的記名收貨人交付貨物，是否應承擔無單放貨的責任？ .本案菲達廠未收回貨款的損失應向誰索賠？ 8/20/202228無單放貨案例點評.本案是國際海上運輸合同無單放貨糾紛，承運人將貨物交付記名收貨人的行為是合法的。因為記名提單是不可轉讓的運輸單證，不具有物權憑證效力。根據美國法律規(guī)定，承運人有理由交貨給托運人在記名提單上所指定的收貨人，承運人向記名提單的記名人交付貨物時，不負有要求提貨人出示或提交記名提單的義務。本案承運人輪船公司根據記名提單約定將貨物實際交給記名收貨人藝明公司，或者按照藝明公司的要求將貨物實際交給其指定的陸路承運人的交貨行為符合美國法
