1、PATENT TRANSFER AGREEMENT專利權(quán)轉(zhuǎn)讓協(xié)議This Patent Transfer Agreement is entered on insert date of execution (Effective Date) by and between the following parties:獲利權(quán)轉(zhuǎn)讓協(xié)議于莫人簽署幼(“生效日”)由以下雙方簽訂：(1) ABC, Inc., a company established under the laws of Massachusetts, USA., with its registered address at 123 Drum

2、Hill Road Chelmsford, MA 01824, USA (hereinafter referred to as Transferor); andABC技術(shù)公司(又名：ABC),一家根據(jù)美國馬薩諸塞州法律成立 的公司，其注冊地址為 123 Drum Hill Road Chelmsford, MA 01824, USA (以 下簡稱“轉(zhuǎn)讓方”)。；和DEF Capital Investment LLC, a company established under the laws of China, with its registered address at XXX (herein

3、after referred to as “Transferee).DEF Capital Investment LLC, 一家土艮據(jù)中國法律成立的公司，其注冊地址為 XXX(以下簡稱“受讓方”)。Transferor and Transferee are hereinafter referred to collectively as the “Parties and individually as a “Party”.轉(zhuǎn)讓方和受讓方在本協(xié)議中單獨(dú)稱為“一方”，合稱為“雙方LWhereas:鑒于：Transferor owns the Target Patents (as defined be

5、亦 同意根據(jù)本協(xié)議之條款和條件接受轉(zhuǎn)讓。Therefore, through friendly discussions between the Parties, the Parties hereby agree to enter into the following agreement:有鑒于此，經(jīng)過友好協(xié)商一致，雙方達(dá)成協(xié)議如下：DEFINITIONS第一條定義In this Agreement, unless the context provides otherwise, the following terms shall have the meanings defined thereto

6、 below:除非本協(xié)議上下文另有規(guī)定，下述詞語在本協(xié)議中應(yīng)有以下含義：Agreement means this Patent Transfer Agreement (including all the appendixes and any matter expressly incorporated into this Agreement by reference and regarded as part of this Agreement), and amendments, supplements and other changes made from time to time.“本協(xié)議”是

7、指本專利權(quán)轉(zhuǎn)讓協(xié)議(包括所有附件以及通過引述的方 式明確納入本協(xié)議并作為本協(xié)議一局部的任何事項(xiàng))，以及不時(shí)對其作 出的修改、補(bǔ)充或其他變更。Target Patents“ means the patents applied at and/or granted by the State Intellectual Property Office of the PRC as set forth on Schedule 1 .“目標(biāo)專利”是指附件一所列轉(zhuǎn)讓方向中國國家知識產(chǎn)權(quán)局提出的專利申 請或由知識產(chǎn)權(quán)局授予的專利權(quán)。“PRC or “China means Peoples Republic of

8、China, and fbr the sole purpose of this Agreement, excluding Hong Kong Special Administrative Region, Macau Special Administrative Region and Taiwan.“中國”是指中華人民共和國，僅為本協(xié)議之目的，不包括香港特別行政 區(qū)、澳門特別行政區(qū)及臺灣地區(qū)?！癝IPO” means State Intellectual Property Office of the PRC. “知識產(chǎn)權(quán)局”是指中國國家知識產(chǎn)權(quán)局。TRANSFER AND USAGE OF PA

9、TENT第二條專利權(quán)轉(zhuǎn)讓與使用Transferor hereby irrevocably transfers the Target Patents to Transferee on the Effective Date.轉(zhuǎn)讓方茲此不可撤銷地于生效日向受讓方轉(zhuǎn)讓目標(biāo)專利。Transferor and Transferee hereby agree and acknowledge that, to the extent permitted under the relevant laws, no matter when the transfer registration at SIPO is com

10、pleted, the transfer of the Target Patents from Transferor to Transferee becomes effective from the Effective Date. Transferee obtains all the rights, interests and ownership of the Target Patents upon the Effective Date.轉(zhuǎn)讓方與受讓方同意并確認(rèn)，在相關(guān)法律允許的范圍內(nèi)，不管相關(guān)轉(zhuǎn)讓 登記在知識產(chǎn)權(quán)局何時(shí)完成，轉(zhuǎn)讓方向受讓方轉(zhuǎn)讓目標(biāo)專利自生效日起 生效。受讓方于生效日起獲得目標(biāo)

11、專利的全部權(quán)利、權(quán)益及所有權(quán)。Within fifteen (15) business days after the Effective Date, Transferee shall, with the reasonable assistance of Transferor, apply to SIPO and complete the registration of patent transfer and other registrations, filings or approvals required to implement the Agreement and effectuate t

12、he transfers contemplated herein, in order to transfer the Target Patents to the name of Transferee.自生效日起的十五(15)個(gè)工作日內(nèi)，受讓方在轉(zhuǎn)讓方合理的配合之下 向知識產(chǎn)權(quán)局申請辦理并完成專利轉(zhuǎn)讓登記以及辦理其他為履行本協(xié)議 及實(shí)現(xiàn)擬議轉(zhuǎn)讓事項(xiàng)所需之登記、備案及審批，以使目標(biāo)專利轉(zhuǎn)讓至受 讓方名下。Transferor agrees to execute and deliver such other documents which Transferee, its successors and

13、 assigns may reasonably request to effectuate the transfer and registration of the Target Patent.轉(zhuǎn)讓方同意簽署并交付其他受讓方、受讓方之承繼方以及受讓方之受讓 人為實(shí)現(xiàn)目標(biāo)專利的轉(zhuǎn)讓和登記可能合理要求的其他文件。CONSIDERATION OF TRANSFER第三條轉(zhuǎn)讓對價(jià)The transfer price for the patent right of all the Target Patents under the Agreement, has been fully paid in acc

14、ordance with the way agreed by both Parties.本協(xié)議項(xiàng)下所有目標(biāo)專利的專利權(quán)的轉(zhuǎn)讓價(jià)款已按照雙方協(xié)商同意的方 式支付。GOVERNING LAW AND DISPUTE RESOLUTION第四條適用法律和爭議解決The Agreement shall be governed by and construed in accordance with the laws of PRC.本協(xié)議適用中國法律，并應(yīng)按其進(jìn)行解釋。Any dispute arising out of or related to the Agreement, shall be subm

15、itted to China International Economic and Trade Arbitration Commission (“CIETAC) fbr arbitration, which shall be conducted in Beijing in accordance with the CIETAC arbitration rules in effect at the time of the application for arbitration. The arbitral award shall be final and binding upon the Parti

16、es.凡因本協(xié)議引起的或與本協(xié)議有關(guān)的任何爭議，均應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，按照申請仲裁時(shí)該會屆時(shí)有效的仲裁規(guī)那么在北京進(jìn)行 仲裁。仲裁裁決是終局的，對雙方均有約束力。NON-ASSIGNMENT BY TRANSFEROR第五條轉(zhuǎn)讓方不得轉(zhuǎn)讓This Agreement shall not be assignable by Transferor, and any attempt to assign this Agreement or any right or obligation created hereunder by Transferor shall be null and vo

Both Parties agree that, Transferee shall have the right to assign this Agreement and/or any of its rights or obligations created hereunder to any third party without prior notice to Transferor. 轉(zhuǎn)讓方不得轉(zhuǎn)讓本合同，轉(zhuǎn)讓方企圖進(jìn)行的任何對本合同的轉(zhuǎn)讓、或?qū)?在本合同項(xiàng)下創(chuàng)設(shè)的任何權(quán)利或義務(wù)的轉(zhuǎn)讓均應(yīng)無效。雙方同意，受讓 方有權(quán)向任何第三方轉(zhuǎn)讓本合同和/或在本合同項(xiàng)下所創(chuàng)設(shè)的任何其權(quán) 利或義務(wù)而

18、不須事先通知轉(zhuǎn)讓方。MISCELLANEOUS第六條其他All notices and other communications under the Agreement must be in writing. The written notices and communications will be deemed to have been duly delivered (a) when delivered by hand or delivered by internationally recognized overnight courier service (postage prepaid)

19、; (b) when transmitted by facsimile through transmission equipment with delivery confirmation (or, if such day is not business day, then delivered on the first business day after sending) or (c) when the recipients has already accepted or rejected, if sent by U.S. certified mails or registered mails

20、 which requires a return receipt; provided that in any circumstance, such notices and communications shall be sent to the following addresses or transmitted to the following facsimile numbers as well as specifying the authorized individuals below (through names or titles) as recipients (or, deliver

The Agreement has three (3) originals. Each Transferor and Transferee shall hold one (1) original, while the rema

24、ining one (1) shall be used for the transfer registration when applying to SIPO.本協(xié)議以中文寫成，正本各一式叁份。轉(zhuǎn)讓方與受讓方各持壹(1)套 正本，另壹(1)套正本用于向知識產(chǎn)權(quán)局進(jìn)行轉(zhuǎn)讓登記之需。The Agreement, all the supplements and amendments shall form and constitute the entire agreement with respect to the subject matter hereof and supersedes all pr

25、ior agreements and understandings between the Parties. The Agreement can only be amended or modified by written documents executed by authorized representatives of both Parties.本協(xié)議及其所有補(bǔ)充和修訂構(gòu)成雙方有關(guān)本協(xié)議事項(xiàng)的完整協(xié)議，并應(yīng)取 代雙方事前有關(guān)本協(xié)議的任何意向或諒解，且本協(xié)議只能通過雙方的授權(quán) 代表共同簽署的書面文件加以修改或修正。If any term or provision of the Agreem
