7、。Upontheendofthecommissioningperiod,apre-acceptancecertifiCATewillbeissuedandsignedbytheBuyerandtheSeller.最終驗收：指全部風機質量保證期結束時的驗收，由買方向賣方簽發(fā)最終驗收證書。FinalacceptancereferstotheacceptanceattheexpirationofwarrantyperiodsofallthewindturbinesandshallbeconfirmedbyafinalacceptancecertificateissuedbytheBuyertothe

8、Seller.質量保證期：指機組預驗收證書簽署后次日，至買賣雙方最終驗收書簽發(fā)生效日，時間為2年。Warrantyperiodshalllastfortwoyears,startingfromthedayfollowingthesignatureofpre-acceptancecertificateoftheunittotheeffectivedateoffinalacceptancecertificatesignedbytheSellerandtheBuyer.在此期間，賣方保證貨物的正常、穩(wěn)定運行，并對出現(xiàn)的合同貨物缺陷予以排除。Duringthisperiod,theSellershal

9、lensurethenormal,stableoperationoftheGoods,andeliminateanydefectsfoundintheContractGoods.試運行：是指合同貨物調試結束后，預驗收證書簽署前機組的運行。CommissioningmeanstheoperationoftheContractGoodsbetweentheendofcommissioningandtheissuanceofapreacceptancecertificate.設備交付：指合同貨物運至項目現(xiàn)場（賣方車板交貨）后，賣方指導下的買方卸貨、雙方共同的開箱、檢查、清點、驗收、買方簽署設備交付清

10、單等相關工作。DeliveryofequipmentmeanstheunloadingbytheBuyerundertheguidanceoftheSellerandotherrelatedworkperformedbytheSellerandtheBuyer,suchasunpacking,inspection,stocktaking,acceptanceandsigningonthedeliverylistofequipmentbytheBuyeraftertheContractGoodshasbeencarriedtotheprojectsite.買方向賣方簽署設備交付清單后，該批貨物的

11、產權歸屬買方，但不得減少或免除合同規(guī)定的賣方的其他義務和責任。UponsigningonthedeliverylistofequipmentbytheBuyer,thepropertyrightsofthegoodsshallbeproprietarytotheBuyer,butshallnotreduceorrelievetheSellersotherobligationsandresponsibilitiesundertheContract.買方監(jiān)造：指買方有權自付費用派代表到買方工廠進行監(jiān)造微軟用戶1，賣方提供相應的食宿等方便。SupervisionoftheBuyermeansthat

12、theBuyerhastherighttosendrepresentativestotheBuyersfactoryatitsownexpensetosupervisemanufacturewhiletheSellerprovidesappropriateaccommodationandotherconveniences.本合同下交付的貨物應符合技術規(guī)格所述的標準。TheGoodstobedeliveredundertheContractshallbeinconformitywiththestandardsprescribedbythetechnicalspecifications.如果沒有提

13、及適用標準，則應符合中華人民共和國官方標準，這些標準必須是有關機構發(fā)布的最新版本的標準。Iftheappropriatestandardsarenotapplicable,thegoodsshallcomplywiththeofficialstandardsspecifiedbythePeoplesRepublicofChinaandthesaidstandardsshallbethelatestonesreleasedbyrelevantauthorities.預付款保證金AdvancePaymentBond預付款保證金金額：合同總價的百分之五(5%)。Advancepaymentbonds

20、ive.買方和/或其代表對貨物進行檢驗和/或測試不承擔額外的費用。Additionalexpensesincurredintheprocessofinspectionand/ortestonthegoodsarenotbornebytheBuyerand/oritsrepresentative.賣方應提前三十天向買方發(fā)出貨物檢驗和測試通知，該通知應載明（包括但不限于）檢驗和測試的內容、時間、地點等信息，買方應在收到該通知后十四天內確認是否參加上述檢驗和/或測試。TheSellershallissueaninspectionandtestnoticeofgoodstotheBuyer30days

22、nessplacesoftheSelleroritssubcontractors,theplaceofdeliveryand/orthefinaldestinationofthegoods.如果在賣方或其分包人的駐地進行，買方和/或其代表應能得到全部合理的設施和協(xié)助，買方不應承擔費用。IftheInspectionand/ortestisconductedatthebusinessplacesoftheSelleroritssubcontractor,theBuyerand/oritsrepresentativesshallhaveanaccesstoallthefeasiblefacilit

23、iesandassistance,providedthattheBuyershallnotbearanyexpenses.如果任何被檢驗或測試的貨物不能滿足合同的要求，買方可以拒絕接受該貨物。IfanyinspectedortestedgoodsdonotconformwiththeContract,theBuyermayrefusetoacceptthesaidgoods.賣方應免費更換被拒絕的貨物，或者免費進行必要的修改以滿足規(guī)格的要求。TheSellershallreplacetherefusedgoodsormakenecessarymodificationsfreeofcharges

24、othatthesegoodsmeetthestandards.整個安裝過程須在賣方現(xiàn)場技術服務人員指導下進行。ThewholeprocedureofinstallationshallbecarriedoutinthepresenceoftheSellerstechnicalservicepersonnelandundertheirdirection.重要工序完成后須經賣方現(xiàn)場技術服務人員簽字確認。Uponcompletionofanimportantprocess,itmustbeverifiedbyon-sitetechnicalservicepersonnelfromtheSellerw

25、ithsignature.重要工序清單及相關技術資料由賣方于合同貨物開始組裝前二十一天提供。ListofimportantprocessesandrelevanttechnicalinformationwillbeprovidedbytheSellerwithin21dayspriortotheassemblyoftheContractGoods.賣方人員應負責對下述工作（包括但不限于）進行指導：安裝的準備工作，機組和塔筒的現(xiàn)場安裝和裝配、接地及防雷系統(tǒng)的安裝工作，指導買方的人員按要求的精度和質量完成安裝工作。TheSellershallberesponsibletoconductthefol

26、lowingwork(includingbutnotlimitedto):preparationforinstallation,fieldinstallationandassemblyofunitsandtowers,installationofgroundingandlightningprotectionsystemandrenditionofguidancewhentheBuyerspersonnelcompletetheinstallationaccordingtotherequiredaccuracyandquality.安裝過程中，賣方現(xiàn)場技術服務人員應保證在場且對重要工序及時進行確

27、認。Duringinstallation,theSellerson-sitetechnicalservicepersonnelshallbeatpresentandconfirmtheimportantworkingproceduresinatimelymanner.若買方按賣方技術資料規(guī)定和現(xiàn)場技術服務人員的指導、賣方現(xiàn)場技術服務人員簽字確認而出現(xiàn)問題，賣方承擔責任；若買方未按賣方的技術資料規(guī)定和現(xiàn)場技術服務人員指導進行工作而出現(xiàn)問題，買方自行負責（設備自身問題除外）。IfanyproblemsstillariseaftertheBuyerhasconducteditsworkinaccor

28、dancewiththestipulationsoftheSellerstechnicalinformationandundertheguidanceoftheSellerson-sitetechnicalservicepersonnelandtheSellerson-sitetechnicalservicepersonnelhaveconfirmedtheinstallationbysignature,theSellershallholdtheliabilitythereof.IfanyproblemsarisefromtheBuyersfailuretoconductitsworkinac

29、cordancewiththestipulationsoftheSellerstechnicalinformationandundertheguidanceoftheSellerson-sitetechnicalservicepersonnel,theBuyershallholdtheliabilitythereofatitsownrisk(exceptfortheproblemswithequipmentitself).貨物安裝和試運行期間如果賣方的技術人員指導有誤或賣方提供的圖紙有誤和/或賣方原因造成設備缺陷和/或設備損壞等，賣方應立即予以修補和/或更換，并承擔由此產生的相關費用。Duri

30、nginstallationandcommissioningofthegoods,ifanyequipmentdefectsand/ordamagetoequipmentarecausedbytheSellerstechnicalpersonnelsincorrectguidanceorwrongdrawingsprovidedbytheSellerortheSelleritself,theSellershallpromptlyrepairand/orreplacesuchequipmentandbeliableforallthecoststhatmaybeincurredtherefor.賣

31、方負責對貨物進行運行調試，包括但不限于單機調試、并網調試以及整場調試。TheSellerisresponsibletodebugtheoperationofthegoods,includingbutnotlimitedtostand-alonecommissioning,synchronizingcommissioningandentirefieldcommissioning.從第一臺（套）貨物開始至最后一臺（套）貨物安裝測試、試運行完成為調試期，調試按場內集電線路組數(shù)分批進行。Theperiodofcommissioningstartsfromtheinstallation,testandt

32、rialrunofthefirstwindturbinetothoseofthelastwindturbine.試運行應達到每臺（套）貨物連續(xù)無故障、正常運行240小時，且完成國家行業(yè)規(guī)范及制造廠規(guī)定的性能測試并合格，且賣方提交合格的安裝調試報告。Duringthecommissioningperiod,eachsetofgoodsshallcontinuously,normallyoperatefor240hourswithoutanyfailures,undergoandpassequipmentperformanceteststipulatedbytheprofessionalstand

33、ardsofthestateandmanufacturer;theSellershallsubmitqualifiedinstallationandcommissioningreport.在賣方完成2年質量保證期內的全部工作合同設備質保期結束并完成支付合同規(guī)定的違約金（如有）以及索賠（如有），雙方簽署最終驗收證書。BothpartieswillsignthefinalacceptancecertificateontheconditionthattheSellercompletesalltheworkinthe2-yearwarrantyperiod,thewarrantyperiodofthe

34、ContractEquipmentexpiresandtheSellerpaysoffallthepenalties(ifany)orclaims(ifany).潛在缺陷指設備的隱患在正常情況下不能在制造和短期運行過程中被發(fā)現(xiàn)。Potentialdefectreferstotheequipmenthazardswhichcannotbediscoveredinthemanufacturingandshort-termoperationundertheexistingtechnicalconditionsornormalconditions.若貨物發(fā)現(xiàn)存在潛在缺陷，賣方應及時對全部存在潛在缺陷的

35、貨物進行消缺修理或更換，對糾正潛在缺陷負責并承擔相應費用。Ifthepotentialdefectsofthegoodsaretobefound,theSellershallrepairandreplacetheminatimelymanner,andshallberesponsibleforthecorrectionofthesedefectsandbeartheexpensesinflictedbytheseendeavors.買方代表如發(fā)現(xiàn)設備和材料存在缺陷和/或不符合本規(guī)定的標準和/或包裝要求時有權提出意見并暫不予以確認/賣方須自費采取必要措施排除缺陷或不符合本合同規(guī)定之處，當缺陷排除

36、后，買方有權再次對貨物進行檢驗和測試，以保證交貨質量。TheBuyersrepresentativehastherighttoputforwardopinionsandtemporarilynottomakeanconfirmationasandwhendefectsofequipmentandmaterialsarefoundand/ornotinconformitywiththestandardsand/orpackagerequirements.TheSellermusttakenecessarymeasuresathisowncoststoeliminatesuchdefectsoro

37、theraspectsthatdonotcomplywiththeprovisionsoftheContract.Aftertheeliminationofdefects,theBuyerhastherighttoinspectandtestthesamegoodsonceagaintoguaranteethequalityofthedelivery.無論買方代表是否要求和是否知道，賣方均有義務主動及時地向買方提供合同設備制造過程中出現(xiàn)的質量缺陷和問題，不得隱瞞，在買方不知道的情況下賣方不得擅自處理。TheSellerhasanobligationtoreport,withoutconceal

38、ment,theBuyeranydefectsinqualityandproblemsarisingintheprocessofmanufactureoftheContractEquipmentonitsowninitiativeinatimelymanner,whethertheBuyersrepresentativesrequireorknowtheseornotandtheSellermaynotarbitrarilysolvetheseproblemsbeforetheBuyerknowsthem.在交貨前，賣方應對每臺（套）貨物的質量、規(guī)格、性能、數(shù)量和重量等進行詳細而全面的檢驗，并

39、出具一份證明貨物符合合同規(guī)定的檢驗證書。Priortodelivery,theSellershallcarryoutdetailedandcomprehensiveinspectiononeachsetsofgoodsinquality,specifications,performance,quantityandweightandissueaninspectioncertificatetoconformthatthegoodsisinconformitywiththeContract.發(fā)貨后兩天內，通過EMS將檢驗證書復印件寄送給買方。TheSellershallsendacopyofinsp

40、ectioncertificatetotheBuyerbyEMS2daysaftershipment.檢驗證書正本隨貨物一并交付買方。Theoriginalinspectioncertificate,togetherwiththegoods,shallbedeliveredtotheBuyer.賣方應提供貨物運至合同規(guī)定的最終目的地所需要的包裝，以防止貨物在轉運中損壞或變質。TheSellershallprovidepackagerequiredtotransportthegoodstofinaldestinationstipulatedintheContracttopreventanydam

41、ageordeteriorationtothegoodsinthecourseoftransshipment.這類包裝應采取防潮、防曬、防銹、防腐蝕、防震動及防止其它損壞的必要保護措施，從而保護貨物能夠經受多次裝卸、搬運及內陸的長途運輸，同時賣方對貨物的包裝應便于裝卸。TheSellershalltakenecessaryprotectivemeasuresforthiskindofpackagingasdamp-proof,freefromsunshine,rust-proof,anti-corrosion,vibration-proofandotherdamagessothatthepro

42、tectedgoodscanwithstandrepeatedloadingandunloading,handlingandinlandline-haul,andtheSellershallmakepackagingconvenientforloading/unloading.賣方應承擔由于其包裝或其防護措施不妥而引起貨物銹蝕、損壞和丟失的任何損失的責任和/或費用。TheSellershallbearanyresponsibilityand/orcostforanyrusting,damageandlossofthegoodsincurredbyitsinappropriatepackagin

43、gorpreventivemeasures.裝運標記ShippingMark發(fā)貨標記（嘜頭）；ShippingMark;貨物名稱、編號和箱號；Description,No.andCartonNo.oftheGoods;尺寸（長x寬x高用cm表示）。Size(LengthWidthHeight,cm).如果單件包裝箱的重量在2噸或2噸以上，賣方應在包裝箱兩側用中文和通用的運輸標記標注“重心”和“起吊點”以便裝卸和搬運。Ifsinglepackingcartonweighs2tonsormore,theSellershallmarkwithsuchwordsas“Centerofgravityan

45、pright”andKeepDryorotherappropriatemarks.裝運條件Termsofshipping本合同下貨物交貨到項目現(xiàn)場的買方指定地點(車上交貨)。ThegoodshereinshallbedeliveredattheplaceinaprojectsitedefinedbytheBuyer(FOT).賣方裝運的貨物不應超過合同規(guī)定的數(shù)量或重量。ThequantityorweightofthegoodsloadedandtransportedbytheSellerisnotallowedtoexceedthosestipulatedintheContact.否則，買方對

46、由此產生的一切費用和后果不承擔責任。Otherwise,theBuyershallnotbearanycostsandconsequencestherefrom.裝運通知ShippingAdvice賣方應在預計的裝運日期之前二十一天以傳真形式將合同號、貨物名稱、數(shù)量、箱數(shù)、總毛重、總體積（用m3表示）和備妥待運的日期通知買方，同時，賣方應用EMS把詳細的貨物清單一式五份，包括但不限于合同號、貨物名稱、規(guī)格、數(shù)量、總毛重、總體積用m3表示）、每箱尺寸（長x寬x高）、單價、總金額、啟運地、備妥待運日期和貨物在運輸、儲存中的特殊要求和注意事項等通知買方。Twentyone（21）daysbefore

48、antity,GW,TV(inm3),size(lengthx?widthxheight)ofeachpackingcarton,unitprice,totalamount,placeofdeparture,datereadyforshipping,aswellasspecialrequirementsandprecautionsduringtransportationandstowingofgoods.賣方應在貨物裝完后二十四小時之內以傳真形式將合同號、貨物名稱、數(shù)量、總毛重、合同貨物的凈重、車次、預計到達目的地的時間、體積(用m3表示)、發(fā)票金額、運輸工具名稱及啟運日期通知買方。Withi
