11、ATION OF LIABILITY 責(zé)任的期限Neither the Client nor the Consultant shall be considered liable for any loss or damage resulting from any occun-ence unless a claim is formally made on him before the expiry of the relevant period stated in the Particular Conditions, or such earlier date as may be prescribed

This limit is without prejudice to any Agreed Compensation specified under Clause 31(ii) or otherwise imposed by the Agreement.Each party agrees to waive all claims against the other insofar as the aggregate of compensation which might otherwise be payabl

14、e exceeds the maximum amount payable.If either party makes a claim for compensation against the other party and this is not established the claimant shall entirely reimburse the other for his costs incurred as a result of the claim.根據(jù)第16條有關(guān)責(zé)任方面的規(guī)定，任何一方向另一方支付賠償?shù)淖畲髷?shù)額應(yīng)限于第二局部 中規(guī)定的數(shù)額。此限額不影響根據(jù)第31條(2)規(guī)定的、或

AETERATIONAND TERMINATION OF THE AGREEMENT協(xié)議書的開始、完成、變更與終止AGREEMENT EFFECTIVE 協(xié)議書生效The Agreement is effective as of the date of receipt by the Consultant of the Clients Letter of Acceptance of the Consultants proposal or

24、of the latest signature necessary to complete the Formal Agreement, if any, whichever is the later.從咨詢工程師收到業(yè)主對其建議書發(fā)出中標(biāo)函之日或完成正式協(xié)議書所需的最后簽字之日 (如有時)，協(xié)議書生效時間以日期較晚者為準(zhǔn)。COMMENCEMENT AND COMPLETION 開始和完成The Services shall be commenced and completed at the times or within the periods stated in the Particular

26、ting, the Consultant shall submit proposals for altering the Services. 28、ll be increased accordingly. 完成服務(wù)的時間應(yīng)相應(yīng)地予以延長。CHANGED CIRCUMSTANCES 情況的改變If circumstances arise for which the Consultant is not responsible and which make it irresponsible for him to perform in whole or in part the Services in accordance with the Agreement he shall promptly dispatch a notice to the C

29、lient.In these circumstances if certain Services have to be suspended, the time for their completion shall be extended until the circumstances no longer apply plus a reasonable period not exceeding 42 days for resumption of them.If the speed of performing certain Services has to be reduced, the time

30、 for their completion shall be extended as may be made necessary by the circumstances.如果出現(xiàn)按照本協(xié)議書咨詢工程師不應(yīng)負(fù)責(zé)的情況，以及使咨詢工程師不負(fù)責(zé)或不能履行全 部或局部服務(wù)時，他應(yīng)立即通知業(yè)主。在此情況下如果不得己暫停某些服務(wù)時，那么該類服務(wù)的完成期限應(yīng)予延長，直至此種情 況消失。還應(yīng)加上不超過42天的一個合理期限用于恢復(fù)服務(wù)。如果履行某些服務(wù)的速度不得已減慢，那么該類服務(wù)的完成期限由于此種情況的發(fā)生可能 必須給予延長。ABANDONMENT, SUSPENSION OR TERMINATION 撤銷

31、、暫停或終止By Notice of the Client 業(yè)主的通知The Client may suspend all or part of the Services or terminate the Agreement by notice of at least fifty-six (56) days to the Consultant who shall immediately make arrangements to stop the Services and minimize expenditure.業(yè)主可至少在56天前通知咨詢工程師，全部或局部暫停服務(wù)或終止本協(xié)議書，咨詢工程師

32、應(yīng)立即安排停止服務(wù)并將開支減至最小；If the Client considers that the Consultant is without good reason not discharging his obligations he can inform the Consultant by notice stating the grounds for the notice. If a satisfactory reply is not received within twenty-one days the Client can by a further notice terminate

34、lient, the Consultant can by further notice of at least 42 days terminate the Agreement, or at his discretion without prejudice to the right to terminate can suspend or continue suspension of performance of the whole or part of the Services.在下述(1)、(2)情況下，咨詢工程師向業(yè)主發(fā)出通知至少14天后，他才可以發(fā)出進(jìn)一步 的通知。在進(jìn)一步的通知發(fā)出至少4

43、the rate defined in the Particular Conditions compounded monthly on the sum overdue and in its currency reckoned from the due date for payment of the invoice. Such Agreed Compensation shall not affect the rights of the Consultant stated in Clause 27.2如果在第二局部規(guī)定的時間內(nèi)咨詢工程師沒有收到付款時，那么應(yīng)按照第二局部規(guī)定的利率間 其支付商定的補(bǔ)

45、efined in the Particular Conditions and paid net without deductions. Unless otherwise specified in Appendix C, the Client warrants that the Consultant can transfer abroad promptly all Local and Foreign Currency amounts in connection with performance of the Services which are received by him in the C

48、 or differential rates of exchange for the transfer from abroad of Foreign Currency into the Clients country by the Consultant fbr Local currency expenditure and subsequent retransfer abroad of Local Currency up to the same amount such as to inhibit the Consultant in the performance of the Services
