2、t: any Chinese port.3.2The Seller shall effect shipment of all equipments to be supplied under this Contract within 180 days after receiving the down payment by telegraphic transfer as specified in Clause 5 of this Contract. 3.3The Seller shall at least 20 days prior to shipment submit to the Buyer

3、preliminary shipping notice, including Contract number, name of goods, quantity, gross weight, net weight, approximate dimensions of each item (height, length, and width), port of delivery, delivery date, and rough drawings of outer packing for extremely big and heavy items, so as to enable the Buye

4、r to make due preparations for receiving the delivered goods.33. 交貨及交貨條件3.1 裝運(yùn)港：中國(guó)港口 3.2 買(mǎi)方根據(jù)本合同第5.款的規(guī)定收到電匯定金后180天內(nèi)發(fā)出所有設(shè)備。3.3賣(mài)方在裝運(yùn)前20天向買(mǎi)方提交初步裝運(yùn)通知，內(nèi)容包括合同號(hào)、貨物名稱、數(shù)量、毛重、凈重、每件貨物的大約尺寸（長(zhǎng)X寬X高）、交貨港、交貨日期，以及超大、超重貨物的外形包裝草圖，以便買(mǎi)方做好收貨準(zhǔn)備。43.4The Seller shall, at least 5 days before the goods are ready for shipment,

5、 submit to the Buyer by fax Contract number, date of shipment, net and gross weight, number of items, name of vessel, port of shipment, and departure date of the carrying vessel. 3.5The Seller shall, immediately after shipment of the goods, submit to the Buyer by fax Contract number, date and number

6、 of bills of lading, name of carrying vessel, names of the goods, total price, total weight and volume, estimated date of arrival and etc. 53.4 貨物備妥待運(yùn)前不遲于5天，賣(mài)方以傳真通知買(mǎi)方下列內(nèi)容：合同號(hào)、貨物裝船日、貨物毛凈重、貨物數(shù)量、船名、發(fā)貨港及開(kāi)船日。3.5 賣(mài)方在裝船后，應(yīng)立即將合同號(hào)、提單日期和號(hào)碼、船名、設(shè)備名稱、總價(jià)、總重、總體積、總件數(shù)、預(yù)計(jì)到達(dá)日期等以傳真通知買(mǎi)方。6Packing The equipments will be i

7、n neutral packing suitable for long distance ocean containerized transportation, waterproof, shockproof and not subject to damage caused by changing climate. Equipment too large for containerized shipment shall be covered and protected from sea water damage. 75.Terms of Payment 5.1Down Payment 25 %

8、of the total Contract value for the amount of RMB5,836,543 (Say Five Million Eight Hundred and Thirty-Six Thousand Five Hundred and Forty-Three Renminbi Yuan Only) shall be paid by T/T within 20 days upon signing of this Contract as down payment. 85付款方式5.1定金: 買(mǎi)方須于本合同簽字后20天內(nèi)以電匯方式支付本合同總額25款額即5,836,543

Balance payment The Buyer shall open an irrevocable and nontransferable Letter of Credit covering 75% of Contract value for a total amount of RMB17,509,629 (say Seventeen Million Five Hundred and Nine Thousand Six Hundred and Twenty Nine Renminbi Yuan only), payable at sight upo

10、n presentation of shipping documents in the Sellers favor within 40 days after the signing of this Contract. This letter of credit should be accepted by the Bank of China.105.2本合同簽定后的40天內(nèi)，買(mǎi)方應(yīng)向賣(mài)方開(kāi)具以賣(mài)方為受益人的合同總額的75即17,509,629元的不可撤銷(xiāo)、不可轉(zhuǎn)讓的經(jīng)中國(guó)銀行揚(yáng)州支行確認(rèn)的見(jiàn)單即付即期信用證。允許分批裝運(yùn)。115.3L/C stipulations shall conform t

11、o the clauses of this Contract.5.4The L/C shall be valid for the full period required for delivery plus thirty (30) days, with twenty-one (21) days for presentation of documents, based on the bill of lading date. All bank charges within China are for the Sellers account and all bank charges outside

12、of China are for the Buyers account.125.3 上述信用證條款須嚴(yán)格符合本合同條款。5.4 信用證的有效期為整個(gè)裝運(yùn)日期再加30天，議付有效期至提單日期后第二十一天 。在中國(guó)境內(nèi)產(chǎn)生的所有銀行費(fèi)用由賣(mài)方承擔(dān)。在中國(guó)境外產(chǎn)生的所有銀行費(fèi)用由買(mǎi)方承擔(dān)。 136.Equipments Installation Supervision Services6.1The Seller will send experienced and qualified engineers (electrical engineer and mechanical engineer) to

13、the Buyers site for supervision of equipment installation and commissioning. The Seller shall send two engineers totaling no less than 120 person/days for this purpose. One engineer will stay after the plant had been successfully commissioned to train the Buyers plant personnel in process operations

14、 and equipment maintenance up to 20 days as per Buyers request. 146.2The Buyer shall provide traveling expenses from Shanghai onward, food, lodging and local transportation of the Sellers technical personnel attending to the Buyers job site. In addition the Buyer shall pay an allowance of Euro100/da

15、y per person for the Sellers technical personnel sent to Buyer job site. 6.3The payment of these allowances shall be paid to the Seller by the Buyer monthly. The last payment should be paid before these technical personnel leave the Buyers job site. All payments made by the Buyer to the Seller will

16、be against the written acknowledgement. 157. Guarantees of Equipment7.1The Seller guarantees that all equipments supplied under this Contract are new and unused equipment and they are of excellent quality and good performance. The materials used for these equipments meet its designed technical requi

17、rements and under normal operations these equipments are all up to the specifications and requirements of the Contract. 167. 品質(zhì)保證7.1 賣(mài)方保證本合同的所有設(shè)備均為未啟用過(guò)的全新設(shè)備，質(zhì)量可靠，性能良好。設(shè)備的材料符合其設(shè)計(jì)的技術(shù)要求，在正常的操作條件下，所有的設(shè)備符合本合同的規(guī)定的說(shuō)明和要求。177.2To ensure technical specifications, the Seller reserves the right to substitute eq

18、uipments listed in the Attachment. Such substitutions shall not be in any way lower in quality standards and configurations than the original. Such substitution shall meet with the Buyers prior confirmation. 7.3 If at the Buyers request substitutions are made to the equipment listed in the Attachmen

19、t, all expenses caused thereby shall be borne by the Buyer.187.2為確保技術(shù)要求，賣(mài)方保留更換附件中列出的設(shè)備的權(quán)利。這些更改后的設(shè)備不應(yīng)比原來(lái)的設(shè)備質(zhì)量或配置差，同時(shí)這些更改應(yīng)得到買(mǎi)方的確認(rèn)。7.3如果根據(jù)買(mǎi)方的要求更換附件中列出的設(shè)備，引起的所有費(fèi)用由買(mǎi)方承擔(dān)。198. Warranty8.1The Seller expressly warrants that all parts of the Equipment supplied by the Seller will be free from defects in materi

20、al or workmanship. 8.2 Buyer shall promptly notify the Seller of the alleged defects. Seller may choose to repair or replace the Equipment at the Buyers location, or request that the Buyer deliver the alleged defective equipment to a location designated by Seller. All expenses thus incurred shall be

21、 borne by the Seller. 208.對(duì)設(shè)備的質(zhì)量保證8.1賣(mài)方應(yīng)明確保證由其制造和設(shè)計(jì)的所有設(shè)備在工藝質(zhì)量和材質(zhì)方面都沒(méi) 有缺陷。8.2買(mǎi)方應(yīng)及時(shí)通知賣(mài)方發(fā)現(xiàn)的缺陷。賣(mài)方可選擇到買(mǎi)方的現(xiàn)場(chǎng)修理或更換有缺陷的設(shè)備, 或要求買(mǎi)方將有缺陷的設(shè)備運(yùn)送到賣(mài)方指定的地點(diǎn), 由此產(chǎn)生的費(fèi)用由賣(mài)方支付。 219.Force Majeure9.1Should either party be prevented from performing this Contract due to Force Majeure, such as flood, fire, explosion, riot, insu

22、rrection, war, boycott or sanctions, strike or other industrial disputes, freight embargo, transportation delay, breakdown or accident, act of God, act of terrorism and Applicable Communicable Disease announced by either World Health Organization or other relevant government health agencies and all

23、the other object circumstances that are unforeseeable, unavoidable and insurmountable by the parties hereto, the time to perform this Contract should be extended by a period equivalent to the period of force majeure.229. 不可抗力9.1 合同任何一方由于不可抗力的原因，諸如洪水、火災(zāi)、爆炸、騷亂、起義、戰(zhàn)爭(zhēng)、貿(mào)易抵制或制裁、罷工或與工人的糾紛、禁運(yùn)、運(yùn)輸延誤、破壞或事故、天災(zāi)、

24、恐怖活動(dòng)、及被世界衛(wèi)生組織或其他政府衛(wèi)生機(jī)構(gòu)宣告的適用的傳染疾?。òǖ幌抻诜堑湫托苑窝祝┮约氨竞贤p方不能預(yù)見(jiàn)、不能避免并不能克服的其它客觀情況，而無(wú)法繼續(xù)履行合同，原合同履行期限根據(jù)不可抗力持續(xù)的時(shí)間予以同等延長(zhǎng)。239.2The party affected by force majeure shall notice the other party by fax without delay such force majeure incidences and shall within 15 days dispatch to the other party by registered ai

25、rmail all relevant supporting documents issued by related government authorities for further discussion. 9.3 When force majeure incidence(s) has (have) lasted for more than 90 days, the two parties shall hold friendly negotiations as to the execution of this Contract. 249.2 受不可抗力影響的一方應(yīng)盡快將發(fā)生不可抗力事故的情況

26、以傳真通知對(duì)方，并于十五天內(nèi)以航空掛號(hào)信將有關(guān)當(dāng)局出具的證明文件提交給另一方進(jìn)行商議。9.3 如果不可抗力事故所影響延續(xù)到九十天以上時(shí)，雙方應(yīng)通過(guò)友好協(xié)商解決合同的執(zhí)行問(wèn)題。2510. Penalty for late delivery If the Seller fails to effect delivery on time as stipulated above in this Contract, for other reasons than Force Majeure or the Buyers late payment under Clause 5 of this Contract,

27、 then the Buyer may terminate this Contract only if the Seller fails to ship the items for ninety (90) days after the time of shipment as stipulated in this Contract. The Buyer may also agree to accept late shipment beyond ninety (90) days on conditions that the Seller agrees to pay a penalty. The r

28、ate of the penalty to be charged shall be 0.05 % of total Contract value for every seven days of delay. Odd days less than seven should be counted as seven days. The maximum penalty for late delivery should not exceed 5% of the total Contract value involved in the late delivery.26除不可抗力或買(mǎi)方未能按照本合同第5條規(guī)

29、定期限付款的原因外，賣(mài)方未能按本合同規(guī)定的裝運(yùn)時(shí)間準(zhǔn)時(shí)交貨且拖延達(dá)90天未能裝運(yùn)設(shè)備，買(mǎi)方可終止此合同。如賣(mài)方同意支付罰金，買(mǎi)方亦可同意接受延遲超過(guò)90天裝運(yùn)的貨物。每遲交七(7)日，罰金按合同總價(jià)值的百分之零點(diǎn)零五(0.05%)支付，不足七(7)日的零頭應(yīng)根據(jù)七(7)日計(jì)算。延遲交貨的最高罰金不應(yīng)超過(guò)遲交貨物總價(jià)值的百分之五(5%)。2711、ArbitrationAll disputes arising from the execution of this Contract shall be settled through friendly negotiations. In case no

30、 settlement can be reached, the dispute shall be submitted for arbitration to Arbitration Commission of China Commission for the Promotion of International Trade (CCPIT) in China in accordance with its prevailing Arbitration Rules based upon the relevant laws of Peoples Republic of China. The awards

31、 of the above-mentioned Arbitration Committee shall be deemed as final and binding on both parties. Working language for arbitration shall be English. No party shall have the right to take any further legal or administrational procedures for repealing of such awards. Arbitration fees shall be borne by the losing party.28凡有關(guān)執(zhí)行本合同所發(fā)生的一切爭(zhēng)執(zhí)應(yīng)通過(guò)友好
