企業(yè)社會責任協(xié)議CSR(CorporateSocialResponsibility)Agreement甲方(PartyA): 乙方(PartyB):CSR,全稱CorporateSocialResponsibility,即企業(yè)社會責任,包括對勞工權(quán)益、環(huán)境保護、職業(yè)健康與安全、商業(yè)道德等方面的要求。為促進和規(guī)范甲方供應(yīng)鏈上的合作伙伴積極履行企業(yè)社會責任,經(jīng)甲乙雙方友好協(xié)商,自愿達成協(xié)議如下:CSRisshortforCorporateSocialResponsibility.CorporateSocialResponsibilityincludelabor,environment,health,ethicsandsoon.ForthepurposeofpromotingandstandardizingtheperformanceofthepartnersonPartyA'ssupplychainforCorporateSocialResponsibility,onthebasisoffriendly,voluntarynegotiation,PartyAandPartyBsignedthisSupplementaryAgreementasfollows:一、保證Guarantee乙方同意作出如下陳述和保證:PartyBagreestoabidebythefollowingstatementandguarantee:1.勞工Labor本協(xié)議中的員工:包括所有臨時工、外出務(wù)工人員、學生工、合同工、派遣工、直屬員工和任何其他類型的員工。Theemployeesinthisagreementincludetemporary,migrant,student,contract,dispatchedlabor,directemployees,andanyothertypeofemployees.1.1人權(quán)HumanRights乙方應(yīng)承諾按照國際社會公認的準則維護員工人權(quán),并給予他們尊嚴和尊重。PartyBshallbecommittoupholdthehumanrightsofemployees,andtotreatthemwithdignityandrespectasunderstoodbytheinternationalcommunity.1.2自由選擇職業(yè)FreelyChosenEmployment1.2.1不得雇傭被強迫、抵押(包括債役)或用契約束縛的勞工、非自愿的獄中勞工、奴隸或販賣人口。包括不得通過威脅、強迫、強制、誘拐或欺騙方式運送、窩藏、招聘、轉(zhuǎn)移或接收此類勞工或服務(wù)。Forced,bonded(includingdebtbondage)orindenturedlabor,involuntaryprisonlabor,slaveryortraffickingofpersonsshallnotbeused.Thisincludestransporting,harboring,recruiting,transferringorreceivingpersonsbymeansofthreat,force,coercion,abductionorfraudforlabororservices.1.2.2除了禁止對進出辦公場所進行不合理限制以外,還不得對員工在工作場所中的行動自由設(shè)置不合理限制。Thereshallbenounreasonablerestrictionsonworkers’freedomofmovementinthefacilityinadditiontounreasonablerestrictionsonenteringorexitingcompany-providedfacilities.1.2.3作為招聘流程的一部分,在員工離開其所在國家/地區(qū)之前,必須為其提供以其母語書寫的書面雇傭協(xié)議,其中應(yīng)包含對雇傭條款與條件的說明。Aspartofthehiringprocess,workersmustbeprovidedwithawrittenemploymentagreementintheirnativelanguagethatcontainsadescriptionoftermsandconditionsofemploymentpriortotheworkerdepartingfromhisorhercountryoforigin.1.2.4所有工作必須是自愿的,且員工應(yīng)有自由隨時離開工作崗位或終止雇傭。Allworkmustbevoluntaryandworkersshallbefreeatanytimetoleaveworkorterminatetheiremployment.1.2.5乙方及其代理不得保留或以其他方式損毀、隱匿、沒收或拒絕員工查看本人的身份或移民文件,例如政府頒發(fā)的身份證明、護照或工作許可,除非依據(jù)法律要求必須保留工作許可。PartyBanditsagentsmaynotholdorotherwisedestroy,conceal,confiscateordenyaccessbyemployeestoemployees’identityorimmigrationdocuments,suchasgovernment-issuedidentification,passportsorworkpermits,unlesstheholdingofworkpermitsisrequiredbylaw.1.2.6乙方或乙方的代理不得要求員工支付金額超過一個月工資作為招聘費或其他費用。必須披露向員工收取的任何費用,且金額超過一個月工資的費用必須返還給員工。WorkersshallnotberequiredtopaypartyBanditsagentsrecruitmentfeesorotheraggregatefeesinexcessofonemonth’ssalary.Allfeeschargedtoworkersmustbedisclosedandfeesinexcessofonemonth’ssalarymustbereturnedtotheworker.1.3青年員工YoungWorkers青年員工包括童工和未成年工。Youngworkersincludechildlaborandjuvenileworkers.1.3.1在制造的任何階段均不得使用童工?!皟和敝肝礉M15歲、低于完成義務(wù)教育的年齡或低于國家/地區(qū)的最低就業(yè)年齡(這三種情形中以最高者為準)的任何人。支持采用遵守所有法律法規(guī)的合法工作場所學徒計劃。中國法律規(guī)定童工年齡為未滿16周歲。Childlaborisnottobeusedinanystageofmanufacturing.Theterm“child”referstoanypersonundertheageof15,orundertheageforcompletingcompulsoryeducation,orundertheminimumageforemploymentinthecountry,whicheverisoldest.Theuseoflegitimateworkplacelearningprograms,whichcomplywithalllawsandregulations,issupported.“Childlabor”referstoanypeopleundertheageof16pursuanttoChineselaw.1.3.2年齡低于18歲的員工(即青年員工)不得從事可能危及健康或安全的工作,包括夜班和加班。Workersundertheageof18(YoungWorkers)shallnotperformworkthatislikelytojeopardizetheirhealthorsafety,includingnightshiftsandovertime.1.3.3乙方應(yīng)合理維護學生工記錄、對導(dǎo)師搭檔進行嚴格的盡職調(diào)查,并按照適用法律和法規(guī)保護學生工權(quán)利,從而確保對學生工進行恰當?shù)墓芾?。乙方?yīng)為所有學生工提供適當?shù)闹С趾团嘤?xùn)。如無當?shù)胤梢?guī)定,學生工、實習生和學徒的工資率至少應(yīng)與其他執(zhí)行相同或相似崗位的初級員工相等。PartyBshallensurepropermanagementofstudentworkersthroughpropermaintenanceofstudentrecords,rigorousduediligenceofeducationalpartnersandprotectionofstudents’rightsinaccordancewithapplicablelawandregulations.PartyBshallprovideappropriatesupportandtrainingtoallstudentworkers.Intheabsenceoflocallaw,thewagerateforstudentworkers,internsandapprenticesshallbeatleastthesameasotherentry-levelworkers’performingequalorsimilartasks.1.4工作時間WorkingHours1.4.1周工作時間不得超過當?shù)胤梢?guī)定的最大限度。Workweeksarenottoexceedthemaximumsetbylocallaw.1.4.2除非遇到緊急或異常情況,一周的工作時間包括加班在內(nèi)不得超過60個小時。Aworkweekshouldnotbemorethan60hoursperweek,includingovertime,exceptinemergencyorunusualsituations.1.4.3員工每七天至少休息一天。Workersshallbeallowedatleastonedayoffeverysevendays.1.5薪資福利WagesandBenefits1.5.1向員工支付的報酬應(yīng)符合所有適用的薪資法律,包括有關(guān)最低薪資、加班時間及法定福利的法律。根據(jù)當?shù)胤?,員工的加班報酬應(yīng)高于正常的每小時工資水平。Compensationpaidtoworkersshallcomplywithallapplicablewagelaws,includingthoserelatingtominimumwages,overtimehoursandlegallymandatedbenefits.Incompliancewithlocallaws,workersshallbecompensatedforovertimeatpayratesgreaterthanregularhourlyrates.1.5.2禁止以扣減工資作為紀律處分手段。Deductionsfromwagesasadisciplinarymeasureshallnotbepermitted.1.5.3在每個工資結(jié)算周期,應(yīng)及時向員工提供清晰易懂的工資單,有足夠的信息來確認付出的勞動所應(yīng)得的準確報酬。Foreachpayperiod,workersshallbeprovidedwithatimelyandunderstandablewagestatementthatincludessufficientinformationtoverifyaccuratecompensationforworkperformed.1.5.4應(yīng)按照當?shù)胤傻南拗埔?guī)定聘用臨時工、派遣員工和外包勞工。Alluseoftemporary,dispatchandoutsourcedlaborwillbewithinthelimitsofthelocallaw.1.6人道待遇HumaneTreatment1.6.1不得對員工實施性騷擾、性虐待、體罰、精神或肉體脅迫或言語侮辱等嚴苛的非人道待遇;亦不得威脅實施此類行為。Thereistobenoharshandinhumanetreatmentincludinganysexualharassment,sexualabuse,corporalpunishment,mentalorphysicalcoercionorverbalabuseofworkers;noristheretobethethreatofanysuchtreatment.1.6.2支持這些要求的紀律處分政策和程序應(yīng)清楚地界定并傳達給員工。Disciplinarypoliciesandproceduresinsupportoftheserequirementsshallbeclearlydefinedandcommunicatedtoworkers.1.7非歧視Non-Discrimination1.7.1乙方應(yīng)承諾員工免受騷擾以及非法歧視。PartyBshouldbecommittedtoaworkforcefreeofharassmentandunlawfuldiscrimination.1.7.2乙方不得因人種、膚色、年齡、性別、性取向、性別認同和性別表現(xiàn)、種族或民族、殘疾、懷孕、宗教信仰、政治派別、社團成員身份、受保護的退伍軍人身份、受保護的基因信息或婚姻狀況在發(fā)放工資、升遷、獎勵、培訓(xùn)機會等聘用或雇傭行為中歧視員工。PartyBshallnotengageindiscriminationbasedonrace,color,age,gender,sexualorientation,genderidentityandexpression,ethnicityornationalorigin,disability,pregnancy,religion,politicalaffiliation,unionmembership,coveredveteranstatus,protectedgeneticinformationormaritalstatusinhiringandemploymentpracticessuchaswages,promotions,rewards,andaccesstotraining.1.7.3應(yīng)向員工提供合理的宗教活動安排。Workersshallbeprovidedwithreasonableaccommodationforreligiouspractices.1.7.4不得要求員工或準員工接受可能帶有歧視性目的的醫(yī)療測試或體檢。workersorpotentialworkersshouldnotbesubjectedtomedicaltestsorphysicalexamsthatcouldbeusedinadiscriminatoryway.1.8自由結(jié)社FreedomofAssociation1.8.1按照當?shù)胤傻囊?,乙方?yīng)尊重所有員工自由結(jié)社及加入工會、集體談判和參與和平集會的權(quán)利,并尊重員工不參加此類活動的權(quán)利。Inconformancewithlocallaw,PartyBshallrespecttherightofallworkerstoformandjointradeunionsoftheirownchoosing,tobargaincollectivelyandtoengageinpeacefulassemblyaswellasrespecttherightofworkerstorefrainfromsuchactivities.1.8.2員工和/或其代表應(yīng)能與管理層公開溝通和分享有關(guān)工作環(huán)境和管理實踐的建議與意見,而無需擔心歧視、報復(fù)、威脅或騷擾。Workersand/ortheirrepresentativesshallbeabletoopenlycommunicateandshareideasandconcernswithmanagementregardingworkingconditionsandmanagementpracticeswithoutfearofdiscrimination,reprisal,intimidationorharassment.2.健康與安全HealthandSafety2.1職業(yè)安全OccupationalSafety應(yīng)通過正確的設(shè)計、工程和管理控制、預(yù)防性維護和安全工作流程(包括上鎖/掛牌)以及持續(xù)的安全培訓(xùn)來控制員工可能遇到的潛在安全危險(如電器和其他能源、火、車輛及墜落危險)。如果無法通過上述方式有效控制危險,應(yīng)為員工提供適當?shù)摹⒈pB(yǎng)良好的個人防護裝備和有關(guān)上述危險可能導(dǎo)致風險的教育資料。應(yīng)鼓勵員工提出安全疑慮。Potentialsafetyhazards(e.g.,electricalandotherenergysources,fire,vehicles,andfallhazards)towardsworkersaretobecontrolledthroughproperdesign,engineeringandadministrativecontrols,preventativemaintenanceandsafeworkprocedures(includinglockout/tag),andongoingsafetytraining.Wherehazardscannotbeadequatelycontrolledbythesemeans,workersaretobeprovidedwithappropriate,well-maintained,personalprotectiveequipmentandeducationalmaterialsaboutriskstothemassociatedwiththesehazards.Workersshallbeencouragedtoraisesafetyconcerns.2.2應(yīng)急準備EmergencyPreparedness應(yīng)識別并評估緊急情形和緊急事件,并通過實施應(yīng)急方案及應(yīng)對程序?qū)⑵溆绊懡档阶畹停ǎ壕o急報告、員工通知和撤離程序、員工訓(xùn)練與演習、適當?shù)幕馂?zāi)偵測及撲滅設(shè)備、充足的出口設(shè)施和復(fù)原計劃。此類計劃和程序應(yīng)盡可能減少對人身、環(huán)境和財產(chǎn)的危害。Potentialemergencysituationsandeventsaretobeidentifiedandassessed,andtheirimpactminimizedbyimplementingemergencyplansandresponseproceduresincluding:emergencyreporting,employeenotificationandevacuationprocedures,workertraininganddrills,appropriatefiredetectionandsuppressionequipment,adequateexitfacilitiesandrecoveryplans.Suchplansandproceduresshallfocusonminimizingharmtolife,theenvironmentandproperty.2.3工傷和疾病OccupationalInjuryandIllness應(yīng)制定程序和體系以預(yù)防、管理、跟蹤和報告工傷和疾病,包括以下規(guī)定:鼓勵員工報告;對工傷和疾病案例進行分類和記錄;提供必要的醫(yī)療服務(wù);調(diào)查案例并采取糾正措施以消除影響;幫助員工重返工作。Proceduresandsystemsaretobeinplacetoprevent,manage,trackandreportoccupationalinjuryandillnessincludingprovisionsto:encourageworkerreporting;classifyandrecordinjuryandillnesscases;providenecessarymedicaltreatment;investigatecasesandimplementcorrectiveactionstoeliminatetheircauses;andfacilitatereturnofworkerstowork.2.4工業(yè)衛(wèi)生IndustrialHygiene應(yīng)鑒別、評估并控制由化學、生物及物理試劑給員工帶來的影響。必須采取工程技術(shù)或管理手段來控制危險源過度暴露。無法通過這些方法有效控制危險源時,須通過適當?shù)膫€人防護裝備方案保護員工健康。Workexposedtochemical,biologicalandphysicalagentsistobeidentified,evaluated,andcontrolled.Engineeringoradministrativecontrolsmustbeusedtocontroloverexposures.Whenhazardscannotbeadequatelycontrolledbysuchmeans,workerhealthistobeprotectedbyappropriatepersonalprotectiveequipmentprograms.2.5強體力型工作PhysicallyDemandingWork應(yīng)鑒別、評估并控制從事強體力型工作給員工帶來的影響,包括人工搬運材料和重復(fù)提舉重物、長時間站立、高度重復(fù)或強力的裝配工作。Workexposedtothehazardsofphysicallydemandingtasks,includingmanualmaterialhandlingandheavyorrepetitivelifting,prolongedstandingandhighlyrepetitiveorforcefulassemblytasksistobeidentified,evaluatedandcontrolled.2.6機器防護MachineSafeguarding須對生產(chǎn)設(shè)備和其他機械進行安全危害評估。應(yīng)為可能導(dǎo)致員工受傷的機械提供物理防護裝置、連鎖裝置及屏障,并正確進行維護。Productionandothermachineryshallbeevaluatedforsafetyhazards.Physicalguards,interlocksandbarriersaretobeprovidedandproperlymaintainedwheremachinerypresentsaninjuryhazardtoworkers.2.7公共衛(wèi)生、飲食和住宿Sanitation,Food,andHousing應(yīng)為員工提供干凈的衛(wèi)生間設(shè)施、飲用水及潔凈的食物準備、儲藏與用餐設(shè)施。乙方或勞工代理機構(gòu)提供的員工宿舍應(yīng)保持潔凈安全,并提供適當?shù)木o急出口、洗浴熱水、充足的供暖和通風,以及合理的出入方便的私人空間。Workersaretobeprovidedwithreadyaccesstocleantoiletfacilities,potablewaterandsanitaryfoodpreparation,storage,andeatingfacilities.WorkerdormitoriesprovidedbythePartyBoralaboragentaretobemaintainedtobecleanandsafe,andprovidedwithappropriateemergencyegress,hotwaterforbathingandshowering,adequateheatandventilation,andreasonablepersonalspacealongwithreasonableentryandexitprivileges.2.8健康與安全溝通HealthandSafetyCommunication乙方應(yīng)向員工提供以員工主要語言授課的適當?shù)墓ぷ鲌鏊】蹬c安全培訓(xùn)。應(yīng)在工作場所清晰張貼健康與安全相關(guān)信息。PartyBshallprovideworkerswithappropriateworkplacehealthandsafetytrainingintheirprimarylanguage.Healthandsafetyrelatedinformationshallbeclearlypostedinthefacility.3.環(huán)境Environment3.1環(huán)境許可與報告EnvironmentalPermitsandReporting應(yīng)獲取、維護并更新所有必需的環(huán)境許可證(如排放監(jiān)測)、批準文書及登記證,并遵守其運營和報告要求。Allrequiredenvironmentalpermits(e.g.dischargemonitoring),approvalsandregistrationsaretobeobtained,maintainedandkeptcurrentandtheiroperationalandreportingrequirementsaretobefollowed.3.2預(yù)防污染和節(jié)約資源PollutionPreventionandResourceReduction應(yīng)在源頭上或通過實踐(如改進生產(chǎn)、維護和設(shè)施工藝,替換材料、節(jié)約資源、材料回收和再利用)減少和消除所有類型的資源耗費和污染(包括水和能源)。Theuseofresourcesandgenerationofwasteofalltypes(includingwaterandenergy)aretobereducedoreliminatedatthesourceorbypractices(suchasmodifyingproduction,maintenanceandfacilityprocesses,materialssubstitution,conservation,recyclingandre-usingmaterials).3.3有害物質(zhì)HazardousSubstances應(yīng)當識別和控制釋放到環(huán)境中會造成危險的化學物質(zhì)及其他材料,確保其得到安全處理、運輸、存儲、使用、回收或再利用和處置。Chemicalsandothermaterialsposingahazardifreleasedtotheenvironmentaretobeidentifiedandcontrolledtoensuretheirsafehandling,movement,storage,use,recyclingorreuseanddisposal.3.4廢水與固體廢物WastewaterandSolidWaste乙方應(yīng)采取系統(tǒng)化的方法來鑒別、管理、減少和負責任地處置或回收固體廢物(非有害物質(zhì))。作業(yè)活動、工業(yè)流程和衛(wèi)生設(shè)施產(chǎn)生的廢水在排放或處置前,需按要求進行性質(zhì)識別、監(jiān)測、控制和處理。此外,還應(yīng)采取措施減少廢水產(chǎn)生。乙方應(yīng)對其廢水處理系統(tǒng)性能進行常規(guī)監(jiān)測。PartyBshallimplementasystematicapproachtoidentify,manage,reduce,andresponsiblydisposeoforrecyclesolidwaste(non-hazardous).Wastewatergeneratedfromoperations,industrialprocessesandsanitationfacilitiesaretobecharacterized,monitored,controlledandtreatedasrequiredpriortodischargeordisposal.Inaddition,measuresshouldbeimplementedtoreducegenerationofwastewater.PartyBshallconductroutinemonitoringoftheperformanceofitswastewatertreatmentsystems.3.5廢氣排放AirEmissions經(jīng)營過程中產(chǎn)生的揮發(fā)性有機化學物質(zhì)、氣溶膠、腐蝕物、粉塵、消耗臭氧層的化學品和燃燒副產(chǎn)物等廢氣排放,需在排放前按要求進行性質(zhì)識別、常規(guī)監(jiān)測、控制及處理。乙方應(yīng)對其廢氣排放控制系統(tǒng)性能進行常規(guī)監(jiān)測。Airemissionsofvolatileorganicchemicals,aerosols,corrosives,particulates,ozonedepletingchemicalsandcombustionby-productsgeneratedfromoperationsaretobecharacterized,routinelymonitored,controlledandtreatedasrequiredpriortodischarge.PartyBshallconductroutinemonitoringoftheperformanceofitsairemissioncontrolsystems.3.6材料限制MaterialsRestrictions乙方應(yīng)遵守所有關(guān)于禁止或限制在產(chǎn)品和制造過程中使用特定物質(zhì)(包括有關(guān)回收和處置的標識)的適用法律法規(guī)和客戶要求。PartyBistoadheretoallapplicablelaws,regulationsandcustomerrequirementsregardingprohibitionorrestrictionofspecificsubstancesinproductsandmanufacturing,includinglabelingforrecyclinganddisposal.3.7暴雨管理StormWaterManagement乙方應(yīng)采取系統(tǒng)化的方法來預(yù)防暴雨徑流污染。乙方應(yīng)防止非法的排放和泄漏物質(zhì)進入排水渠。PartyBshallimplementasystematicapproachtopreventcontaminationofstormwaterrunoff.PartyBshallpreventillegaldischargesandspillsfromenteringstormdrains.3.8能源消耗和溫室氣體排放EnergyConsumptionandGreenhouseGasEmissions應(yīng)在工作場所級和/或企業(yè)級對能源消耗和溫室氣體排放進行跟蹤和記錄。乙方應(yīng)尋求具有成本效益的方式以提高能源效率并盡可能減少能源消耗和溫室氣體排放。Energyconsumptionandgreenhousegasemissionsaretobetrackedanddocumented,atthefacilityand/orcorporatelevel.PartyBistolookforcosteffectivemethodstoimproveenergyefficiencyandtominimizetheirenergyconsumptionandgreenhousegasemissions.4.道德Ethics4.1誠信經(jīng)營BusinessIntegrity在所有商業(yè)互動中都應(yīng)遵循最高的誠信標準。乙方應(yīng)采取零容忍政策,禁止任何形式的賄賂、腐敗、敲詐勒索和挪用公款行為。所有業(yè)務(wù)交易均應(yīng)確保透明并應(yīng)在乙方業(yè)務(wù)賬目和記錄中準確反映。應(yīng)推行監(jiān)督和強化程序以確保符合反腐敗法的要求。Thehigheststandardsofintegrityaretobeupheldinallbusinessinteractions.PartyBshallhaveazerotolerancepolicytoprohibitanyandallformsofbribery,corruption,extortionandembezzlement.AllbusinessdealingsshouldbetransparentlyperformedandaccuratelyreflectedonPartyB’sbusinessbooksandrecords.Monitoringandenforcementproceduresshallbeimplementedtoensurecompliancewithanti-corruptionlaws.4.2無不正當利益NoImproperAdvantage不得承諾、提供、授予、給予或接受賄賂或其他形式的不適當或不正當利益。禁止范圍涵蓋為獲取或保留業(yè)務(wù)、將業(yè)務(wù)指派給任何人或以其他方式獲取不正當利益,以直接方式或通過第三方的間接方式,承諾、提供、授予、給予或接受任何有價值物品。Bribesorothermeansofobtainingundueorimproperadvantagearenottobepromised,offered,authorized,givenoraccepted.Thisprohibitioncoverspromising,offering,authorizing,givingoracceptinganythingofvalue,eitherdirectlyorindirectlythroughathirdparty,inordertoobtainorretainbusiness,directbusinesstoanyperson,orotherwisegainanimproperadvantage.4.3信息披露DisclosureofInformation依照適用法規(guī)和主要的行業(yè)慣例公開有關(guān)乙方勞工、健康與安全、環(huán)境實踐、商業(yè)活動、組織結(jié)構(gòu)、財務(wù)狀況和績效的信息。不允許偽造記錄或虛報供應(yīng)鏈中的條件或?qū)嵺`。InformationregardingPartyB’slabor,healthandsafety,environmentalpractices,businessactivities,structure,financialsituationandperformanceistobedisclosedinaccordancewithapplicableregulationsandprevailingindustrypractices.Falsificationofrecordsormisrepresentationofconditionsorpracticesinthesupplychainareunacceptable.4.4知識產(chǎn)權(quán)IntellectualProperty應(yīng)尊重知識產(chǎn)權(quán);技術(shù)或經(jīng)驗知識的轉(zhuǎn)讓應(yīng)以保護知識產(chǎn)權(quán)的方式進行;并且應(yīng)保護客戶信息安全。Intellectualpropertyrightsaretoberespected;transferoftechnologyandknow-howistobedoneinamannerthatprotectsintellectualpropertyrights;and,customerinformationistobesafeguarded.4.5公平交易、廣告和競爭FairBusiness,AdvertisingandCompetition應(yīng)秉持公平交易、廣告和競爭的標準。必須以適當?shù)姆绞奖Wo客戶信息安全。Standardsoffairbusiness,advertisingandcompetitionaretobeupheld.Appropriatemeanstosafeguardcustomerinformationmustbeavailable.4.6身份保護和無報復(fù)政策ProtectionofIdentityandNon-Retaliation應(yīng)制定程序以保護供應(yīng)商和員工舉報者并確保其身份的機密性和匿名性,除非法律明令禁止。乙方應(yīng)制定溝通程序,讓員工能夠提出疑慮而無需擔心遭到報復(fù)。Programsthatensuretheconfidentiality,anonymityandprotectionofsupplierandemployeewhistleblowersaretobemaintained,unlessprohibitedbylaw.PartyBshouldhaveacommunicatedprocessfortheirpersonneltobeabletoraiseanyconcernswithoutfearofretaliation.4.7負責任的礦物采購ResponsibleSourcingofMinerals乙方應(yīng)制定政策以合理確保其制造產(chǎn)品中所含的鉭、錫、鎢和金不會以直接或間接的方式為剛果民主共和國或周邊國家/地區(qū)中嚴重侵犯人權(quán)的武裝團體提供資金或利益。即乙方不得采購或使用沖突礦物,并要求其下級供應(yīng)商不得采購沖突礦物,必要時應(yīng)對這些礦物的來源和產(chǎn)銷監(jiān)管鏈進行盡職調(diào)查,并按照客戶要求向客戶提供所采取的盡職調(diào)查措施。PartyBshallhaveapolicytoreasonablyassurethatthetantalum,tin,tungstenandgoldintheproductstheymanufacturedoesnotdirectlyorindirectlyfinanceorbenefitarmedgroupsthatareperpetratorsofserioushumanrightsabusesintheDemocraticRepublicoftheCongooranadjoiningcountry.PartyBshallnotpurchaseoruseanyconflictminerals,andshallrequestitsnexttiersuppliersandsubcontractorsnottopurchaseanyConflictMinerals.PartyBshallexerciseduediligenceonthesourceandchainofcustodyofthesemineralsifnecessary,andmaketheirduediligencemeasuresavailabletocustomersuponcustomer’srequest.4.8隱私Privacy乙方應(yīng)承諾保護所有業(yè)務(wù)相關(guān)人員,包括供應(yīng)商、客戶、消費者和員工的個人信息的合理隱私期望。乙方在收集、存儲、處理、傳輸和共享個人信息時應(yīng)遵守隱私和信息安全法律及法規(guī)要求。PartyBistocommittoprotectthereasonableprivacyexpectationsofpersonalinformationofeveryonetheydobusinesswith,includingsuppliers,customers,consumersandemployees.PartyBistocomplywithprivacyandinformationsecuritylawsandregulatoryrequirementswhenpersonalinformationiscollected,stored,processed,transmitted,andshared.5.管理體系ManagementSystem乙方應(yīng)參照ISO14001、OHSAS18001、SA8000、EICC和ISO26000指南等標準及相關(guān)法規(guī)建立并持續(xù)改善CSR管理體系。PartyBshallrefertoISO14001,OHSAS18001,SA8000,EICC,ISO26000guide,otherstandardsandrelevantregulationsforestablishingCSRmanagementsystemandfacilitatingcontinualimprovement.5.1CSR政策CSRPolicy乙方應(yīng)制定社會責任政策,該政策應(yīng)闡明乙方對合規(guī)和持續(xù)改進CSR的承諾并由管理層簽署,以當?shù)卣Z言印發(fā)并張貼于工作場所中。PartyBshallmakecorporatesocialresponsibilitypolicy,thepolicyaffirmingPartyB’scommitmenttocomplianceandcontinualimprovementofCSR,endorsedbyexecutivemanagementandpostedinthefacilityinthelocallanguage.5.2管理問責與責任ManagementAccountabilityandResponsibility乙方應(yīng)明確指定高層管理和公司代表負責確保CSR管理體系和相關(guān)方案的實施。高層管理應(yīng)定期審核CSR管理體系狀態(tài)。PartyBshallclearlyidentifyseniorexecutiveandcompanyrepresentativetoberesponsibleforensuringimplementationoftheCSRmanagementsystemsandassociatedprograms.SeniormanagementreviewsthestatusoftheCSRmanagementsystemonaregularbasis.5.3法律要求與客戶要求LegalandCustomerRequirements乙方應(yīng)鑒別、監(jiān)測和理解適用的法律法規(guī)及客戶要求(包括本協(xié)議的要求)。PartyBshallidentify,monitorandunderstandapplicablelaws,regulationsandcustomerrequirements(includingtherequirementsofthisAgreement).5.4風險評估與風險管理RiskAssessmentandRiskManagement乙方應(yīng)制定程序以識別與其經(jīng)營相關(guān)的合規(guī)、環(huán)境、健康與安全、勞動實踐以及道德風險。確定各風險的相對重要程度,并實施適當?shù)某绦蚝蛯嵸|(zhì)控制措施,以控制已識別的風險并確保合規(guī)。PartyBshallformulateaprocesstoidentifythelegalcompliance,environmental,healthandsafetyandlaborpracticeandethicsrisksassociatedwithitsoperations.Determinationoftherelativesignificanceforeachriskandimplementationofappropriateproceduralandphysicalcontrolstocontroltheidentifiedrisksandensureregulatorycompliance.5.5改進目標ImprovementObjectives乙方應(yīng)制定書面績效目標、指標和實施計劃,以提高其社會環(huán)境責任績效,包括對為達成這些目標所取得的績效進行定期評估。PartyBshallformulatewrittenperformanceobjectives,targetsandimplementationplanstoimprovePartyB’ssocialandenvironmentalperformance,includingaperiodicassessmentofperformanceinachievingthoseobjectives.5.6培訓(xùn)Training乙方應(yīng)為管理層及員工制定培訓(xùn)計劃并提供相關(guān)的培訓(xùn)課程,以落實乙方的政策、程序及改善目標,同時滿足法律法規(guī)的要求。PartyBshalldevelopprogramsandproviderelatedtrainingcoursesformanagersandworkerstoimplementPartyB’spolicies,proceduresandimprovementobjectivesandtomeetapplicablelegalandregulatoryrequirements.5.7溝通Communication乙方應(yīng)制定一套流程,將其政策、實踐、預(yù)期目標和績效清晰準確地傳達給工人、供應(yīng)商和客戶。PartyBshallformulateaprocessforcommunicatingclearandaccurateinformationaboutitspolicies,practices,expectationsandperformancetoworkers,suppliersandcustomers.5.8工人反饋和參與WorkerFeedbackandParticipation乙方應(yīng)制定方案持續(xù)評估員工對本協(xié)議的理解,并獲取對本協(xié)議所覆蓋的實踐和條件的反饋意見,從而促進持續(xù)改進。PartyBshallformulateongoingprocessestoassessemployees’understandingofthisAgreement,andobtainfeedbackonpracticesandconditionscoveredbythisAgreementandtofostercontinuousimprovement.5.9審核與評估AuditsandAssessments乙方應(yīng)定期進行自我評估,以確保符合法律法規(guī)、以及本協(xié)議和客戶合同中有關(guān)的CSR要求。甲方有權(quán)對乙方進行遠程或現(xiàn)場CSR審核,乙方應(yīng)予配合支持。PartyBshallcarryoutperiodicself-evaluationstoensureconformitytolegalandregulatoryrequirements,thecontentoftheAgreementandcustomercontractualrequirementsrelatedtoCSR.PartyAhasrighttocarryoutoff-siteandon-siteaudit,PartyBshallsupport.5.10不符項改善correctionofdeficiencies乙方應(yīng)制定程序,以及時糾正在內(nèi)、外部的評估、檢查、調(diào)查和審核中所發(fā)現(xiàn)的缺陷。PartyBshallformulateaprocessfortimelycorrectionofdeficienciesidentifiedbyinternalorexternalassessments,inspections,investigationsandreviews.5.10.1雙方在本協(xié)議生效時都已經(jīng)確定的不符合項內(nèi)容,乙方應(yīng)當出具改善計劃書給甲方,不符合項應(yīng)該在改善計劃書中列明,并提供包含糾正措施、完成時間的初始改善計劃。ForthedeficienciesconfirmedbythePartieswhenthisAgreementcomesintoforce,PartyBshallpresenttheimprovementplantoPartyA.Thedeficienciesshallbelistedintheplan.Correctivemeasuresandthecompletiontimeoftheinitialimprovementplanshallalsobeprovided.5.10.2乙方應(yīng)針對改善計劃書中不符合項,根據(jù)改善計劃的對應(yīng)內(nèi)容與步驟進行改善。實施改善措施而所產(chǎn)生的費用由乙方承擔。PartyBshallimprovetheserelateddeficienciesaccordingtotheimprovementplan.PartyBshallbeartheexpendituresoccurredinthisimprovement.5.10.3乙方應(yīng)保證其供應(yīng)商組織內(nèi)的不符合項在甲方免于開支的條件下得到糾正。甲方可指導(dǎo)乙方對其供應(yīng)商運作中的不符合進行處理。糾正措施(應(yīng)包含完成日期)應(yīng)包含在由甲方認可的改善計劃中。改善計劃書是本協(xié)議書的組成部分。PartyBshallensurethedeficienciesofthesuppliers’organizationbecorrectedwithoutexpenditureofPartyA.PartyAmayguidePartyBtodealwiththedeficiencieshappenedintheoperationofsuppliers.Correctivemeasures(includingthecompletiondate)shallbeincludedintheplanconfirmedbyPartyA.ImprovementplanispartofthisAgreement.5.10.4若乙方的供應(yīng)商違反甲方的CSR紅線要求,當甲方有相關(guān)要求時,乙方根據(jù)提供給甲方的產(chǎn)品/服務(wù)的類型替換相關(guān)供應(yīng)商,乙方其新供應(yīng)商須能始終遵守本協(xié)議要求。IfPartyB’ssupplierfundamentallybreachesPartyA’sCSRRedLineRequirements.PartyBshallreplacetherelevantsupplieraccordingtotheproduct/servicesuppliedtoPartyAunderPartyA’srequirement,thenewsuppliershallbeboundbythisAgreement.5.11文件和記錄DocumentationandRecords乙方應(yīng)建立并保留文檔和記錄,以確保符合法律法規(guī)、公司要求,以及與隱私有關(guān)的保密條款。PartyBshallcreateandmaintaindocumentsandrecordstoensureconformitytolegalandregulatoryandcompanyrequirementsalongwithappropriateconfidentialitytoprotectprivacy.6.供應(yīng)商CSR管理Suppliercorporatesocialresponsibilitymanagement6.1乙方應(yīng)對其供應(yīng)商/分包商進行CSR培訓(xùn)和管理,包括但不限于建立供應(yīng)商CSR管理體系、CSR風險評估、CSR績效管理,CSR現(xiàn)場稽查及問題跟蹤改善。PartyBistocommittoensurethesupplier/subcontractortrainingandmanagementforCSR,includingbutnotlimitedtosetupthesupplier'sCSRmanagementsystem,CSRriskassessment,CSRperformancemanagement,CSRsiteauditandissuetrackingimprovement.6.2乙方應(yīng)制定供應(yīng)商CSR協(xié)議,推動與其供應(yīng)商簽署,以促進供應(yīng)商加強社會責任管理。PartyBshallformulatetheSupplierandSubcontractorCSRAgreementandpushitsnexttiersuppliersandsubcontractorstosigntheagreementtopromoteCSRmanagement.6.3乙方應(yīng)對其供應(yīng)商/分包商的CSR管理負責。乙方明知且承認不論是其自身,還是其供應(yīng)商/分包商違反本協(xié)議內(nèi)容,都將給甲方造成無法預(yù)估的損失。因此,乙方應(yīng)當向甲方保證其供應(yīng)商/分包商對本協(xié)議內(nèi)容的遵守,且甲方有權(quán)就乙方的供應(yīng)商/分包商違反CSR的行為直接向乙方尋求救濟,救濟的內(nèi)容包括但不限于本協(xié)議“CSR紅線要求”條款中的違約金和損失賠償。PartyBshallberesponsiblefortheCSRmanagementofitsnexttiersuppliersandsubcontractors.PartyBshallunderstandandacknowledgethatanybreachofthisAgreementbyitselforitsnexttiersuppliersandsubcontractorsmaycauseunpredictablelossestoPartyA.Therefore,PartyBshallpromisethatitsnexttiersuppliersandcontractorscancomplywiththisAgreement.IncaseofanybreachofthisAgreementbyPartyB'snexttiersuppliersandcontractors,PartyAisentitledtodirectlyrequestPartyBtoindemnifyPartyAforalllossesincurred,includingbutnotlimitedtotheliquidateddamagesandlossindemnitystipulatedin“CSRredlinerequirements”ofthisAgreement.6.4乙方在認證和選擇新供應(yīng)商時應(yīng)將CSR作為一個必要條件或門檻標準,如果新供應(yīng)商CSR達不到要求則不得獲得通過。PartyBshallincludeCSRasthenecessaryqualificationandselectioncriteriaforselectingitsnexttiersuppliersandsubcontractors.IfthenexttiersuppliersandsubcontractorsfailtomeettheCSRrequirements,theywillbeconsideredunqualified.6.5在乙方提出降低對某些分/子供應(yīng)商的關(guān)注程度時,甲方可根據(jù)乙方提供的信息做出評估,包括某些商業(yè)行為是否具有更小的風險。若甲方認同乙方的要求,則在簽證此協(xié)議之前應(yīng)將相應(yīng)的分/子供應(yīng)商作為附件列明。若乙方在協(xié)議簽訂之后提出此要求,甲方同意后可以更新附件內(nèi)容。WhenPartyBproposereducingthefocusinglevelaboutsomesuppliersorsub-suppliers,PartyAmaymakeassessmentabouttheinformationPartyBprovided,includingwhetherthesecommercialdeedsarelessriskyornot.IfPartyAagreeswithPartyB’srequirement,PartyAshouldlisttherelatedsub-suppliersasattachmentsbeforesigningthisAgreement.IfPartyBproposesthisrequirementaftersigningthisAgreementtheattachmentscanberenewedwithPartyA'sprioragreement.6.6乙方應(yīng)推動和幫助其供應(yīng)商提升CSR意識和能力,共同促進產(chǎn)業(yè)鏈可持續(xù)發(fā)展。PartyBshallmotivateandhelpitsnexttiersuppliersandsubcontractorstoenhancetheirCSRawarenessandcapabilitiestoensuresustainabledevelopmentoftheindustrialchain.7.CSR紅線要求CSRRedLineRequirements7.1禁止使用童工Prohibitionofchildlabor乙方必須采取有效的措施鑒別工人年齡,所有工人,包括學生工、派遣工和臨時工,至少應(yīng)超過當?shù)胤ǘǖ耐つ挲g,有效保護未成年工。PartyBshalltakeeffectivemeasurestoidentifyemployees'age.Allemployees,nomatterstudents,dispatchedemployeesortemporaryemployees,mustreachthelegalchildlaborage,inordertoprotectminors.7.2禁止使用監(jiān)獄勞動力或強迫勞動Prohibitionofprisonlabororforcedlabor乙方不得使用監(jiān)獄或類似機構(gòu)作為供應(yīng)商或分包商,不得使用監(jiān)獄工或其他強迫勞工,不得扣留或代管任何工人的身份證明文件,工人通過合理通知后可以自由離職,不得強迫加班。PartyBisprohibitedtouseprisonorsimilarorganizationsastheirsuppliersorsubcontractors,hireprisonersorotherforcedworkers,orwithholdorkeepanyemployee'sIDdocument.Employeescanresignfreelyaftersubmit
