PAGEPAGE13建筑材料供應合同（中英文）CONTRACTOFPURCHASEBUILDINGMATERIAL買方Buyer(以下簡稱“買方”hereinafter,the“Buyer”)地址Address:電話Tel:傳真Fax:賣方Seller:地址Address:電話Tel:傳真Fax:本合同經(jīng)買、賣雙方友好協(xié)商后在年月日簽訂。根據(jù)本合同簽訂的條款，買方同意向賣方購買、賣方同意向買方提供下列輕鋼結(jié)構(gòu)系統(tǒng)建筑材料一套（以下簡稱“鋼結(jié)構(gòu)”）：ThisContractismadebyandbetweentheBuyerandSelleron___________,1997afterfriendlynegotiations.TheBuyerherebyagreestopurchasefromtheSeller,andtheSellerherebyagreestoselltotheBuyer,thefollowingsetofmetalbuildingsystem(hereinafter,the“MetalBuildingSystem”)onthetermsandconditionssetforthinthisContract:第一條項目名稱Article1.NameofProject1.1本項目名稱為：Thenameofthisprojectis:1.2本項目位于（以下簡稱“工地現(xiàn)場”）。Thisprojectislocatedat(hereinafter,“theSite”).第二條賣方供貨范圍Article2.ScopeofSupplyfromSeller2.1在提供鋼結(jié)構(gòu)時，賣方應負責：InsupplyingtheMetalBuildingSystem,theSellershallberesponsiblefor:2.1.1設(shè)計并制造供應本項目地面以上的全部鋼結(jié)構(gòu)（詳見附件一）；及thedesignandmanufactureofthisproject’sentireabove-groundstructure(seeAttachment1fordetails);and2.1.2所提供鋼結(jié)構(gòu)部件及材料的□必要包裝□運輸□運輸?shù)谋ｋU。thenecessarypacking□shipping□shippinginsurance□ofandforthepartsandmaterialsoftheMetalBuildingSystembeingsupplied.第三條合同價格Article3.ContractPrice3.1本合同總價為人民幣整（以下簡稱合同總價）。ThepriceofthisContractisRmb(hereinafter,the“ContractPrice”).3.2合同總價不包含有關(guān)之□關(guān)稅□增值稅。TheContractPriceexcludestherelatedcustomsduty□valueaddedtaxes□.第四條付款條件及方式Article4.PaymentTerms4.1本合同簽訂后五個工作日內(nèi)，買方應付予賣方合同總價之20%作為定金，即人民幣：元。Within5workingdaysofthesigningofthisContract,theBuyershallpaytotheSelleradepositequalto20%oftheContractPrice,i.e.Rmb.4.2買方收到賣方的鋼結(jié)構(gòu)設(shè)計圖并確認后三個工作日內(nèi)，應付予賣方合同總價之20%作為預付款，即人民幣元。Within3workingdaysofitsreceiptandapprovalofthedesigndrawingsfortheMetalBuildingSystem,theBuyershallpaytotheSelleraprepaymentamountequalto20%oftheContractPrice,i.e.Rmb.4.3鋼結(jié)構(gòu)制造完成后，并經(jīng)買方驗收后五個工作日內(nèi)，買方應付予賣方合同總價之60%，即人民幣元。Within5workingdaysafterthemanufactureoftheMetalBuildingSystemhasbeencompletedandtheBuyerhasacceptedtheMetalBuildingSystem,theBuyershallpaytotheSeller60%oftheContractPrice,i.e.Rmb.4.4買方支付賣方的所有款項均以銀行匯票或電匯方式匯至賣方指定在中信實業(yè)銀行南京西路分理處虹橋分理處所開之帳號，號碼086861-10224020560。所有付款日期均以賣方收款之銀行收款憑證日期為準。如買方逾期五天付款，須從第六天起按日支付該筆逾期款項0.1%的滯納金。若買方之逾期付款超過應付款日三十天后，賣方有權(quán)單方面取消整個合同，并沒收買方已支付之定金、預付款和其他款項作為賠償。若該筆款項不足彌補賣方之損失，則買方還需就不足部分支付賠償金。AllpaymentstobemadebytheBuyertotheSellerhereundershallbemadebybankdraftorwiretransfertotheSeller’sdesignatedaccountattheHongqiaosub-officeofWestNanjingRoadofficeofCiticIndustrialBankShanghaiBranch,accountno.086861-10224020560.Thedateofpaymentforallamountsshallbetheofficialdateofreceiptbytheseller’sreceivingbank.IftheBuyer’spaymentislateforfivedays,itshallpayapenaltyonthelatesumfromthesixthdayatarateof0.1%perday.IftheBuyer’spaymentislateformorethan30days,theSellerhasarighttounilaterallyterminatethisContractandforfeitthedeposit,prepaymentandanyothersumsascompensation.IfsuchsumsarenotsufficienttocompensatetheSeller’slosses,theBuyershallpaytheSellertheamountofsuchdeficiency.第五條設(shè)計、制造進度及期限Article5.ProgressandTimeLimitonDesignandManufacture5.1賣方收到定金后四周內(nèi)，應向買方提供設(shè)計所需的反力圖及地腳螺栓布置圖。買方應盡快將以上資料提交負責設(shè)計地基和基礎(chǔ)的設(shè)計院。有關(guān)設(shè)計院的所有費用（包括圖簽費用）均由買方承擔。Withinfourweeksafteritreceivedthedeposit,theSellershallprovidetotheBuyerthereactiondrawingsandthedrawingsfortheplacementoftheanchorboltsrequiredforthedesignoftheMetalBuildingSystem.TheBuyershallgivethisinformationtothedesigninstituteresponsibleforthedesignofthefoundationassoonaspossible.Allcostsrelatedtothedesigninstitute(includingthecostofsigningthedrawings)shallbebornebytheBuyer.5.2收到預付款后周，賣方應完成鋼結(jié)構(gòu)制造并通知買方派員到賣方工廠進行交貨發(fā)運前檢驗。Withinweeksafteritreceivedtheprepayment,theSellershallcompletethemanufactureoftheMetalBuildingSystemandnotifytheBuyertosenditsrepresentativetotheSeller’splanttoinspectthegoodsbeforetheirdeliveryandshipment.5.3買方驗收后已付賣方第4.3條貨款后一周內(nèi)，賣方應將產(chǎn)品運至工地現(xiàn)場。WithinoneweekaftertheBuyerhasinspectedandacceptedthegoodsandpaidSellertheamountsetforthinarticle4.3hereof,theSellershallhavethegoodsshippedtotheSite.5.4買方若要求變更鋼結(jié)構(gòu)規(guī)格或設(shè)計，應以書面方式通知賣方，賣方在可能的情況下盡量滿足買方要求，但賣方可視增加之工時和材料調(diào)整本合同價格及期限，經(jīng)買賣雙方同意后才生效。所有鋼結(jié)構(gòu)規(guī)格或設(shè)計之變更，若因買方未能于兩天內(nèi)簽置賣方所提供的有關(guān)確認文件，均視為買方取消變更要求，回復原本規(guī)格或設(shè)計。如因此而造成鋼結(jié)構(gòu)設(shè)計或制造之延誤，則買方須承擔一切責任。ShouldtheBuyerrequestanychangestothespecificationsordesignoftheMetalBuildingSystem,itshallnotifythesellerinwriting.TheSellershalltrytosatisfytheBuyer’srequestasbestaspossible,butmayadjusttheContractPriceorthetimeframeforperformancebasedontheadditionalamountofwork,timeandmaterialsrequiredasaresultofsuchchanges.SuchadjustmentsshallbeeffectiveuponagreementbyboththeBuyerandtheSeller.IftheBuyershallfailtosigntherelevantconfirmationprovidedbytheSellerrelatingtosuchadjustmentswithin2daysthereof,suchadjustmentsshallbedeemedtobecancelledbytheBuyer.TheBuyershallnotberesponsibleforanydelaysinthedesignormanufactureoftheMetalBuildingSystemasaresultthereof.5.5除天災人禍等不可抗力因素及因買方未盡本合同責任之情形以外，如賣方逾期完成以上任何一項義務，須從逾期第四天起按日支付該筆逾期款項0.1%的罰款，但該罰款不應超過本合同總價之3%。ExceptforforcemajeureorafailurebytheBuyertoperformitsobligationsunderthisContract,iftheSellerfailstocompleteontimeanyofitstaskssetforthabove,itshallpayapenaltyof0.1%perdayonthelateamount,commencingonthefourthdayofsuchdelay,providedthatsuchpenaltyshallnotexceed3%oftheContractPrice.5.6第5.2及5.3條所提到的交貨時限是以買方在收到鋼結(jié)構(gòu)設(shè)計圖后七天內(nèi)把確認圖還給賣方和買方在收到驗收通知后七天內(nèi)派員到賣方工廠進行貨物檢驗為根據(jù)。買方每逾期一天確認設(shè)計圖或到賣方工廠驗貨，無論什么原因，賣方的交貨時限會延遲兩天，如該逾期超過七天，賣方有權(quán)根據(jù)其當時的業(yè)務要求重新安排交貨時間。ThedeliveryschedulereferredtoinSections5.2and5.3hereofissubjecttothePurchaserreturningtheapproveddesigndrawingstotheSellerwithin7daysofreceiptthereofandinspectingthegoodsatSeller’splantwithin7daysofnoticethereoffromtheSeller.EachdayofdelayinthereturnofsuchapproveddrawingstotheSellerorsuchinspectionofthegoods,forwhateverreasons,willresultinatwo-daypostponementofthedateofdelivery.Ifanysuchdelayshallexceed7days,theSellershallbeentitledtore-schedulethedeliverydatebasedonitsthenexistingbusinesscommitments.5.7買方應賠償或補償賣方因買方造成的交貨延誤所受到的所有損失，包括（但不限于）貨物貯存的費用，該費用以每天每噸人民幣83元計算。ThePurchasershallindemnifytheSellerforallcostsincurredbyitasaresultofanydelayinthedeliveryoftheMetalBuildingSystemcausedbythePurchaser,including,withoutlimitation,thecostofstoragewhichshallbechargedattherateofRmb83pertonperday.第六條裝運和清點Article6.Packing,ShippingandInventory6.1鋼結(jié)構(gòu)制造完畢、經(jīng)買方驗收后方能裝運到工地現(xiàn)場。賣方應提前一周前通知買方其發(fā)運日期以便買方為賣方提供工作條件上的方便，例如提供現(xiàn)場物資存放的道路、場地及水電供應等。TheMetalBuildingSystemmaybepackedandshippedtotheSiteonlyafterthemanufactureoftheMetalBuildingSystemiscompletedandtheBuyerhasinspectedandacceptedthegoods.TheSellershallnotifytheBuyeroneweekinadvanceoftheshipmentdatesothattheBuyercanprovidetheworkingconveniencefortheSeller,suchastheroadsandplaceforthestorageofthegoodsandwaterandelectricity,etc.6.2貨物到達工地現(xiàn)場后，買方應即時清點及驗查貨物質(zhì)量并簽收。如有損壞，買方應即時通知賣方。AfterthegoodsarrivedattheSite,theSellershallimmediatelyinventoryandinspectthequalityofthegoodsandacceptthem.Ifthereisanydamagethereto,theBuyershallimmediatelynotifytheSeller.6.3工地現(xiàn)場的卸貨由買方負責，如有延誤，所有費用由買方負責。TheBuyershallberesponsiblefortheunloadingofthegoodsattheSite.ThecostsofanydelaysshallbebornebytheBuyer.第七條產(chǎn)品檢驗Article7.InspectionofGoods7.1如在驗收過程中，買方發(fā)現(xiàn)貨物的質(zhì)量、規(guī)格、性能與合同不符合，賣方可按買方的要求退換或修復，達到合同要求。如有爭議，買方可申請上海進出口商品檢驗局就產(chǎn)品質(zhì)量、規(guī)格及性能進行檢驗，所有費用由買方承擔。IfduringthecourseofinspectiontheBuyerdiscoversthatthequality,quantity,specificationsofnatureofthegoodsdonotmeetwiththerequirementsintheContract,itmayrequesttoreturnthegoodsorhavethemrepairedorreplacedsoastomeettherequirementsintheContract.Ifthereisanydispute,theBuyermayapplytohaveShanghaiImport&ExportCommodityInspectionBureautoinspectthequality,quantity,specificationsandnatureofthegoods.AllcostsrelatedtheretoshallbebornebytheBuyer.第八條賣方聲明和保證Article8.Seller’sRepresentationsandWarranties8.1賣方對產(chǎn)品質(zhì)量作出下列聲明及保證：TheSellermakesthefollowingrepresentationsandwarrantieswithrespecttothequalityandquantityofthegoods:8.2鋼結(jié)構(gòu)設(shè)計以美國MetalbuildingMembersAssociation(MBMA)建筑規(guī)范（1986年版）及相關(guān)技術(shù)文本為標準。ThedesignoftheMetalBuildingSystemisbasedonthebuildingcodesoftheMetalBuildingMembersAssociation(MBMA)oftheUnitedStatesofAmerica(1986Edition)andrelatedtechnicaldocuments.8.3賣方對產(chǎn)品的質(zhì)量保證期為一年，在產(chǎn)品送達工地現(xiàn)場一年內(nèi)，如產(chǎn)品在正常操作情況下出現(xiàn)質(zhì)量問題，賣方會免費提供維修服務。此產(chǎn)品質(zhì)量保證不包括因買方不當處置產(chǎn)品引致之問題或原材料引致之間接損失或隨之發(fā)生的損害。TheSeller’swarrantyonthegoodsisoneyears.Ifthegoodsdevelopproblemduringnormaloperationwithinoneyears.ofitsarrivalattheSite,theSellershallprovidefreerepairservice.ThiswarrantydoesnotcoveranyproblemscausedbythemishandlingofthegoodsbytheBuyerorindirectlossescausedbytherawmaterialsoranyconsequentialdamages.第九條技術(shù)資料和單據(jù)Article9.TechnicalInformationandReceipts9.1賣方應在產(chǎn)品送達工地現(xiàn)場一周前，把下列技術(shù)資料交給買方：WithinoneweekofthedeliveryofthegoodstotheSite,theSellershallprovidethefollowingtechnicalinformationtotheBuyer:9.1.1由制造廠發(fā)出產(chǎn)品說明書一份；和Acopyoftheproductdescriptionissuedbythemanufacturer;and9.1.2施工圖一式三份。Threecopiesoftheconstructiondrawings.9.2賣方應于賣方在產(chǎn)品運出后，把下列單據(jù)交給買方：Afterthegoodshavebeenshipped,theSellershallprovidetheBuyerwiththefollowinginvoicesandreceipts:9.2.1稅務發(fā)票，內(nèi)容注明本合同編號、項目名稱等；Ataxreceipt,thecontentofwhichshallincludethenumberofthisContract,thenameoftheproject,etc.9.2.2交貨清單一式四份；Fourcopiesoftheinventorylistofthegoodsdelivered;9.2.3制造廠簽發(fā)的質(zhì)量證明書；和Thequalityandquantitycertificateissuedbythemanufacturer;and第十條不可抗力Article10.ForceMajeure10.1買賣雙方中任何一方，由于人力不可抗力事故而影響合同執(zhí)行時，則延遲履行合同的期限，延遲的時間相當于事故所影響的時間，受事故影響一方應于事故發(fā)生后三天內(nèi)將所發(fā)生的不可抗力事故的情況用傳真方式通知對方，并在十天內(nèi)遞交有關(guān)證明交件給另一方確認。當不可抗力事故終止后，受事故影響的一方應于事故終止后三天內(nèi)用以傳真方式通知對方，并以信件證實。任何不可抗力事故影響合同執(zhí)行超過12周以上的，雙方應應合同執(zhí)行的有關(guān)問題進行協(xié)商。IftheperformanceoftheBuyerorSellerunderthisContractisaffectedbyaforcemajeure,thentheperiodforsuchperformanceshallbepostponedduringthedurationofsuchevent.Theaffectedpartyshallnotifytheotherpartybyfaxwithin3daysoftheoccurrenceofsucheventandshallprovidetheotherpartyevidence
